WHEREAS, the party of the first part is the holder of the
following mortgages and the bonds or notes secured thereby:
1. Mortgage made by Vector Real Estate Corporation to
Harold Reese, Sr. and Frederick Reese in the sum of $308,360.00,
called herein Mortgage "A" dated March 1, 1983 and recorded in the
Suffolk County Clerk' s Office on March 14, 1983 in Liber 9501,
mp 271 ;
WHICH said Mortgage "A" was assigned by Harold Reese, Sr.
and Frederick Reese to Citibank, N .A. by assignment dated June 250
1984 and recorded in the Suffolk County Clerk' s Office on July 23 ,
1984 in LiberV10234, mp 577 ;
I2. AND another mortgage made by Vector Real Estate Corp-
oration to Agnes D. McGunnigle in the sum of $70,000.00 called
herein Mortgage "B" dated June 9, 1983 and recorded in the Suffolk
County Clerk' s Office on July 22, 1983 in Liber 9641, mp 288;
WHICH said Mortgage "B" was assigned by Agnes D. McGunnigle
to Citibank, N.A. by assignment dated June 13 , 1984 and recorded, in
the Suffolk County Clerk' s Office on July 23 , 1984 in Liber 10234

3. AND another mortgage made by Stirling cove Associates
to Citibank, N .A. in the sum of $3, 683, 312.00, called herein

WHICH said three (3) Mortgages "A" , "B" and "C" were con-
solidated by Mortgage "C" to form a single lien of $4,000,000.00.

solidated are spread by Spreader Agreement recorded in Liber 10234

AND WHEREAS, the party of the first part, at the request
of the party of the second part, has agreed to give up and surrender
the lands hereinafter described unto the party of the second part,
and to hold and . retain the residue of the mortgaged lands as security
' for the money remaining due on said mortgage .
