WITNESSETH, that whereas letters testamentary were issued to thelparty of the first pari by the Surrogate's'
Court, Suffolk County, New York, on October 11, 1983, and by virtue
of the power and authority given in and by said last will and testament, and/or by Article 11 of the Estates,
Powers and Trusts Law, and in consideration of and pursuant to the Last Will and Testament
of CHARLES S. WITHERSPOON, dated August 6, 1975, dolloss,
paid by the party of the second part, does hereby grant and
release unto the party of the second part, the distributees or successors and assigns of the party of the second
part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected, situate,
lying andbeing3KVft at Horton's Point, near the Village of Southold, in the Town of
Southold, County of Suffolk and State of New York, and being more particularly
bounded and described as follows:
BEGINNING at a monument set at the northerly corner of land
conveyed by Witherspoon to McNerney, said monument being North 410 48' 40" West
240.05 feet from the northwesterly line of Sound View Avenue; running thence along
D(stric said land of McNerney, South 31° 46' West 265.07 feet to lot no. 12 shown on map
XBloof "Northwood Estates" filed in Suffolk County Clerk's Office as Map No. 5675;
thence along said lot 12, North 40° 52' 20" West 205.69 feet to the easterly line
of a certain 20 foot right of way; thence along said right of way, two courses:
1) North 20° 09' East 1.21 M eet; thence
2) North 19° 13' 20" East 60.1 feet to a monument and land
now or formerly of Howard; thence along said land of Howard, South 55° 16' 40"
East 243.77 feet to the point of BEGINNING. Containing 51,968 square feet.
TOGETHER WITH a right of way 20 feet in width along the westerly line
of the premises and extending southerly about 275 feet to another right of way
running southeasterly to Sound View Avenue.

AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been incumbered in any way whatever, except as aforesaid.
Subject to the trust fund provisions of section thirteen of the Lien Law.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so requires.
