SUBJECT TO all restrictions, covenants and condi-
tions set forth in the Ground Lease Agreement (the "Lease" ) ,
vd3813 dated as of December 17 , 1990, between Grantor, as lessor,
and Grantee, as lessee, a Memorandum of Lease with respect to
the Lease having been recorded in the Office of the Clerk of
the County of Suffolk, State of New York, in Liber 11243 at
Page 276, on April 5, 1991, and amended pursuant to Amendment
to Ground Lease Agreement dated as of March 26 , 1991; all
such restrictions, covenants and easements set forth in the
Lease to apply to and bind Grantee, its heirs, successors and
assigns; and
SUBJECT TO the Declaration of Covenants and Re-
strictions recorded in the Office of the Clerk of the County
a of Suffolk, State of New York, in Liber 10969 at Page 329 on
November 20, 1989 (the "Declaration" ) ; and
SUBJECT TO the covenants and restrictions set forth
on Filed Map No. 8871; and
SUBJECT TO the Intercreditor, Leasehold Recognition
and Security Agreement, to which Grantee is a party, dated as
