BTHIS INDENTURE, made the r7 day of
nineteen hundred and seventy-seven between
FISH9RS ISLAND DEVELOPMENT CORPORATION, a corporation
organized under the laws of the State of New York, with
its principal place of business c/o Morgan Stanley & Co. ,
Inc. 1251 Avenue of the Americas, in the City, County
and State of New York, hereinafter called the grantor ,
party of the first part, and ELIOT H. PORTER
