WITNESSETH :

WHEREAS the party of the first part is in process
u of dissolution pursuant to the provisions of Section 1001 of
1! the Business Corporation Law of the State of New York and
! proposes to distribute all of its assets including the
premises hereinafter described to Jansen Noyes, Jr. , party of
the second part herein, being a creditor of the party of the

first part and the owner and holder of all of the issued and

outstanding capital stock of the party of the first part;
NOW, THEREFORE, in consideration of the premises and

as a distribution of assets referred to above, the party of
the first part does hereby grant and release unto the party
of the second part, his heirs and assigns forever,
ALL that certain plot, piece or parcel of land, with
the buildings and improvements thereon erected, situate, lying
and being at Fishers Island, Town of Southold, County of
Suffolk, and State of New York, being bounded and described as
follows:
BEGINNING at a stone monument set on the southerly
side of a road 40 feet wide, said monument being
3959 . 76 feet south of a point which is 3360.06 feet
West of another monument marking the U.S. Coast and
a, Geodetic Survey Triangulation Station "NIN" (which
said "NIN" monument is located near the western end
of a ridge overlooking the south shore of Fishers
Island and on the highest point between Chocomount
and Mount Prospect and lies south 45 degrees 17
minutes 26 seconds East of North Dumpling Light in
Fishers Island Sound) , and;

running thence South 34 degrees 40 minutes 10 seconds
East 222 . 62 feet to the shore of Block Island Sound;
running thence with the meanders of said Sound, South
68 degrees 35 minutes 10 seconds West, 202. 49 feet,
South 55 degrees 43 minutes 10 seconds West 86. 68
feet and South 45 degrees 48 minutes 40 seconds West
217. 38 feet to land of the United States of America;
running thence North 45 degrees 25 minutes 00 seconds
�! West, 156 . 78 feet to a drill hole in a boulder on the

running thence Northwardly, along the Easterly side
of said road (and following the arc of a curve to the
left whose radius is 208. 30 feet and the direction of
whose radius at that point is North 60 degrees 16
minutes 20 seconds West) a distance of 47. 10 feet;
running thence still along the Easterly side of said
road, North 16 degrees 46 minutes 20 seconds East
1 84. 27 feet to a point of curve to the right whose
radius is 238 . 82 feet and the direction of whose
radius at that point is South 73 degrees 13 minutes
40 seconds East; and
running thence Northeastwardly along the Southeasterly
side of said road (and following the arc of said curve)
- a distance of 231. 09 feet;

North 72 degrees 12 minutes 50 seconds East, 212 . 61
feet to the monument set at the point or place of
beginning, and containing 2 . 69 acres , more or less .
TOGETHER WITH a right of way over and along the private
road in front of and adjoining the above described
premises on the North, leading from the northwesterly
corner of said premises out to Oriental Avenue, for
the purpose of ingress and egress by foot or vehicle
and for the purpose of installing and maintaining in,
3 over and along said right of way, public service
utilities, said right of way being a right of way 40
feet in width for road purposes leading from Oriental
Avenue to and along land now or formerly of Bliss B.
Clark, said right of way begins on the Southeasterly
side of the main road leading to the East End of
Fishers Island near the Northeasterly corner of land
