running North 24 degrees 40 minutes West 17.1, 4 feet to an iron pipe;
THENCE North 27 degrees 39 minutes West 33. 26 feet to a monument;
THENCE North 62 degrees 21 minutes East 106. 05 feet to a point;
THENCE South 22 degrees 47 minutes East 214, 04 feet;
THENCE South 67 degrees 13 minutes West 100. 0 feet to the point of BEGINNING.

TOGETHER WITH the appurtenances and all the estate and rights of the grantorin

Race Point Corp. , its successors or assigns, owners of said roadways or strips of

Corp. , its owners or assigns:
1. A roadway 15 feet in width, the center line of which is described as follows;,

point being located 87. 19 feet South of a point which is 5535. 35 feet West of said
"PROS" monument and thence running North 67 degrees 13 minutes East 606 feet;
thence North 61 degrees 43 minutes East about 97 feet; thence North-67 degrees 13.
minutes East about 431 feet to the Southwesterly line of land of the Board of
Education, Fishers Island Union Free School District No. 4,
' 2. -A roadway 12 feet in width, the center line of which is described as follows:
BEGINNING at a point on the Northeasterly line of Winthrop Drive, said point being
located 26."01feet South of a point which is 5564. 10 feet West of :said "PROS"
monument and thence running North 67 degrees 46 minutes East 380 feet to the Centel
line; described as the last course, of the roadway described in paragraph 3, below.
3. A road'way'12 feet in width, the center line of which is described as follows:
BEGINNING at a point on the Westerly line of land of the Board of Education, Fisher:
Island Union Free School District No, 4, said point being located 439. 20 feet North
of a point which is 4690. 16 feet West of said "PROS" monument and thence running
South 62 degrees 21 minutes West about 609 feet; thence South 27 degrees 39 minutes
East about 105 feet to the center line of the roadway described in paragraph 1, above.
SUBJECT TO the right of Race Point Corp. , its -successors or assigns, owners of-
said roadways and strips of land and owners of property whose land is situated on-the
Southeasterly side of Winthrop Drive and which was formerly owned by Race Point
Corp. , its successors or assigns, to use said roadways and strips of land comprisin
a portion of the Premises for purposes of.ingress to and egress from their respectiv
properties, as aforesaid.
TO HAVE AND TO HOLD the Premises herein granted unto the grantee, the heirs or
successors and assigns of the grantee forever,
The Premises are conveyed subject to the following conditions, restrictions and,
covenants:
(a) The premises shall-be used for single or multiple family residential purposes
only and no building, outbuilding or structure shall be erected within five.(5) feet of
any boundary of the Premises;
(b) Easements for existing water pipes, sewer drains and pipes, electrical lines
and facilities and telephone lines and facilities and the rights of third parties to use,
maintain, repair and replace (as the case may be) said pipes, drains, lines and
facilities which Race Point Corp. , its successors or assigns, hereby reserves;
(c) State of facts an accurate survey would show;
(d) Agreements, covenants, conditions, consents, restrictions, reservations and
rights of way, if any, of record,
(e) Grantee covenants and agrees with Race Point Corp. , its successors or assigns
that:
(1) Prior to any transfer of the Premises or any portion thereof by Grantee for a
consideration, grantee shall notify Race Point Corp. , its successors or assigns, of
grantee's intention to do so, identifying the proposed purchaser, specifying the term
and conditions of the transfer and offering to convey the Premises or portion thereof
to be sold to Race Point Corp. , its successors or assigns, on the same terms and
conditions, within 30 days after receipt by Race Point Corp. , its successors or
assigns, Race Point Corp. , its successors or assigns, may elect to purchase the
Premises or portion thereof to be sold on said terms and conditions, and upon
receipt of notice of such election, grantee shall convey the Premises or portion
thereof to be sold to Race Point Corp, , its successors or assigns, as hereinafter
provided. If Race Point Corp. , its successors or assigns, shall not elect so to
purchasethe Premises or portion thereof to be sold, grantee shall be free to convey
the same to the proposed purchaser identified in said.notice on the same terms and
conditions specified therein, provided that such conveyance shall take place within
90 days after the earlier of (1) the expiration of the above-mentioned,30 day period'
or (2) the date grantee received notice from Race Point Corp. , its successors or
