THIS INDENTURE, made this 80*- dayof June, One
Thousand Nine Hundred and Fifty Five, between REMINGTON RAND
INC. a corporation organized and existing under the laws of
the hate of Delaware, and having a principal office for
doing business at Ao. 315 Fourth Avenue, in the City, County
and State of New York, hereinafter called the Grantor, Par
of the First Part, and SPERRY RAND CORPORATION, a Delaware
corporation, successor to Remington Rand Inc. by consolida-
tion under Agreement of Consolidation dated Aprill2, 1955,
in pursuance of the General Corporation Laws of the State of
Delaware, with a principal office for doing business in the
City of New York, State of New York, the Agreement of Con-
solidation having been filed and recorded on June 30, 1955
in the office of the Recorder of Deeds for New Castle County,
Delaware, hereinafter called the Grantee, Part of the Second
Part:
WITNESSETH, that the Party of the First Part, in
considers on of the-the sum of One Dollar ($1.00) lawful money
of the United States, and other good and valuable considera-
tion, paid by the Party of the Second Part, does hereby grant
and release unto the Party of the Second Part, its successors
and assigns forever,
All those certain lots or parcels of land in
the Town of Southold, Suffolk County, Stateof New
t York, together with the buildings and improvements
thereon, being a part of that portion of Fishers
Island belonging to Fishers Island Estates, Inc.
(which portion is hereinafter called the "Park")
lying easterly of the following line, viz:
BEGINNING at the southeasterly corner of land
owned by the United States, known as the Fort H. G.
Wright Military ►reservation, Mount Prospect Tract,
on the those of Block Island Sound or the Atlantic
Ocean (as said Tract was constituted prior to the
extension thereof by the acquisition of additional
lands in condemnation proceedings instituted in 1942)
and running thence northerly following the. East
boundary of the said tract of land of the United
States (as same as constituted prior to such ex-
tension thereof) to -the southerly line of East End
Road (sometimes called Oriental Avenue) and which
point is the northeasterly corner of said tract of
land of the .United States (as same was constituted
prior to such extension thereof), thence crossing
the East End Road and following the same course as
the last to the shore of West harbor or Fishers
Island Sound;
Said lots or parcels of land being bounded and
described as follows:

Parcel 1
Beginning at a merestone on the Southerly line
of the main arterial road, belonging to Fishers
Island Estates, Inc. , leading to the East end of
the Island, said stone being 1612.08 feet South of
a point which is 3350.12 feet West of a monument
marking the U. S. Coast and Geodetic Triangulation
Station "East End 2" (which said "East End 211monument
is located on the summit of the highest hill East of
East Harbor on Fishers Island, New York) ; and running
thence along the Southerly, Southeasterly and South-
westerly lines of said main arterial road, the fol-
lowing courses and distances: (1) South 81 degrees
39 minutes 10 seconds West 218.02 feet to a point;
(2) thence South 86 degrees 10 minutes 10 seconds
West 179.54 feet to a point; (3) thence South-
westwardly (following the arc of a curve to the left,
whose radius is 425.15 feet and the chord of which is
313.36 feet) a distance of 320.93 feet to a point;
(4) thence South 42 degrees 55 minutes 10 seconds
West 168.45 feet to a point; (F) thence southwest-
wardly and Northwestwardly (following the are of a
curve to the right, whose radius is 205.47 feet and
the chord of which is 274.09 feet) a distance of
300.04 feet to a point; and (6) thence North 53
degrees 24 minutes 50 seconds 4est 150.52 feet to a
point which is located 1849.15 feet South of a point,
which is 4536.42 feet West of said monument "East
End 211; thence along other lands of Fishers Island
Estates Inc. South 34 degrees 37 minutes 50 seconds
East 241.70 feet to a point at the high water mark
on the shore of Block Island Sound; thence with the
meanders of said Sound, following along the high
water mark thereof, (a) North 82 degrees 51 minutes
10 seconds East 152.83 feet; (b) South 60 degrees
47 minutes 50 seconds East 114.87 feet; (c) South 78
degrees 56 minutes 50 seconds East 240.94 feet• (d)
South 19 degrees 57 minutes 45 seconds East 54. 52 feet;
(6) North 39 degrees 04 minutes 10 seconds East
253.83 feet; and (f) North 24 degrees 47 minutes 10
seconds East 669,67 feet to a point; thence leaving
said high water mark and along other lands of Fishers
Islands Estates, Inc. North 15 degrees 53 minutes 50

containing eleven and ninety-two one-hundredths acres,

Parcel 2
Beginning at a merestone on the Northerly side
of the main arterial road, belonging to Fishers
Island Estates, Inc. , leading to the East end of
Fishers Island, said stone being 1582.92 feet South
of a point which is 3495.82 feet vilest of a monument
marking the U. S. Coast and Geodetic Triangulation
Station "East End 2" (which said "East End 2" monument
is located on the summit of the highest hill East of
East Harbor on Fishers Island, New York) ; running
thence :long the Northerly line of said main arterial
road the following courses and distances: (1) South
81 degrees 39 minutes 10 seconds lest 76.12 feet to
a point; and (2) thence South 86 degrees 10 minutes
10 seconds west 173.88 feet to a point; thence along
other lands of Fishers Island Estates, Inc. , the
following courses and distances: (a) North 3 degrees
49 minu,es 50 seconds west 128.40 feet; (b) thence
North 63 degrees 26 minutes 50 seconds East 251.95
feet; and (c) thence South 08 degrees 20 minutes 50
seconds East 220.40 feet to the point of beginning;
containing one acre, more or less;
Parcel 3
Beginning at a point at high water mark on the
Southerly shore of East Harbor, so called, near the
Club Dock, said point being 287. 1.1 feet South of a
point which is 3428.79 feet lest of a monument marking
the U. S. Coast and Geodetic Triangulation Station
"East End 2" (which said "East End 2" monument is
located on the summit of the hiehest hill East of
East Harbor on _ishers Island, New York) ; running
thence along other lands of Fishers Island Estates,
Inc. , `he following courses and distances: (1)
South 30 degrees 28 minutes 10 seconds West 163.00 feet
to a point; (2) thence North 58 degrees 59 minutes 50
seconds West 84.20 feet to a point; (3) thence South
62 degrees 40 minutes 10 seconds West 179.20 feet to
a point; (4) thence North 86 degrees 40 minutes 50
seconds nest 62.08 feet to a point at the high water
mark on the shore of East Harbor of Long Island Sound;
thence with the meanders of said East Harbor following
along the high water mark thereof, (a) North 22 degrees
15 minutes 50 seconds '.,'est 116. 54 feet; (b) South 79
degrees 03 minutes 50 seconds East 146.54 feet; (c)
North 41 degrees 57 minutes 30 seconds East 189.85
feet; and (d) South 73 degrees 05 minutes 50 seconds
East 156.12 feet to the point of beginning; containing
ninety-three one-hundredths of an acre, more or less;
RESERVING to Fishers Island Estates, Inc. , its
successors and assigns, from the grant of the premises
hereby conveyed an easement in perpetuity for the opera-
tion and maintenance of the transformer vault now locate
upon said Parcel 3 and the existing Dipe lines and
conduits and other equipment and facilities of the
power and telephone lines leading to such vault and
leading therefrom to the Club Dock and for the opera-
tion and maintenance of the existing ripe lines or

conduits as now located under the surface of said
Parcel 3, running through or across said Parcel 3
for existing water lines leading to the Club Dock;
provided, however, that whenever the surface of the
ground shall be distrubed by the Fishers Island
Estates, Inc. , its successors or assigns, for the
purpose of repairing any such pipe line or conduit
it shall become the duty of Fishers Island estates,
Inc. , its successors or assigns, forthwith, at its
or their own expense to repair or restore the
surface of the ground so disturbed to substantially
the same condition as shall have existed before the
time of such disturbance;
Parcel 4
Beginning at a point at the high water mark on
the Southerly shore of East Harbor so called, near
the Club Dock, said point being, 296.23 feet South of a
point which is 3412.98 feet West of a monument marking
the U.S. Coast and Geodetic Triangulation Station
"East End 2" (which said "East End 2" monument is
located on the summit of the highest hill East of East
Harbor on Fishers Island, New York) ; running thence
along other lands of Fishers Island Estates, Inc. ,
the following courses and distances: (1) South 22
degrees 31 minutes West 61. 50 feet to a point; (2)
thence South 11 degrees 24 minutes East 101.80 feet
to a point; (3) thence South 19 degrees 14 minutes
East 65.95 feet to a point; (4) thence South 48
degrees 14 minutes East 65.95 feet to a point; ( 5)
thence South 68 degrees 23 minutes East 145.80 feet to
a point; (6) thence South 55 degrees 56 minutes East
142.90 feet to a point; (7) thence South 42 degrees 29
minutes East 230.00 feet to a point; and (8) thence
South 49 degrees 09 minutes East 76.80 feet to a
point which is located 914.64 feet South of a point
which is 2878.14 feet west of said "East End 2" monu-
ment; thence along lands of the U. S. Coast Guard
North 24 degrees 49 minutes West 402.31 feet to an
iron pin in a large boulder, at the high water mark on
the shore of East Harbor; thence with the meanders of
said East Harbor and following along the high water
mark thereof, (a) South 86 degrees 46 minutes West
178.70 feet; (b) North 65 degrees 37 minutes West
164. 55 feet; and (c) North 11 degrees 01 minute West
197.02 feet to the point of beginning; containing one
and sixteen one-hundredths acres, more or less;
Parcel
Beginning at a merestone located at a point which
is 1356.94 feet North of a point which is 1074.14
feet Nest of a monument marking the U. S. Coast and
Geodetic Triangulation Station "East End 2" (which
said "East End 2" monument is located on the summit
of the highest hill East of East Harbor on Fishers
Island, New York) and running thence along lands now
or formerly of Curtis W. McGraw South 63 degrees 31
minutes 10 seconds vest 186.83 �eet to a point; and

thence along oz.her lands of Fishers Island Estates,
Inc. , the 'ollowing three courses and distances:
(1 South 06 degrees 39 ninu ,es 40 seconds East
154.00 feet to a point; (2) thence North 64 degrees
17 minutes 30 seconds East 210.64 feet to a point;
and (3) thence North 15 degrees 35 minutes 30 seconds
Nest 150.40 feet to the point of beginning; containing
sixty-seven hundredths of an acre, more or less;

of electricity for light, heat, telephone and
other purposes, and for the construction, opera-
tion and maintenance of pipe lines or conduits
under the surface of said reservation for ary law-
ful purpose whatsoever, but Fishers Island Estates,
Inc. shall have the right to release the premises
hereby conveyed from these particular easements and
rights of way; provided, however, that whenever the
surface of the ground shall be distrubed by Fishers
Island Estates, Inc., its successors or assigns,
for the purpose of constructing or repairing any
such pole line, pipe line or conduit, it shall be-
come the duty of Fishers Island Estates, Inc., its
successors or assigns, forthwith, at its or their
own expense, to repair or restore the surface of
the ground so disturbed to substantially the same
condition as shall have existed before the time of
such disturbance;
TOGETHER with an easement to the Grantee, its
successors and assigns, appurtenant to all parcels
above described, for ingress to and egress from
the respective parcel in each case hereby conveyed
over and along such private roads of the party of
the first part as now or may hereafter exist, con-
necting the respective parcel with the public high-
way; provided, however, that Fishers Island Estates,
Inc. hereby reserves the right to change the loca-
tion, route or grade of said roads from time to
time, provided that such change shall not encroach
upon any part of the premises hereby conveyed and
shall not prevent adequate access to the premises
hereby conveyed.
Said premises are conveyed subject to certain
covenants and agreements fully set forth in a deed
from Fishers Island Estates, Inc. to the Releasor
! dated the 20th day of September, 1948 and recorded
In the office of the Clerk of the County of Suffolk
and State of New York in Liber 2876 on pages 403
to 414 inclusive.
Also, all that certain piece, parcel or tract
of land, together with the buildings and improve-
ments thereon, situated at Fishers Island in the
Town of Southold, County of Suffolk and State of
New York, bounded and described as follows:
Beginning at a merestone on the southeasterly
line of Crescent Avenue, said point being 2491.76
feet north of a point which is 1837.13 feet west
from U, S. Coast and Geodetic Triangulation Sta-
tion "PROS"; thence running north 500 Ol' 40" east a
distance of 35.06 feet to a merestone; thence north
209 061 40" east 54.94 feet, these two lines abut-

ting northwesterly on Crescent Avenue; thence
running South 650 081 00" east a distance of
143.86 feet; thence south 210 10t 00" west 90.0 feet to
a merestone; thence north 630 58' 00" west 160.0
feet to the point of beginning, these last three
lines abutting northeasterly, southeasterly and
southwesterly on remaining land of Albert Romania
and Juliett Romania; containing .31 acres, more or
less.
The premises are conveyed together with all
rights of way, easements and privileges appurtenant
thereto.
Also, all those four certain pieces, parcels
or tracts of land, together with the buildings and
improvements thereon situated in the Town of South-
old, County of Suffolk and State of New York, which
said four pieces, parcels or tracts of land are
fully and particularly described in a certain deed
from John S. Ellsworth, Jr., as Successor Trustee
under the Will of Lemuel S. Ellsworth, late of the
Town of Simsbury, County of Hartford and State of
Connecticut, deceased, to Henry E. and John S.
Ellsworth, dated January 12, 1942 and recorded in
the office of the Clerk of Suffolk County in the
State of New York in Liber 2218 of Deeds at Page
4416, at seq.; together with all rights of way,
easements and privileges appurtenant to said prem-
ises and all the estate and rights of the Party
of the First Part in and to said premises.
Said premises are conveyed subject to all the
easements, conditions, reservations and restric-
tions affecting said premises as fully set forth
in two certain deeds from Fishers Island Corporation
to Annie E. Schultz, Trustee under the Will of
Lemuel S. Ellsworth, one of which deeds is dated
May 20, 1929 and recorded in the office of the
Clerk of said Suffolk County in Liber 1439 of Deeds,
at Page 398, and the other of which deeds is dated
August 1, 1930 and recorded in said office in Liber
1521 of deeds, at Page 223, to which deeds reference
is hereby made for a statement of the easements,
conditions, reservations and restrictions affecting
the above described premises.
The hereinbefore described premises are con-
veyed together with any and all rights, privileges
and easements appurtenant thereto.
EXCEPTING HOWEVER, from the hereinbefore des-
cribed premises so much thereof as may have been
sold and conveyed by the Grantor prior to the date
hereof.
