Dear Board Members:
Sy order of Neil Rego, and for the account of same, we hereby establish this
Irrevocable Letter of Credit in your favor up to the aggregate amount of
Twenty Thousand Dollars and NO/100 ($20,000.00) U.S. Dollars available by your
drafts at sight accompanied by this Original Letter of Credit and:
A copy of the Resolution of the Town Soard, purportedly certified
by the Town Clerk, which indicates:
"Neil Rego has failed to complete all of the improvements to
be completed by Neil Rego with regard to a subdivision map
entitled "Chardonnay Woods," heretofore approved by the
Planning Board of the Town of Southold on January lS, 19S9
and that as a result of said failure, there is due and owing
an amount equal to the face amount of our attached draft.
We further certify that the amount drawn hereunder is for
the sole purpose of completing those items of improvements
which were to have been completed by Neil Rega.1I
This Letter of Credit remains in force in Southold,' New York and must be
presented for payment at our counters at g025 Route 25, Mattituck, NY not
later than April 2, 1997 and all drafts drawn thereunder must be negotiated on
or before that date. It is a condition of this Letter of Credit that it will
expire April 2, 1997.
Partial drawings under this Letter of Credit are permitted.
Each draft must state that it is "Drawn under Letter of C:redit #3330096007 of
North Fork Bank dated April 3, 1996" and the amount endorsed on this Letter of
Credit.
We hereby agree with the Drawers, endorses and bqna fide holders of drafts
drawn under and in compliance with the terms of this Letter of Credit that
such drafts will be duly honored upon presentation to the d:rawee.
Except so far as otherwise expressly stated, this Letter of Credit is subject
to the Uniform Customs and practice for Documentary Credits (lgS3 Revision),
International Chamber of Commerce Publication #400.
This Letter of Credit replaces and supersedes North Fork Sank Letter of Credit
#3330gS012 in the amount of $20,000.00 dated March 14, 1995 and which expires
April 2, 1996.

Dear Mrs. Terry:
The following resolution was adopted by the Southold Town Planning
Board at a meeting held on Monday, March 31, 1997:
WHEREAS, the Town Board is hOlding a Letter of Credit in the amount of
$20,000.00 as a performance bond for roads and improvements in the
above mentioned subdivision; and
WHEREAS, the Planning Board has received a letter from Peter De Nicola,
President of the Chardonnay Woods Homeowner's Association, which has
been signed by a majority of the lot owners; and
WHEREAS, the above mentioned letter notes that the Homeowner's
Association does not want the street lights installed which are included as
part of the subdivision improvements; and
WHEREAS, the letter further notes that should the need for such lighting
ever arise that the Association accepts the responsibility for such
installation; and
WHEREAS, the Planning Board has decided to waive the requirement that
the street lights be installed prior to the release of the Letter of Credit with
the understanding that should the Chardonnay Woods Homeowner's
Association, or any lot owner within the Chardonnay Woods subdivision,
wish to have street lights installed within the subdivision, that the
installation of such lights shall be the responsibility of the Chardonnay
Woods Homeowner's Association, and shall not be the responsibility of the
Town;
BE IT RESOLVED that the Planning Board recommend to the Town Board
that the Letter of Credit in the amount of $20,000 for the subdivision of
Chardonnay Woods be released. All improvements have been
completed in a satisfactory manner.

Dear Supervisor Cochran:
Please see the attached copy of my Narch 18, 1996 letter to you
regarding the Chardonnay Woods Subdivision in Southold. Here we
are 12 months later and Chardonnay Woods is still without Highway
Department service.
Melissa Spiro of the Planning Board has been very helpful in
prodding (and I do mean prodding!) the developer to finish the
subdivision's public works. By late last Fall, we had a working
fire well and we had street signs. Unfortunately, the developer
has yet to file the necessary paper work for dedication of the
roads.
We are 12 families paying about $45,000 annually in property
taxes listening to the plows and sanding trucks going by on
Soundview Avenue past the entrance to Chardonnay Woods. I can't
speak for my neighbors but I can tell you that my family is
disappointed in the Town's handling of this.

force the developer to complete the subdivision's "public works",
I think this would be a mistake for the following reasons:
I, The developer did not dedicate the road area to the
Homeowners' ^,,,;ocl.a I: 1011. This property is still, to my
knowledge, in his name,
2, I believe it milS the the Town negotiating with the
developer, E.'Jr the homeowners to do the negotiating
would be like citizens of Southold having the authority
and responsiL>U ity to force property owners who do not
pay their real estate taxes to pay their taxes. I think
you will agree .Ii.th me that the Town rightly must be the
enforcer in tilese sll:uiltions and can not delegate its
responsibili t y,
I think this is eXAcerbated in the Chardonnay Woods case
when the Planninq fJoArd's decision to'lower the
developer's bond by :;;~/.,OOO in 1993 is compared to the

Town's discovety of " "too sh'J~t" road in 1995. The
homeowners should not be asked to negotiatp. with the
developer when Lher.e is a Tawil error "on the table".
So I am formally requesl:ing that the Planning Board act to
require completion of Lh~ Chardonnay Woods Subdivision "public
works" by the developer within a reasonable (3 months?) time
period.
I would also like to stJqlJ~st that the Town's Planning Policy be
changed so that future subdivisions require completion of
required "public works" by the time a specified number of lots
(25\, 50\) 'have been developed.

The performance guarantee for the subdivision of Chardonnay Woods (I rrevocable
Letter of Credit #333095012 with the North Fork Bank & Trust Co.) is due to expire on
April 2, 1996.
Since the improvements have not been completed, you must extend the guarantee for
at least another year. An extension of this guarantee must be submitted to this office
before the expiration date.
Due to the timing of the Town Board's meetings, if the extension is not received by
Noon of March 18, 1996, there will be a resolution before the Town Board at it's April
2, 1996 meeting to authorize the Town to draw on the Letter of Credit if the extension
is not received by Noon of April 1, 1996.
As noted in my letter of March 2, 1995, the Planning Board awaits notification from the
Fire Department that the fire well is in working order. In addition, as noted in my letter
of March 2, 1995, it appears that Chardonnay Drive terminates before the easterly
property line with the land now or formally of Frank and Walter Sawicki.

amount of TWENTY THOUSAND AND NO/100 ($20,000.00) U.S. Dollars
available by your drafts at sight accompanied by this original
Letter of Credit and:
A copy of a Resolution of the Town Board, purportedly
certified by the Town Clerk, which indicates:
"Neil Rego has failed to complete all of the improvements to be
completed by Neil Rego with regard to a subdivision map entitled
"Map of Chardonnay Woods", heretofore approved by the Planning
Board of the Town of Southold on January 18, 1989 and that as a
result of said failure, there is due and owing an amount equal to

Irrevocable Letter of Credit in your favor up to the aggregate amount of Three
Hundred and Fifty Thousand and NO/I00 ($350,000.00) U.S. Dollars available by your
drafts at sight accompanied by this Original Letter of Credit and:
A purported copy of a Resolution of the Town Board, purportedly
certified by the Town Clerk, which indicates:
"Neil Rego has failed to complete all of the improvements to be completed by Neil
Rego with regard to a subdivision map entitled 'Map of Chardonnay Woods", heretofore
approved by the Planning Board of the Town of Southold on January 18, 1989 and that
as a result of said failure, there is due and owing an amount equal to the face
amount of our attached draft. We further certify that the amount drawn hereunder is
for the sole purpose of completing those items of improvements which were to have
been completed by Neil Rego."
This Letter of Credit remains in force in Southold, New York and must be presented
for payment at our counters at 9025 Route 25, Mattituck, NY not later than April 27,
1991 and all drafts drawn thereunder must be negotiated on or before that date.
It is a condition of this Letter of Credit that it will expire April 27, 1991.
Partial drawings under this Letter of Credit are permitted.
Each draft must state that it is "Drawn under Letter of Credit #M-90038 of The North
Fork Bank & Trust Company dated April 27, 1990" and the amount endorsed on this

The following resolution was adopted by the Southo1d Town
Planning Board at the meeting held on Monday, February 24, 1992:
BE IT RESOLVED to adopt a reduced bond estimate of forty
two thousand ($42,000) dollars and to recommend same to the Town
Board. The original bond estimate was in the amount of three
hundred fifty thousand ($350,000) dollars. The reduced amount
will cover the outstanding work to be completed: which consists
of the installation of street lights, the fire well and the
proper quantity and type of street trees.
This reduced bond estimate is to take the place of any
previous bond estimate adopted by the Town Board for this
subdivision.

dollars and to recommend approval of same by the Town Board.
There are two Letters of Credit for the above mentioned
subdivision, totalling $442,685.00. Both Letters of Credit were
accepted by the Town Board. The Letter of Credits will expire
on April 20, 1990. Inasmuch as substantial work has been
completed on the subdivision the Board recommends a reduction in
the Letter of Credit.
The Planning Board has requested that the applicant submit
a Letter of Credit for the above mentioned amount prior to April
20, 1990.

The following action was taken by the Southold Town
Planning Board on Monday, July 10, 1989.
RESOLVED that the Southold Town Planning Board recommend to
the Town Board that they adopt the revised bond estimate of
$442,685.00.
The Town Board adopted a previous bond estimate for the
amount of $402,280.00 on January 10, 1989, thus the applicant
must post a Letter of Credit, or its equivalent, for the
additional amount of $39,305.00. The Letter of Credit, or its
equivalent must be posted for a minimum of one year. The payment
of $1,965.00 is also necessary for the additional inspection fee.

By order of Neil RegO, and for account of same, we hereby establish this
Irrevocable Letter of Credit in your favor up to the aggregate amount of Four
Hundred Three Thousand Three Hundred Eighty ( $403 , 380.00) U. S. Dollars
available by your drafts at sight accompanied by:
A certified copy of the Resolution of the Town Board,
certified by the Town Clerk, which indicates:
"Neil Rego has failed to complete all of the improvements to be completed by
Neil Rego with regard to a subdivision map entitled "Map of Chardonnay Woods",
heretofore approved by the Planning Board of the Town of Southold on January
18, 1989 and that as a result of said failure, there is due and owing an amount
equal to the face amount of our attached draft. We further certify that the
amount drawn hereunder is for the sole purpose of completing those items of
improvement which were to have been completed by Neil Rego."
This Letter of Credit remains in force in Southold, New York and must be
presented for payment at our counters by the beneficiary not later than April
20, 1990 and all drafts drawn thereunder must be negotiated on or before that
date.
Each draft must state that it is "Drawn Under Letter of Credit #M-89050 of The
North Fork Bank and Trust Company dated April 20, 1989" and the amount endorsed
on this Letter of Credit.
We hereby agree with the Drawers, endorsers and bona fide holders of drafts
drawn under and in compliance with the terms of this Letter of Credit that such
drafts will be duly honored upon presentation to the drawee.
Except so far as otherwise expressly stated, this Letter of Credit is subject
to the Uniform Customs and Practice for Documentary Credits (1983 revision),
International Chamber of Commerce publication #400.

Dear Mr. Rego:
Our records indicate that we have not received a response
to the enclosed letter of June 3, 1991.
To date, the remaining improvements which include
installation of street lights and the fire well, have not been
completed. Accordingly we are asking for your cooperation in
extending the performance guarantee (Irrevocable Letter of
Credit *M-90038) for a specified period during which you
anticipate being able to complete the work.
If we do not receive a response to this inquiry within ten
business days of the date of receipt, this matter will have to
be turned over to the Town Attorney's office for further action.
If you have any questions, please do not hesitate to
contact the office.

#M-90038) for Chardonnay Woods expired April 27, 1991. With
this letter, we are requesting that the guarantee be extended
because the construction of public improvements has not been
completed.
The extension must be received by June 17, 1991.

Letter of Credit #M-90038
Dear Board Members:
By ordp.r of Neil Rego, and for the account of same, we hereby establish this
Irrevocable Letter of Credit in your favor up to the aggregate amount of Three
Hundred and Fifty Thousand and NO/I00 ($350,000.00) U.S. Dollars available by your
drafts at sight accompanied by this Original Letter of Credit and:
A purported copy of a Resolution of the Town Board, purportedly
certified by the Town Clerk, which indicates:
"Neil Rego has failed to complete all of the improvements to be completed by Neil
Rego with regard to a subdivision map entitled 'Map of Chardonnay Woods", heretofore
approved by the Planning Board of the Town of Southold on January 18, 1989 and that
as a result of said failure, there is due and owing an amount equal to the face
amount of our attached draft. We further certify that the amount drawn hereunder is
for the sole purpose of completing those items of improvements which were to have
been completed by Neil Rego."
This Letter of Credit remains in force in Southold, New York and must be presented
for payment at our counters at 9025 Route 25, Mattituck, NY not later than April 27,
1991 and all drafts drawn thereunder must be negotiated on or before that date.
It is a condition of this Letter of Credit that it will expire April 27, 1991.
Partial drawings under this Letter of Credit are permitted.
Each draft must state that it is "Drawn under Letter of Credit #M-90038 of The North
Fork Bank & Trust Company dated April 27, 1990" and the amount endorsed on this
Letter of Credit.
We hereby agree with the Drawers, endorses and bona fide holders of drafts drawn
under and in compliance with the terms of this Letter of Credit that such drafts
will be duly honored upon presentation to the drawee.
Except so far as otherwise expressly stated, this credit is subject to the Uniform
Customs and Practice for Documentary Credits (1983 Revision), International Chamber
of Commerce Publication No. 400."
