Dear Mrs. Terry:
The Irrevocable Letter of Credit in the amount of $10,000.00 for the above
mentioned subdivision is due to expire on December 7, 1996.
The Planning Board was holding the Performance Guarantee until such time
that the one remaining improvement item, the installation of the firewell,
was completed. On December 2, 1996, the Planning Board received
notification from the Southold Fire District that a firewell was no longer
required for the Wild Oats subdivision. Therefore, the Planning Board is
in favor of releasing the Performance Guarantee for the subdivision.
Due to the fact that neither the Planning Board nor the Town Board will
be meeting prior to the expiration date, I am sending you this letter as
notification that the Planning Board is recommending that the above
mentioned Letter of Credit be released.

SOUTHOLD TOWN BOARD AT A REGULAR MEETING HELD ON OCTOBER 6, 1992:
RESOLVED that the Town Board of the Town of Southold hereby accepts
a $35,035.00 Letter of Credit from Frank A. Cichanowicz, III for his major
sub division of "Wild Oats", located at Indian Neck Lane, Peconic, which
Letter of Credit is a two (2) month extension to December 7, 1992 of his
current Letter of Credit which expires on October 7, 1992, said extension
all in accordance with the recommendation of the Southold Town Planning
Board.

In a letter dated September 11, 1992, the Planning Board
advised the owner of the above mentioned subdivision that the
current Letter of Credit was due to expire on October 7, 1992,
and that if an extended Letter of Credit was not submitted, the
Town would draw on the Letter of Credit. In response to this
letter, the applicant submitted an extended Letter of Credit.
The extended Letter of Credit is for a two month term,
rather than the usual one year term, and is due to expire on
December 7, 1992. The applicant has completed some of the
improvements, and will be proceeding with additional
improvements prior to December 7th. He has discussed reducing
the Letter of Credit with me and plans to formally request such
a reduction once the additional improvements are completed. In
light of this, the two month extension is acceptable to the
Planning Board.

an aggregate amount of Thirty Five Thousand Thirty Five and 00/100 U.S.
Dollars ($35,035.00) available by your drafts at sight accompanied by:
A certified copy of the resolution of the Town Board,
certified by the Town Clerk which indicates:
"Frank A. Cichanowicz, III has failed to complete all of the improve-
ments to be completed by Frank A. Cichanowicz with regard to a subdivision
- map entitled "Wild Oats", heretofore approved by the Planning Board of the
Town of Southold on October 5, 1989, and as a result of said failure, there
is due and owing an amount equal to the face amount of our attached draft.
We further certify that the amount drawn hereunder is for the sole purpose
of completing those items of improvements which were to have been completed

This Letter of Credit must be presented for payment by the beneficiary
