SOUTHOLD TOWN BOARD AT A REGULAR MEETING HELD ON JUNE 13, 1995:
RESOLVED that the Town Board of the Town of Southold hereby authorizes
the release of the $50,300 Letter of Credit for Southold Villas, which was
posted as a bond for certain uncompleted items in Phase I, and items in
Phase 2, all in accordance with the recommendation of the Southold Town
Planning Board and Superintendent of Highways Jacobs.

Gentlemen:
By order of Peconic Properties Management Corporation, a New York
corporation having its principal place of business at P.O. Box 1143,
Cutchogue, New York 11935 ("customer") and for account of same, we, The Long
Island Savings Bank, FSB ("Bank"), hereby establish this irrevocable letter
of credit ("Letter of Credit") in your favor in amounts not to exceed an
aggregate of Fifty Thousand Three Hundred and nO/l00 United States Dollars
($50,300.00) ("Credit Amount"), available by your drafts at sight. Any draft
on this Letter of Credit shall be made by presentation to us of a drawing
certificate ("Drawing Certificate") in the form of Exhibit A annexed hereto.
1. Any draft hereunder must be presented before the close of the Bank's
business (3:00 p.m.) on the date which is eighteen months from the date
hereof ("Expiration Date"). This Letter of Credit shall expire at 3:00 p.m.
on the Expiration Date.
2. The Drawing Certificate submitted to the Bank with each draft must:
(1) state that it is, "drawn under Letter of Credit No. 771038 of the Bank
dated April 27, 1993," and (2) set forth the amount endorsed on this Letter
of Credit pursuant to said draft.

3. A draft duly drawn hereunder shall be paid by (a) wire transfer of
immediately available funds to such account as may be specified by you at the
time the draft is presented to us for payment, or (b) such other method of
payment as may be acceptable to you.
4. Presentation of a draft may be made to the Bank at its offices at
201 Old Country Road, Melville, New York 11747-2724, Attention: Commercial
Lending Department, or at any other office of the Bank in the City of New
York or the Counties of Nassau or Suffolk, State of New York, which may be
designated by us in written notice delivered to you prior to presentation of
such draft. If a draft is duly presented to us as of 11:00 a.m. New York
City time, payment thereof shall be made on the same business day as the date
of presentation in the amount set forth in the Drawing Certificate submitted
to the Bank for such draft. If a draft is duly presented to us after 11:00
a.m. on a business day, then payment thereon shall be made in the amount set
forth in the Drawing Certificate for such draft by no later than the
succeeding business day.
5. Multiple drafts may be made hereunder, provided that each draft
shaJ.I pro tanto reduce the Credit Amount.
6. If, on the Expiration Date, the Bank's office designated for
presentation of drafts hereunder is closed or inaccessible by reason of an
act of God, riot, civil unrest, insurrection, war or any other reason, then
timely presentation of drafts may be duly made to us on the day on which such
disruption ends if such day is a business day or on either of the next two
succeeding business days.
7. We hereby agree with the drawers, endorsers, and bona fide holders
of drafts drawn under and in compliance with the terms of this Letter of
Credit that such drafts will be duly honored upon presentation to the Bank as
provided herein.
8. This Letter of Credit shall inure your benefit and to the benefit of
your successors and assigns.
9. Except so far as otherwise expressly stated, this Letter of Credit
is subject to the Uniform CUstoms and Practice for Documentary Credits (1983
Revision), International Chamber of Commerce Publication #400, and any
amendments or subsequent revisions thereof.

10. Upon the earliest of: (a) the payment by us of a draft hereunder
which reduces to zero dollars ($0.00) and thereby extinguishes the Credit
Amount; (b) the surrender to us by you of this Letter of Credit; or (c) 3:00
p.m. on the Expiration Date, this Letter of Credit shall be terminated;
except that any draft duly presented prior to 3:00 p.m. on the Expiration
Date will be paid as otherwise provided herein.
11. Except as provided in a writing executed by you, this Letter of
Credit and our undertaking set forth fully herein shall not be modified or
amended except only by the sight draft(s) referred to herein; and such
reference shall not be deemed to incorporate herein or reference any
document, instrument or agreement except for such duly presented sight

letter of credit ("Letter of Credit"), issued by you for the account of the
Peconic Properties Management Corporation, a New York corporation having an
office at P.O. Bcx 1143, Cutchogue, New York 11935 ("Customer"), in an
aggregate amount of drafts not to exceed fifty thousand three hundered and
nO/lOO United States Dollars ($50,300) ("Credit Amount"), and in connection
with a transaction involving the Beneficiary and the Customer to which the
Letter of Credit relates, the Beneficiary is entitled to receive payment from
the Customer. Beneficiary hereby certifies to you that: (1) it is the
Beneficiary of the Letter of Credit; (2) the Beneficiary hereby demands that
you make payment to it of $ in United States dollars
("Demand Amount") on presentation hereof pursuant to the Letter of Credit;
(3) the Demand Amount is drawn under Letter of Credit #771038 of the Bank
dated April 27, 1993; (4) the Customer is obligated to pay to Beneficiary the
Demand Amount due to its failure to complete all or part of the site
improvements in connection with the Southold Villas Project to be completed
pursuant to a certain Grant Agreement between the Town of Southold and the
New York State Affordable Housing Corporation, and a certain Building Loan
Agreement between Customer and The Long Island Savings Bank, FSB; (5) the
aggregate of (a) the Demand Amount endorsed on the Letter of Credit pursuant
to this draft and (b) the total amount of monies paid to Beneficiary by the
Bank to date pursuant to any other drafts under the Letter of Credit does not
exceed the Credit Amount; (6) the amount drawn hereunder is for the sole
purpose of completing those site improvements which were to have been
completed by Peconic Properties Management Corporation.

Dear Ray:
As pe r you r request, I have conduct ed a f i na 1 inspect i on of
t he above referenced subd i vis i on. The rema in i ng const ruct ion items
required for completion of the road system within this subdivision
have been completed.
The Street Lights have been installed and only require the
final connections to be made by L.I.L.C.O. The Street Trees that
the Planning Board wanted moved have been relocated accordingly and
the sidewalks have been installed to meet the minimum requirements
of the Town Code. The areas on both sides of the new sidewalk have
been graded and re-seeded. The flow line between the curbing and
the asphalt pa~ement has been treated with a herbicide to kill the
grass that has started to grow.

The performance guarantee for the subdivision of Southold Villas - Sections 1 & 2
(Irrevocable Letter of Credit # 771038 with The Long Island Savings Bank) is due to
expire on October 27, 1994.
Since the improvements have not been completed, you must extend the guarantee for at
least another year. An extension of this guarantee must be submitted to this office
before the expiration date.
Due to the timing of the Town Board's meetings, if the extension is not received by
Noon of October 17, 1994, there will be a resolution before the Town Board on
October 18,1994, to authorize the Town to draw on the Letter of Credit if the
extension is not received by Noon of October 26, 1994.

Villas Affordable Housing Project which is replaced by the $50,300.00 Letter

The following resolution was adopted by the Southold Town
planning Board at a meeting held on Monday, March 1, 1993:
Be it RESOLVED to recommend to the Town Board that the
$358,000.00 Letter of Credit submitted by Peconic Properties
Management Corporation for roads and improvements in the
Southold Villas, Phase I Affordable Housing Project be reduced
to include the items listed below, at a total of $15,350.00.
These items are also included in the January 27. 1993 report
from James A. Richter, Engineering Inspector.
The numbers below refer to the item numbers in the Bond
Estimate for Phase I dated December 9, 1991:

This item has not been completed.
Items *14, 15, 16, & 17 - Screen Planting
The actual planting does not reflect that shown on the
Landscape Plan. However, the Planning Board has
conducted a field inspection of the site, and has
accepted the landscaping as planted. Therefore, these
items have been eliminated from the bond estimate.

This item has not been completed
Items numbered 3 and 4 of Mr. Richter's January 27, 1993
report are to be completed. However, it is not necessary that
these be included in the reduced Letter of Credit amount.
It is recommended that the Town Board accept either a
revised Letter of Credit for Phase One in the amount of
$15,350.00, or a new Letter of Credit including both the above
mentioned amount for Phase 1 and the bond estimate amount for
Phase 2. This Letter of Credit would be for a total of
$50,300.00 ($15,350 for Phase 1 and $34,950.00 for Phase 2).

Dear Mr. Jacobs:
I have been asked by the Planning Board to conduct a final
inspection of the "Phase I" road construction within the above
referenced subdivision. For your reference, I have enclosed a
set of my inspection reports for the project. The following is
a list of my comments concerning the work that remains incomplete
in "Phase I" of the project:
1. Landscape Plan / Screen Planting The proposed
plantings shown on the approved landscape plan is different from
the actual plantings done in the field. It is my understanding
that the Planning Board has authorized changes and/or
modifications to this plan. I would recommend that someone from
the Planning Board, with the authority to approve changes, ~
inspect the site for compliance with the Town requirements. /
2. Sidewalk - The proposed sidewalk along Jasmine Lane has v
not been installed.
3. Topsoil & Seed - The road end off of Blossom Lane will
require additional topsoil and seed. An estimate of ten yards
will be required at this location. All other remaining road
shoulder locations, excluding the area designated for sidewalk,
have been adequately seeded.
4. Block Curbing - Two pieces of block curbing located in
the Cul-de-Sac of Apple Court have broken loose. The block will
need to be re-grouted into place. The remaining curb
installations are adequate.
5.. Street Lights - The three Street Lights listed in the
bond estimates have not been installed.
With the exclusion of the above referenced items, all work
scheduled for "Phase I" of this project has been completed. If

The following took place at a meeting of the Southold Town
Planning Board on Monday, September 14, 1992:
It was RESOLVED to adopt the revised bond estimate dated
September 10, 1992 for Phase II of the Southold Villas
development, and to recommend adoption of same by the Town
Board. The revised bond estimate is $34,950.00 with a 6%
administration fee in the amount of $2,097.00.
This estimate is to take the place of the bond estimate for
Phase II that was adopted by the Town Board on July 17, 1991.
The bond estimate has been revised to eliminate the landscaping
that was to act as a buffer between the proposed single family
homes and the proposed townhouse units. Now that the entire
development will contain single family homes, the buffer area is

June 12, 1991, Road Inspector's report.
It was RESOLVED to adopt the bond estimates for Phase 1 and
Phase 2, dated as revised June 24, 1991, and to recommend same

amount of $426,455.00, with an inspection fee in the amount of
$25,587.00. The bond estimate for Phase 2 is in the amount of

WHEREAS, the Town Board granted a Change of Zone from
"A-C" Agricultural-Conservation District to "ARD"
Affordable Housing District subject to 4 terms and
conditions on May 22, 1990, for this 18.025 acre parcel,
and all terms and conditions have been fulfilled; and
WHEREAS, a Negative Declaration was issued on February 27,
1990, by the Town Board for the Change of Zone and for the
construction of the affordable homes and the townhouse
units; and
WHEREAS, this major subdivision, to be known as SOUTHOLD
VILLAS, is for 17 affordable lots on 9.0107 acres; and
WHEREAS, a final public hearing was closed on said
subdivision application at the Town Hall, Southold, New
York on June 24, 1991; and
WHEREAS, all the requirements of the Subdivision
Regulations of the Town of Southold have been met;
be it therefore,
RESOLVED, that the Southold Town Planning Board grant
conditional final approval on the surveys dated February
21, 1991, received by the Planning Board on June 20, 1991,
and authorize the Chairman to endorse the final surveys
sUbject to fulfillment of the fOllowing conditions. All
conditions must be met within six (6) months of the date of
this resolution.
2. A bond, Letter of Credit, or the equivalent, in the
amount of the bond estimate adopted by the Town Board
for Phase I must be submitted and must be accepted by
the Town Board.
3. The inspection fee for Phase 1 must be submitted.
4. Six (6) copies of the final Landscape plan must be

5. The curb cut permit from the New York State Department
of Transportation must be submitted.
6. A letter stating that the subdivider shall install all
utilities must be submitted.
7. A notarized letter stating that the sale of the
affordable lots and homes will be in compliance with
the provisions of the Town.'s Affordable Housing
District; including the fact that the cost of
installing water service lines to each lot will not be
charged to prospective affordable lot owners, must be
submitted.
8. A draft Declaration of Covenants and Restrictions
containing the following must be submitted for review,
or these items must be added to the previous
Declaration of Covenants and Restrictions:
A. No plantings shown on the approved Landscape Plan
shall be destroyed, cut, or removed, except as
required for disease control.
B. There shall be no construction of any kind within
the areas designated as conservation easements on
the subdivision map.
C. There shall be no further subdivision of any lot
in perpetuity.
D. These covenants and restrictions can be modified
only at the request of the then owner of the
premises with the approval of a majority plus one
of the Planning Board of the.Town of Southold
after a public hearing. Adjoining property owners
shall be entitled to notice of such public
hearing but their consent to such modification
shall not be required.
Upon acceptance of the draft Declaration by the Town
Attorney and Planning Board, it must be filed in the
office of the County Clerk. A copy of the filed
Declaration must be submitted to the Planning Board.
9. The filed Declaration of Covenants and Restrictions
(Liber 11232, Page 374) must be revised as follows:

the County Clerk. A copy of the filed Declaration must
be submitted to the Planning Board.
10. A copy of the filed Declaration of Covenants and

the Health Department must be submitted.
12. If there are to be any other Covenants and
Restrictions placed on the lots, these shall be
