Gillooly and a utility easement for the purpose of maintaining the existing utility lines over the land of Richard J. Gillooly to the land of William L. Gillooly and Carol M. Gillooly which property lies to the south of the property owned by Richard J. Gillooly. William L. Gillooly and Carol M. Gillooly shall have the sole obligation to repair and maintain said driveway and utility lines until the happening of the first of one of the following: The sale or transfer of title to a third party to all or a portion of the land owned by William L. Gillooly and Carol M. Gillooly lying to the South of the land owned by Richard J. Gillooly; The sale or transfer of title to a third party to all or a portion of the land owned by Richard J. Gillooly as described above; The entering into a written agreement between the parties to the __ contrary. Upon the happening of the first of such events, such right of way and easement shall terminate and William L. Gillooly and Carol M. Gillooly shall within 90 days of such event, at their own cost and expense, remove such driveway and utility lines and apparatus from the property of Richard J. Gillooly and construct a new driveway and utility access on their own land. Any new driveway to be constructed by either party on their own land shall be no closer than 5 feet from the boundary line of the adjoining property. Nothing contained herein shall preclude the Town of Southold or other governmental agencies from requiring a common access serving both parcels from Village Lane. Upon such event, the parties shall cooperate in creating such common access to meet the requirements of such governmental agency. In the event however prior to the happening of one of the three events set forth above, Richard J. Gillooly shall have improved his property, the cost of repairing and maintaining the existing driveway shall be equally shared between the parties . -• •�- - ";" JULIETTE A.
