Dear Planning Board Members:
By order of Donald Bracken and Diane Carroll, and for the account of same, we hereby
establish this Irrevocable Letter of Credit in your favor up to the aggregate amount
of FOUR HUNDRED THIRTY THOUSAND SIX HUNDRED NINETY 00/100 ($430,690.00) U.S. Dollars
available by your drafts at sight accompanied by:
A certified copy of the Resolution of the Town Board,
certified by the Town Clerk, which indicates:
"Donald Bracken and Diane Carroll have failed to complete all of the improvements to
be completed by Donald Bracken and Diane Carroll with regard to a subdivision map
entitled "Cedarfields at Greenport", heretofore approved by the Plannin9 Board of
the Town of Southold, on November 3, 1989, and that as a result of said failure,
there is due and owing an amount equal to the face amount of our attached draft. We
further certify that the amount drawn hereunder is for the sole purpose of
completing those items of improvement which were to have been completed by Donald
Bracken and Diane Carroll."

Route 25, Mattituck, New York, 11952, not later than 3:00 p.m. on
all drafts thereunder must be negotiated on or before that date.
Each draft must state that it is "Drawn Under Letter of Credit No. M-90034 of The
North Fork Bank and Trust Company, dated April 13, 1990" and the amount endorsed on
this Letter of Credit.
Partial drawings are permitted.
We hereby agree with the Drawers, endorsers and bona fide holders of drafts drawn
under and in compliance with the terms of this Letter of Credit that such drafts
will be duly honored upon presentation to the drawee.

deposited with the Town of Southold as a performance bond for roads and
improvements in the subdivision known as Cedarfields at Greenport, along
with a certified copy of the Town Board's resolution releasing this bond.
Once we have the necessary tax gains and equalization and assessment
forms from your attorney we will record with the Suffolk County Clerk the
dedication papers for the roads which the Town Board accepted on
December 10th.

The following resolution was adopted by the Southold Town
Planning Board at a meeting held on Monday, December 9, 1991:
BE IT RESOLVED that the Southold Town Planning Board
recommend that the Town Board release the Letter of Credit for
the above mentioned subdivision in accordance with the report
dated November 20, 1991 from Raymond Jacobs, Superintendent of
Highways and the report dated November 15, 1991 from James
Richter, Engineering Inspector.
The trees have been re-staked as required in James
Richter's report.

Final Inspection
Dear Mr. Jacobs:
As per your request, I have reviewed the file and performed
a final inspection for the above referenced subdivision. All items
have been completed in a satisfactory manner. However, due to recent
weather conditions, a certain percentage of the New Street Trees
have been bent over. These Trees will need to be adjusted upright
and should be restaked as required. All other items related to the
road construction are in satisfactory condition and the roads are
ready for dedication to the Town.

Don Bracken has contacted me concerning the above-referenced matter. He
indicated to me that he is prepared to offer the roads in the Cedarfields
subdivision for dedication to the Town. (he has dropped off dedication papers,
which I am currently holding).
In addition, Mr. Bracken has indicated that he would like the Town to release
the letter of credit on this subdivision and has asked me to communicate this
request to the Planning Board and/or other appropriate Town agencies.
Kindly accept this memo as Mr. Bracken's request to have his letter of
credit released and please contact either Jamie Richter or Ray Jacobs to have a
final inspection done.

The following resolution was adopted by the Southold Town
Planning Board at a meeting held on Monday, April 9/ 1990.
RESOLVED to adopt the bond estimate which was revised by
the Planning Board on April 9/ 1990/ and to recommend same to
the Town Board. The bond estimate is in the amount of
$430/690.00/ with an inspection fee in the amount of $25/841.00.
Please note that a previous bond estimate was adopted by
the Planning Board and the Town Board. However, the revised
bond estimate, in the amount of $430/690.00 dollars, reflects
the deletion of eleven (11) street lights and the direct Burial
Cable associated with these lights.
