WHEREAS, N. Douglas Latham & Audrey E. No part of any building and/or structure, except uncovered steps, stoops, terraces, patios and chimney breasts shall be located upon any lot within sixty (60 ) feet of the front street line of the lot nor within twenty-five (25 ) feet of any side line of the lot, nor within seventy-five (75) feet of the rear line of the lot, except that in the case of a corner lot a building shall be required to comply with the front yard restric- tions on one street front only provided, however, that the width of the side yard abutting on the street other than that upon which the lot fronts shall be not less than fifty (50 ) feet. 5 . Each lot shall be used for private residential purposes only (or as a professional office of a physician or dentist resident therein) and no building and/or structure of any nature or description whatsoever shall be erected, altered, placed, used or maintained thereon except one detached single family dwelling not to exceed two and one-half (2 1/2 ) stories in height, and an attached garage. A garage connected to the dwelling by an over- head trellis, pergola, breezeway or porch roof shall be deemed attached. No one story dwelling shall contain less than 1500 square feet of usable floor area on the first floor or ground level . -2- 6 . No separate or detached garage, outhouse, outbuilding, barn, shed or other structure of whatsoever kind or nature shall be erected, placed, used or maintained on any lot, without written consent of subdivision owner or representative. 7 . No lot shall be subdivided, conveyed or sold except as a whole lot without the written consent of Declarants. 8 . No trailer, basement, tent, shack or garage shall be erected, placed, maintained, used or occupied on any lot for use as a residence either temporarily or permanently. 9 . No signs of any kind, other than the usual small professional sign shall be erected, maintained or displayed to the public view on any portion of the land or buildings without written consent of Declarants, and then only upon such conditions as the Declarants may specify. The provisions, hereof, shall not however prohibit signs used by the Declarants or the successors and assigns of the Declarants . 10 . No fences, whether fabricated or growing, shall exceed four ( 4 ) feet in height. 11. No title to land in any street opened or laid out by the Declarants is conveyed or intended to be conveyed to the owner of any lot and the Declarants reserve the fee of all land lying in the bed of any and all such streets, and further reserve the right to convey to any municipal authority all of the right, title and interest of Declarants in and to any part or all of such streets, should the Declarants at any time deem it expedient to do so. 12 . The exterior architectual features of any and all buildings and/or structures shall be that of New England Colonial, Cape Cod or Long Island Farmstead character and design, or of such other design as may be approved by the Declarants or their repre- sentatives in writing. 13 . No building and/or structure of any nature or descrip- tion shall be erected, nor shall construction thereof be commenced, nor shall any exterior alterations upon or additions to -3- any building and/or structure be commenced unless and until all plans, specifications, building elevations, site plans and other information deemed necessary to determine the suitability and appropriateness of the exterior architectural features and design of the same have been first approved in writing by the Declarants or their representatives. All exterior construction, painting and grading shall be completed within one (1) year after commencement of construction. 14 . The Declarants shall have and hereby reserve the right, without the consent of any owner, mortgagee or other lienor, to give consents, to enter into agreements and grant easements in perpetuity or otherwise, to electric, light, telephone, gas, water and other public utility companies or any municipal or govern- mental authority to erect, install and maintain telephone and electric apparatus and equipment in, over, through, under, upon and along the property lines of any plot or lot now or hereafter laid out upon said premises for a distance not exceeding ten (10) feet in width, and in, over, 'through, under, upon and along any street, right-of-way or other thoroughfare now or hereafter laid out upon said premises. 15 . The Declarants, whether or not owning any part of the aforesaid premises and without the consent of any owner, mortgage or other lienor, shall have the right and hereby reserve the right at any time to alter, modify or annul, in whole or in part, any or all of the conditions, covenants and restrictions set forth in this Declaration as to any lot or lots, or the whole of the aforesaid premises. 16 . The Declarants, shall have the right and hereby reserve the right to assign, with or without a conveyance of title to any part of the aforesaid premises, any or all of the rights and power of the Declarants herein contained, by an instrument in recordable form, and the assignee thereof , whether or not such assignee has title to any part of the aforesaid premises, shall have the same -4- rights and powers and be subject to the same obligations and duties as are reserved by and given and assumed by the Declarants hereunder. 17 . The Declarants reserve title to the park, beach and waterfront located at the southeast corner of the premises designated as "Park" containing 0 . 7 acres on the map entitled "Minor Subdivision known as Major' s Terrace" , Orient, N.Y. , for the use and enjoyment of all owners of said premises or portions thereof subject to such reasonable rules and regulations as may from time to time be established by the Declarants. 18 . Every owner of said premises, or any portion thereof , by the acceptance of a deed thereto, covenants and agrees to pay to Declarants, on the 1st day of May in each and every year, an annual charge to be used by the Declarants to pay all taxes assessed upon the "Park" and the cost of maintenance of said "Park" . Such annual charge shall not, however, exceed the sum of ten mills on each dollar of the assessed valuation of the premises (including improvements) owned by each owner as fixed each year by the tax assessors of the Town of Southold. In the event that such annual charge is not paid when due, the same shall become and remain a lien upon the premises of such owner until paid and Declarants shall have the right to collect the same and to enforce the lien thereof by any means authorized by law. 19 . No fences, whether fabricated or growing, shall exceed four (4 ) feet in height. 11. No building and/or structure of any nature or descrip- tion shall be erected, nor shall construction thereof be commenced, nor shall any exterior alterations upon or additions to -3- any building and/or structure be commenced unless and until all plans, specifications, building elevations, site plans and other information deemed necessary to determine the suitability and appropriateness of the exterior architectural features and design of the same have been first approved in writing by the Declarants or their representatives. All exterior construction, painting and grading shall be completed within one (1) year after commencement of construction. 14 . The Declarants shall have and hereby reserve the right, without the consent of any owner, mortgagee or other lienor, to give consents, to enter into agreements and grant easements in perpetuity or otherwise, to electric, light, telephone, gas, water and other public utility companies or any municipal or govern- mental authority to erect, install and maintain telephone and electric apparatus and equipment in, over, through, under, upon and along the property lines of any plot or lot now or hereafter laid out upon said premises for a distance not exceeding ten (10) feet in width, and in, over, 'through, under, upon and along any street, right-of-way or other thoroughfare now or hereafter laid out upon said premises. 15 . The Declarants, whether or not owning any part of the aforesaid premises and without the consent of any owner, mortgage or other lienor, shall have the right and hereby reserve the right at any time to alter, modify or annul, in whole or in part, any or all of the conditions, covenants and restrictions set forth in this Declaration as to any lot or lots, or the whole of the aforesaid premises. 16 . The Declarants, shall have the right and hereby reserve the right to assign, with or without a conveyance of title to any part of the aforesaid premises, any or all of the rights and power of the Declarants herein contained, by an instrument in recordable form, and the assignee thereof, whether or not such assignee has title to any part of the aforesaid premises, shall have the same -4- rights and powers and be subject to the same obligations and duties as are reserved by and given and assumed by the Declarants hereunder. 17 . The Declarants reserve title to the park, beach and waterfront located at the southeast corner of the premises designated as "Park" containing 0 . 7 acres on the map entitled "Minor Subdivision known as Major' s Terrace" , Orient, N.Y. , for the use and enjoyment of all owners of said premises or portions thereof subject to such reasonable rules and regulations as may from time to time be established by the Declarants. 18 . Every owner of said premises, or any portion thereof, by the acceptance of a deed thereto, covenants and agrees to pay to Declarants, on the 1st day of May in each and every year, an annual charge to be used by the Declarants to pay all taxes assessed upon the "Park" and the cost of maintenance of said "Park" . Such annual charge shall not, however, exceed the sum of ten mills on each dollar of the assessed valuation of the premises ( including improvements) owned by each owner as fixed each year by the tax assessors of the Town of Southold. In the event that such annual charge is not paid when due, the same shall become and remain a lien upon the premises of such owner until paid and Declarants shall have the right to collect the same and to enforce the lien thereof by any means authorized by law. 19 . This Declaration shall be binding upon and inure to the benefit of and be enforceable by the Declarants, their successors and assigns, and, (subject to the right of the Declarants, their successors and assigns to alter, modify or annul this Declaration as set forth in paragraph 15 ) any owner of any portion of the aforesaid premises, their heirs, legal representatives, successors and assigns; and the failure by any of the foregoing to enforce any of such conditions, covenants and restrictions shall in no event be deemed a waiver of the right to do so thereafter. 20 .
