As you are the agent for the above applications please be advised that a Local Law was adopted at
the regular meeting of the Southold Town Board on August 13, 2002 entitled "Local Law to a
Temporary Moratorium on Processing,Review of, and making decisions on applications for
Major Subdivisions,Minor Subdivisions and Special Use Permits containing Dwelling Units in
the Town of Southold". The Local Law Number 3. 2002 is attached.
The Local Law states that the Planning Board Office "shall not accept,review continue review,
hold hearing or make any decision upon any application for a subdivision,whether that
subdivision application was submitted prior to or after the effective date of this law"for a
duration of six months beginning August 13, 2002. The above applications are covered by the
moratorium. If you have any questions please do not hesitate to contact my office at 631-765-

D—ECLARATION OF COVENANTS AND RESTRICTIONS
TMS DECLARATION, made the day of 12002, by KEITH SCOTT MORTON,
residing at 25 E. 86 St., Apt. 12G,New York,NY 10028 , party of the first(hereinafter called the
Declarant):
WITNESSETH :
WHEREAS,the Declarant is the fee owner of certain real property situate at Orient, Town
of Southold, County of Suffolk, State of New York; and
WHEREAS,the Declarant has made an application for and has received approval from the
Planning Board of the Town of Southold to subdivide said real property into four (4) lots and an
agricultural reserve area, as shown on the Subdivision Map of Orchard Acres prepared by John
Ehlers, Licensed land Surveyor, last dated and revised on the day of ,which map was fled in
the Office of the Clerk of the County of Suffolk, State of New York on 2002,
as Map No. ; and
WHEREAS,the Declarant and Planning Board agree that a portion of the said real property
shall be preserved for, and is presently desirable and productive for, farming and agricultural
purposes; and
WHEREAS, it is the intention of the Declarant to sell the Development Rights to that area
designated Agricultural Reserve Area on the basis that a fair and reasonable sum will be received for
the transfer of such rights;
WHEREAS,for and in consideration of the granting of said approval,the Planning Board of
the Town of Southold has deemed it to be for the best interests of the Town that the within
Covenants and Restrictions be imposed on said lots,and as a condition ofsaid approval,saidPlanning
Board has required that the within Declaration be recorded in the Suffolk County Clerk's Office;and
WHEREAS,the Declarant has considered the foregoing and has determined that same will
be in the hest interests of the Declarant and subsequent owners of said lots;
NOW, THEREFORE, THIS DECLARATION WITNESSETH:
That the Declarant for the purpose of carrying out the intentions above expressed, does
hereby make known, admit, publish, covenant and agree that the lots within said subdivision map
shal hereafter be subject to the Covenants and Restrictions as herein cited,which shall run with the
land and shall be binding upon all purchasers and holders of said lots, their heirs, executors, legal
representatives, distributees, successors and assigns, to wit:
1, There shall be no further subdivision, resulting in additional building lots, of any of
the four(4)lots, as shown on the aforesaid subdivision map and as approved by the Planning Board
of the Town of Southold.
2. That in the event that after three (3) years from the date of the Planning Board's
Resolution approving the four-lot subdivision, the Declarant has not received a reasonable offer to
purchase the Development Rights to the Agricultural Reserve Area, defined as the then going per-
acre price paid by the County of Suffolk for parcels located in Orient, Orient Point and East Marion;

gut not less than$27,000 per acre,then in that event,Declarant may re-apply to the Planning Board
to further subdivide the parcel and add two (2) additional lots.
3. That under no circumstances may the real property as shown on the map which is the
subject of this subdivision be subdivided into more than six(6)lots.
4. The area designated Agricultural Reserve is restricted to agricultural use, unless and
until Development Rights are transferred, at which time it shall be subject to restrictions imposed
when such rights are transferred, or unless and until three(3)years elapse,Development Rights are
not sold and the Declarant applies to this Board for further subdivision approval.
The Covenants and Restrictions contained herein shall be enforceable by the Town of
Southold,by injunctive relief or by any other remedy in equity or at law. The failure of the Town of
Southold or any of its agencies to enforce same shall not be deemed to affmt the validity of this
covenant nor to impose any liability whatsoever upon the Town of Southold or any officer or
employee thereof.
The within Declaration is made subject to the provisions of all laws required by law or by their
provisions to be incorporated herein,and they are deemed to be incorporated herein and made a part
hereof, as though:ally set forth.
The within Declaration shall run with the land and shall be binding upon the Declarant, his
successors and assigns, and upon all persons or entities claiming under them, and may not be
annulled, waived, changed, modified,terminated,revoked or amended by subsequent owners of the
premises.

Dear Ms. Wilson:
Enclosed is a proposed subdivision map for property located between Orchard and King
Streets in Orient. Although the parcel could have a yield of seven lots, the applicant has
agreed to four lots. However, if the development rights cannot be sold, he will ultimately
agree to six lots. At present, a significant effort is being made to sell the development rights
to the County. However, this has been impacted by the dismissal of Allen Grecco as well as
by the difficulty in obtaining comparables to the Orient area.
The Planning Board has indicated that a Declaration can be prepared confirming the ultimate
number of lots that will be obtained in the event that the development rights cannot be sold.
I have prepared a Declaration and the Board has requested that you review this and advise
them if it meets with your approval.

It is my understanding that you will be reviewing the subdivision map which now includes six

this subdivision, as 1 have reiterated on a number of occasions, it is the intention of the
applicant to sell the development rights. We are continuing to make an effort to sell them for
a fair price to the County.

subdivision.
In accordance with our several discussions we have now placed two additional lots(lots 5 and
6)on the subdivision map. We would like to treat these lots as Section 2 and secure approval
for the four lots(lots 1 -4)as Section 1. It remains the owner's intention to sell development
rights to all of the remaining area(including lots 5 and 6). In the event that the development
rights cannot be sold for a reasonable sum, the owner will request that the Board approve
Section 2 of this subdivision.

Dear Planning Board Members:
Pursuant to our recent discussion, I am enclosing a map of the proposed Morton subdivision
showing 2 additional lots which will have ingress and egress from King Street. This will
avoid creating a new road.
As Indicated to you, the 2 additional lots are proposed only in the event the owner is not
successful in selling the development rights to the County of Suffolk. As we have discussed
on a number of occasions, I am making the claim to increase the $18,000419,000 per acre
price preferred by the County. There is a prospect of at least 2 significant sales where acreage
1s selling in excess of $40,000 with a closing within the next few months. If this sale
materializes it would assist us in obtaining a higher development right value.
The applicant is committed to the sale of the development rights but not at a price that both
of us feel would decrease the value. If both lots sell for a reasonable amount then the
applicant would revise section 2 on the map to show the additional lots. These lots could be
adjusted somewhat but I believe they allow significant open space with farmland views from
the surrounding properties to be maintained.
I thought you should have an opportunity to review the map and then I would be please to
discuss this matter at the next available work session after September 4, 2001.
