The question of whether an action may be significant is not always easy to answer. Frequent- ly, there are aspects of a project that are subiective or unmeasureable. It is also understood that those who determine significance may have little or no formal knowledge of the environment or may be technically expert in environmental analysis, in addition, many who have knowledge in one particular area may not be aware of the broader concerns affecting the question of significance. The full EAF is intended to provide a method whereby applicants and agencies can be assured that the determination process has been orderly, comprehensive in nature, yet flexible to allow introduction of information to fit a project or action. · Full EAF Components: The full EAF is comprised of three parts: Part 1: Provides objective data and information about a given project and its site. By identifying basic project ................ data, it assists a reviewer in the analysis that takes place in Parts 2 and 3. Mill Creek Drive Southold, New York 11971 RE: Proposed Subdivision of Cornfields Youngs Avenue, Southold SCTM9 1000-55-2-9.1 Dear Mr. and Mrs. Dickerson: As requested in the meeting you had with Melissa Spiro on July 8th, the Planning Board is reviewing alternate ways of subdividing the above mentioned parcel. In particular, designs which would reduce the density, and therefore eliminate, or change the road requirements, are being reviewed. One item brought up at the meeting was that of the requirements pertaining to the extension of the Greenport public water system. On August 2, 1991, I sent a letter to Aldo Andreoli of the Suffolk County Health Department, requesting information about the requirements that his Department would apply to this subdivision if it were to contain a plan with reduced density. A copy of this letter is enclosed. The Planning Board will continue with their review of a reduced density plan upon receipt of a response from Mr. Andreoli. In the interim, if you have any questions regarding the above, or if your plans change and you do not wish the Planning Board to continue their review of a plan with reduced density, please contact Melissa Spiro of this office. Mr. Raynor: I am the agent for the major subdivision Cornfields and two of the principle's here would like to discuss some of the ongoing communications we have with the Board concerning Bond, Yield and Configuration of properties. Please note, that this has been an ongoing subdivision for approximately four years. I take it the Board is in receipt of the letter of extension concerning the preliminary approval that was granted. Mr. Orlowski: The final maps are here. extension? Do you need an Mr. Raynor: I would defer at this point, Mr. John Breslin would like to speak to the Board. Mr. John Breslin: Good evening, Mr. Chairman, Members of the Board. I have filed three prior subdivisions with the Town of Southold. I have had several conversations with the working relationship with the Board, the staff. The reason I am here is that as much as I avoid this feeling, I get the feeling that I have been singled out by either the staff or members of the Board for mistreatment. We have been processing this map since 1987, next year will be four years. We first had an application for two minor sdbdivisions on a twenty acre track. The reason was, for two minor subdivisions, we couldn't buy the property any other way. It was owned by the Dickerson's and had to be sold as one piece. I had three associates, my daughter, my niece, and another party who wanted to buy homesites in the Town of $outhold. That is the reason I began this whole operation. The four people involved would buy four lots. Since I could not buy the subdivision any other way except buying the twenty acres, I was then forced to find three or four other investors PLANNING BOARD MAY 13, 1991 to buy the other section for the twenty acres. I did that. I presented two minor subdivisions, I did the first application in July of 1987, I called again in January of 1988 and Mr. Raynor also called and urged the Board for some activity. Finally, in January of 1988, a sketch plan approval was granted. We were given approval to put eight lots fronting on Young's Avenue. I then would have been able to sell three lots to member's of my family and friends and then keep the other four lots for investment. The next thing I heard, in October 1988, apparently because someone by the name of Mr. Carroll, made a fuss, it was denied and rejected and I was left out in the cold now with a contract that was contingent on this and which I had put money up and I lost the money. The money had to go to the owners because you granted site approval, you granted that and I had to go forward with my contract. Now, that is my problem not yours, except I was led down the garden path by your activities. In 1989, I got the word that they wanted a major subdivision on this property. There goes my daughter's lot, there goes my niece's lot, they come to me and say, what do we do? We had to buy the entire twenty acres and we had to form a major subdivision. I don't want ten plots, I never wanted ten plots, all I wanted was eight plots. I don't want to build a blacktop road 800 foot long. I don't want to put street lights in, I want to have eight lots at two and one-half acres apiece. Plenty of open space, conforming to the zoning and somebody sends me a letter that the reason that I am denied, is not Mr. Carroll. who wants me to build a road off Railroad Avenue to his property. No, you know what they tell me? They tell me they don't want eight driveways on Young's Avenue but, the same Board later on designs, they made a hand sketch which I still have from a member of the staff which said, do it this way, put two of the lots out on Young's Avenue and builda road with an additional eight lots. You can have ten lots and cluster them and we will take the open space. What is the difference if we put ten lots, eight lots, out on Young's Avenue. It is not ten homes, it's eight and they are all oversized lots two and one-half acres apiece or more. So what if there are eight driveways coming out. There is going to be ten of them coming out between a road and two driveways. Mr. Raynor suggested that we put eight lots and each driveway serving two so we will have four driveways. Mr. Carroll apparently very active and Mr. Carroll, had a voice in this, who ever the hell he is, pardon my french. I lost money and time and here we are in 1991 and we still don't have a map. The straw that broke the camel's back was, about a month and one half ago, this Board, this staff suggested to Mr. Raynor that the open space be changed as follows: The open space that was going to be held in cooperative ownership or whatever they call it, arrangement where everyone gets out and tilles their own land, I would be able to take that and marry it PLANNING BOARD MAY 13, 1991 to one of the lots that has some barns on it, if I. gave up an additional lot. What do those two things have to do with each other? What does that have to do with it? Why should I give up one lot to get a layout that you like better. It doesn't make any sense. I originally told you I would take eight lots now we're at ten and you want to take one back, but you want me to put in a major subdivision and acres of blacktop and roads and cable television and everything else. This is absurd, and it has taken four years. Then, based upon your own recommendations, I went out and had the map changed so I drew a lot. I took the lot that was on Young's Avenue and I moved it around to the back, submitted it and a month later it was rejected. It was your idea. Not mine, it was your idea to move the lot, your idea to wave the homeowners association. Isn't that a little confusing, isn't that a little arbitrary that four weeks or five weeks before you want something and four and a half weeks later, you don't want it. This is like a circus. What happened to those four weeks, five weeks and here I am now four years later and still no final map. I am back and forth between various plans and sketches, all of which cost me money and I started off with wanting eight lots, two minor subdivisions. I didn't want all this, I don't think it is necessary. If I do have to have a major subdivision, which I don't want, anyone who reads the newspapers knows what is going on in real estate, knows what economic conditions are, a bond is certainly something that a developer has to post to protect the Town, your Town Engineer, who is certainly well qualified to determine what protects the Town, recommended a two stage bond. If you look at the map, the sketch that is there, and incidentally, this is the sketch that the staff or Planning Board or someone suggested that we do first. This is what they suggested as an alternative. Moving the lot from this point back. to this point. They didn't draw this, I drew it because that is the only way to use the land. I went to the Town Engineer and I said, this is a two stage operation, two of the lots are clustered down at the thing and the other eight are up at the North end. They are for sale but nobody is buying, nobody is buying. If I am lucky, I will sell the first two. Let me put up 30%, a third of the bond, so I can sell those two, free them from the bond and go on. How does that hurt the Town? The Town is protected. I can't convey them until you release them, until the map is approved. I have to put up a third bond, I sell the lots and you release them. It just seems as if somebody or something, a set of circumstances is working against me for all of these years. It didn't work in the case of the first subdivision. I had three subdivisions, I didn't get everything I wanted. It took a long time but I had three successful subdivisions. Economic conditions have changed, you can delay things when prices are rising, but prices are falling, and if I have to post a hundred and fifty or a hundred and ninety thousand bond and let it sit there while I wait for the market to change, it doesn't make economic sense. What I am asking the Boardto do is grant either one of three things, either we go back to square one 1987, give me two minor MAY 13, 1991 · PLANNING BOARD subdivisions, or give me eight lots and eight homes on two and one-half acres each on Young's Avenue or continue and do something about the subdivision. If I have to eat a subdivision, a major subdivision with all those costs to provide Mr. Carroll with a road, I should at least be treated fairly and given a two stage bond. There is no need for doing that, there is no need for putting up all that money up front. It won't sell for years the way the market is going. I don't know why I am being singled out, I wish somebody would tell me. I don't know the members on the Board and I don't know any people on the staff and I am not paranoid but, I can't believe that I was treated this badly. Flip flop back and forth, two, four, two, eight, make it minor, make it major, change the map, change it back again, so in summary, that is what I am asking for. Mr. McDonald: Would you explain the two stage bond again? Mr. Breslin: In other words the bond that your Town engineer figured out and I approved, provided I think something like $180,000.00, correct me if I am wrong, whatever the number is, most of the bond cost has to do with the road that you see on the sketch to the north. There are no improvements to the south. None what so ever, except Greenport Water, which I am paying directly for so there is no need to bond against that. I agree, fine, whatever you want, $30,000.00, $40,000.00 thousand dollars, I will put up a bond for that. That way, I am able to convey those two lots if I ever get the chance to do it and I have somebody interested in putting a ten or twelve acre farm, a vineyard or a farm. I've got barns, I have got 7,000 square foot of barns on one of the lots. It is a natural for a farm. If you are looking to create a farm, here is a fellow who wants to create a farm. Mr. Orlowski: How would you do that? Mr. Breslin: How would I do it? I would give you a covenant against any development what so ever on the open space, which you are entitled to. Mr. Orlowski: You are going to form a homeowners association. Mr. Breslin: I don't want nine people out there digging up and planting potatoes or something. Mr. Orlowski: Did you understand, number one, this lot that was shoved in here, I think it was a misunderstanding probably between the staff and your agent but, we never meant for that. We meant to create the large lot and leave it as a large lot so it could be used for a vineyard or whatever you want to use it for. That is why we took that one lot out creating the open space as a large lot. Mr. Breslin: The open space is nine and one half acres, right? PLANNING BOARD MAY 13, 1991 Mr. Orlowski: Well, I think it is more than that. I think it is over ten acres. Mr. Breslin: Over ten acres, I am willing to make that open space. All I want to do with it is put a covenant on it, not any structures what so ever agricultural use. How do I do it? Mr. Orlowski: Do you understand what we are trying to obtain here? Mr. Breslin: My understanding of what you are trying to do is to keep open space and keep land to go into agricultural use. Mr. Orlowski: Right, so we made a recommendation that instead of going with the ten lots and putting one of the ten lots right smack in the middle of the open space, to remove one of the lots and have nine lots and the ninth lot, be a large lot with the barns and the house on it in setting up a mini farm or whatever you want, a vineyard or whatever you said was going to happen. Mr. Breslin: The net result is that I am going to have nine lots, instead of ten. Mr. Orlowski: Right, but you have a large building lot. Mr. Breslin: But, I have one now, they approved ten lots. Mr. Orlowski: But, with the ten lots and putting the extra lot here, the Planning Board feels that the layout is not to lend itself to leave that as a large lot, nu~uber one and to just form a homeowners association and leave the open space in the hands of the homeowners association. Mr. Breslin: You are more familiar with Southold but I have not found that the homeowners association that has done anything that it locks into it. Mr. Orlowski: That I don't feel has been conveyed to you, I don't think you are understanding what we are trying to obtain. Mr. Breslin: What you are saying is I should give up a lot. Mr. Orlowski: What we are saying is that the layout laid itself out better by removing that lot and leaving all of the land to the south, the open space in the subdivision, and with the barns and the house and all that is there you have I think, it is almost twelve acres looking at this, that you would have a viable agricultural operation in the large lot like that and it would remain a large lot. Mr. Breslin: Why couldn't I have a viable (inaudible).? ~ Mr. Orlowski: Because we are not going to allow that. You · are going to form a homeowners association. PLANNING BOARD MAY 13, 1991 Mr. Breslin: To do the same thing that I want to do right? Mr. Orlowski: Right. Mr. Breslin: Why is it I can't do it but the homeowners can do it? Why is it I can't do just what you want, make a nine and one half acre farm and ten building lots. That is what I agreed to do. Mr. Orlowski: We just think that the layout wouldn't lend itself that well to agricultural use by sticking an extra lot right smack in the middle of everything. Mr. Breslin: Well, it is not an extra lot. Under the zoning, I'm entitled to ten lots and I had ten lots and I agreed to the tenth down. Mr. Orlowski: What you are talking about is not only the ten lots but then the open space that would be your eleventh lot. Mr. Breslin: No, you can take these and you can do whatever you want to do with the open space. I will covenant that it will be open space and it will be used for farm. You want to put in a homeowners, I think that is impracticable. Mr. Orlowski: I think the cost of the homeowners association and the removal of the lot may come out to be the same. You will benefit in holding on to the large lot, it will probably be greater than forming a homeowners association and letting everybody own a parcel. Mr. Breslin: Nobody wants to own one tenth of ten acres. What are they going to do with it? The only man who can use it is the man who buys the bonds. I want to marry the large lot as you call it to the bonds but I still want to have ten lots. Mr. Orlowski: But, you just said right in the very beginning you only want eight lots. Mr. Breslin: I'll take eight lots, I'll take eight tonight. Don't laugh, you are making a fool of me. Listen, I'm serious, if you give me eight lots on the road I will take it tonight because then I don't have to build 800 foot of blacktop and run water in and electricity and everything else, I'll be glad to take eight lots. But somebody, Mr. Carroll, you could be into ten lots and the staff so I don't want it, I will take eight lots. I'll take it right now. I'll take eight lots, eight two and one half acre lots and that will be it. Everyone will have two and one half acres. That's all. That's an option, I'll consider that option and I'll consider an option of two minor subdivisions. You know, this idea of making it an metropolis out of this twenty acres, is getting ridiculous. I'm willing to take eight lots, the difference economically Mr. Orlowski is that I don't have to build a road for the eight to the north so PLANNING BOARD MAY 13, 1991 obviously I can sell the eight lots and make as much money as I can with ten doing all the road improvements. How do all those road improvements, how do they benefit anybody except Mr. Carroll? He is the only one that benefits, that is why I am paranoid about this. I know nobody by the name of Carroll is on the Board. I can't believe why I have to build a road so this Mr. Carroll, he has frontage on another road so let him build his own road. Let him put his water in, he wants to take my water and put a road in. I'm willing to give the Town eight lots, two and one half acres each and go right back to that. If I do it on eight basis it is a major subdivision and get park and playground fees. If I do a minor subdivision, I don't have to pay those. That is the different. I'll take the eight and pay the fees. Mr. Ward: Is there any chance of reconfiguring the eight lots to make nine there and have one large lot for the farm? Mr. Breslin: Yes, yes. There could be eight one acre lots along the road. Mr. Ward: No, using the layout you have could you reconfigure the Cornfield Lane so you get one extra lot in there and then leave everything to the south as the farm. Mr. Breslin: I have to defer to Mr. Raynor on this. He says it could be done. I would be willing to do that, that would leave you a clear farm. Mr. Ward: Then you would accomplish what we are after as a single lot. Our concern is that taking a large lot and breaking up into, putting other pieces within it , is not good for the farm. We are going to do it as a single lot that is owned by somebody, it is going to be a farm lot for vineyard or anything else, our concern is that it stay as a large lot. Mr. Breslin: I'll marry it to lot number ten with the bonds. It's a natural. I'll sell the large piece, whatever this comes out to nine, ten whatever, plus the bond one. I'll sell it to somebody. Would you like me to have the surveyor lay something out with the nine lots on the new road? Mr. Orlowski: We're talking about still leaving it clustered like this and building a road. Breslin concerning the Bond Estimate that was addopted for the above referenced subdivision. I gave a copy of this letter to Melissa Spiro in your office on 4/29/91. In this letter, Mr. Breslin brings up two major concerns. The first concern is the cost for the installation of the water main. I have recently been informed that in this case the cost for the installation of these mains should not be included in the Bond Estimate. Due to the involvement of the Greenport Water Authority and there contractural agreements with the developer/ contractor, it is not necessary to include this cost. I have therefore revised this Bond Estimate and have enclosed a copy for your use. Please note that an Excavation Permit~from the Town of Southold is still required by the contractor prior to any work within the Town R.O.W. The second concern of Mr. Breslin is with reguards to the possibility of Bonding this project in two (2) phases. Since two of the lots in the proposed Subdivision are accessed by an existing Town Road, He would like to do ail of the work necessary to accomodate the sale of these lots first, in phase I. Due to the current economic recess that the country is in, Mr. Breslin would like to hold off on the construction of the new road and the development of the remaining lots until the market returns or at least improves. Mr. Breslin has proposed that one third of the total Bond Estimate be considered as Phase I and the remaining two thirds to be considered Phase II. Since the majority of the work will be done in Phase II this split would seeme to be acceptable. However, a clear understanding of when the Bonds Would be required and when they would be released would be necessary prior to finalizing this arrangement. As per our discussion in February, I have contacted the appropriate official in the Southold Fire District and he has advised me and the Planning Board that there is no requirement for fire wells (2) on the subdivision if hydrants and public water are being provided. As to the installment of water service and supply, I have investigated the other subdivision records and discussed this with the Greenport Water District. The District does not require bonding of water supply construction, but does assume the responsibility of inspecting, supervising, and approving all work on the project. Please refer to a copy of my contract attached. I have hi-lited the sections that indicate the Village Water Authority responsibility and degree of supervision. In my opinion, results in the local citizens this type of inspection, control, and supervision assurance of quality work and protection for the as well as the Township of Southold. Also, my contract with Greenport is a requirement of the Town of Southold Planning Board, and further, I have a contract with a local, reputable road and drainage contractor. I cannot understand why a bond is necessary for the water supply work. These costs need not be added to the bond. (continued) APR 3 0 James A. The reason I am requesting a two phase bond is based upon current economic conditions. There is no present demand for building lots and a huge supply is still available and prices are falling. I have to wait for the market to change and for sales of some lots before I can commit to the paving, drainage, trees, water, etc. for the total subdivision. Meanwhile, the bond dollars are "up front" and could be outstanding for ~-~L~ with risk and loss of interest and I have no way to raise lot prices to pay for this! I must sell the lots in two phases starting with lots 9 and 10 on the south end of Youngs Avenue. I am willing to bond in the first stage the total of approximately $47,700 plus the park and playground fees, plus a first stage water contract of $10,000~ and sign contracts (with downpayment of $20,000 to $40,000) for the road, drainage, etc. Obviously, no individual lot can be conveyed prior to the Town of Southold receiving the proper bond and prior to payment of park and playground fees. MOST CERTAINLY THIS IS SUFFICIENT CASH INVESTMENT AND BOND TO ASSURE COMPLETION OF THE FIRST STAGE before any lot is conveyed to a home owner! Certainly all parties are adequately protected. ARTICLE V - USE OF FACILITIES The Open Space Areas shall be limited to the use of the Members or their families residing in their household, and the Members' guests. In the event that a Member shall lease or permit! another to occupy his Home, however, the lessee or occupant shall at the option of the Member, be permitted to enjoy the use of the Open Space Areas in lieu of and subject to the same restrictions and limitations as said Member. However, both the Member and the lessee may not use the Open Space Areas at the same time. ARTICLE VI - MEMBERSHIP AND VOTING RIGHTS Section 1. Membership. The Association shall have one class of membership interest as follows:- The Owner of each Lot on The Properties shall be a Member whether such ownership is joint, in common or tenancy by the entirety. Each Member is entitled to one vote for each Lot in which they hold a membership interest. When more than one person or entity holds such interest in any Lot, the one vote attributable to such Lot shall be exercised as such persons mutually determine but with the exception of cumulative voting employed in the election of Directors, not more than one vote may be cast with respect to any such Lot. No Member shall split or divide its votes on any motion, resolution or ballot other than in the cumulative vot- ing procedure employed in the election of Directors. Section 2. Vote Required to Transact Business. When a quorum is persent at any meeting, the vote of a majority of the Members present in person or represented by written proxy shall decide any question brought before such meeting and such vote shall be binding upon all Members, unless the question is on upon which by express provision of the Statute, Declaration, Certifi- cate of Incorporation or of these By-Laws, a different vote is required, in which case such express provisions shall govern and control the decision of such questions. Section 3. Right to Vote. Members shall be entitled to vote either in person or by proxy at any meeting of the Associa- tion. Any such proxy shall only be valid for such meeting or subsequent adjourned meetings thereof. Section 4. Proxies. Ail proxies shall be in writing and shall be filed with the Secretary prior to the meeting at which the same are to be used. A notation of such proxies shall be made in the minutes of the meeting. Section 5. Waiver and Consent. Wherever the vote of the membership at a meeting is required or permitted by Statute or by any provision of the Declaration, Certificate of Incorporation or of these By-Laws to be taken in connection with any action of the Association, the meeting and vote of the membership may be dis- pensed with if all Members who would have been entitled to vote upon the action if such meeting were held, shall consent in writing to such action being taken. Section 6. Place of Meeting. Meetings shall be held at any suitable place convenient to the Members as may be designated by the Board of Directors and designated in the notices of such meetings. Section 7. Annual Meetings. The annual meeting of the membership of the Association shall be held on such date as is fixed by the Board of Directors. At such meetings there shall be elected by ballot of the membership a Board of Directors in accordance with the requirements of Article VIII of these By- Laws. The Members may also transact such other business as may properly come before the meeting. Section 8. Special Meetings. It shall be the duty of the President to call a special meeting of the Association, if so directed by the Board of Directors, or upon the presentation to the Secretary of a petition signed by a majority of the Members. Section 9. Notice of Meetings. It shall be the duty of the Secretary to mail a notice of each annual or special meeting, stating the purpose thereof as well as the time and place where it is to be held, to each Member at least ten, but not more than thirty, days prior to such meeting. The mailing of a notice in the manner provided in these By-Laws shall be considered notice served. Section 10. Order of Business. The order of business at all meetings shall be as follows: (a) Roll Call (b) Proof of notice of meeting or waiver of notice (c) Reading of minutes of preceding meeting (d) Report of officers (e) Report of committees (f) Appointment of inspectors of election (in the event there is an election) (g) Election of Directors (in the event there is an election) (h) Unfinished business (i) New business ARTICLE VIii - BOARD OF DIRECTORS Section 1. Number and Term. The number of Directors which shall constitute the whole Board shall not be less than three nor more than five. An initial Board consisting of three Directors shall be designated by the Developer to serve until the meeting and at all subsequent annual meetings, the Members shall vote for and elect five Directors to serve to one-year terms and until their successors have been duly elected and qualified. All Directors, other than those the Developer shall have the right to designate, must be either Members of the Association or immediate family members residing in the Member's home. Each Director shall: be at least nineteen years of age. Section 2. Cumulative Voting and Right of Developer to Designate Certain Board Members. In an election of Directors, each Member shall be entitled to as many votes as shall equal the number of Directors to be elected and a Member may cast all of such votes for a single Director or may distribute them among two or more Directors as he sees fit. Notwithstanding the foregoing, the Developer shall have the right to designate three Directors until the second anniversary date of the recording of the Declaration or until 51% of the Lots in the Development are sold, whichever is sooner. Thereafter, the Developer shall have the right to desig- nate one Director for so long as it holds at least one membership. The Developer may not cast its votes to elect any Directors in addition to the designated Directors set forth above. Section 3. Vacancy and Replacement. If the office of any Director becomes vacant by reasons of death, resignation, retire- ment, disqualification, removal from office or otherwise majority of the remaining Directors though less than a quorum, a special meeting of Directors duly called for this purpose, shall choose a successor, who shall hold office for the unexpired term in res- pect of which such vacancy occurred and until his successor is duly elected and qualified. In the event a Director appointed by Developer resigns, the Developer shall have the right to appoint another Director in his place. Section 4. Removal. Directors may be removed for cause by an afirmative vote of a majority of the Members. No Director, other than a designee of the Sponsor, shall continue to serve on the Board if, during his term of office, he shall cease to be a Member. Section 5. Powers. (a) The property and business of the Association shall be managed by its Board of Directors, which may exercise all such powers of the Association and do all such lawful acts and things as are not by Statute, Declaration, Certificate of Incorporation or by these By-Laws, directed or required to be exercised or done by the Members or Owners personally. These powers shall specifically include, but not limited to the following items: ' 1. To determine and levy assessments provided for in the Declaration. The Board of Directors may increase the monthly assessments or vote a special assessment in excess of that amount, if required, to meet any additional necessary expenses. 2. To collect, use and expend the assessments. 3. To maintain the Open Space Areas, as designated on the subdivision map of Cornfields. 4. To open bank accounts and borrow money on behalf of the Association and to designate the sig- natories to such bank accounts. 5. To collect delinquent assessments by suit or otherwise, to abate nuisances and to enjoin or seek damages from Members for violations of the house rules or rules and regulations herein referred to. 6. To make reasonable rules and regulations and to amend same from time to time. Such rules and regulations and amendments thereto shall be binding upon the Members when the Board has approved them in writing and delivered a copy of such rules and all amendments to each Member. Such rules and regulations may, without limiting the foregoing, include reason- able limitations on the use of the Open Space Areas by guests of the Members as well as reasonable admission and other fees for such use. 7. To employ workmen, contractors and supervisory personnel, and to purchase supplies and equipment, to enter into contracts to provide maintenance and other services and generally to have the power of Directors in connection with the matters hereinabove set forth. 8. To bring and defend actions by or against one or more Members and pertinent to the operation of the Association and to assess special assessments to pay the cost of such litigation. 9. To hire a Managing Agent to perform and exercise the powers of the Board of Directors in the management of the Development. (b) The Board of Directors may, by resolution or resolutions, passed by a majority of the whole Board, designate one or more committees, each of such committees to consist of at least three Members, one of whom shall be a Director, which to the extent pro- vided said resolution or resolutions, shall have management of the business and affairs of the Associa- tion and may have power to sign all papers which shall specifically so provide. Such committee or committees shall have such name or names as may be determined from time to time by resolution adopted by the Board of Directors. Committees established by resolution of the Board of Directors shall keep regular minutes of their proceedings and shall report the same to the Board as required. Section 6. Compensation. Directors and officers, as such, shall receive no compensation for their services. Section 7. Meetings. (a) The first meeting of each Board newly elected by the Members shall be held immediately upon adjourn- ment of the meeting at which they were elected, pro- vided a quorum shall then be present, or as soon thereafter as may be practicable. The annual meeting of the Board of Directors shall be held at the same place as the annual meeting of Association Members and immediately after the adjournment of same, at which time the dates, places and times of regularly scheduled meetings of the Board shall be set. (b) Regularly scheduled meetings of the Board may be held without special notice. (c) Special meetings of the Board may be called by the President on two days notice to each Director either personally or by mail or telegram. Special meetings shall be called by the President or Secretary in a like manner and on like notice on the written request of at least two Directors. (d) At all meetings of the Board, a majority of the Directors shall be necessary and sufficient to constitute a quorum for the transaction of business, and an act of a two-thirds majority of the Directors present at any meeting at which there is a quorum shall be the act of the Board of Directors, except as may be otherwise specifically provided by Statute or by the Declaration or by these By-Laws. If a quorum shall not be present at any meeting of Directors, the Directors present thereat may adjourn the meeting from time to time, without notice other than announcement at the meeting until a quorum shall be present. (e) Before or at any meeting of the Board of Directors, any Director may, in writing, waive notice of such meeting and such waiver shall be deemed equiv- alent to the giving of such notice. Attendance by a Director at any meeting of the Board shall be a waiver of notice by him of the time and place thereof. If all the Directors are present at any meeting of the Board, no notice shall be required and any business may be transacted at such meeting. Section 8. Annual Statement. The Board of Directors shall furnish to all Members and shall present annually (at the annual meeting) and when called for by a vote of the Members at any special meeting of the Members, a full and clear statement of the business conditions and affairs of the Association, including a balance sheet and profit and loss statement verified by an in- dependent public accountant and a statement regarding any taxable income attributable to the Members and a notice of the holding of the annual meeting of Association members. Section 9. Fidelity Bonds. The Board of Directors shall require that all officers and employees of the Association handling or responsible for Association funds shall furnish adequate fidelity bonds. The premiums of such bonds shall be an expense of the Association. ARTICLE IX - OFFICERS Section 1. Elective Officers. The officers of the Asso- ciation shall be chosen by the Board of Directors and shall be a President, a Vice President, a Secretary and a Treasurer. The Board of Directors may also choose one or more Assistant Secre- tary and Assistant Treasurer and such other officers as in their judgment may be necessary. All officers must be either members of the Board of Directors, Members of the Association, or lessees or occupants entitled to the use of The Properties in lieu of the Member renting or permitting them to occupy the Home in which they reside. Two or more offices may not be held by the same person. Section 2. Election. The Board of Directors, at its first meeting after each annual meeting of the Association Members, shall elect a President, a Vice President, a Secretary and a Treasurer. Only the President must be a member of the Board. Section 3. Appointive Officers. The Board may appoint such other officers and agents as it shall deem necessary who shall hold their offices for such terms and shall exercise such powers and perform such duties as shall be determined from time to time by the Board. Section 4. Term. The officers shall hold office for a period of one year or until their successors are chosen and qual- ify in their stead. An officer elected or appointed by the Board of Directors may be removed with or without cause, at any time, by the affirmative vote of a majority of the Board of Directors present at such meeting, provided prior notice was given to all Board members that this item was on the agenda for such meeting. If the office of any officer becomes vacant for any reason, the vacancy shall be filled by the Board of Directors. Section 5. The President. The President shall be the chief i executive officer of the Association; he shall preside at all meetings of the Associati6n Members and the Board of Directors, shall be an ex-officio member of all standing committees, shall have general and active management of the business of the Associ- ation, shall see that all orders and resolutions of the Board are carried into effect and shall have such other powers and duties as are usually vested in the office of the President of a cor- poration organized under the Not-for-Profit Corporation Law of the State of New York. Section 6. The Vice President. The Vice President shall take the place of the President and perform his duties whenever the President shall be absent or unable to act and shall have such other powers and duties as are usually vested in the office of Vice President of a corporation organized under the Not-for- Profit Corporation Law of the State of New York. Section 7. The Secretary. The Secretary and/or Assistant Secretary shall ~attend all sessions of the Board and all meetings : of Association Members and record all votes and the minutes of all proceedings in a book to be kept for that purpose and shall per- form like duties for the standing committees when required. He shall give, or cause to be given, notice of all meetings of Association Members and special meetings of the Board of Directors, and shall perform such other duties as may be prescribed by the Board of Directors or by the President, under whose supervision he shall be. Section 8. The Treasurer. The Treasurer shall have the custody of the Association funds and securities and shall keep full and accurate chronological accounts of receipts and dis- bursements in books belonging to the Association including the vouchers for such disbursements, and shall deposit all monies, and other valuable effects in the name and to the credit of the Association in such depositories as may be designated by the Board of Directors. These duties may also be exercised by the Managing Agent, if any. However, such Managing Agent shall not replace the Treasurer. He shall disburse the funds of the Association as he may be ordered by the Board, making proper vouchers for such disbursements and shall render to the President and Director~ at the regular meeting of the Board or whenever they may require it, an account of all his transactions as Treasurer and of the financial condition of the Association. He shall keep detailed financial records and books of account of the Association, including a separate account for each Member, which among other things, shall contain the amount of each assessment, the date when due, the amount paid thereon and the balance remaining unpaid. Section 9. Agreements, etc. Ail agreements and other instruments shall be executed by the President or such other per- son as may be designated by the Board of Directors. ARTICLE X - NOTICES Section 1. Definitions. Whenever under the provisions of the Declaration or of these By-Laws, notice is required to be given to the Board of Directors or to any Director or Association ~ember, it shall not be construed to mean personal notice; but such notice may be given in writing, by mail, by depositing the same in a post office or letter box in a postpaid sealed wrapper addressed to the Board of Directors, such Director, or Member, such address as appears on the books of the Association. Section 2. Service of Notice - Waiver. Whenever any notice is required to be given under the provisions of the Declaration, or of these By-Laws, a waiver thereof, in writing, signed by the person or persons enttiled to such notice, whether before or after the time stated therein, shall be deemed the equivalent thereof. ARTICLE XI - AMENDMENTS These By-Laws may be altered, amended or added to at any duly called meeting of Association Members provided: (1) that the notice of the meeting shall contain a full statement of the proposed amendment, and (2) that the amendment shall be approved by vote of at least sixty-six and two-thirds percent (66-2/3%) of the Members. No amendment, however, shall affect or impair the validity or priority of the Members' interests and the interests of holders of a mortgage encumbering a Member's Lot. Nor shall any amendment have the effect of infringing upon the Developer's right to make membership in or use of the Association available to purchasers or lessees of the Lots on The Properties. ARTICLE XII SELLING~ LEASING AND GIFTS OF LOTS Section 1. Selling and Leasing Lots. Any Lot may be con- veyed or leased by a Member free of any restrictions except that no Member shall convey, mortgage, pledge, hypothecate, sell or lease his Lot unless and until all unpaid Association expenses assessed against the Lot shall have been paid as directed by the Board of Directors. Such unpaid Association expenses, however, may be paid out of the proceeds from the sale of a Lot, or by the! Grantee. Any sale or lease of a Lot in violation of this section~ shall be voidable at the election of the Board of Directors. Upon the written request of a Member of his mortgagee, the Board or its designee shall furnish a written statement of the unpaid charges due from such Member which shall be conclusive evidence of the payment of amounts assessed prior to the date of the statement. A reasonable charge may be made by the Board for the issuance of such statements. The provisions of this section shall not apply to the acquisition of a lot by a mortgagee who shall acquire title to such Lot by foreclosure or by deed in lieu of foreclosure. In such event the unpaid assessments against the Lot which were assessed and became due prior to the acquisition of title to such Lot by such mortgagee shall be deemed waived by the Association and shall be charged to all other members of the Association as a common expense. Such provisions shall, however, apply to any assessment which are assessed and become due after the acquisi- tion of title to such Lot by the mortgagee and to any purchaser from such mortgagee. Whenever the term "Lot" is referred to in this section, it shall include the Lot, the Members's interest in the Association and the Member's interest in any Lots acquired by the Association. Section 2 Gifts, etc. Any Member may convey or transfer his Lot by gift during his lifetime or devise his Lot by will or pass the same by intestacy without restriction. ARTICLE XiII - GENERAL PROVISION~ Section 1. Fiscal Year. The fiscal year of the Association shall be fixed by resolution of the Board of Directors. Section 2. Seal. The Association seal shall have inscribed thereon the name of the Association and the year of its incor- poration under the laws of the State of New York. The seal may be used by causing it or a facsimile thereof to be impressed or affixed or in any manner reproduced. Section 3. Examination of Books and Records. Each Member, or their respective representatives and first mortgagees, shall be entitled to a reasonable examination of the books and records of the Association at any time upon reasonable notice to its Board of Directors. The Declaration, Certificate of Incorporatior and the By-Laws of the Association shall be available for inspec- tion by any Member or first mortgagee at the principal office of the Association. Section 4. Construction. Whenever the masculine singular form of the pronoun is u~ed in these By-Laws, it shall be con- strued to mean the masculine, feminime or neuter, singular or plural, whenever the context so requires. In the case of any conflict between the Certificate of Incorporation and these By-Laws, the Certificate shall control; and in the case of any conflict between the Declaration and these By-Laws, the Declaration shall control. Section 5. Severability. Should any of the covenants, terms! or provisions herein imposed by or become unenforceable at law or in equity, the remaining provisions of these By-Laws shall, nevertheless, be and remain in full force and effect. Dated: DECLARATION OF COVENANTS AND RESTRICTIONS This declaration made this day of , 1990; be YOUNGS AVENUE DEVELOPMENT ASSOCIATES, a partnership with its principal office located at 44 Elm Street, Huntington, New York; and RAILROAD AVENUE REALTY ASSOCIATES, a partnership with its principal office located at 44 Elm Street, Huntington, New York W I TN E S S E TH : WHEREAS, YOUNGS' AVENUE DEVELOPMENT ASSOCIATES, a partnership with its principal office located at 44 Elm Street, Huntington, New York, and RAILROAD AVENUE REALTY ASSOCIATES, a partnership with its principal office located at 44 Elm Street, Huntington, New York, hereinafter referred to as the "Declarant", are the owners in fee simple of certain premises in the Town of Southold, County of Suffolk and State of New York, known and designated on a certain map entitled, MAP OF CORNFIELDS, a subdivision situate at Southold, Town of Southold, County of Suffolk and State of New York, filed in the Office of the Clerk of Suffolk County as Map No. on the day of , 1990, and bearing Tax Map No. 1000-055.00-02.00-009.001; and WHEREAS, said YOUNGS AVENUE DEVELOPMENT ASSOCIATES and RAILROAD AVENUE REALTY ASSOCIATES, are improving said premises as a planned suburban residential community and contemplate the said premises to be conveyed to individual purchasers; and WHEREAS, said YOUNGS AVENUE DEVELOPMENT ASSOCIATES and RAILROAD AVENUE REALTY ASSOCIATES are desirous of placing certain restrictions upon said premises which shall be binding upon all purchasers and mortgagees of individual lots, their heirs, executors, administrators, and assigns or other successors in interest; NOW, THEREFORE, YOUNGS AVENUE DEVELOPMENT ASSOCIATES and RAILROAD AVENUE REALTY ASSOCIATES declare that the aforesaid landl is held and shall be conveyed subject to the following covenants and restrictions which shall run with the land in perpetuity. 1. Construction Requirements (a) Type of Building No building shall be erected, altered, placed or permitted to remain other than detached single family dwellings not to exceed two and one-half (2-1/2) stories in height and having a private garage for not less than two (2) cars. (b) Accessory Buildings No carport or other accessory building of any kind may be erected except: (1) a detached garage, (2) an accessory building used in conjunction with a swimming pool, (3) a tool shed for the storage of lawn maintenance equipment and other maintenance equipment used in conjunction with such individual lot. (c) Swimming Pool Private swimming pools may be constructed on any lot provided they are situated in the rear yard only and provided further that no portion of any such pool or its appurtenances shall be closer than thirty (30) feet to the rear or side lot lines. No above-ground swimming pools shall be erected or maintained on any of said lots. (d) Dwelling Square Footage Requirements No dwelling shall be permitted on any lot unless the ground floor area of the main structure, ex- clusive of one-story open porches and garages, shall be not less than 1500 square feet. If the living area is on more than one floor, the total living area shall not be less than 1800 square feet with a minimum first floor of 1000 square feet. (e) No part of any building and/or structure, except uncovered steps, stoops, terraces, patios and chimney breasts shall be located upon any lot within seventy (70) feet of the front street line of the lot nor within thirty (30) feet of any side line of the lot, nor within forty (40) feet of the rear line of the lot, except that in the case of a corner lot a building shall be required to comply with the front yard restrictions on one street front only, provided, however, that the width of the side yard abutting on the street other than that upon which the lot fronts shall be not less than forty (40) feet. (f) Approval of Construction Plans Ail plans for the construction of any building and/or structure and the siting and facing upon the plot must be presented to and approved in writing by YOUNGS AVENUE DEVELOPMENT ASSOCIATES and/or RAILROAD AVENUE REALTY ASSOCIATES, their successors or assigns, prior to the start of any construction. Such approval, which shall not be unreasonably withheld, shall be based upon the judgment of YOUNGS AVENUE DEVELOPMENT ASSOCIATES and/or RAILROAD AVENUE REALTY ASSOCIATES as to whether the proposed structure will be consistent with, and will not detract from the aesthetic character of the CORNFIELDS community. All exterior construction, painting and grading shall be completed within one (1) year after commencement of construction. This approval is in addition to any building permits or other approvals required by the Town of Southold. (g) Building Modification Ail permitted accessory buildings and additions or other modifications thereto, and any modification of the initial residential building, including any breezeway or other structure connecting an addition to the main dwelling, shall conform in architecture, material and color to such dwelling. Any attached addition to the initial residential dwelling shall not project more than five (5) feet beyond the front wall of the dwelling or structure as originally approved. 2. Restriction on Division and Use of Lots No lot shall be divided and conveyed as two or more separate parcels. Nor shall more than one single family dwelling house be located on any lot. 3. Residential Use of Lots No lot shall be used except for residential purposes. 4. Signs No sign of any kind shall be displayed to the public view on any lot except one professional sign of not more than one square foot, without the written consent of YOUNDS AVENUE DEVELOP- ~ENT ASSOCIATES and/or RAILROAD AVENUE REALTY ASSOCIATES, their successors or assigns. This consent is in addition to any build- ing permits or other approvals required by the Town of Southold 5. Animals No animals, livestock or poultry of any kind shall be raised, bred or kept on any lot, except that of dogs, cats or other household pets which may be kept provided that they are not kept, bred or maintained for any commercial pruposes. In no event shall more than two (2) such household pets be kept, bred or main- tained on any such lot. 6. Trailers, Tents and Shacks No trailer, except a boat trailer as hereinafter provided, or tent, shall be located, erected or used permanently on any lot. No trailer, except the boat trailer as hereinafter provided, or tent shall be located, erected or used on any lot for a continuousl period exceeding five (5) days, and shall not be placed on any lot so as to be visible when the lot is viewed from the front boundary of such lot. No boat or boat trailer in excess of twentyI (20) feet overall length shall be placed on any lot unless in a garage or authorized existing building. No motor home/camper shall be placed on any lot unless in a garage or authorized existing building. 7. Annoying Activities No noxious or offensive activity shall be carried upon any lot, nor shall anything be done thereon which may be or may become an annoyance or nuisance to the neighborhood. 8. Trash Garbage or rubbish shall not be dumped or allowed to remain on any lot. All garbage to be collected must be contained in closed receptacles, placed inconspicuously outside the dwellingi for collection. Trash or rubbish shall not be burned upon the premises. 9. Clotheslines Clotheslines and laundry poles must be located in the rear yard and placed so as not to be visible from the street. 10. Fences Fences, whether fabricated or growing, shall not exceed four (4) feet in height, except fences which enclose a tennis court which shall not exceed twelve (12) feet in height. 11. Tree Planting Each lot Owner will plant trees in front of cleared lots outside the bed of the road with 2" minimum caliber. The trees shall be planted twenty (20) feet apart. These plantings are in addition to any other plantings required by the Town of Southold. 12. Common Drive and Open Space (a) 9pen Space Area Subdivider has set aside, as indicated on the subdivision map, open space areas for the use of the owners of lots and their guests and invitees. Said open space areas shall be used exclusively for purposes of passive recreation and no build- ings, structures or other improvements shall be constructed thereon. (b) Upkeep of Common Drives Owners of lots 1, 2, 3, 4, 5, 6, 7, and 8 that have access to a common drive shall be responsible for their proprotionate share of real estate taxes attributable to the common drives and the upkeep and snow removal thereof. (c) Upkeep of Open Space Areas Each lot Owner shall be responsible for one- tenth (1/10th) of the real estate taxes attribut- able to the Open space areas. All decisions as to the upkeep and maintenance of the open space areas, including decisions as to the extent and cost of any repairs thereof, shall be at the exclusive direction of the subdivider or its successors in interest, or an association of property owners as hereafter provided. (d) Payment of Contributions by Lot Owner~ While the subdivider holds title to the open space areas, it will pay the taxes and expenses mentioned in Paragraph (c) above, and will sub- mit bills to the individual lot owners for their respective contributions. Such bills will be paid in full to the subdivider by the then present lot owner within thirty (30) days after said bills have been mailed to such present lot owner. In the event that any such bills are not paid by any present lot Owner, such charge shall become a lien against any such lot. (e) Homeowners Association (i) The words "Homeowners Association or "Association" as used herein shall refer to an incorporated not-for-profit organization operating under recorded land agreements through which each lot Owner is automatically subject to a charge for a proportionate share of the expenses of the activities of the organization. (ii) The wors "Lot Owner", as used herein, shall refer to the record owner of fee simple title in and to any lot in the subdivision, including the Declarant as to an unsold lot. (iii) Declarant shall assume all responsibil- ities of the Homeowners Association until such time as Declarant has conveyed 51% of the lots to the Lot Owners. At such time, Declarant, its successors and assigns, shall, at its own cost and expense, incorporate a Homeowners Associa- tion and within sixty (60) days thereafter shall convey title to the Open Space Areas to the Homeowners Association. (iv) Upon the creation of the Homeowners Association, as hereinabove provided, all res- ponsibility for operation and maintenance of the Open Space Areas shall lie with the Association. Every Lot Owner shall be deemed a member of the Association, and shall be subject to the by- laws and rules and regulations thereof. (v) Within sixty (60) days after the creation of said Homeowners Association, by-laws shall be adopted for the government thereof, which said by-laws and any amendments thereto shall be approved by the Town Board of the Town of Southold. (B) The Association shall be perpetual; it shall purchase insurance, pay taxes, specify an annual homeowner's fee. Each and every Lot Owner shall be subject to a pro- portionate share of the aforementioned ex- penses of the Association, as well as any and all expenses incurred by the Association for the improvement, maintenance and use of the Open Space Areas. (C) The Association shall have the right to suspend the voting rights of a Lot Owner for his failure to pay when due any and all charges due the Association; and that all such unpaid charges shall become a lien on the property of such Lot Owner in favor of the Association. The Association shall have the right to proceed in accordance with all necessary legal action for the foreclosure and enforcement of liens, and it shall also have the right to commence action against any Lot Owner for the collection of any unpaid assessment in any court of competent juris- diction. (f) (D) The Association shall have the right to borrow such sums of money as it deems necessary for the maintenance and improvement of the Open Space Areas, and to secure the same by a lien on the Open Space Areas. Utility Easement An easement along the road of said map or any other area necessary is hereby specifically reserved for the installation and maintenance of wire and conduits and of all proper and necessary attach- ments for the underground service of electric power and telephone service and for the in- stallation and maintenance of any utilities, if any, provided, however, that said easements shall be under areas designated by municipal or public utilities authorities. 13. Invalidation of any one of these COvenants by judgment or Court order shall in no way affect any of the other provisions which shall remain in full force and effect. 14. Enforcement shall be by proceedings at law or in equity brought by YOUNGS AVENUE DEVELOPMENT ASSOCIATES and/or RAILROAD AVENUE REALTY ASSOCIATES, their successors and assigns, or by the Owner of any lot against any person or persons violating or attempting to violate any COvenant or restriction, either to restrain violation or to recover damages or both. In addition, the Town of Southold may bring a proceeding to enforce these covenants and restrictions. 15. Failure by YOUNGS AVENUE DEVELOPMENT ASSOCIATES and/or RAILROAD AVENUE REALTy ASSOCIATES, their successors and assigns, or of any Owner to enforce all of the provisions herein shall in no event be deemed a waiver of the right to do so thereafter. 16. Casing shall be (8) eight inches in diameter. B. Screen shall be stainless steel and shall have an open slot length of not less than (20) twenty feet. C. Flow rate shall be a minimum of 350 gallons per minute for a period of (2) two hours. Where ground wa~e[is more than (15) fifteen feet from road level at the well site, the well will conform to the following minimum standards. A. Casing shall be (10) ten inches in diameter. B. Screen shall be stainless steel and shall have an open slot length of not less than (20) twenty feet. C. A 10 (ten) horsepower 3 phase submersible pump or larger shall be in- stalled in order to maintain 350 G.P.M. at 10 PSI at the tope of the well. Pump shall be of the submersible turbine type, equipped with grease-packed bearings in bowl assemblies. The bowls shall be of a smooth finish design to guide the water from one state to the next with a minimum of turbulence. D. Top of the well is to be finished off with a 4~ "well seal, and "solid brass ferrule and cap. The hose threads and hy- drant wrench nut shall conform to the standards of the Southold Fire District. 3. Power Requirements: A. Ail electrical work will conform to and be approved by LILCO, New York Board of Fire Underwriters and the Town of Southold where ap- plicable. B. Installation shall be underground from LILCO distribution facilities. C. Power requirements will be 3 phase 240 volt delta with a minimum service switch of 150 Ampere. D. An enclosure shall be constructed around the electrical equipment which will be weather-tight and capable of being locked. E. Additional electrical equipment to be installed will be: a circuit breaker panel, 115 volt duplex receptacle, switch and inside light, on and off switch for pump, magnetic starter switch of 60 amp rating, double pole double throw 3 phase main disconnect, 3 phase plug to fit Fire Department generator. 4. When 3 phase electric service is not available, the following will be in- stalled, in addition to Section #3: A. Power requirements will be 1 phase 240 volt delta with a minimum service switch of 150 Ampere. B. Install roto-phase motor sized to operate pump. C. Roto-phase motor will be installed on a cement foundation. D. Roto-phase motor must be enclosed. After due study and deliberation it resolved to approve said map subject to the following eight conditions that are deemed necessary to help preserve the traffic safety and carrying capacity of Middle Road, a county road, and for good planning and land use. 1. The proposed lots and road on the northerly side of the Long Island Lighting Company high tension line easement shall be shifted 150 ~ feet to the north. This is felt to be necessary to unify the open space and, more importantly, to provide the greatest distance possible between the high tension line and the residences. Residences should not be located in close proximity to high tension lines because of potential health hazards. 2. No lot line shall be changed in any manner at any future date unless authorized by the Southold Town Planning Board. Should "Out Parcel" be sold to the owner of an adjacent parcel as proposed, the "out parcel" shall then be incorporated into the adjacent owner's parcel so that the "out parcel" will not exist as a single, substandard parcel. If the "out parcel" is not sold as proposed it shall then be incorporated into one of the lots so that it will not exist as a single, substandard parcel. Page -2- 4. Ail stormwater runoff resulting from the development and improvement of this subdivision or any of its lots shall be retained on the site by adequate drainage structures so that it will not flow into the recharge basin that is part of the county road, Middle Road. 5. The Open Space areas shall not be individually owned or retained by the subdivider. 6. The following requirements shall be taken to insure that the "open space area" shown on this map remain as open space excluded from future development. a) A homeowners' association shall be formed, if one does not already exist, to manage the "open space area". b) Assessment of the "open space area" shall be based upon this area being open space and/or a recreational area. Such an area should be given a "zero" assessment and the assessment records prepared both for the open space area and all the affected properties within the subdivision show that the value of the open space area is "reflected" on the tax rolls by adding the proportionate share of the value of the common property to the value of the remaining properties in the subdivision. e) d) The "open space area" shall not be subdivided in the future or used for commercial purposes. The homeowners' association shall not use the "open space area" as collateral for improvements within the subdivision. e) The homeowners' association shall meet all requirements and regulations of the State Attorney General's office. (Refer to 13 N.Y.S.R.R. Parts 20, 21, and 22, issued by the New York State Department of Law). f) g) These requirements are necessary not only to protect the taxpayers of the Town of Southold but to prevent the county from having to acquire the property as the result of failure of the homeowners' association to pay the taxes on the "open space area" and put this area up for sale at an auction of tax delinquent parcels. Dissolution of the homeowners' association shall be prohibited without the approval of the Town Board or Planning Board. Conditions 1-5, inclusive, shall be filed as covenants and restrictions in the office of the County Clerk on or prior to the granting of approval to this subdivision. Page -3- These covenants and restrictions can be modified only at the request of the then owner of the premises with the approval of a majority plus one of the Town Board or Planning Board of the Town of Southold after a public hearing. Adjoining property owners shall be entitled to notice of such public hearing but their consent to such modification shall not be required. 8. The final ~p shall hear the following note: A Declaration of Covenants and Restrictions has been filed in the Suffolk County Clerk's office which affects lots in this subdivision. The Commission also offers the following comments on the map for your use and consideration: 1.
