Dear Mr. Saland:
The following action was taken by the Southold Town Planning Board,
Monday, January Z1, 1985.
RESOLVED that whereas, a formal application for the approval of a
subdivision plat entitled "Laurel Estates" located at
Laurel was submitted to the Planning Board on April 26, 1984
and, filing fee of $350.00 was paid on April 26, 1984.
WHEREAS, a public hearing was held on said subdivision application
and plat at the Town Hall, Southold, New York, on January 7, 1985 at
7:45 p,m., and
WHEREAS, the requirements of the Subdivision Regulations of the Town
of Southold have been met by said subdivision plat and application,
NOW, therefore, be it RESOLVED that the application of David Saland
et. al. for approval of said subdivision plat prepared by
Howard Young dated October 6, 1984 , be approved and the
chairman be authorized to endorse approval on said subdivision plat
su 7ect to the ollowing conditions to be completed within 6 months
from the date of this resolution.
1. Filing of the covenants and restrictions for the homeowners
association with the County Clerk.
2. Filing of the covenants and restrictions as per the Board's
request, dated April 1984 with the County Clerk.
Upon reciept of notice that the above conditions have been met, the

2. No title in and to the bed of the road is to be

title and the right to dedicate and convey the said title to
the Town of Southold, of Declarants may convey title to the bed

~ of the road, to the center line thereof, to each of the lot
owners and each of the lot owners by accepting his deed agrees to
accept same when delivered by Declarants. However, the land in '
'the bed of the streets shown on said map shall be subject to
easements to provide for the installation and maintenance of all

'installed, to provide service for the lot owners, whether

3. Declarants hereby declare that the interior twenty-two (22)

ARTICLE II - PROVISIONS
NOW, THEREFORE, it is declared that the said premises is
hereby held and shall be sold and conveyed subject to the
i'reservations, restrictions, conditions, covenants and agreements
(hereinafter set forth, to wit:
1. Declarants shall assume all responsibilities of the

ii Homeowners Association until such time as Declarants have
'conveyed seven (7) of the lots to the Lot Owners. At such time,
Declarants, their successors and assigns, shall, at their own
.cost and expense, incorporate a Homeowners Association and within
sixty (50) days thereafter shall convey title to the Open Space
to the Homeowners Association.
2. Upon the creation of the Homeowners Association, as
hereinbefore provided, all responsibility for operation and
maintenance of the Open Space shall lie with the Association.
Every Lot Owner shall be deemed a member of the Association, and
',shall be subject to the by-laws and rules and regulations

'thereof.
3. Within sixty (60) days after the creation of said
!iHomeowners Association, by-laws shall be adopted for the
I~government thereof, which said by-laws and any amendments thereto

~~shall be approved by the Town Board of the Town of Southold.
4. The by-laws of the Homeowners Association shall, in
addition to other matters, provide for the following:

(a) Each Lot Owner shall be entitled to one (1) vote at

Each and every Lot Owner shall be subject to a proportionate
share of the aforementioned expenses of the Association, as well

(c) The Association shall have the right to suspend the

Dear Mr. Orlowski:
The Suffolk County Planning Commission at its regular meeting on December
5, 1984, reviewed the proposed subdivision plat entitled, "Map of Section 1,
"Laurel Estates", referred to it pursuant to Section 1333 of the Suffolk County
Charter. After due study and deliberation it resolved to disapprove said map
for the following reasons:
1. Approval of Section 1 would be paramount to approval of Section 2
whose layout is totally unsatisfactory. Approval of Section 1
would lock in the layout of Section 2.
2. It was stated in the referral materials that Section 2 will be
treated as a minor subdivision, which usually means that a map of
Section 2 will not be filed in the County Clerk's office. A map
or maps for this subdivision whether showing the subdivision of
this tract in its entirety or by sections should be filed in the
County Clerk's office in keeping with the intent of Section 335 of
the Real Property Law.
3. The proposed subdivision of the tract will result in the creation of
three landlocked parcels; that is, parcels that do not have frontage
on an existing or proposed public road. The creation of such lots
is contrary to good subdivision layout principles and creates problems
as far as access by emergency and service equipment is concerned; this
could result in health, safety and welfare problems for the future
residents of these lots, Creation of landlocked lots also places the
Zoning Board of Appeals in the awkward position of having to grant a
building permit for each of these lots under Section 280-a ofthe Town
Law as the future owners of these lots cannot be held responsible for
the landlocked nature of the parcels.

DECLARATION OF COVENANTS AND RESTRICTIONS
DECLARATION made this day of , 198 , by
LUIS SAN ANDRES and LYNN SAN ANDRES, residing at 27 West 57th
Street, New York 10023, and DAVID J. SALAND, residing at (No k)
Main Road, Jamesport, New York 11997, hereinafter referred to as
the "Declarants".
W I T N E S S E T H
WHEREAS, Declarants are the owners in fee simple of a
certain parcel of land situate at Laurel, Town of Southold,
County of Suffolk and State of New York, being the premises
described in deed dated July 8, 1983, made by Laurel Properties,
recorded in the Suffolk County Clerk's Office on 7/13/83, in
Liber 9385 at page 159, a metes and bounds description of which
is shown on Schedule "A" as attached hereto and made a part
hereof, and referred to herein as the "premises".
WHEREAS, the Declarant intends to subdivide said premises
for residential purposes and desires to subject said premises to
certain reservations, restrictions, conditions, covenants and
agreements.
ARTICLE I - DEFINITIONS
1. The words "Subdivision", "Subdivision Map" or "Map,
when used herein, are intended to mean the subdivision map of the
premises entitled "Subdivision Sketch Plan prepared for Laurel
Estates, at Laurel, Town of Southold, Suff. Co N.Y.",
heretofore approved or about to be approved by the Southold Town
Planning Board, and filed or about to be filed in the Suffolk
County Clerk's Office.
2. The words "Lot Owner", as used herein, shall refer to
the record owner of fee simple title in and to any lot in the
subdivision, including the Declarants as to an unsold lot.
3. The words "Homeowners Association" or "Association", as
used herein, shall refer to an incorporated nonprofit
organization operating under recorded land agreements through

which each lot owner is automatically subject to a charge for a
proportionate share of the expenses for the organization's
activities.
9. The words "Open Space", as used herein, shall refer to
the interior twenty-two (22) acres as shown on the Subdivision
Map.
ARTICLE II - PROVISIONS
NOW, THEREFORE, it is declared that the said premises is
hereby held and shall be sold and conveyed subject to the
reservations, restrictions, conditions, covenants and agreements
hereinafter set forth, to wit:
1. Declarants shall assume all responsibilities of the
Homeowners Association until such time as Declarants have
conveyed seven (7) of the lots to the Lot Owners. At such time,
Declarants, their successors and assigns, shall, at their own
cost and expense, incorporate a Homeowners Association and within
sixty (60) days thereafter shall convey title to the Open Space
to the Homeowners Association.
7_. Upon the creation of the Homeowners Association, as
hereinbefore provided, all responsibility for operation and
maintenance of the Open Space shall lie with the Association.
Every Lot Owner shall be deemed a member of the Association, and
shall be subject to the by-laws and rules and regulations
thereof.
3. Within sixty (69) days after the creation of said
Homeowners Association, by-laws shall be adopted for the
government thereof, which said by-laws and any amendments thereto
shall be approved by the Town Board of the Town of Southold.
4. The by-laws of the Homeowners Association shall, in
addition to other matters, provide for the following:
(a) Each Lot Owner shall be entitled to one (1) vote at
any meeting of the Association. Every Lot Owner shall be treated
for all purposes as a single owner for each lot held,
irrespective of whether such ownership is held jointly, in

common, or tenancy by the entirety.
(b) The Association shall be perpetual; it shall
purchase insurance, pay taxes, specify an annual homeowner's fee.
Each and every Lot Owner shall be subject to a proportionate
share of the aforementioned expenses of the Association, as well
as any and all expenses incurred by the Association for the
improvement, maintenance and use of the Open Space.
(c) The Association shall have the right to suspend the
voting rights of a Lot Owner for his failure to pay when due any
and all charges due the Association; and that all such unpaid
charges shall become a lien on the property of such Lot Owner in
favor of the Association. The Association shall have the right
to proceed in accordance with all necessary legal action for the
foreclosure and enforcement of liens, and it shall also have the
right to commence action against any Lot Owner for the collection
of any unpaid assessment in any court of competent jurisdiction.
(d) The Association shall have the right to borrow such
sums of money as it deems necessary for the maintenance and
improvement of the Open Space, and to secure the same by a lien
on the Open Space.
5. The use of the Open Space shall be as set forth in
Declaration of Covenants and Restrictions dated / /89, to wit:
"The interior twenty-two (22) acres as
shown on "Subdivision Sketch Plan prepared
for Laurel Estates at Laurel, Town of
Southold, Suff. Co., N.Y.", heretofore
approved or about to be approved by the
Southold Town Planning Board and filed or
about to be filed in the Suffolk County
Clerk's Office, shall be leased to
Declarants, or to whomever they shall
designate, for agricultural purposes. The
term of the lease to be for such a period
of time as determined by Declarants, or
their designee, at the inception of the
lease. The consideration shall be that
tenant shall pay the real estate taxes on
the said 22 acres and maintenance costs."
Upon the termination of such lease, the Open Space shall
subject to the sole jurisdiction of the Homeowners Association,
in accordance with the terms hereof. '
6. These covenants and restrictions shall run with the

land hereby and shall bind and inure to the benefit of said
parties hereto, their heirs, administrators and assigns until
January 1, 2000, after which time they shall be automatically
extended for successive periods of ten (10) years each unless an
instrument signed by the then owners of a majority of all of the
lots agree to change such covenants and restrictions in whole or
in part, shall have been recorded. However, notwithstanding any
of the above, the Open Space shall remain in perpetuity.
7. Declarants hereby reserve the right to annul, waive,
change or modify any of the reservations, conditions, covenants
and agreements herein contained, and the right to impose
additional covenants as may be required by either the Southold
Town Planning Board or the Southold Town Board to effectuate the
premises under the "cluster concept" set forth in the Southold
Town Code. All Lot Owners, their successocs,_administrators and
assigns, shall be bound by any such future covenants and
restrictions.

Dear Mr, Raynor:
In accordance with your request the staff has examined the proposed subdivi-
sion layout for a 59.766 acre tract reputedly owned by Laurel Properties and offer
the following comments on the map for your use.
It is the opinion of the staff that the Suffolk County Planning Commission
will consider this proposed subdivision to be unsatisfactory unless the following
information is provided.
1. Purpose of Lot 16. If this lot is to be subdivided in the future why has
not an overall layout plan been developed with a proposed street tie-in
to Aldrich Lane.
2. Purpose of "Open Space" area. Why is this parcel landlocked?
3. If this is a "cluster" subdivision a yield map must be provided.
4. Covenants and restrictions that will be placed upon subdivision to insure
that the open space area remains undeveloped and does not end up in County
ownership because of nonpayment of taxes.
It would be helpful to the staff to have the lots roughly dimensioned on the
map submitted for review.
Staff comments on a preliminary map do not constitute a review of the map by
the Suffolk County Planning Commission, When the map has been finalized it should
be referred to the Commission for review pursuant to Section 1333 of the Suffolk
County Charter,

hereinafter referred to as "Declarants".
WHEREAS, Declarants are the owners in fee simple of a certain parcel of I~
land situate at Laurel, Town of Southold, County of Suffolk and State of New
York, being the premises described in deed dated July 8, 1983, made by Laurel
ii Properties, recorded in the Suffolk County Clerk's Office on 7/13/83, in I
Liber 9386 at page 169, a metes and bounds description of which is shown on
Schedule "A" as attached hereto and made a part hereof, and referred to herein,,
as the "premises".
WHEREAS, the Declarants intend to subdivide said premises for residential
purposes and desire to subject said premises to certain conditions, covenants
and restrictions.
NOW THEREFORE, the Declarants do hereby declare that the aforesaid
ii premises and every portion thereof is hereby held and shall be conveyed sub-
j', ject to the conditions, covenants and restrictions hereinafter set forth, and
that every purchaser of said premises or any portion thereof, by the accep-

tance of a deed thereto, covenants and agrees that the premises so purchased
shall be held subject to the covenants, conditions, and restrictions herein-

1. The words "Subdivision", "Subdivision Map" or "Map" when used herein
are intended to mean the subdivision map of the premises entitled "Subdivision',
Sketch Plan prepared for Laurel Estates at Laurel, Town of Southold, Suff. Co.
I' N.Y.", heretofore approved or about to be approved by the Southold Town
Planning Board and filed or about to be filed in the Suffolk County Clerk's i

2. No title in and to the bed of the road is to be conveyed to the lot
purchasers. The Declarants retain the said title and the right to dedicate
and convey the said title to the Town of Southold, or Declarants may convey
title to the bed of the road, to the center line thereof, to each of the lot
owners and each of the lot owners by accepting his deed agrees to accept same

when delivered by Declarants. However, the land in the bed of the streets
shown on said map shall be subject to easements to provide for the instal-
lation and maintenance of all utilities, Cable T.V., dranage facilities now
or hereafter installed to provide service for the lot owners, whether installed
on the surf act of, or above or below the ground.

3. Declarants hereby declare that the interior twenty-two (22) acres as
shown on said map will remain open space in perpetuity, except that the said I
area may be used for agricultural purposes, including, but not limited to:

DESCRIPTION OF ACTION
The major subdivision of Laurel Estates, a 16 lot cluster
development located at Laurel.
The project has been determined not to have a significant
effect on the environment for the following reasons:
An environmental assessment has been submitted which
indicated that no significant adverse effects to the
environment were likely to occur should the project
be implemented as planned.
Because there has been no response in the allotted time from
the New York State Department of Environmental Conservation
it is assumed that there is no objection nor comments by
that agency.
Because there has been no response from the Suffolk County

RESOLVED that the Southold Town Planning Board declare
itself lead agency with regard to the State Environmental

"Laurel Estates, located at Laurel.
RESOLVED that the Southold Town Planning Board approve
the sketch map of the proposed cluster development as indica-
ted an the map "Laurel Estates", located at Laurel, subject
to the following conditions:
(1) Town Board approval for this property to
be developed in a cluster concept.
(2) Covenants and restrictions stating the
interior 22- acres will remain open space

State Environmental quality Review Act and 6NYCRR Part 617, Section
617.10 and Chapter 44 of the Code of the Town of Southold, notice is
hereby given that Southold Town Planning Board as lead agency for
the action described below has determined that the project will not
have a significant effect on the environment.
DESCRIPTION OF ACTION
The major subdivision of Laurel Estates, a 16 lot cluster
development located at Laurel.
The project has been determined not to have a significant
effect on the environment for the following reasons:
An environmental assessment has been submitted which
indicated that no significant adverse effects to the
environment were likely to occur should the project
be implemented as planned.
Because there has been no response in the allotted time from
the New York State Department of Environmental Conservation
it is assumed that there is no objection nor comments by
that agency.
Because there has been no response from the Suffolk County
Department of Health Services in the allotted time, it is
assumed that there is no objections nor com,nents by that

The project will meet all the requirements of the Code
of the Town of Southold Subdivision of Land Regulations.

which each lot owner is automatically subject to a charge for a
proportionate share of the expenses for the organization's
activities.
4. The words "Open Space", as used herein, shall refer to
the interior twenty-two (22) acres as shown on the Subdivision
Map.
ARTICLE II - PROVISIONS
NOW, THEREFORE, it is declared that the said premises is
hereby held and shall be sold and conveyed subject to the
reservations, restrictions, conditions, covenants and agreements
hereinafter set forth, to wit:
1. Declarants shall assume all responsibilities of the
Homeowners Association until such time as Declarants have
conveyed seven (7) of the lots to the Lot Owners. At such time,
Declarants, their successors and assigns, shall, at their own
cost and expense, incorporate a Homeowners Association and within
sixty (60) days thereafter shall convey title to the Open Space
to the Homeowners Association.
2. Upon the creation of the Homeowners Association, as
hereinbefore provided, all responsibility for operation and
maintenance of the Open Space shall lie with the Association.
Every Lot Owner shall be deemed a member of the Association, and
shall be subject to the by-laws and rules and regulations
thereof.
3. Within sixty (50) days after the creation of said
Homeowners Association, by-laws shall be adopted for the
government thereof, which said by-laws and any amendments thereto
shall be approved by the Town Board of the Town of Southold.
4. The by-laws of the Homeowners Association shall, in
addition to other matters, provide for the following:
(a) Each Lot Owner shall be entitled to one (1) vote at
any meeting of the Association. Every Lot Owner shall be treated
for all purposes as a single owner for each lot held,
irrespective of whether such ownership is held jointly, in

common, or tenancy by the entirety.
(b) The Association shall be perpetual; it shall
purchase insurance, pay taxes, specify an annual homeowner's fee.
Each and every Lot Owner shall be subject to a proportionate
share of the aforementioned expenses of the Association, as well
as any and all expenses incurred by the Association for the
improvement, maintenance and use of the Open Space.
(c) The Association shall have the right to suspend the
voting rights of a Lot Owner for his failure to pay when due any
and all charges due the Association; and that all such unpaid
charges shall become a lien on the property of such Lot Owner in
favor of the Association. The Association shall have the right
to proceed in accordance with all necessary legal action for the
foreclosure and enforcement of liens, and it shall also have the
right to commence action against any Lot Owner for the collection
of any unpaid assessment in any court of competent jurisdiction.
(d) The Association shall have the right to borrow such
sums of money as it deems necessary for the maintenance and
improvement of the Open Space, and to secure the same by a lien
on the Open Space.
5. The use of the Open Space shall be as set forth in
Declaration of Covenants and Restrictions dated / /84, to wit:
"The interior twenty-two (22) acres as
shown on "Subdivision Sketch Plan prepared
for Laurel Estates at Laurel, Town of
Southold, Suff. Co., N.Y.", heretofore
approved or about to be approved by the
Southold Town Planning Board and filed or
about to be filed in the Suffolk County
Clerk's Office, shall be leased to
Declarants, or to whomever they shall
designate, for agricultural purposes. The
term of-the lease to be for such a period
of time as determined by Declarants, or
their designee, at the inception of the
lease. The consideration shall be that
tenant shall pay the real estate taxes on
the said 22 acres and maintenance costs."
Upon the termination of such lease, the Open Space shall
subject to the sole jurisdiction of the Homeowners Association,
in accordance with the terms hereof. '
6. These covenants and restrictions shall run with the

land hereby and shall bind and inure to the benefit of said
parties hereto, their heirs, administrators and assigns until
January 1, 2000, after which time they shall be automatically
extended for successive periods of ten (10) years each unless an
instrument signed by the then owners of a majority of all of the
lots agree to change such covenants and restrictions in whole or
in part, shall have been recorded. However, notwithstanding any
of the above, the Open Space shall remain in perpetuity.
7. Declarants hereby reserve the right to annul, waive,
change or modify any of the reservations, conditions, covenants
and agreements herein contained, and the right to impose
additional covenants as may be required by either the Southold
Town Planning Board or the Southold Town Board to effectuate the
premises under the "cluster concept" set forth in the Southold
Town Code. All Lot Owners, their successors,_administrators and
assigns, shall be bound by any such future covenants and
restrictions.
