Dear Mr. Ross:
The following resolution was adopted by the Southold Town
Planning Board at a meeting held on Monday, September 14, 1992.
BE IT RESOLVED that the Southold Town Planning Board
authorize the Chairman to endorse the final surveys dated
January 16 , 1990 .
This subdivision was approved and endorsed on September 10,
1990. However, as the time to file the maps lapsed, it was
necessary that the maps be re-endorsed by the Chairman.
The mylar maps which were endorsed by the Chairman, must be
picked up at this office and filed in the office of the County
Clerk. Any plat not so filed or recorded within sixty ( 60) days
of the date of final approval, shall become null and void.

Dear Ms. Hagen:
The following took place at the meeting of the Southold
Town Planning Board Monday, September 10, 1990.
The final public hearing, which was held at 7 : 35 p.m. , was
closed.
The following resolution was adopted by the Southold Town
Planning Board at the meeting on Monday, September 10, 1990.
WHEREAS, John and Anne Wickham and Thomas and Gekee Wickham
are the owners of the property known and designed as
SCTM#1000-108-8-32.1, located at the east side of New Suffolk
Avenue opposite Wicks Road in Cutchogue; and
WHEREAS, this minor subdivision, to be known as John
Wickham Subdivision, is for 2 lots on 10. 55 acres; and
WHEREAS, the Southold Town Planning Board, pursuant to the
State Environmental Quality Review Act, (Article 8) , Part 617,
declared itself Lead Agency and issued a Negative Declaration on
January 18 , 1990 ; and
WHEREAS, a final public hearing was closed on said
subdivision application at the Town Hall, Southold, New York on
September 10, 1990; and
WHEREAS, all the requirements of the Subdivision
Regulations of the Town of Southold have been met; and

DECLARATION OF COVENANTS AND RESTRICTIONS
DECLARATION made this J•1 day of T.• le 1990, by
JOHN S. WICKHAM and ANNE L. WICKHAM, residing at no # Main
Road, Cutchogue, New York, and THOMAS WICKHAM and GEKEE
WICKHAM, residing at no # West Creek Avenue, Cutchogue, New
York hereinafter referred to as the "Declarant" ;
WHEREAS, the Declarant is the owner in fee simple of a
certain parcel of land situate at New Suffolk, Town of
Southold, County of Suffolk and State of New York, and
designated on the Suffolk County Tax Map as District 1000,
Section 110, Block 8, Lot 32 . 1, being the premises described
in deed recorded in the Suffolk County Clerk's Office on
1000 8-19-85 in Liber 9854 at page 476, a metes and bounds
description of which is shown on Schedule A attached hereto
// Q. 00 and made a part hereof, hereinafter referred to as the

WHEREAS, the Declarant intends to subdivide said
L of premises for residential purposes and desires to subject

restrictions in order to preserve the maximum open
space,natural scenic beauty and natural vegetation and to
prevent overcrowding and to conserve the ground water
resources of the Town of Southold, and
WHEREAS, the Declarant has applied to the Planning
AUS 2 1990 Board of the Town of Southold for approval of the
subdivision of the premises as a Minor Subdivision, to
contain not more than two (2) lots or parcels,
NOW, THEREFORE, the declarant does hereby declare that
the aforesaid premises and every portion thereof is hereby
held and shall be conveyed subject to the conditions,
covenants and restrictions hereinafter set forth, and that
every purchaser of said premises or any portion thereof, by
the acceptance of a deed thereto, covenants and agrees that
the premises so purchased shall be held subject to the
covenants, conditions and restrictions hereinafter set
forth.
1. No lot shall be subdivided or its lot lines changed in any
manner at any future date unless authorized by the
Southold Town Planning Board.
2. Since this tract has the potential to be further
subdivided, any subdivision of any part of this
tract in the future shall have a map of the
subdivision filed in the office of the County
Clerk.
3. Clearing and grading within each lot shall be
limited to that necessary for siting and
constructing a house with the intent of
preserving as much of the natural vegetation
on the site as possible. Limiting clearing
and grading will minimize stormwater runoff
and erosion.
4. No new residential structure or sanitary disposal
facility shall be constructed or otherwise located
within 100 feet of the shoreline of Cutchogue
Harbor and the freshwater wetlands within the
property.
5. These covenants and restrictions can be modified
only at the request of the then owner of the
premises with the approval of a majority plus
one of the Southold Town Planning Board after a
public hearing. Adjoining property owners shall
be entitled to notice of such public hearing but
their consent to such modification shall not be
required.
IN WITNESS WHEREOF, the Declarant has hereby executed
this Declaration of Covenants and Restrictions the day and

Gentlemen:
In support of our discussion in your work session I am en-
closing application for a minor subdivision to divide the 10-acre
parcel that Tom and I own with our wives into two lots .
I am enclosing all the necessary papers , I believe , as well
as my check in the amount of $1000 . It is my understanding that
no inspection fee is required since present access is adequate .
As I have told you, this division is so that I can exchange
half of this property with my brother' s estate for a different
piece of my father' s farm that I have been renting for years .
Also, I expect to sell the development rights to the county on
the exchange property and believe we have reached agreement.
I am quite anxious to proceed with this project as soon as
possible.

Secretary of Housing and Urban Development as an area having special flood hazards and in which flood
insurance has been made available under the National Flood Insurance Act of nineteen hundred sixty-eight;
that he will assign and deliver the policies to the mortgagee; and that he will reimburse the mortgagee for
anv premiums paid for insurance made by the mortgagee on the mortgagor's default in so insuring the buildings
or in so assigning and delivering the policies."
3. That no building on the premises shall be altered, removed or demolished without the consent of the
mortgagee.
4. That the whole of said principal sum and interest shall become due at the option of the mortgagee: after
default in the payment of any instalment of principal or of interest for fifteen days; or after default in the pay-
ment of any tax, water rate, sewer rent or assessment for thirty days after notice and demand; or after de-
fault after notice and demand either in assigning and delivering the policies insuring the buildings against loss
by fire or in reimbursing the mortgagee for premiums paid on such insurance, as hereinbefore provided; or
after default upon request in furnishing a statement of the amount due on the mortgage and whether any off-
sets or defenses exist against the mortgage debt, as hereinafter provided. An assessment which has been made
payable in instalments at the application of the mortgagor or lessee of the premises shall nevertheless, for the

5. That the holder of this mortgage, in any action to foreclose it, shall be entitled to the appointment of a

in both local papers and at this time everything is in order for

This subdivision was conditionally approved on February 13 ,
1990 and endorsed on April 30 , 1990 . However, as the maps were
not in proper form to be filed in the Office of the County
Clerk, it was necessary that the maps be re-endorsed by the
Chairman.

Mr. Orlowski: John Wickham - To discuss a subdivision
pr Dosal with the board.
Mr. Wickham: Chairman and members of the board. First I want
to congratulate you for the expediency with which you have been
conducting your business. I have had a lot of experience and
seen a lot of Planning Board Meeting' s and I am impressed.
number two, I bring to your attention the fact that I offered
the development rights to the Town of Southold on a piece of a
twenty-two acre parcel of land with something over six acres of
up and and for their open space I believe I sent you a copy of
the letter and I know you have the map and the Town of Southold
has had that appraised and the appraisal came back precisely the
value per acre that the DEC is giving for wetlands. Namely
$3000 . 00 per acre. Due to the fact that this has between 800
and 1000 feet of Peconic Bay shorefront and as I said six
acres of upland this is unthinkable. In order to get this thing
off dead center, I have requested a sketch plan approval on a
sketch plan map that Mr. VanTuyl had presented and I believe
you have a copy of. This shows a minor subdivision of three
lots, all of which have 80, 000 square feet of land above mean
high water. I would like to have my own appraiser appraise this
property, but I have been told, it ' s a couple of years ago now,
that it was worth a million dollars and that is a far cry from

he $75 , 000 that the town had it appraised for. If I really
v� want to subdivide it, it ' s been in my family for hundreds of
years and the offer I made the town was for them to buy the
development rights and I would give them an option to buy the
underlying title in a specified period of years say, twenty-
five or thirty with the thought that thirty years from now the
Town of Southold is going to be desperate for access to Peconic
Bay and here is an opportunity to get access for salt water
recreation. Not only the beach itself but assuming it could be
developed, a town marina. I want to point out that this
particular property was on the planning map of the County of
Suffolk thirty years ago for purchase for a county marina. l�
is an ideal location and it has 1200 feet on a dredged channel
right this minute so it has 800 to 1000 feet of Peconic Bay
frontage plus 1200 feet on a dredged channel. In my thinking,
as a planner, the Town of Southold ought to own this property at
sometime in the future and the best way to do it is to put your
foot in the door and acquire the development rights right nuw.
I 'm perfectly open to suggestions but I am not going to stand
still and have the DEC come in and say, this was appraised for
$3000 an acre and we ' ll pay you $75 , 000 and take us to the Court
of Claims. We are currently in the Court of Claims in the
Appeal Section right today and it is no fun and it costs a lot
of money and the attorney gets 330. It is a ripoff and what it
intends to show is God made green apples and I won' t stand for
® it and so if you want me to I will go all the way for a minor
subdivision. I would prefer not to, I think that an approved
sketch plan would do the trick. I could hand it to my appraiser
and say, this has been approved by the Planning Board so now
appraise it.
Mr. Orlowski: I think again you are asking us to put a value
on the property.
Mr. Wickham: No, I am laying it on the table, I am being
perfectly honest with you, I am not going to stand still and if
you are not willing to give me sketch plan approval I will go
full out and say, that' s the first step of course, it ' s got to
be the first step and I am going to proceed and that is all that
is to it.
Mr McDonald: I have a couple of questions. The DEC has
appraised this or the County has appraised it?
Mr. Wickham: The Town Open Space committee had a chap appraise
it.
Mr. cDonald: Even if this was say twenty eight lots, any
number of lots, would that make any difference in their
appraisal or aren' t they simply doing all their appraisals on
the basis of bulk land rather than the number of lots?
Mr. Wickham: I have no idea the basis for the appraisal.

Mr. McDonald: The County appraisals are usually done on the
basis of bulk whether there is one lot or five lots.
Mr. Wickham: That is true enough but my point is that the DEC
is offering $3000. 00 an acre for wetlands. Pure wetlands that
the tide rises and falls on, $3000. 00 an acre.
Mr. McDonald: The only thing I am wondering about and you
should be more experienced then me because I haven' t done
anything, but even if you had the subdivision and if the
appraisal that is coming from the town, the county, whatever may
not necessarily change. Their appraisal may not change, that
doesn' t mean you won' t have another appraisal for a different
amount of money.
Mr. Wickham: You are quite right but if I have my appraisal
from my appraiser then we come up with two different appraisals
and if there is a vast difference in them and the town is not
interested, I have also offered this property to the County of
Suffolk. Right now they are in a bind and I 'm anxious to move.
I 'm perfectly willing to go the full house for a minor
subdivision but it seems to me that that ' s not necessary because
the first step is getting sketch plan approval. I want it all
out in the open, I want everybody to know just where I stand. I
am making an offer to the Town of Southold that I think they
® would be foolish not to accept. Where else can you get 1000
feet of Peconic Bay beach plus 1200 feet that are dredged now.
Mr. Orlowski: To proceed with a minor subdivision you would
have to show us a yield map that you could get that yield.
Mr. Wickham: I think Mr. VanTuyl ' s map shows three upland
lots.
Mr. Orlowski: It does, but it is not a yield map it doesn' t
show any wetlands or unbuildable area on here and being a
little familiar with the property I know there is some of that
down there.
Mr. McDonald: You would have to have that and then you would
have to go to the Trustees to verify the wetlands.
Mr. Orlowski: The one thing that puzzles me is I mean you are
looking at a large lot down there with 1200 foot of bay frontage
and anybody that tells you that it is only worth only $75,000
has got to have rocks in their head and I don' t know why you
would want to proceed with any subdivision. The appraisal is
wrong.
Mr. Wickham: Alright, but you can' t go to them and say, look
your appraisal is way off base, you can' t do that because I 've
® got to come in with a different appraisal.

Mr. McDonald: I think what Benny is saying though is that even
as a single lot, just a separate and single lot the value of
this is so far in excess of $75 ,000 . 00 . This is just our
unprofessional opinion. The value of this is so far above
$75, 000 that it is incredible that they offered you that.
Mr. Wickham: I understand what your saying but there is one
thing and that is I have unfortunately been forced to deal with
the DEC for something like four years and I know very well that
they, and I suspect that the real reason that the appraisal was
so low is because Dick Ryan was on the board of the open space
committee for the Town of Southold. Dick Ryan works for the DEC
and he said that is the price. I am not going to stand still
and have the DEC move in and say that it has been appraised for
this and this is what you will pay us and take us to the Court
of Claims. I am not going to do that.
Mr. Orlowski: What I am saying is that right now, rather then
proceed with a subdivision and yield maps and engineering
reports and test holes and the whole nine yards, you have a good
case right now with a single lot. You have 1200 foot of
bayfront and there is nothing like it in the town and anybody
would know it is worth more than $75 , 000 . I think any attorney
could take that case to court and have a pretty good ground to
stand on.
Mr. McDonald: Even to get to a sketch plan on this is going to
be a iengthy process because of the wetland. we will have to
send it to the Trustees for verification, we ' re talking about
quite a few months before we even get to the yield map knowing
the back log of the Trustees so you are looking at a lengthy
process . You are certainly free to make the application and we
will process it but you are looking at a lengthy process to even
get us to the yield map.
Mr. Wickham: Well, do you have any other suggestions?
Mr. Orlowski : Yes, find a good attorney and take them to
court because they are nuts to offer you $75 , 000. 00 .
Mr. McDonald: Right now, any appraiser has got to value this
way, way in excess of that amount of money.
Mr. Wickham: Look, I have never yet taken the Town of Southold
to Court and I don' t expect to, that ' s not my way of doing
business.
Mr. Orlowski : You don' t have to sell it to them either.
Mr. Wickham: I know that but again, I am not going to stand
still.

Mr. Orlowski: I think whether it is three lots or one lot, I
think the value is still going to be the same for this
property.
Mr. Wickham: If I set off one lot?
Mr. Orlowski: Well, there again you have to proceed with the
yield map and the engineering and everything else to see if you
have a buildable area.
Mr. Wickham: No, No, because if I set off one lot from the
twenty- five acres.
Mr. Orlowski: It would be a subdivision.
Mr. Wickham: I really the feel the need for someway out with
less than three years, not that the three years bothers me any,
I would just like to be here three years from now.
Mr. Orlowski : I know you will be, I know it.
Mr. Wickham: I wanted to present it all forms . I just feel

subdivision. I did get a letter from you whereby you did reduce

appreciate. The problem is money. Now, you have requested I
put a bond up for $150, 000 which I assume what you estimate what
the cost of the improvements would be. Is that correct?

Mr. Graeb: As I explained to you, my only purpose in applying
for this subdivision is to give two lots to two of my children.
The greenhouse is already in place and my house is already in
place. So really what I would be picking up is two building
lots from this subdivision. When I bought the land, I paid
roughly $18, 000 an acre so that each of these two lots would
cost $36 ,000 . Now, if I was to spend the $150,000. 00 to get

$75 , 000 . 00 for each one of those two extra building lots which

Mr. John Wickham - I talked with Melissa and Valerie about the
possibility of putting a right-of-way down there which they want
us to do but they won't pay for a right-of-way and I said that
doesn' t make sense because when you divide this area where they
already own the development rights and this, or they ought to
have the whole plot. What we are planning on doing now is
holding twenty-five feet for a right-of-way just inside the dike
and this will give us an opportunity to repair the dike if we
have to. Again, as I said there is 1900 feet there and there is
2000 feet of dike.
Mr. Orlowski: Do you want to save this all as one piece?
Mr. Wickham: Yes.
Mr. Orlowski: It is not a buildable piece of land though.
Mr. Wickham: Oh sure it is. This is all upland and the dike is
all upland, this right here is two acres. There is something
like one and three quarter acres of wetland and I just want you
to know what I am planning and make sure that you see no real
problem. My own thinking is that this won' t ever be developed
for at least fifty or sixty years, but since they won't pay for
the development rights, they won' t buy the development rights on
wetlands, shore front and in phase I they didn' t buy, they only
bought this far and we still own all of the wetlands down here.
We own thirty acres.

Mr. Wickham: Yes, and we will keep twenty-five feet from here
to here, we will keep twenty-five feet inside the dike. This is
good high land here.
Mr. McDonald: How is it going to be accessed in the future? If
it ever got built on in the future you would come in this way?
Mr. Wickham: Yes.
Mr. McDonald: These are sold though right?
Mr. Wickham: Those are sold. You see we own all of this all
the way up around the creek.
Mr. McDonald: This creates a real problem if you try to develop
here in the future.
Mr. Orlowski: This is the inlet over here.
Mr. McDonald: I thought you just said the development rights on
this piece are sold.
Mr. Orlowski: How would you access this?
Mr. Wickham: This twenty-five foot right-of-way. We're going
to own a twenty-five foot strip if this was ever developed then
there is probably no reason for having the dike, then we can
level the dike and have fifty feet.
Mr. Orlowski: You can' t level the dike.
Mr. McDonald: How would you level the dike?
Mr. Wickham: Just get a bulldozer and level it.
Mr. McDonald: You are in so many feet of the wetlands, how

Mr. Orlowski: The only thing that is saving you now is that
it is diked.

j Mr. Orlowski: We look at it as diked property and anything in
J back of it is upland. If you take that dike down,
Mr. Wickham: Well, we wouldn' t take it all the way down but you
have got to remember that a lot of this is twenty foot contour.
Mr. Orlowski: Yes, but still you are in within seventy five
foot of the wetland.
Mr. Wickham: What I am saying is that here isa twenty-five
foot access that we own and it is not a right-a-way, it is
twenty-five feet of access that we own. I can tell you what is
going to happen, in my own opinion, and that is before
seventy-five years are up and before we want to develop that
somebody is going to say, we ought to dredge Wickham' s creek
channel, it is dredged up to here you see and it ought to be
dredged all the way up. But that seventy-five years away and
that is far beyond my time.
Mr. Latham: What is this along here?
Mr. Wickham: This is all wetlands, right here I actually
dredged a slip to keep my boat because at that time I had a
thirty-five foot so I dredged a slip right in there. What I
want to do and I want you to all know that I am trying to be
reasonable.
Mr. Orlowski: What are you asking for?
Mr. Wickham: I 'm not asking for anything. I 'm just asking for
an opinion, does this make sense?
Mr. Orlowski: Well, as far as selling the development rights
and cutting this out, yes it does but you just have to realize
later on that we probably won' t be sitting here in seventy five
years, I don't think. Well, Mr. Latham might be.
Mr. Wickham: I want somebody to be able to say, we came before
the Planning Board on this date and they thought it made sense.
Mr. Orlowski: Well, I know how the County works too and they
want that cut out, they don' t care what but they will come in
and just buy the development rights on this, leaving you that.
You can do it without a subdivision or with a subdivision.
Mr. Latham: Down in Orient, Eddie Latham had a similar
situation. He sold some years ago to the County Farmland
Development and he kept this down here and now he is going to do
something out there that wasn' t as good as this and now the
State took all this. The DEC.
Mr. Wickham: Well, I think you know we' re offering to the Town
of Southold for open space this thirty acres, plus. One
thousand feet of Peconic Bay beach plus 1200 feet on this canal

( but the only thing is is that they are arguing about the
appraisal. That is another case which I don' t particularly want
to discuss right now but they say it is not buildable land and
I say hog wash.
Mr. Orlowski: We don't have a problem with this.
Mr. McDonald: You see without going through the process you
can' t do anything to it.
Mr. Wickham: O.K. , but I just want you to know and as I said
before I am not trying to pull any fast one' s on anybody and
we ' ll do much better business if you know what I am talking
about.

Bill Price - Said something about Section I .
Mr. McDonald: I am not an attorney so I don' t know if there are
any other implications, if there are no other implications
fine. Do it.
Mr. Matt Kiernan: The endorsement of the condominium
designation number units in no way indicates tacit approval of
any part or all of it San Simeon development by the Planning
Board.
Mr. McDonald: The only other problem we have is that we
continue to have a disagreement about what we call Section I .
Mr. Price: Section I is the unit designation map that we have
submitted and that is what I referred to in my settlement
conversation with Matt. That is what we need.
Mr. McDonald: I understand, but all of our previous paper work
on Section I refers to something else and all of our resolution
says it continues to muddy the water about what Section I is and
is not. Can we simply refer to it as a map submitted for such
purposes as designation of a condominium.
Mr. Price: Well, I appreciate it if it says Section I because
what we are going to do is we ' re going to have four separate
condominium corporations that are going to be umbrellaed by a
large condominium Section I and Section II . Instead of muddying
the waters if you then define Section I as shown on this map,
that' s fine. If you want to think about it that is fine too.
Mr. McDonald: I don' t know, we've got two Section I ' s. Some
resolutions refer to one Section I and some resolutions refer to
another Section I, I just don't know what that does.

As you are well aware the new Master Plan changed the
zoning of our roadside stand from Agricultural to Business.
We know that your Board requires site plan approval for all
new business construction and we were fully prepared to present
such a plan with our application of over a year ago to the
Building Department for the addition of a kitchen and sales
area. However, this application got bogged down for over six
months and with the advent of the sales season had to be shelved.
Nevertheless this application is still before the Building
Department and we are fully prepared to see it through.
For ,your information a copy of the map of the property is
enclosed, but we would like to point out the following: The
width of the lot is over 300 feet with 3 curb cuts . The exist-
ing builaling is approximately 40 x 40 or 1600 sq.£t. The depth
would be the depth of the business zone . Our off-street parking
has accommodated 75 cars upon occasion and can be enlarged if
necessary.
Finally, this is the 50th year that we have been selling
fruit and other items at this location, far predating any zoning.
For all of the above reasons we would respectfully request that

DECLARATION made this day of 1990, by
JOHN S. WICKHAM and ANNE L. WICKHAM, residing at no # Main
Road, Cutchogue, New York, and THOMAS WICKHAM and GEKEE
WICKHAM, residing at no # West Creek Avenue, Cutchogue, New
York hereinafter referred to as the "Declarant" ;
WHEREAS, the Declarant is the owner in fee simple of a
certain parcel of land situate at New Suffolk, Town of
Southold, County of Suffolk and State of New York, and
designated on the Suffolk County Tax Map as District 1000,
Section 110, Block 8, Lot 32 . 1, being the premises described
in deed recorded in the Suffolk County Clerk' s Office on
8-19-85 in Liber 9854 at page 476, a metes and bounds
description of which is shown on Schedule A attached hereto
and made a part hereof, hereinafter referred to as the
"premises" .
WHEREAS, the Declarant intends to subdivide said
premises for residential purposes and desires to subject
said premises to certain conditions, covenants and
restrictions in order to preserve the maximum open
space,natural scenic beauty and natural vegetation and to
prevent overcrowding and to conserve the ground water

WHEREAS, the Declarant has applied to the Planning

the acceptance of a deed thereto, covenants and agrees that

manner at any future date unless authorized by the
Southold Town Planning Board.
2 . Since this tract has the potential to be further

The Suffolk County Planning Commission at its regular meeting on
February 7, 1990, reviewed the proposed subdivision plat, entitled, "Minor
Subdivision - John Wickham" referred to it pursuant to Section A14-24, Article
XIV of the Suffolk County Administrative Code. After- due study and deliberation
it resolved to approve said map subject to the following six conditions that are
deemed necessary to help preserve the natural and aesthetic attributes of
Cutchogue Harbor and the freshwater wetlands within the tract.
1. No lot shall be subdivided or its lot lines changed in any manner at
any future date uiiFess authorized by the Southold Town Planning Board.
2. Since this tract has the potential to be further subdivided, any
subdivision of any part of this tract in the future shall have a map
of the subdivision filed in the office of the County Clerk.
3. Clearing and grading within each lot shall be limited to that
necessary for siting and constructing a house with the intent of
preserving as much of the natural vegetation on the site as possible.
Limiting clearing and grading will minimize stormwater runoff and
erosion.
4. No new residential structure or sanitary disposal facility shall be 1

The Commission also offers the following comments on the map for your use

4. There is the possibility that this site may contain material of
archaeological value. Therefore, if any residence is proposed for
construction on the site an archaeological survey should be made by a
qualified archaeologist. If it is found that the site does contain
material of archaeological value then: (1) the site should be
preserved; or (2) clearing, excavation and construction on the
property should be delayed for a reasonable period of time to allow an
archaeologist to explore, excavate and salvage items of historical
worth.

DECLARATION OF COVENANTS AND RESTRICTIONS
DECLARATION made this day of 1990, by
JOHN S. WICKHAM and ANNE L. WICKHAM, residing at no # Main
Road, Cutchogue, New York, and THOMAS WICKHAM and GEKEE
WICKHAM, residing at no # West Creek Avenue, Cutchogue, New
York hereinafter referred to as the "Declarant" ;
WHEREAS, the Declarant is the owner in fee simple of a
certain parcel of land situate at New Suffolk, Town of
Southold, County of Suffolk and State of New York, and
designated on the Suffolk County Tax Map as District 1000,
Section 110, Block 8, Lot 32 . 1, being the premises described
in deed recorded in the Suffolk County Clerk' s Office on
8-19-85 in Liber 9854 at page 476, a metes and bounds
description of which is shown on Schedule A attached hereto
and made a part hereof, hereinafter referred to as the
"premises" .
WHEREAS, the Declarant intends to subdivide said
premises for residential purposes and desires to subject
said premises to certain conditions, covenants and
restrictions in order to preserve the maximum open
space,natural scenic beauty and natural vegetation and to
prevent overcrowding and to conserve the ground water
resources of the Town of Southold, and
WHEREAS, the Declarant has applied to the Planning
Board of the Town of Southold for approval of the .

subdivision of the premises as a Minor Subdivision, to
contain not more than two (2) lots or parcels,
NOW, THEREFORE, the declarant does hereby declare that
the aforesaid premises and every portion thereof is hereby
held and shall be conveyed subject to the conditions,
covenants and restrictions hereinafter set forth, and that
every purchaser of said premises or any portion thereof, by
the acceptance of a deed thereto, covenants and agrees that
the premises so purchased shall be held subject to the
covenants, conditions and restrictions hereinafter set
forth.
1. No lot shall be subdivided or its lot lines changed
manner at any future date unless authorized by the
Southold Town Planning Board.
2 . Since this tract has the potential to be further
subdivided, any subdivision of any part of this
tract in the future shall have a map of the
subdivision filed in the office of the County
Clerk.
3 . Clearing and grading within each lot shall be
limited to that necessary for siting and
constructing a house with the intent of
preserving as much of the natural vegetation
on the site as possible. Limiting clearing
and grading will minimize stormwater runoff
and erosion.
4 . No new residential structure or sanitary disposal

facility shall be constructed or otherwise located
within 100 feet of the shoreline of Cutchogue
Harbor and the freshwater wetlands within the
property.
5. These covenants and restrictions can be modified
only at the request of the then owner of the
premises with the approval of a majority plus
one of the Southold Town Planning Board after a
public hearing. Adjoining property owners shall
be entitled to notice of such public hearing but
their consent to such modification shall not be
required.

February 7, 1990, reviewed the proposed subdivision plat, entitled, "Minor
Subdivision - John Wickham" referred to it pursuant to Section A14-24, Article
XIV of the Suffolk County Administrative Code. After due study and deliberation
it resolved to approve said map subject to the following six conditions that are
deemed necessary to help preserve the natural and aesthetic attributes of
Cutchogue Harbor and the freshwater wetlands within the tract.
1. No lot shall be subdivided or its lot lines changed in any manner at

qualified archaeologist. If it is found that the site does contain
material of archaeological value then: (1) the site should be
preserved; or (2) clearing, excavation and construction on the
property should be delayed for a reasonable period of time to allow an
archaeologist to explore, excavate and salvage items of historical
worth.

Planning Board at a meeting held on Thursday, January 18 , 1990.
RESOLVED that the Planning Board amend their resolution of
December 18, 1989 which started the coordination process to
determine lead agency and environmental significance.
In that resolution the Planning Board listed the SEQRA
status as unlisted, however the project is in the Peconic Bay
Critical Environmental Area, thus it must be listed as a Type I
SEQRA classification.
RESOLVED that the Southold Town Planning Board, acting
under the State Environmental Quality Review Act, make a
determination of non-significance, and grant a Negative
Declaration.

The Planning Board has received the enclosed letter dated
January 2, 1990 from the Suffolk County Department of Planning
requesting the tie distance to the nearest street of your
proposed subdivision.
Mr. Lind stated in his conversation of January 8 , 1989 with
Mr. Kassner of this office that while he will accept the data in
letter form for the Suffolk County Planning Commission meeting;
this distance should be placed on the final maps prior to
Planning Board approval.
Mr. Kassner spoke with Mr. Tom Wickham in a telephone
conversation of January 10, 1990. It was agreed that Mr. Van
Tuyl would send such a letter to Mr. Lind and would place the
data on the final map.
The Board reviewed your letter dated December 28, 1989
regarding it' s request of December 19 , 1989 to equalize the, lot
sizes.
If this is not possible, as you state in your letter, the

other property in your ownership or place Covenants and I/
Restrictions on the lots that they will not be further
subdivided.
Enclosed for your information is a letter from the New York
State Department of Environmental Conservation indicating that a

We know that ,your Board requires site plan approval for all
new business construction and we were fully prepared to present
such a plan with our application of over a year ago to the
Building Department for the addition of a kitchen and sales
area. However, this application got bogged down for over six
months and with the advent of the sales season had to be shelved.
Nevertheless this application is still before the Building
Department and we are fully prepared to see it through.
For your information a copy of the map of the property is
enclosed, but we would like to point out the following: The
width of the lot is over 300 feet with 3 curb cuts . The exist-
ing builaling is approximately 40 x 40 or 1600 sq.ft. The depth
would be the depth of the business zone . Our off-street parking
has accommodated 75 cars upon occasion and can be enlarged if
necessary.
Finally, this is the 50th year that we have been selling
fruit and other items at this location, far predating any zoning.
For all of the above reasons we would respectfully request that
your Board waive site plan requirements for the existing estab-
lishment.

Dear Mr. Orlowski,
I note from your letter of December 19th that the Planning
Board wants more width to the proposed lot #2 on this subdivision.
This would be a very real hardship for me. My brother' s family
wants more land in lot #1 and not less. Two new appraisals will be
required and by reducing the shorefront in lot #1 my value in the
exchange will be reduced to the point where I can't pc s ibly swing
it.
Much of this is because the county has appraised the value of
the development rights on my brother' s parcel that I am exchanging
for. They now won't give 50 per cent of what it was appraised in
his estate - which I 'm paying. It seems that everyone gives lip ser-
vice to preserving farmland but they don' t want to pay for it . Is
the Town interested?
There is one possible solution to this . You will note that
there is some 55 feet west side yard clearance to the bungalow on
lot #2, but only about 3 feet on the east. It happens that there
is a triangle in different ownership betwean lot #2 and my daughter' s
lot. It goes to a point at the old highwater mark. This area back
to her back line could add about 25 feet to the width of lot ##2 at the
building line . I think this might be available.

Dear Valerie,
In looking over the application forms for a minor sub-
division on the 10-acre parcel we own on Peconic Bay I am con-
vinced that this is not what we want .
In the first place it ' s too involved and would take too long.
We are signing the contract this week with my brother' s widow and
we have to close title on it well before the first of the year if
we 're going to sell the development rights to the county on the ex-
change parcel. This is for capital gains treatment. My sister-in-
law is in her late seventies and not too well.
In the second place , this is really and truly a set-off. I
only want to set off the building and the two acres as shown on
Van Tuyl' s map. However, I had to keep the road where it is and
keep it 50 feet. I have already offered the development rights on
our beach property to the county under their open space program and
they' d have to have a 50-foot access . Much as I ' d like to give my
sister-in-law more land - which she ' d like - and pay less boot, the
road cannot be shifted north where it joins New Suffolk Lane because
there is a culvert under the road right to the north of the existing
road. ( h 1)
Third, I think I neglected to say that the land north of this
road can' t be merged with the parcel to the north because the de-
velopment rights have been sold to the county on that. I can' t even
sell the development r`ghts on this strip to the county much as I 'd
like to . They have to have 10 acres . I 've tried on another parcel.
In short, the map by Van Tuyl sets off only the bungalow and lot,
the road, and a triangular but important part of our field. The re-
mainder is largely a pond in the woods and a canal and pond outside
the woods .
I think it might be well for me to talk with the Board at a work
session or even a regular meeting.

A lot line is defined as,"Any boundary ofa lot other than

Dear Mr. Orlowski,
In answer to your letter of September 14th I am only in-
terested in a lot line change in this case . I have no interest
in a minor subdivision. In fact I did not ask Van Tuyl to show
the division of the remaining property, but feel that he did it so
that your board can recognize that the remaining property, includ-
ing the building, conforms in svery way to present standards .
In the second place , I really cannot ask my brother ' s widow
to merge the property she is buying with the adjacent proprrty
held by her family' s corporation. Neither can I arbitrarily ask
one of my sons to give to the other his interest in property worth
a quarter of a million dollars .
In your deliberations you may have forgotten the fact that a
couple of years ago I came before your board asking about this
specific lot line change and was given unofficial approval. As I
told you then, and is still the case, I am trying to buy back a
24-acre part of my father' s farm which I have rented for 60 years .
It is valuable land because it has creek shore front but is all part
of our orchard. The only way I can acquire it is by making a tax-
free exchange of "like kind" of land and paying an additional sum.
This exchange of 5 acres of bay front for 24 acres of creek front
will require paying considerable "boot" . The only way I saw to
handle this problem was to offer the development rights on the farm
land to the County. They are very much interested, particularly
since it adjoins property on which they already own the development
rights . They have been authorized to proceed by the legislature
and the select committee has approved it. Negotiations are under
way.
From the point of view of your board it would seem that it is
much to the advantage of the Town of Southold to have this area
preserved at county expense .

Gentlemen:
I am enclosing forms and maps for a lot line change on
property on our farm at New Suffolk as per your letter to me
of October 22, 1987 •
This will be a tax free exchange of property with the
Estate of my brother, Henry P . Wickham, deceased. As I 've
told you previously we are acquiring that part of my father' s
farm further north that Henry inherited and I have been farm-
ing for 60 years . We have offered the development rights to
this parcel to the County Farmlands Preservation and negotia-
tions are proceeding.
From a practical point of view the 5 .5 acres we are ex-
changing will be added to the adjacent property of my brother' s
estate and the 5 acres we retain will be adjacent to other
land that we own. In addition, the access road and utility
lines will remain entirely on our property.
This proceeding has taken much longer than I had anti-
cipated but we now have the contract with my sister-in-law
in hand.
