Enclosed please find a copy of the proposed subdivision for
Mattituck Creek Estates.
The applicant originally proposed a nine lot subdivision:
five lots with direct access on Mill Road, and four off a
cul-de-sac with access across from Greton Court. However, the
applicant also expressed an interest in owning, and farming, the
open space. This interest resulted in an alternate proposal with
reduced density, whereby the cul-de-sac and associated lots have
been eliminated, and one large lot incorporates all of the open
space.
In responding to this alternative, the Planning Board
requested that the enclosed map be revised further by moving the
building envelope on the large lot so that it will be located
adjacent to the property now or formerly of Eugene Graf, and
therefore will front directly on Grand Avenue. The applicant's
response was to say he was considering merging the large lot
with Lot 1; in which case, the lot located by the Graf property
will be a typical 30,000 square foot lot.

In response to your May 2, 1991 letter, a copy of which I
enclose, I am now forwarding by hand revised final maps showing

I also enclose a final road and drainage plan. We have
limited the building envelope on the large lot and have attempted
to locate as many lots as possible along Mill Road, yet comply
with the Town zoning ordinances regarding lot widths, bearing in
mind that there are existing structures on one lot. We have been
careful to not put any residences under the high tension wires,
nor create any obstructions of vision around corners created by
intersecting lots or bending roads.
I would ask that this map be placed on the Board's agenda
for final approval.

The Planning Board has reviewed your letter of April 22,
1991, and your proposal to reconfigure and reduce the number of
lots for the above mentioned subdivision.
The Planning Board would be in favor of a layout with six
(6) lots, if the lots are reduced in size to approximately
30,000 square feet, and all the lots front on Mill Road. One of
these six lots could be designed as the large lot. It should
show a 30,000 square foot building envelope and the remainder of
the property. On the large lot the front, rear, and side yard
building setbacks should be shown within the 30,000 square foot
building envelope.
The design should also include common driveways and/or flag
lots at the western end of Mill Road so that no driveways have
to be cut through the steeply sloped area.
The Planning Board will be requiring a Declaration of
Covenants and Restrictions in regard to the large lot, the
content of which will be sent out at a later date.
Final maps Showing the above mentioned layout and
containing a valid stamp of Health Department approval must be
submitted prior to the scheduling of the final hearing. In
addition, revised Drainage Plans must be submitted.
The Planning Board will re-submit the revised subdivision
proposal to the Fire Commissioners for their review of the

Dear Board Members:
My client's time to file his map is soon to expire. As you know,
this is one of the subdivisions in which we have asked the
Planning Board to approve a large lot with limited building
envelope. We also indicated we would record covenants with the
County Clerk, guaranteeing the open space on the areas of the lot
outside the restricted building envelope. We also offered to
dedicate or deed to the Town the development rights to the open
space area should the Town desire such a deed, although it would
appear superfluous if the restrictive covenants were filed with
the County Clerk.
As has been discussed to death, the open space is also guaranteed
by the mere fact that the yield has been used up by creation of
lots under the Town's Zoning Ordinance. Since the Town is still
reviewing their desires regarding the manner of handling farmland
and clustered subdivisions, I would think it only fair to extend
my client's time to file the map. If deemed necessary, the Town
could hold another final public hearing on the proposed map.
My client has also authorized me to offer to reconfigure the lots
to provide more open space farmland or add to the size of a large
lot by reducing the yield from nine (9) to six (6) lots if a road
is not required to be built. During the early stages of the
subdivision process a map was proposed showing nine (9) lots with

Dear Sir:
Per your request, I intend to either rent out or personally
use the open space area which is part of a large lot for
agricul tural purposes.
As a matter of history, I had, for several years, rented the
farm to Robert Rowehl of Oregon Road. I have also been contacted
by Walter Zilnicki, Jr. who is interested in renting the open
space area for an organic farm. I have also given some thought
to personally raising grapes on the site.
As you may know, I reside in the main farmhouse that exists
on the proposed subdivision. The property originally was owned
by Joseph and Anthony Krupski. I am in the process of selling my
other residence in Bay Shore and hope to make the farmhouse my
main and only residence.

Dear Sir or Madam:
I enclose two sets of final maps including the Mylar Prints with
Health Department stamp of approval with regard to Mr. Cohill's
subdivision.
As recently discussed with Melissa Spiro, and, as has been
previously been discussed with the Planning Board, we would ask
to have the Planning Board Chairman sign the Mylar Prints which
show the open space being owned by one lot owner, subject however
to restrictive covenants filed with the County Clerk,
guaranteeing the open space.
I would either ask that the preliminary Map approval be
re-extended for a further period of time, or that the submission
of the final maps as enclosed be accepted.
When it comes down to actually providing all the fees and bonding
for the subdivision, my client would like to be able to consider
as an alternative actually constructing the road to Town
specifications, rather than posting a performance bond.
Obviously, this could be done prior to the final map being signed
by the Planning Board Chairman. With most Towns, this is
preferable to a performance bond since the actual performance is
completed and inspected by Town Representatives prior to the
final map being approved by means of the Chairman's signature.

Yesterday, I hand delivered proposed Notice for a Public Hearing
calling for amendments to the Town Code regarding ownership of
open space areas. If you recall, I have asked your Board to
permit open space areas to be owned by a lot owner or owners,
wherein the open space is restricted from development by recorded
covenants and restrictions filed with the County Clerk. Maps
have been prepared consistent with this idea. The maps show the
restricted open space area as well as the restricted building
envelope. I am now in a position to submit final maps for your
Board's signature with regard to the subdivisions of Walter Gatz
and George McDowell known as "The North Forty", and that of James
Cohill, "Matti tuck Creek Estates". A similar argument or
suggestion could be made for the map of Calvin Rasweiler known as
"Laurel Lane Estates". I enclose a copy of the Cohill and
Gatz and McDowell maps.
I have spoken to the Town Attorney and the Assistant Town
Attorney and have left copies of the proposed Notice of Public
Hearing with them. I am also sending a copy of this letter with
enclosures to Mr. Thomas Wickham, Chairman of Planning and Zoning
and Mr. George Penny, Chairman of the Legislative Committee.
I would be more than happy to attend another meeting with your
Board or Staff or with Mr. Wickham, Mr. Penny, Counselor the

Gentlemen:
I am in the process of obtaining Health Department approval with
regard to the final map. However, I would like to have one final
opportunity to try to convince your Board to approve the map with
the open space area being owned by one lot owner with, however,
the open space guaranteed by recorded Covenants and Restrictions,
which would prevent the erection of residences on the described
open space area.
I enclose copies of proposed final maps, prepared in two
different ways. In one form, the open space area belongs to a
designated lot and in the other form, the open space stands by
itself to be owned by a homeowners' association. As I have in
the past, I point out that Section 281 of the Town law permits
ownership of the open space area to be owned by the lot owner.
I enclose a copy of Section 281. I also enclose a copy of your
Town's Code Section dealing with open space. The Town has a
right, as is noted in the Code, to permit the ownership of the
open space to remain with a lot owner. I also enclose copies of
forms that have been used by other Towns, which are used to
record Covenants and Restrictions guaranteeing the open space.
r would ask that the Board give me an opportunity to make a
presentation in hopes of permitting Mr. Cohill to retain
ownership of the open space subject to recorded Covenants and
Restrictions.

The purpose of this Article is to encourage flexibility and innovation
in the design of residential development that cannot be achieved on
many sites through adherence to traditional zoning and subdivision
regulations. Further, the application of the cluster development
technique is intended to achieve:
A. Maximum reasonable conservation of land and protection of
groundwater supply and groundwater recharge areas.
B. Preservation of agricultural activity by encouraging retention
of large continuous areas of agricultural use.

~ 100-181. Applicability.
A. On lots of ten (10) or more acres in the Agricultural-
Conservation. the R-40 and R-80 Districts and the Low-
Density Residential R-120. R-200 and R-400 Districts.
clustering will be required. subject to the following conditions:
(1) The residential use will be single-family detached homes
for lot sizes of thirty thousand (30.000) square feet or
larger and detached or attached houses for lot sizes less
than thirty thousand (30,000) square feel
(2) The density of these homes will be as specified in the
particular district and determined as indicated in
Subsection C below.
(3) The minimum lot size shall be:
(a) Without public water and sewer: thirty thousand
(30.000) square feel
(b) With public water: twenty thousand (20.000) square
feel
(c) With public water and sewer: ten thousand (10.000)
square feet.
B. In the Low-Density Residential Districts. to wit. the A-C
Agricultural-Conservation. R-80. R-120. R-200 and R-400
Districts. clustering is permitted and may be mandated by the
Planning Board in the exercise of discretion without the

requirement that the owner make written application for the
use of such procedure.
C. Determination of density and zoning modifications.
(1) An application for cluster development shall include a
map or maps showing the proposed cluster design or
designs offered for consideration by the Planning Board.
together with a map which shall be prepared for
consideration as a standard subdivision conforming to all
requirements of the Zoning Code and Subdivision
Regulations" of the Town of Southold.
(2) The total building lot yield of the standard subdivision
shall be used to determine the yield in the number of
building lots which the Planning Board may grant in a
cluster developme,jt. A cluster development design may
be prepared for any contiguously owned holdings.
whether or not they are separated by an existing street
offering direct access to such holdings. In all other cases,
the holdings shall be considered as separate parcels.
(3) In a cluster development. lot area. width. depth. front
yard. rear yard and side yards may be reduced to less
than the minimum requirements set forth in the bulk
schedule. provided that such modification or changes
shall not result in a greater average density or coverage
of dwelling units than is permitted in the zoning district
wherein the land lies.
D. The area of a cluster development shall be in a single
ownership or under unified control.
E. Prior to the issuance of a building permit in a cluster
development. a site plan shall be submitted to and approved
by the Planning Board in accordance with Article XXV of this
chapter and the following conditions:
(1) Said site plan shall include areas within which structures
may be located. the height and spacing of buildings. the
location of open spaces and their landscaping. off-street
open and enclosed (if any) parking spaces and streets,

trails, site easements and recreation facilities, driveways
and any other physical features relevant to the proposed
plan and determined to be necessary by the Planning
Board.
(2) Said site plan shall include a statement setting forth the
nature of all proposed modifications of existing zoning
provisions.
F. Nothing contained in this chapter shall relieve the owner or
his agent or the developer of a proposed cluster development
from receiving final plat approval in accordance with the
Town Subdivision Regulations.'" In approving the final plat
for a cluster development, the Planning Board may modify the
acreage requirement for recreation areas as set forth in the
town's rules governing subdivision review, provided that the
common land dedicated meets all other requirements of the
Town Subdivision Regulations.
G. Common areas.
(1) The Planning Board shall establish such conditions on the
ownership, use and maintenance of common areas,
including open space, as it deems necessary to assure the
preservation of such areas for their intended purpose.
Common areas and/or open space may either be retained
by a condominium corporation or it may be deeded to a
homeowners' or homes association comprised of the
residents of the subdivision and reserved for their use or
other mechanism acceptable to the Town Board and
Town Attorney. Said common areas may be used for
agricultural use, for passive recreational uses, for visual
amenity and/or nature study or for necessary accessory
uses such as parking.
(2) A cluster development shall be organized as one (1) of the
following: a condominium corporation; a homes or a
homeowners' association approved by the Federal
Housing Administration for mortgage insurance as a
planned unit development and the Town Board; a homes
association approved by the Town Attorney and Town

chapter. Whenever a homes association is propo.sed, the
Town Board shall retain the right lA:l review anu approve
the Articles of Incorporation and the charter and bylaws
of said homes association and any amendments or
revisions thereof and to require whatever conditions
deemed necessary lA:l ensurc that the intent and purpose
of this chapter is carried out. In consideration of said
approval, the Town Board shall, in part, require the
cluster development to meet the following conditions:
(a) A homes association shall be established as a not-for-
profit corporation operating under recorded land
agreements through which each lot owner, and any
succeeding owner according to the deed to each unit,
is automatically a member and each lot is aulA:lmat-
ieally subject to a charge for a proportionate share of
the expenses for the organization's activities,
including real property taxes and the maintenance
of the common land and facilities. Each lot shall be
subject to a lien in the event oC nonpayment by the
owner thereof of his proportionate share oC the
expenses for the association.
(b) Title to all common property shall be placed in the
homes association or definite and acceptable assur-
ance shall be given that it automatically will be so
placed within a reasonable period oC time.
(c) Each lot owner shall have equal voting rights in the
association and shall have the right to the use anu
enjoyment oC the common property.
(d) Once established and title to the common land is
conveyed to the homes association, all responsibility

(e) Dedication oC all common areas shall be recorded
directly on the Cinal plat and/or by rderence on that
plat to a dedication in a separately recorded

document. Resubdivision of such areas is prohibited.
The dedication shall:
[1] Save the title to the common property to the
homes association free of any cloud of implied
public dedication.
[2] Commit the developer to convey the areas to the
homes association at an approved time.
[3] Grant easement of enjoyment over the area to
the lot owners, subject to restrictions as shall be
imposed by recorded restrictive covenants.
[4] Give to the homes association the right to
borrow for improvements upon the security of
the common areas.
[5] Grant to the homes association the right to
suspend membership rights for nonpayment of
assessments or infraction of established rules.
H. Covenants shall be established, limiting all lots to one-family
use and all common lands to open space uses approved by the
Town Board. No structures may be erected on such common
lands except as shown on the approved site plan and approved
by the Town Board. Such deed restriction or covenant shall
specifically prohibit any development for other than open
space or agricultural use on the specified open land and/or
conservation area.
I. Each deed to each lot sold shall include by reference all
recorded declarations and other restrictions, including
assessments and the provision for liens for nonpayment of
such.
J. The homes association shall be perpetual; it shall purchase
insurance, pay taxes, specify in its charter and bylaws an
annual homeowner's fee, make provision for assessments and
provide that all such charges become a lien on each lot in favor
of said association. The association shall have the right to
proceed in accordance with all necessary legal action for the
foreclosure and enforcement of liens, and it shall also have the
right to commence action against any member for the

collection of any unpaid assessment in any court of competent
jurisdiction.
K. The developer shall assume all responsibilities as previously
outlined for the homes association until a majority of the
dwelling sites are sold, at which time the homes association
shall be automatically established by the developer at the
developer's expense and title to the common area conveyed by
the developer to the homes association.
L Prior to plat approval, the developer shall file a performance
bond with the Town Board to ensure the proper installation of
all required improvements, including recreation improve-
ments, and a maintenance bond to ensure the proper
maintenance of all common lands until the homes association
is established and title to the common lands is conveyed to the
homes association. The amount and terms of said bonds and
the form, sufficiency, manner of execution and sufficiency of
the surety shall be approved by the Town Board and the Town
Attorney.
M. The certificate of incorporation of the organization and its
bylaws shall contain the following provisions, and notice of said
provisions shall be specifically given in any brochure or
prospectus issued by the developer:
(1) That such organization is established to own and
maintain common open space or common elements and
that, if such organization or any successor organization
shall, at any time after title to such common land and
other common elements is conveyed to it, fail to maintain
the common open space and other common elements in
reasonable order and condition in accordance with the
plan proposed, the Town Board may cause a written
notice to be served by certified mail upon such organiza-
tion, at iL, address as shown upon the last completed town
assessment roll, or in the same manner upon the owners
of the loL, in such subdivision at their address as shown
upon the last completed assessment roll, which such
notice shall set forth:

(a) The particulars in which the common open space
and other common elements have not been main-
tained in reasonable order and condition;
(b) A demand that such deficiencies in maintenance
shall be remedied within thirty (30) days from the
date of such notice;
(c) That, upon the failure to remedy such default in
maintenance within the time specified, the Town
Board will hold a hearing upon the matter upon not
less than five (5) days' notice in writing sent by
certified mail to such organization or to such lot
owners;
(d) That, after such hearing, the Town Board may take
such action as it deems appropriate to provide for
the proper maintenance of sueh common open space
and common elements; and
'-
(e) That any and all costs and expenses incurred by the
town for such purposes may be assessed upon all of
the lots in such subdivision and be collected in the
same manner and at the same time as real property
taxes are collected in the Town of Southold.
N. The Town Board, in order to ensure that the open space will be
used for its intended purposes, shall have the continuing right
to impose building controls and restrictions on the use and
maintenance of the common open space lands.
O. Notwithstanding the foregoing, the Town Board may, in its
discretion, accept an offer for dedication to the town of the
open space and/or common lands created by use of the

a. no trees or shrubs shall be destroyed, cut, or removed
from the areas, except as required for reasons of irrigation,
water and drainage control, o~ sanitation or disease control;
b. no dump or storage area for the disposal of ashes, trash,
rubbish, sawdust, garbage, of all or any unsightly and offensive
material shall exist thereon;
c. the natural contours and the subsurface conditions of the
areas shall remain generally undisturbed, and in their present
natural state;
d. no temporary or permanent residential or nonresidential
structures, including any billboards or other advertising signs,
shall be placed or erected thereon;
e. no commercial lumbering operations shall be permitted
thereon, other than those associated with forestry management,
approved by the Regional Forester of the State of New York;
f. no portion hereof shall be used for leeching or for a
sewage disposal field, and no dumping or burning or refuse shall
be permitted thereon; and
g. no street, roadways or other rights of way for non-farming
vehicular use shall be constructed or granted thereon.
3. Notwithstanding the provisions hereof, Declarants reserve the
right to the exclusive use and possession of the areas known as
"scenic area" and "agriculture area" on the filed subdivision
map, to the extent not inconsistent with the covenants and
agreements hereinabove set forth; and Declarants may exclude the
general public or any designated person or persons from the use
of or entry upon the said "scenic area" and "agriculture area",
except that Declarants shall have the continuing right to inspect
the said "areas" to the extent reasonably required to monitor

Southold, Village of Mattituck, State of New York~ While I was then
generally familiar with the property, I have since carefully inspected
all of the property for the purpose of appraising it.
The parcel contains approximately 19.1 acres and is
located off Grand Avenue, Mattituck, Town of Southold, County of
Suffolk, State of New York and is bounded on the east and south
by Grand Avenue on the west by E. Fox and on the north by Mill Road.
The property is farmland with a Lilco high power easement through
the center of the property going east to west.
The 1989 - 1990 Southold Town Assessment was:

Dear Mr. Danowski:
The fOllowing actions were taken by the Southold Town
Planning Board on Monday, November 20, 1989.
A preliminary public hearing was held and closed.
The following motion was made and seconded:
WHEREAS, James Cohill, is the owner of the property known
as James Cohill major subdivision, located on Mill Road and
Reeve Road at Mattituck; and
WHEREAS, a formal application for the approval of this
subdivision was submitted on March 20, 1989; and
WHEREAS, the Southold Town Planning Board, pursuant to the
State Environmental Quality Review Act, (Article 8), Part
617 Title 6NYCRR, declared itself Lead Agent and issued a
Negative Declaration on June 30, 1989; and
WHEREAS, a PRELIMINARY public hearing was held on said
subdivision application at the Town Hall, Southold, N.Y. on
November 20, 1989 at 8:10 p.m.; and
be it therefore,
RESOLVED that the Southold Town Planning Board approve the
preliminary maps dated October 23, 1989.

Final maps must be submitted within six (6) months of the
date of the preliminary approval. If such plat is not so
submitted, or an extension of time is not requested by the
applicant and granted by the Planning Board, approval of the
preliminary plat may be revoked by the Planning Board.
Final maps with a current stamp of Health Department
approval must be submitted prior to the scheduling of the final
hearing.
Please note also that the Planning Board will be requiring
that money be deposited with the Town in lieu of land for park
and playground purposes, in accordance with Section l06-38E (3)
of the Code of the Town of Southold.
Upon submission of the final maps, the Planning Board will
refer the maps to the following:
a. the Town Board for a determination of the cash
payment to be deposited in lieu of land reservation
for park and playground.
b. the Town Engineer for final review.
The following items must be submitted after the Planning
Board has reviewed the final maps:
A Draft bond estimate, which will be reviewed by the
Planning Board and Town Engineer. A list of unit prices
for bonding of subdivision construction can be obtained
from the Planning Board office.
A Draft Declaration of Covenants and Restrictions, which
will be reviewed by the Planning Board and the Town
Attorney. The Planning Board may request additional
Covenants and Restrictions after review of the final
submission.
A Homeowners' Association must be filed for the open space,
drainage areas, and roads. A draft of the document must be
submitted to the Planning Board for review prior to filing.
Documentation that the Homeowners Association has been
filed must be submitted prior to endorsement of the map by
the Chairman.

Dear Mr. Orlowski:
We have received a revised map dated Sept. 21, 1989 on the above
referenced proposed subdivision directly from the applicant's attorney.
Our comments of August 31, 1989 have all been adequately address-
ed, except for one questionable point. This concerns our original
comment with regard to the extensive site work which would have been
necessary on lot number one in order to prevent an excessive driveway
gr ade.
The revised plan indicates a 25 foot wide right-of-way across lots
2 and 3 to accompl ish an acceptable grade. This solution creates a
considerable encumbrance on the two lots it crosses, especially lot
number two. An acceptable driveway grade could be constructed on lot
one through the use of retaining walls and a house with a split-level
type configuration. This would eliminate any future disputes among the
potential owners of the first three lots involving confl icts over
proper use of the right-of-way.
We would therefore submit for your consideration that the right-
of-way access might very well cause more problems in the future than it
is solving.

Our preliminary review of the above referenced map indicates that
the drainage plan should be modified as follows:
1. Additional leaching basins should be provided along the Mill
Road frontage to intercept the runoff.
2. It should be noted that the leaching basins shown adjacent to
the Grand Avenue frontage should be installed with a minimum
clearance of 10 feet between basins.
It should also be noted that steep grades exist on proposed lot
number 1. Extensive site work will be necessary to provide an
acceptable driveway grade on thi~ lot.
