Dear Gentlemen:
The following action was taken by the Southold Town
Planning Board on Monday, February 27, 1989.
RESOLVED that whereas, a formal application for approval of
subdivision plat entitled The Woods at Cutchogue located at
Cutchogue was submitted to the Planning Board August 19, 1987
and,
WHEREAS, a final public hearing was held on said
subdivision application and plat at the Town Hall, Southold, New
York, on January 23, 1989 at 7:30 p.m., and,
WHEREAS, the requirements of the Subdivision Regulations of
the Town of Southold have been met by said subdivision plat and
application,
NOW, therefore, be it RESOLVED that the application of F &
F Depot Lane Development Corp. for approval of said subdivision
prepared by Roderick Van Tuyl, P.C. dated September 19, 1988, be
approved subjet to the following conditions within six (6)
months of the date of resolution:
1. The adoption by the Town Board of the Local Law to
dedicate open space.

principal place of business at 4 Knolltop Road, Stony Brook, New York, owner of _
the property shown on Subdivision Map of "The Woods at Cutchogue", dated
September 19, 1988, prepared by Roderick Van Tuyl, P. C., recorded in the
Suffolk County Clerk's Office on March 23, 1989 as file number 8717, abstract
number 11177, (hereinafter "Subdivision Map"), covering premises situate at
Cutchogue, Town of Southold, Suffolk County, New York, hereby irrevocably

Subdivision Map for open space as noted on the Subdivision Map for dedication to

Notwithstanding the foregoing, the Town of Southold or
such other appropriate municipal authority as it may
designate, may improve the premises solely for the purpose
of operating and maintaining a well site. To further such
purposes it may construct a well, pump building, access
road, distribution pipes and such other accessories which
are necessary to operate and maintain the well site,
provided, however, that no structure or other improvement
constructed or maintained upon the premises shall exceed
thirty-five (35) feet in height, and specifically the
premises shall not be improved with a water tower.
This conveyance is made upon the express condition, and
the Town of Southold, on behalf of itself, its successors
and assigns covenants that, the premises shall be used as
set forth herein and for no purpose other than those herein
specified, and the Town agrees to dedicate the premises to
such uses and to no other.
This Offer of Dedication is intended for present or future acceptance and is
irrevocable.
The undersigned represents it is the sole owner of the property shown on
the Subdivision Map, and covenants and agrees to reserve to itself the right to
convey to the Town for such purposes all of such land area in all-conveyances of
lots or parcels in said Subdivision Map.

The Planning Board reviewed your August 25, 1998, inquiry in regard to
the required setbacks for the above mentioned subdivision at the August
31, 1998 work session.
The Woods at Cutchogue was designed as a clustered subdivision, with
most of the lots approximately 1 acre in area. The Bulk Schedule for the
R-40 Residential District should be used to establish the minimum setback
requirements for the lots within this subdivision.

My last report or final inspection concerning this project
stated that several minor items regarding the installation of the
street lights were required. All of these items have been taken
care of in a satisfactory manner. Enclosed you will find a copy of
the electrical underwriters certificate for the two street: lights.
The only item I have not yet reviewed would be a legal
description identifying all roads, easements and natural drainage
areas. This item should be reviewed For accuracy prior to
acceptance of the roads for dedication. As I understand it, a
resolution by the Town Board For acceptance of the two street
lights will also be required at dedication.
If you have any questions concerning this matter, please
contact my office.

Dear Ray:
As per your request, I have conducted a final inspection of
the above referenced subdivision. All required construction items
have been completed in a satisfactory manner with the exception of
the Street Lights.
The Street Lights have been installed but will require some
modifications as follows:
1. Caution tape has not been installed above the electrical
wiring. This is required.
2. Service Splice Boxes were not installed at the point of
connection to the LILCO facilities. This is required.
3. An Underwriters Certificate for the installation will be
required.

The Woods at Cutchogue
Dear Mrs. Terry:
This letter is to confirm our recent conversation. The above
referenced subdivision has been completed in a manner such that all
required road improvements have been completed in a satisfactory
manner except one. The street lights required by the Planning
Board have been installed but will require some minor changes
before the installation can be accepted. A Town Board resolution
will also be required to accept the lights when the road dedication
is accepted.
A legal description detailing all roads, easements and
drainage areas should also be provided. There has apparently been
some miss communication between Lori Dowd and myself. The maps, as
supplied by Mr Beebee, show all of the required road improvements
located within fifty foot right-of-ways. These maps are accurate
and all the road work has been completed within the right-of-ways
as shown, but a description of these areas will also be needed.
This description will avoid any confusion about what is Town
property and will also clarify what easements the Town has wi*,h
regard to the natural drainage area.
If you have any questions or require any additional
information concerning this matter, please contact my office.

You have been in touch with Melissa Spiro of the Southold Planning Department
regarding the above bond which we hold to guarantee the improvement of roads
in the subdivision known as "The Woods at Cutchogue". You suggested to her
that you had closed the bond because the original bond had been returned.
Please be advised that the Town of Southold still holds the original bond and
has not returned it to you. The Town had merely consented to reduce the bond
from $319,680 to $120,000. The Town still holds the guarantee of International
Fidelity Insurance Company for obligations totalling $120,000. Please notify us
that you are willing and able to honor that commitment. Our alternative will be
to fully pursue our legal remedies.

Mr. Beebe and Mr. Bidwell attended the Planning Board's
May 2, 1994 work session to discuss the location of the street
trees for the above mentioned subdivision. Mr. Bidwell, the
owner of the vineyard adjacent to the subdivision road,
explained that if street trees are planted on the south side of
the road, he will not be able to turn his netting machine around
at the end of the. rows.
The Planning Board agreed to require the planting of street
trees on the north side of the road only. However, they asked
that the trees be planted at intervals of 30 feet instead of 40
feet.

At the June 14, 1994 meeting of the Board of Fire
Commissioners, the well located on Evergreen Drive was accepted,
by the District, for fire protection purposes. The district
will provide the necessary maintenance for the continued use of
the well.
The Board has also been advised that Evergreen Drive has
not been turned over to the Town and therefore we must request,
from you, an easement for our access to the well. Please be so
kind as to forward a document, to us, as soon as possible.

released upon a resolution of the Town Board after completion of the required
improvement.

This letter is in response to your October 4, 1991 letter regarding
the Performance Bond for the above referenced project. Mr. Fuchs
and I have already made a requested to the bonding company for a
reduced bond amount as approved by the Town Board. We will be
sending your office the bond for this new amount shortly.
I would like to again clarify to you and your staff that only
letters of credit expire, performance bonds do not. They are issued
to the municipalities and are in effect until the municipalities
release them. They are not subject to whether we renew them. They
do not e~ire until you, the municipality, wish them to. Please
have the Town Attorney explain this to your staff, so we do not
have to go through this correspondence every year.

of his understanding.

The reduced performance guarantee for the Woods at
Cutchogue Subdivision (Bond # 092179 with the International
Fidelity Insurance Company) is due to expire on November 17,
1991.
Since the improvements have not been completed, you must
extend the guarantee for at least another year. An extension of
this guarantee must be submitted to this office before the
November 17, 1991 expiration date.
Please be aware that due to the timing of the Town Board's
meetings, if the extension is not received by noon on
November 12, 1991, there will be a resolution before the Town
Board that afternoon to authorize the Town to draw on the Letter
of Credit if the extension is not received by noon on
November 17, 1991.

unit price bonding of subdivision constructions. This is a list
that is kept in the office for putting together our performance
bonds.
Mr. Latham: Mr. Chairman, I would like to offer the following
resolution.
RESOLVED that the Southold Town Planning Board update the
estimated unit prices for bonding of subdivision construction.
There is a list that follows which will be on file for anyone
who would like to see it.

Mr. Orlowski: Are there any question from the audience?
Mr. Fuchs: This is my partner, Mr. Joseph Fishetti and we
would like to discuss with you the subdivision filed with this
Town by the name "The Woods at Cutchogue". In 1988, Mr.
Chairman, the Town requested, and was given a bond for this
subdivision which was filed in the amount of $323,000 dollars
and we felt at that time that that bond amount was approximately
twice what it would take up to actually put in the improvements
and to be perfectly frank our feelings were accurate in that
matter. In May of this year, we submitted to the Town Engineer,
Mr. Richter, a letter indicating items of improvements which we.
have completed and have been inspected and approved by him and
listed for him some seven items which we have yet to complete.
Using the Towns figures, these seven items come to a total of
approximately $78,000 dollars. Now, I point out again to you
that our costs are bearing out the fact that this $78,000
dollars is approximately twice what it is going to cost us to
actually install these items. Now, we are here tonight to ask
you for a bond reduction. Not to $78,000 dollars which is your
figures but to $150,000 dollars. Now, I make this point only
because we figure we can do this for about $35,000 dollars and
understanding the Town needs, and is entitled to a margin of
safety, we offer not your figures but a figure 50$ in excess of
your figures. Now, basically why we are requesting this is
because first of all we are not planning to proceed immediately,
we have houses to construct there and most of the time it is
considered favorably if the final improvements to finalize it is
put off a while while this construction goes on because most of
the time it is considered an advantage if the improvements as

they are in now go a winter or two so they can be tested by the
frost cycle and so on to make sure everything is installed
properly. So generally speaking, keeping the amount of the bond
as it is is a burden on us financially, it is a burden on us
from the point of view of the bonding companies point of view
and we feel that this project will be completed and it will be
completed in a timely fashion and a delay at this point of a
season or so will actually work in the Town's favor. We have no
other reason other than that except we will point out that
regardless of the amount of the bond, of course the only
coverage under the bond would be for the actual improvements yet
to be done so if the bond is $150,000 or $300,000 or twice that
the Town is only going to be reimbursed for the amount of the
actual cost of the improvement. If it is consistent with the
Board policy, we would hereby request a reduction in our Bond
amount to $150,000 dollars.
Mr. Orlowski: O.K., the only comment I have, is that in your
letter here you didn't put in the cost of the firewell. Has
the firewell be installed yet?
Mr. Fuchs: It is not a bonded improvement.
Mr. Orlowski: I don't have a problem with the number. I am
just asking about the firewell.
C Mr. Fuchs: Water installation and electric installation are
generally not bonded.
Mr. Orlowski: We would just like to see the well go in before
construction starts in there.
Mr. Fuchs: Yes, that is our understanding and it is our.
intention.
Mr. Orlowski: That is our only question. I don't have any
problem with reducing it to $150,000 dollars.
Mr. Fuchs: We don't have any problem with a fire well either.
We know it has to go in.
Mr. Orlowski: I will entertain a motion to reduce the bond.
Mr. Edwards: So moved.
Mr. Orlowski: What was that number?
Mr. Fuchs: What was in the letter? The letter was $125,004,
I'm sorry.
Mr. Orlowski: O.K., how about $120,000? Motion made and
seconded to recommend to the Town Board to reduce it to $120,000

the Town Attorney who has been advising us so he disappeared.
Mr. Orlowski: So what do we do?
Mr. Edwards: I wouldn't do anything without contacting our Town
Attorney. Mr. Lark is claiming that FIDCO is going to sue the
Town.
Mr. Orlowski: O.K., I will entertain a motion to adjourn.

The curbing installation looks good. The curbs are uniform and run in

is scheduled to begin next week.

The ruirgh grading of the subbase material has been completed in an acceptable
manner.
Recycled Stone/Crushed Concrete began arriving on site on Friday 5/3/91.
Deliveries continued through Saturday. This recycled material is an
acceptable substitute for Stone Blend.
Rough grading of the Recycled Stone/Crushed Concrete looks good. Some areas
near the entry are thinner than the required 4" and sill need to be
fine graded to the correct depth prior to installation of the Asphalt
Base.
Conduit (for future electrical installations) has been placed under the
road in several locations.
Additional delivery of Recycled Stone/Crushed Concrete will be needed. The
Cul-de-Sac needs more Stone.
Some of the block curbing has been broken loose by the grader and needs to be
re-installed.
One manhole casting and cover has been dislodged during the grading process.
This casting must be reset prior to placement of the Asphalt Base Course.
This manhole must also be cleaned of stone and debris that has fallen
into it.

THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION WAS ADOPTED BY THE
SOUTHOLD TOWN BOARD AT A REGULAR MEETING HELD ON NOVEMBER 13, 1990:

WHEREAS, the Planning Board has advised the Town Board that the performance
guarantee for "The Woods at Cutchogue" (Bond #092179 in the amount of
$319,680.00) is due to expire on November 17, 1990; and
WHEREAS, the Planning Board has further advised the Town Board that the con
struction of the public improvements guaranteed by the aforesaid bond has not
been completed; and
WHEREAS, a request by the Planning Board to the developers to extend the
guarantee has not been complied with;
NOW, THEREFORE, BE IT RESOLVED that the Town Board of the Town of
Southold hereby authorizes the Supervisor to present this resolution to
International Fidelity Insurance Company, drawing on the Performance Bond in an
amount to be determined after inspection by the Town's Engineering Inspector, to
determine the work yet to be completed;
AND BE IT FURTHER RESOLVED that in the event an extension to the
Performance Bond is received by the Town Clerk prior to 12 Noon on November
16, 1990, the Supervisor is directed not to present this resolution drawing on this
bond.

On October 9, 1990, the Planning Board sent a letter to you
requesting an extension of the above-referenced performance
guarantee by this date.
The extension has not been received. Consequently, the
Town Board intends to pass a resolution at its November 13th
meeting to draw on your performance guarantee for The Woods
subdivision (BOND #092179 - The International Fidelity Insurance
Company).
The wording of the resolution states that if a new or
extended guarantee for $319,680.00 is not received in the
Planning Board office by noon of Thursday, November 15, 1990,
then the Town Board will present its request for payment to the
International Fidelity Insurance Company on Friday, the 16th.
If there are any questions, do not hesitate to call this

The Planning Board has not received an extension of the
performance guarantee for this major subdivision. The
developers were notified by letter, a copy of which is attached
for your convenience. As noted in the letter, a resolution to
draw on the bond must be acted on by the Town Board at this
evening's meeting because the bond expires on November 17, 1990.
It would be appreciated if you would place the following
draft resolution (or a similarly worded draft) on the Town
Board's agenda for the November 13, 1990 meeting.
BE IT RESOLVED That due to the failure of the principals to
complete all required public improvements as shown on the
resolution prepared by the Southold Planning Board dated
November 1, 1988, the Town Board shall draw on Bond #092179 of
the International Fidelity Insurance Company on November 17,
1990 unless the Town Clerk shall have received an extension of
this Performance Guarantee for a two year period to end on
November 17, 1992.
A copy of the Planning Board's October 9th letter to the
developers, and the performance guarantee are enclosed for your
convenience.

DATE: November 13, 1990
The Planning Board has not received an extension of the
performance guarantee for this major subdivision. The
developers were notified by letter, a copy of which is attached
for your convenience. As noted in the letter, a resolution to
.draw on the bond must be acted on by the Town Board at this
evening's meeting because the bond expires on November 17, 1990.
It would be appreciated if you would place the following
draft resolution (or a similarly worded draft) on the Town
Board's agenda for the November 13, 1990 meeting.
BE IT RESOLVED That due to the failure of the principals to
complete all required public improvements as shown on the
resolution prepared by the Southold Planning Board dated
November 1, 1988, the Town Board shall draw on Bond #092179 of
the international Fidelity Insurance Company on November 17,
1990 unless the Town Clerk shall have received an extension of
this Performance Guarantee for a two year period to end on
November 17, 1992.
A copy of the Planning Board's October 9th letter to the
developers, and the performance guarantee are enclosed for your
convenience.

Dear Dave:
Pursuant to our telephone conversation I have included some
pertinent doctunents regarding "The Woods."
The Town has an easement over the 11.97 acre open space
area for water supply and development though no buildings over
35 feet in height may be constructed (Covenants and Restrictions
and map included).
Most of this open space lies within the Town's designated
core watershed area, which extends 500 feet south of the
railroad tracks, and part is within the Southold SGPA (Special
Groundwater Protection Area) although, as you know, those
boundaries are not yet finalized.
The merits of this site are as yet unknown. The map
indicates a test well on the open space portion. While that
well would be inadequate for analysis of the site's true
potential the health department records might be useful for an
initial determination of water quality.
