The following action was taken by the Southold Town
Planning Board on Monday, April 25, 1988.
RESOLVED that the Southold Town Planning Board approve the
final maps subject to submission of drainage plans acceptable to
the Town Engineer, a revised map showing a 50' East-West
dedication for a Right-of-Way to the Town between lots 3 and 4,
the posting of a bond or a Letter of Credit for road
construction, and the Covenants and restrictions being shown on
the final map.

WHEREAS, the Declarant is the owner in fee simple

maximum open space, natural scenic beauty and natural vegetation and
to prevent overcrowding and to conserve the ground water resources
of the Town of Southold, and
Town of Southold for approval of the subdivision and development of
the premises as a Minor Subdivision, to contain not more than four (4)
lots or parcels.
NOW, THEREFORE, the Declarant does hereby declare that the
aforesaid premises and every portion thereof is hereby held and shall
be conveyed subject to the conditions, covenants and restrictions
hereinafter set forth, and that every purchaser of said premises,

1. No lot or plot as shown and designated on the Minor Subdivision
map approved by and filed with the Southold Town Planning Board shall
be further subdivided.
2. No dwelling, or other building or structure shall be erected
or maintained within 100 feet of the top of the bluff or cliff adjacent
to Long Island Sound.
3. In order to prevent the erosion of the bluff or cliff adjacent
to Lon Island Sound, no vegetation shall be removed ther~efrom nor
disturbed in any manner, nor shall any stairways, paths or other·
structures be placed or maintained thereon, without the written
approval of the Southold Town Planning Board.
4. That all of the covenants, conditions and restrictions contained
herein shall be construed as real covenants running with the land and
shall continue and remain in full force and effect at all times as
against the owner of the premises or any portion thereof in perpetuity.
Said covenants, conditions and restrictions shall Re bin~ing upon, inure
to the benefit of and be enforceable by the Declarant, their heirs,
successors and assigns; any owner of any portion of the aforesaid premises,
their heirs, successors and assigns, and the Town of Southold, and its
successors and assigns, and the failure of any of the foregoing to enforce
any of such covenants, conditions and restrictions shall in no event
be deemed a waiver of the right to do so thereafter.

Dear Mr. Stuart:
The Planning Board has reviewed your correspondence
regarding road modifications for the above mentioned subdivision.
The Planning Board is currently working on revisions to the
Town Code which would result in reduced road specifications for
certain types of subdivisions. However, since the Highway
Specifications are not part of the Subdivision section of the
Town Code, the Planning Board's proposal must be reviewed and
also accepted by the Town Board. As of this date, the Planning
Board's proposal has not been accepted by the Town Board.
If the current road specifications do become modified by
the Town Board; it is suggested that you again request in
writing that the Planning Board review the road specifications
for the above mentioned subdivision.

regarding the above.

RIDER ATTACHED TO AND FORMING PART OF CONTRACT
OF SALE BETWEEN SUNBOW ASSOCIATES, AS SELLERS,
AND RUSSELL WEISS, AS PURCHASER
Purchaser agrees to deliver to the attorney for the se]]er
herein a list of any objections or vio]ations which may appear on any
proper examination of this tit]e, and if any objections or violations
appear on said title examination and cannot be cleared by the se]]er
by the time set for the closing of tit]e, then se]]er, at its option,
shall be entitled to a reasonable adjournment of the closing for the
purpose of removing said objections or violations. Nothing herein
shall be deemed to require the se]]er to take any legal action or
proceeding to cure any defects in title.
The purchaser represents that no real estate broker brought
about this sale.
This agreement is subject to:
1. Seller procuring required approval from the Town of
Southo]d Zoning Board of Appeals and/or Planning Board for permission
to terminate the existing Right of Way so that the cul de sac and the
Right of Way wi]] end at the southerly lot line of Lot #3 as shown on
the map hereinabove referred to.
2. The se]]er placing a notation on the map within the body
Lot #4 in substance stating that said Lot #4 is to be acquired by
Russell Weiss as owner of SCTM #1000-100-02-005.

4. Said aforesaid approval to be secured by seller at own
expense within a period of six (6) months from the date of this
contract.
5. Purchaser procuring at own expense site plan approval
for construction of greenhouse complex on 66% of Lot #4 (subject
premises) within one (1) year of date of this contract.
In the event the said approvals are not procured within said
time, then either party may cancel this contract at which time
purchaser shall be entitled to the refund and payment of the down
payment made hereunder and ~pon such payment being made, this contract
sba]] be considered cancelled.
This contract may not be assigned without the express
written consent of the se]Jer.
The submission of this contract does not constitute an offer
and neither side shall be bound until the contract is signed by ail
parties.
If there is a conflict between the printed portions of this
contract and the provisions of this Rider, the terms of this Rider
sba]] control.
The down payment hereunder shall be held in escrow by
Frederick J. Tedeschi, attorney for the seller, as escrow agent until
closing of title. The escrow agent shall not be required in any way
to determine the validity of any notice of any other document
delivered or required to be delivered hereunder. The escrow agent
shall not be responsible to any of the parties hereto for any action
or failure to act, unless such action demonstrates bad faith. The
purchaser and the seller hereby authorize the escrow agent, in the
event they become involved in litigation by reason of this contract of
sale to deposit with the clerk of the court in which such litigation
is pending, ail funds delivered to the escrow agent hereunder and
thereupon, the escrow agent shall be fully relieved and discharged of
a,y further responsibility hereunder. In addition, the escrow agent
is hereby authorized, in the event it is threatened with litigation,
to interp]ead ali interested parties in any court of competent
jurisdiction and to deposit with the clerk of such court ail funds
deposited with it hereunder and thereupon the escrow agent shall be
fully relieved and discharged of any further responsibility hereunder.
The escrow agent shall have no duty to invest any of the funds
deposited with it hereunder and shall not be responsible for any
action or failure to act, un]ess such action demonstrates bad faith.
The parties shall comply with Section 1445(b) of the
Internal Revenue Code of 1954 (Foreign Investment in Real Property Tax
Act of ]980 as amended by the Tax Reform Act of 1984).
In the event title shall fail to close due to the willful
default of the purchaser, the down payment hereunder made, at the
option of the seller, may be retained as reasonable liquidated
damages, for such default and the parties hereto agree they have
ascertained same to be the damages in that event. In such event, the
said down payment shall in no event be considered a penalty.
Said escrow shall be deposited in a money market interest bearing
account at North Fork Bank and ali. interest earned shall be
distributed to the party receiving the principal sum deposited.

establish this Irrevocable Letter of Credit in your favor up to the
aggregate amount of One Hundred Sixty-nine Thousand One Hundred Fifty-five
and NO/lO0 ($169,155.00) U.S. Dollars available by your drafts at sight
accompanied by:
A certified copy of the resolution of the Town Board, certified by the
Town Clerk which indicates:
"8unbow Associates has failed to complete all of the improvements to be
completed by Sunbow Associates with regard to a subdivision map entitled
'Map of Sunbeau Associates', heretofore approved by the Planning Board of
the Town of Southold on April 26, 1988, and that as a result of said
failure, there is due and owing an amount equal to the face amount of our
attached draft. We further certify that the amount drawn hereunder is for
the sole purpose of completing those items of improvements which were to
have been completed by Sunbow Associates."
This Letter of Credit must be presented for payment by the beneficiary at
our counters at 9025 Route 25, Mattituck, New York 11952, not earlier
than September 1, 1988, nor later than July 31, 1989 and all drafts drawn

Planning Board in our letter of April 26, 1988, a copy of which
is enclosed. The applicant should sumbit a revised plan
showing the cross-section.
Additionally, in order to complete the estimate we will
need the following:
a revised plan showing a cul-de-sac and roadway
drainage
- test hole data in the right-of-way at the locations of
proposed drainage structures.

depth. The coarse aggregate shall consist of crushed
stone, the fine aggregate sand and mineral filler. The
mineral filler shall consist of limestone dust, cement or
silica sand.

Temperature range placing: two hundred twenty-five
degrees to two-hundred seventy-five degrees Fahren-
heit (225° to 275°F.} No material shall be placed
when the air and surface on which the material is to
be placed is below forty degrees Fahrenheit (40°F).
(2) Bituminous surface treatment-double application.
(a)
The first course shall consist of an application of
emulsified asphalt, grade CRS-2, applied at a rate of
.30 gal. to .45 gal./s.y.; and the spreading and
rolling of crushed bluestone aggregate at a rate of
25 lbs. to 30 lbs./s.y. The aggregate shall have the
following composition:

The second course shall consist of an application of

.20 gal to .35 gal./s.y.; and the spreading and
rolling of crushed blue stone aggregate at a rate of
20 lbs. to 25 lbs./s.y. The aggregate shall have
the following composition:

The double application bituminous sulrface treatment, when required,
shall not be placed until the binder course has been satisfactorily
completed, cured and approved by the Engineer. The liquid asphalt
shall be evenly applied to the road surface by means of a pressure
distributor, at 125°F to 185°F and at the rate specified. The
distributor shall be equipped with an accurate measuring device
which indicates the exact number of gallons remaining within the
distributor tank. Note that the rate of application may be
adjusted depending on the specific gradation of the crushed blue
stone to be used. No asphalt shall be applied unless sufficient
truck loads of aggregate are standing by at the paving site and, in
the opinion of the Engineer, all asphalt distributed will be
immediately covered with aggregate. Sufficient time shall elapse
between the completion of the first course and the placing of the
second course so that the bituminousl material in the first course
has time to set or cure. Prior to the placement of the second
course, the surface to be paved shall be drag broomed and the
excess on the sides of the roads shall be evenly distributed across
the entire width of pavement. Any damage to the pavement shall be
repaired with asphalt and stone applications prior to the placement
of the second course. Additional stone shall be applied to take up
any bleeding that occurs. All rolling shall be done by
pneumatic-tired rollers or steel wheeled rollers no heavier than 8
tons. No material shall be placed when the air temperatre is below
50°F or if the road surface temperature is less than 70°F.

The Planning Board held a Public Hearing on the question of
final approval of the minor subdivision of Sunbeau Associates on
March 21, 1988. At this hearing there was discussion of a 50'
east/west easement and also of addressing the drainage,
particulary the run-off impact on the adjacent property.
The Board would like to see the 50' easement between what
is currently lot numbers 3 and 4
The Planning Board would like an extension in time to
address the above mentioned items before the granting of a final
decision.

Pursuant to Article 8 of the Environmental Conservation
Law State Environmental Quality Review Act and 6NYCRR Part
617, Section 617.10 and Chapter 44 of the Code of the Town
of Southold, notice is hereby given that Southold Town Planning
Board as lead agency for the action described below has determined
that the project will not have a significant effect on the
environment.
DESCRIPTION OF ACTION
The minor subdivision of Sunbow Associates
lots on 30.6 acres located at Soundview Avenue,
map no. 1000-100-2-5.1.
is for four

The project has been determined not to have a significant
effect on the environment for the following reasons:
An environmental assessment has been submitted which indicated
that no significant adverse effects to the environment
were likely to occur should the project be implemented
as planned.
Because there has been no correspondence from the Suffolk
County Department of Health Services in the alotted time,
it is assumed that there are no comments or objections
from that agency.
The NYS Department of Environmental Conservation has responded
questioning if the present zoning "A" meet the definition
in 6NYCRR Part 617, Section 617.12. This zoning catagory
does not meet this definition.
The project will meet all the requirements of the Code
of the Town of Southold Subdivision of Land Regulations.
