ORGANIZATIONAL MEETING

1:'30 P.M. The Town Board reviewed the resolutions to be voted on at the 4:30
P.M. Organizational Meeting.
3:30 P.M. The Town Board met with Greenport Village Mayor Stephen Clarke,
Village Trustee Joanne Dolinar, Superintendent of Water & Sewer Gerald Hickson,
Senior Planner Valerie Scopaz, Planning Board member Mark McDonald, Stewardship
Task Force Chairman Thomas C. Samuels, and member Gregory A. Palast.---
Discussion ensued concerning the question of the preparation of a comprehensive
review of the Hamlet Density (HDZ) zoning around Greenport Village, including Jem
Commons, or should the Town Board move forward, on its own motion, to rezone
the Jem Commons parcel back to R-80. Mr. Samuels read a letter from the
Stewardship Task Force, dated December 22, 1993 for then Supervisor-Elect Wickham:
"Following recent actions by the current Town Board regarding the downzoning of
certain properties and similar actions, the Stewardship Task Force, by Unanimous
vote, adopted the following resolution for your immediate attention: 'RESOLVED:
1; We reiterate to the Town Board that no zoning changes be made which undermine
our Task Force's pending TDR and related programs. And, 2. We respectfully
request that the soon-to-be sworn Town Board reverse any recent rulings by the
prior Board which contradicts these policies.' We look forward to working with you
and the new Town Boa rd in a' new and cooperative manner ..... "A proposed
Resolution no. 60, prepared by Town Attorney Dowd, was discussed, and after
minor revisions, there was unanimous agreement to place it on the Organizational
Meeting Agenda for action.

The Orc. lanization Meeting of the Southold Town Board was held on Tuesday,
January 4, 19'94, at the Southold Town Hall, Main Road, Southold, New York.
Supervisor Wickham opened the meeting at 4:30 P.M., with the Pledge of Allegiance
to the Flag.

SUPERVISOR WICKHAM: It's a pleasure to see everybody here today. We have
before us an agenda, that is limited largely to organizational matters with substan-
tive matter towards the end of the agenda, and we don't have the normal business
that we frequently have at Town Board meetings. I will lust say, that the next
meeting of this Board has been scheduled as a regularly scheduled meeting next
Tuesday, a week from today, at 7:30 P.M. That meeting time was set back in
December, and having said that we're ready to begin today's resolutions. I have
to start off, because this is a Supervisor's appointment. There are a very few
things that the Supervisor has the authority to do on his own, and I'm pleased to
be able to appoint as the Deputy Supervisor for the rest of this year, Ruth Oliva,
who's' sitting on my left here.
1 .-SUPERVISOR'S APPOINTMENT
Supervisor Thomas H. Wickham hereby appoints Ruth D. Oliva as Deputy Supervisor
of the Town of $outhold for the term of January 1, 1994 through December 31, 1994.
SUPERVISOR WICKHAM: I'm also pleased to appoint someone else, who should be
here, but is busy manning,a crisis telephone on at the moment.
2.-SUPERVI SOR'S APPOINTMENT
.Supervisor Thomas H. Wickham hereby appoints Lauren Kru~l Grant as Confidential
Secretary to the Supervisor, effective January 1, 1994 through 'December 31, 1994.
SUPERVISOR WICKHAM: Lauren is with us right now. There is a number of phone
calls coming in, because of a serious power outage in the town, that the people call
the Supervisor's Office about power failures, so she's in there. She had hoped to
be with us this afternoon. You'll get to know Lauren, I hope, as in Supervisor~s
Office.
COUNCILMAN TOWNSEND: I'm equally pleased to offer this resolution. I think we've
got a great person here for Town Attorney.
3.-Moved by Councilman Townsend, seconded by Councilwoman Oliva, it was
RESOLVED that pursuant to Section 24 of the Town Law, the Town Board of the
Town of Southold hereby appoints Laury L. Dowd as Southold Town Attorney,
effective January 1, 1994, she to hold such office until the first day of January next
succeeding the first biennial town election.

4.-Moved by Supervisor Wickham, seconded by Councilwoman Oliva, it was
RES-OLVED that the Town Board of the Town of Southold hereby requests Suffolk
County District Attorney James M. Catterson to designate Southold Town Attorney
Laury L. Dowd as a Special Assistant District Attorney.

WHEREAS, Section 64 of the Town Law requires the Town Board to desic~nate, by
resolution, banks in the State in which the Supervisor or other officers of the Town
shall deposit all moneys coming into their hands by virtue of their office; and
WHEREAS, the Town Board may require any bank, so designated, to deposit with
such Board bonds or certificates Of the United States, of the State of New York,
or any County, town, city, village or school district of the State of New York, such
security for such funds so deposited, but such bond or certificate shall be subject
to the approval of:the Town Board and shall be deposited in such place and held
under such conditions as the Town Board may determine; now, therefore, be it

SUPERVISOR WICKHAM: I'd just like to point out that $600.00 is a high figure,
that people have not spent in some years. Most of us will not be spending the
nights in the hotels there, and we'll be going back and forth, and we'll spend just
a small portion of that. That is the outside figure.

RESOLVED that any Town official, elected or appointed, who is required to use his
own automobile in the performance of his duty, ~hall b~ compensated' 'for travel
-expenses necessarily and actually incurred in carrying out the duties of his office,
at a rate not to exceed twenty cents ($.20) per mile.

WHEREAS, it is required by Section 27, Subdivision 1 of the Town Law, that the
Town Board fix, from time to 'time, the salaries of all officers and employees of the
Town, whether elected or a. ppointed, and' determine when the same shall be payable,
and that the s~laries of the members of the Town Board, the. elected Town Clerk
and the elected Superintendent of Highways shall not be fixed in an amount in
excess of the amounts respectively specified in the notice of hearing on the
preliminary budget published pursuant to Section 108 of the Town Law; now,
therefore, be it

RESOLVED that the Town Board of the Town of Southold hereby appoints Richard
Noncarrow, bank officer of the Suffolk County National Bank, as Deputy Receiver
of Taxes for the Town of Southold, effective January 1, 1994 through December ~1,
1994, he to serve in said position without compensation.

RESOLVED that pursuant to Section 142(1-A) of the Highway Law, the Southold
Town Superintendent of Highways be and he hereby is authorized to purchase
equipment, tools, snow plows and other implements and devices without prior
approval of the Town Board in an amount 'not to exceed $10,000.00 for any one item
during the period from January 1~, 1994 through December 31, 1~94.

work of the Board of Assessment Review, at their suggestion, before taking it up
at our next meeting.

RESOLVED that pursuant to Section 272 of the Town Law, Richard G. Ward is

FURTHER RESOLVED that the Chairman of the Planning Board shall be responsible

SUPERVISOR WlCKHAM: That completes the organizational part of this meeting, and
I would like to express my appreciation to Judy Terry, who prepared all this docu-
mentation. I don't know how an incoming Supervisor could possibly have prepared
for all this in just two days, to have all of this on the agenda. What is before us
now, the next order of business, is to establish the various working committees of
the Town Board. Historically the Town Board has divided up the responsibilities,
and designated' several standing committees. At the moment there are twelve standing
committees of the Town Board, or have been twelve standing committees. The
priviledge of nominating committees has traditionally been handled as a appointment
to be made by the Supervisor. We have hadn't extensive discussion of this yet on
the Board, and there will some further opportunity for discussion, and perhaps in
fine tuning, but these are the appointments that I am offering this evening. I
understand that most of the Board members are pleased with them, but there may
be some additional work ahead. Whether, or not the Supervisor also has the privitedge
of designating the charge to these committees is less clear, but I'm also going to
outline some charges to the committees, where these new committees will be established
where there's a major change in what currently exists. The first standing committee
of the Town Board is that of the Police Committee, and we are statutory required
to have a Police .Committee to deal with grievances, etc. under the Police contract,
and I will be the Chair of that committee. We'll continue to have a Planning and
Zoning Commitl~ee; and I assume it will function more or less as it has in the past,
and ~oe Townsend has agreed to chair that committee. In place of the Legislative
Committee of the past we are planning to have a Code Review Committee, and Ruth
Oliva has kindly agreed to chair that one . In as much as it is a new name, we'll
have to create that committee. That will take a special resolution. We can do it,
and perhaps will do it, but before we do that, I'd like to read the charge to this
committee to get a sense of the Board, whether they're comfortable with it, and
would like to proceed with that resolution. The proposed charge for the Code Review
Committee is to propose to the Board changes in the Town Code that would have
one or more of these benefits, to save the Town money, to reduce or eliminate
contradictory passages, to improve the prospects for full and fair enforcement, and
to facilitate compliance on the part of Town residents. That would be the charge
for a Code Review Committee, and this basically would take the place of what has
been a Legislative Committee in the past.

SUPERVISOR WICKHAM: It would, but it need not.' The thought was, that if there
is _le.g~slation proposed in the area of planning and zoning, for example, it would
come out of the Planning and Zoning Committee, and if there ~s legislation in other
areas they could come directly to the Board, but it need not come through that Code
Review Committee. My feeling Was, that to some extent that committee..although

SUPERVISOR WICKHAM: The next committee is not strictly speaking a standing
committee of the Town Board, but it's been a very important one, that has been
ably chaired by Councilwoman Hussie, and that's the Solid Waste Task Force, and
she has kindly agreed to stay on in that capacity. The next one, the Finance
Committee, has not been active in the last couple of years, so I will simply read
the proposed cha~ge to the Finance Committee, which I would chair.. The charge
'is as follows, to review receipt and expenditure of funds on an ongo~ng~b'asis and
to compare same with budget_ projections, to evaluate and, if feasible, help the
Town implement a system of budgeting by department or cost-center, to consider
and, if feasible, ,help the Town implement a capital budget, to review various Town
policies in respect of, overtime worked, risk management, cash ~management and -
investment policies, internal controls, debt management, including sh~rt and long
term debt, and any other policies in regard to our financial controls in the Town,
and finally to assist the Board, the Town Board, in evaluating the annual indepen-
dent audit and the periodic New York State audit. This is the charge that I'm
refining for the Finance Committee of the Town Board. Those are the only committees
that i,m currently proposing for this Board.

SUPERVISOR WICKHAM: Instead of having committess to do the work that has been
done in the past, I would nominate liaisons, or people on the Board, who will take
particular interest in a particular ~ssue, deal with them, and not necessarily form
committees. Those liaisons for the particular area, that I'd like to propose are, of
course, Fishers Island, Justice Louisa Evans, who I hope will be the liaison with
anything that happens on Fishers Island. To deal with matters of youth in this town~_~
Joe Lizewski spoke about the need to move ahead, and not to just drop the ball in
the area of youth, and Joe, I'm pleased that you'll be willing to take on that role.
We have had an ongoing relationship with the North Fork Animal Welfare League,
and the Dog Shelter. Alice Hussie has agreed to continue in that role. Have you
not, Alice?
COUNCILWOMAN HUSSIE: Right.
SUPERVISOR WICKHAM: We have a Park, Beaches, and Recreation, which is at the
moment unspoken for, and I think we're going to have to do a little more homework
before we can address that one. We have a Personnel Committee, which has been
ably handled in the past, and I'm asking Alice to take that on, herself, as a liaison,
and call Upon. the rest of us, as need be to assist her in that area. The Scavenger
Waste Treatment Plant in Greenport is a plant built by the Town of Southold, but
managed by the Village of Greenport. It's the interaction of these two muncipalities
that involve quite a bit of time, and effort, and Ruth Qliva has agreed to be our
liai-son with the Scavenger, Waster Treatment Plant. (tape change) Business relation-
ship, and to develop a strategy, and a means by which the town can mere closely,
and have a stronger relationship with the business community here, and finally there
are two additional liaisons, that we're looking for, that have yet to be designated.
We'll have to have a little discussion at subsequent meetingst a liaison for the Human
Services area, and one for the Performing Arts. Both of these are very important
for the Town of Southoid, and when we have a chance to discuss them a little more
fully, we',Il have additional appointments. We have, in addition to that, other areas
that we'll be discussing in greater length, and I don't want to spend a lot of time
on it today, but:. to sa)~ ,that ,there are three additional, probably ,commissions, or
committees, that we Will be discussing, and I'll just mention them ,briefly, because
we're not g;oing to actually-establish them at this time. One is a Commission on Taxes,
how to deal with, the issue of taxes in this town, and to provide ,some restraint on
the tendency for increased taxes. Another is a committee to evaluate the management
in Town Hall, and the allocation of space, office space within this building, t
doesn't take mOre ~han'two days on the job to see that the allocation of space iri
this building is, a serious question, and one that has bearings on the interaction,
interrelation Of the different departments here. Rather than the Super~'is0r try to

COUNCILMAN TOWNSEND: Is there any kind of legal standing these committees have?
Is there provision in Town law that we're not providing for now by eliminating these
committees? I'd like to know if we're jeoparding anything. This is something the
Town has done at it's, own discretion. There's no particular basis.
TOWN CLERK TERRY: This has been done before. Some of these committees were
created two and four years ago.
COUNCILMAN TOWNSEND: Right, but a committee, as such, has no standing legally?
I mean, I'm concerned about a liaison versus..
SUPERVISOR WICKHAM: There is a requirement for a Police Committee. Contractually,
legally, we have to have that, and we do. The ones that are being abolished, 1 don't
believe we have any legal requ,irements to maintain.
COUNCILMAN TOWNSEND: Okay. Is the entire Town Board still part of each
committee?

SUPERVISOR WICKHAM: No. I would like to clarify my move about that, but it is
just my personal view.
COUNCILMAN LIZEWSKI: Is it just your view, or is it what it's going to be?~
SUPERVISOR WICKHAM: I think it's not necessarily the way it's going to be. If
the rest Of the Board feels otherwise, I'd like to change it. My view is, that we
designate a Chairm~n. I would like each Chair to come up with a proposal' of Who
her or she would like to serve on that committee. Other members of the Town Board
are free to attend, but the committee would be comprised of the people that the Boarc
ultimately agrees should be on that committee.
COUNCILMAN LtZEWSKI: Let me ask you one other thing. Since you sort of
decided that a committee, say a Zoning and Planning Committee, will bring forward
to the Legislative Committee, not bring it to the Legislative Committeer but bring
it right to the Town Board, that means that the Town Board won't have any idea
until that,: basically Code change is being brought to us .about what it's about,
since it's not going througl3 one of the committees. The main function of.this Board
is to legislate, so basically we're just going to get hit with changes in Code by
other committees, that we don't even know about until they get here~
SUPERVISOR WICKHAM: That is a potential danger, if ~he Board members don't
participate in, or don't have any involvement or knowledge of what's going on.
COUNCILWOMAN OLIVA: Can I just add? The way it used to be done, t hope we
Can start this again, is that at every Work Session each Councilperson can make a
report on the committees, that they serve on, and give a~ ,report to the rest of the
Town Board members' to bring them up to date on What has transpi~red, if: they've
had any meeting in that time, or if there's any proposed legislation, that will be
coming to the Board, so they have the opportunity to 'discuss it, and you're going
to have to go to the Town' Attorney anyway to draw up the Code changes, and have
'them brought to;.t,he Town Board for co.mplete discussion before anything is put out
for public hearir~g. This is the way it was always done before.
COUNCILMAN LIZEWSKI: I"m just concerned about participation by people on the
Town E~oard going to the meetings. We have to know what's going on all the time.
COUNCILWOMAN-OLIVA: Sure. Any Town Board member can always go to any
meeting. It was-always that way.
COUNCILMAN LIZEWSKI: Okay. I just want to make sure the participation is still..
I mean I came in here many a night, and went to other Town Board meetings of other
committees just to keep abreast of things.
SUPERVISOR WICKHAM: You'd be most welcome. I~y thought was not to require
each member of the Town Board to come to each meeting. Anyone is most welcome,
COUNCILMAN LIZEWSKI: We'll be notified?

SUPERVISOR WICKHAM: We have one more item of business that has come to us,
that has basically come to the Board in a number of different ways over the last
few weeks, in many ways going back six or more months ago. As the Town has
seen the problem of increased density, and increased development in and around
the Greenport area. There's been increasing expressions of concern about the impact
that it's had on Greenport, 'and this came to a head in December, when a change
of zone was granted to a parcel just north of the Village of Greenport, which will
exacerbat many of us. have seen as a serious' problem there. The Stewardship
Task Force o town has written to us indicating that they, and others in the
Planning Department, or the Planning Board, have looked at this.with deep concern
in view of the wish of the Task Force, the Planning Board, and many of us in the
Town Board, to institute a program of Transfer of Development Rights, and in a
effort to try to rationalize the development process throughout the town, and not
certain areas. Consequently, the Town Board has reviewed
that would commit the Town to reviewing various parcels
are particularly sensitive, and which are particularly
that could unduly affect the future of this town
back the process for some period of time. There is a great
in stepping back, and looking at the full range of
.in the town; to rationalize it, to protect those parts of the
vulnerable, and at risk. The resolution, that we're going
would do that in a limited area. tt would do it in those
areas, that have been zoned in the Hamlet Density mode, the Hamlet Density Zone.
We're taking up that Hamle~ Density Zone at this time, because it is a particularly
sensitive ~r~e.i: I~ isi!a 'zone, Which permits two, and even as many as four homes per
acre with'!~he'p~-oViS:ion of l~ublic water, and Public sewerage, n that sense it is
particularly sensitive, and it is particularl~ problematic given the provision of public
water and public sewerage in this town. The motion on the table, which t'll read
in just a moment, would commit the Town to reviewing those parcels, and their place
in the comprehensive planning framework in this town at this time.

WHEREAS, the Town of Southold finds that a considerable time has passed since the
HD zoning witl~inthe Town of $outhold has been evaluated; and
WHEREAS, during this time there have been considerable changes in the physical,
social and regu atorY aspects of development within the Town; and
WHEREAS, during this time the Town of Southold has revised its comprehensive plan
as regards hamlet density of development throughout the Town; and
WHEREA$,iduring this time limitations have arisen in the Village of Greenport's
ability to provide water and sewer infrastructure to support hamlet density zoning
in areas outlying the Village; and
WHEREAS, the R-40 iparcel Shown on the attached Exhibit A was integrally related
to the jem Commons HD zone which was granted on December '7, 1993, so that any
comprehensive revie'w ~f that HD zone requires a review of that R-40 parcel as well;
and
WHEREAS! the Southold Town StewardShip Task Force has recommended the develop-
ment and adoption of,Transfer of Development Rights and other related programs
or techniques, which may have an impact on the character and location of future
development within t'he Town of Southold;

undertake the preparation of a comprehensive review of the vacant HD zones within
the Town of Southold and the described R-40 parcel, and directs the staff to prepare

I hope that I'm up 'to the challenge. As you can tell by a couple of things on the
agenda, it's going to be a challenging couple of years, and I want to thank you all
for allowing me to seat here.
'COUNCILWOMAN OLIVA: I just want to say I'm thrilled to be back here. It's just
an absolute joy~ better than sitting back down there, and I'm really looking forward
to four really productive y.ears working with a Board, I think, that you're going
to be very, very pleased with. Thank you.
COUNCILMAN LIZEWSKI: I'd like to welcome the new Board members, and I'm looking
forward tO working with them. I think that we have a good diverse group, and I
think it will be very productive for Southold Town.

SUPERVISOR WICKHAM: Alice is recuperating from a cold. Are there any comments
from the audience tonight?
MICHAEL CROTEAU: I'd like to wish you all a Happy New Year to start with. My
name is Michael Croteau. I'm coming here as two capacities. The first is as a
resident of Southold, and the second is as a general partner of a partnership, the
Bayview-$outh Harbor Partnership, which is being formed, and is in the process
of purchasing Stepnoski farm for those of you who didn't know about this already.
We're working with Peconic Land Trust'to preserve, what was going to beat one time,
a zone change for a very dense subdivision . At any rate, we should be closing
in February, at some point, and restoring the farmhouse, and trying to maintain
that part of Southold as open space as much as we can. Secondly, I think that a
number of issues that were talked ~about tonight have to do with the next thing I'm
going to talk about. I want to use this forum as a means of publicizing something,
that I don't feel is being publicized properly, and it's regarding the public meeting,
that the Fire Department is having tonight, which I know a lot of people in Southold
don't know about. This meeting is going disseminate information regarding a
proposed substation, which happens to be on that same Stepnoski farm, on three
acres that was divided beforetGeorge Stepnoski died. The Fire Department is looking
to ask the Town to approve through a vote two $400,000.00 to build what they're
calling a substation. Eight hundred thousand dollars sounds like a substantial
substation to me, and I'r~ not sure that the Town Board has any jurisdiction over
this, nor do I know if there's any means, as far as the publicity, and how these
things are brought to the public within Southold, but what I'd like to do here is,
to say that the thing has been very underpublicized. There is a meeting tonight,
and there's vote next week. It's going to impact the taxpayers of Southold in the
Southold Fire District, and I don't feet that it's necessary, even though the Fire
Department does a wonderful job here. It is a volunteer organization. ! don't think
we need two firehouses, the size of what we have down the road here, to not only
payforand build,but~to maintain, and run over the process of how many years the
rest of us live here. ! think, as you said, as far as the Tax Committee, it's time
for some fiscal restraint. I think we're really pay!ng for a lot of things that have
been done in the past few years, that ~weren't necessarily needed, or done properly,
and that bonding is something that's going to put more burden on all of us down
the road~ as we live here. I know it may not be the proper po nt to bring before
the Town Board. I'm using it as a public forum, so th~:t'~h~ody that lives in
Southold knows about it, and the vote is next Tuesday night.
COUNCILWOMAN HUS$1E: That's for the Southold Fire District, though. It's not
the whole town.
MICHAEL CROTEAU: It's Southold Fire District. The resolution was initially voted
on between the Commissioners on November 9th. They waited to publicize it two
days before Christmas. The first public meeting is tonight and the next vote is the
11th. I, also, think that if this vote were done at a different time of year, there
may be a lot more people, who are property owners, who are not prepared to pay
the brunt of this $800,000.00 over the years, that could be present to vote on this.
