THIS INDENTURE
MADE the If, thday of June, 1998 between The Nature Conservancy, Inc., a
nonprofit corporation organized under the laws of the District of Columbia, with a
principal office at 1815 North Lynn Street, Arlington, Virginia 22209 and maintaining a
Long Island Chapter Office at 250 Lawrence Hill Road, Cold Springs, New York 11724,
party of the first part, and the Town of Southold, New York, with an address at Southold
Town Hall, 53095 Main Road, Southold, New York 11971, party of the second part,
WITNESSETH
THAT, the party of the first part, in consideration of One Dollar ($1.00) and other
valuable consideration paid by the party of the second part, the receipt and sufficiency
of which are hereby acknowledged, does grant, gift, demise, and convey unto the party
of the second part, its successors and assigns, all that certain piece or parcel of land,
situated and being in Mattituck, Town of Southold, Suffolk County, New York, more
particularly described as follows:
BEGINNING at a point in the southern line of Main Road where the same is
intersected by the westerly line of land now or formerly of Doyle, said point being
located 145.99 feet from the westerly line of Sunset Avenue when measured
along the southerly line of Main Road; running thence S 70 59' 20" W 536.54 feet
along lands now or formerly of Doyle, Pedro, Sobieray and Hine to a monument
and land now or formerly of Wirsing; thence the following two courses and
distances:
1) N 880 37' 40" W 135.84 feet, to a monument;
2) Along said land of Wirsing S 70 59' 20" W 240:1: feet through a monument to
Marratooka Lake;
Thence running in a westerly direction 790:1: feet along Marratooka Lake to land
now or formerly of Mattituck School district; running thence N 2r 11' W 368:1:
feet along said land of Mattituck School district to a monument and land now or
formerly of Otto Anrig; running thence along said land of Anrig the following three
courses and distances:

3) N 180 55' W 85.0 feet to the southerly line of Main Road;
Thence running along the southerly line of Main Road N 660 30' E 145.0 feet to
land now or formerly of Heggen, thence along said land of Heggen the following
nine courses and distances:
1) S 16050' E 125.0 feet;
2) S 0042' W 163.01 feet;
3) N 81048' E 105.07feet;
4) S 67" 33' E 99.54 feet;
5) S 28015' E 76.06 feet;
6) S 620 19' E 68.89 feet;
7) N 880 55' E 79.37 feet to a pole;
8) N 310 29' W 442.07feetto a pole;
9) N 200 30' W 87.32 feet to the southerly line of Main Road;
Thence along the southerly line of Main Road the following two courses and
distances:
1) N 780 30' E 227.0 feet;
2) N 820 09' 20" E 406.08 feet to the point or place of the beginning.
TOGETHER with all the right, title and interest of the party of the first part of, in,
and to Main Road adjoining said premises to the center line thereof.
TOGETHER with all the right, title and interest of the party of the first part in and
to land under water of Marratooka Lake adjoining said premises.
TOGETHER with all right, title and interest, if any, of the party of the first part of,
in, and to any streets and roads abutting the above described premises to the center
lines thereof;
TOGETHER with the appurtenances and all the estate and rights of the party of
the first part in and to said premises.

This conveyance is made subject to the express condition and limitation that the
premises conveyed shall forever be held as a nature preserve for scientific, educational,
and aesthetic purposes, and shall be kept entirely in its natural state, excepting only
such fences, foot trails, improvements, and property maintenance activities as may be
appropriate to effectuate the foregoing purpose without impairing the essential natural
character of the premises.
Should the premises cease to be used solely as provided herein, then the estate
hereby granted to the party of the second part shall cease to exist and shall revert to
and vest in the party of the first part. Said reversion shall not be automatic, but in the
nature of a right of entry for condition broken or executory interest, which right, if
exercised by the party of the first part upon violation of the above conditions, is
exercised by mailing a notice of violation by certified mail to the party of the second
part. Said notice shall describe the breach and shall declare that the power of
termination will be exercised if the breach is not corrected within a period of ninety
days. A copy of the notice shall simultaneously be recorded on the appropriate land
records.
The party of the first part shall have the right to enforce this restriction by an
action in law or in equity before a court of competent jurisdiction.
The party of the second part agrees to erect and maintain a permanent plaque or
other appropriate record at a prominent location on the within described premises
bearing the following statement: "This area was acquired by the Town of South old with
the assistance of The Nature Conservancy."

TO HAVE AND TO HOLD the premises herein granted unto the party of the
second part, the successors or assigns of the party of the second part forever.
AND the said party of the first part covenants that it has not done or suffered
anything whereby the premises have been encumbered in any way whatsoever.
IN WITNESS WHEREOF, the party of the first part has duly executed this deed
the day and year first above written.

Jonathan C. Kaledin, to me known, who, being by me duly sworn, did depose and say
that he resides in Niskayuna, New York; that he is the Regional Counsel of The Nature
Conservancy, the corporation described in and which executed the above instrument;
and that he signed his name thereto by authority of e board of directors of the
corporation.
