DEED OF DEDICATION

THIS INDENTURE, made the~- day of February, 1993,
between TOO BEE REALTY, INC., a domestic corporation having its
principal place of business at 130 Woodbury Road, Woodbury, New
York 11797, party of the first part and owner of the property
shown on the Minor Subdivision covering the premises, and TOWN
OF SOUTHOLD, a municipal corporation of the State of New York,
having offices at Main Road, Southold, New York 11971, party of
the second part.
The party of the first part, in consideration of the sum
of Ten ($10.00) Dollars, and other good and valuable
consideration, paid by the party of the second part, hereby
conveys to the Town of Southold the following areas designated
on such Minor Subdivision and more particularly described in
Schedule A annexed hereto and made a part hereof, and for the
following purposes:
1. The premises described in Schedule A shall be kept as
open space, in its natural state, with no above ground
structures or facilities, and shall be used solely to
accommodate drainage and overflow from Hummel's Pond. In the
event, however, that the Town of Southold determines that it is
necessary to construct a sump or an open catch basin or a fence
enclosing such sump or catch basin, then the Town of Southold
shall landscape such areas with evergreens of suitable type and
size, so as to conceal said sump or catch basin or fence from
view.

2. The party of the first part hereby grants to the
party of the second part an easement fifteen (15") feet in width
over the northwesterly portion of said land of Too Bee Realty,
Inc., to wit: Lot 1 of said Minor Subdivision, from the
northerly corner of Lot 1 northeasterly about 311' to Lighthouse
Road, for the sole purpose of access from the dedicated area to
Lighthouse Road.
3. No paving, blacktopping or other surfacing shall be
installed by the party of the second part on the dedicated or
easement areas hereinbefore described.
4. The party of the second part agrees not to remove any
trees or vegetation from the dedicated or easement areas without
the prior written consent of the then owner of the premises
hereinbefore described, which shall not be unreasonably
withheld.
5. The party of the second part further agrees that, if
the natural condition of the dedicated or easement areas is
disturbed by the use of vehicles, equipment or any other
activity in connection with the installation of the drainage'
overflow facility, then the party of the second part shall
restore said areas to their former natural condition.

SOUTHOLD TOWN BOARD AT A REGULAR MEETING HELD ON MAY 20, 1993:
RESOLVED that the Town Board of the Town of Southold hereby accepts
dedication of a parcel of open space in the TooBee Realty Minor
Subdivision, located on the westerly side of Lighthouse Road, Southold,
along with an easement 15 ft. in width by 311.94 feet in length from
Lighthouse Road to. the dedicated parcel; all in accordance with the
approval of the Town Attorney.

Attached please find the following:
1. A copy of the proposed subdivision map for Too Bee Realty
Corp. which indicates a 19,685 square foot parcel to be
offered for dedication to Southold Town and a 15' wide
easement to provide access to this parcel;
2. A copy of a letter dated May 6, 1993, from the applicant
formally offering the above mentioned area for dedication;
3. A copy of a Deed of Dedication offered by the applicant.
The Deed of Dedication has been reviewed and approved by
Raymond Jacobs.
4. A copy of a letter dated May 12, 1993, from Raymond Jacobs
recommending that the area be accepted for dedication by
the Town.
Please schedule this offer of dedication for discussion and
possible acceptance at the next Town Board meeting.
The final public hearing for this subdivision is scheduled for
Monday, May 24, 1993 at 7:30 P.M.
