THIS INDENTURE made this 9 - day of January, 1976,
between MATTtTUCK PARK DISTRICT, a municipal corporation organized
and created under and by virtue of the Laws of the State of New
York, having its office and principal place of business at 10315
Main Road, Mattituck, New York, hereinafter called the "Grantor"
and the TOWN OF SOUTHOLD, a municipal corporation of the State of
I New York, having its office and principal place of business at 16

'South Street, Greenport, New York, hereinafter called the "Grantee"
WHEREAS, the Grantor owns in fee certain land at Mattituck,
Town of Southold, County of Suffolk and State of New York, as
shown on a "Map of Land Surveyed for the Mattituck Park District"
by Roderick Van Tuyl, P.C., dated March 19, 1975 and amended
November 26, 1975, whi~h,is attached hereto..nd made a part hereof
as Exhibit A.
NOW, THEREFOijE, the Grantor, for and inconsideration of the
sum of One Dollar ($1.00) and other good and valuable considera-
tion, the receipt of whichi~ hereby' a~kno~l~dged, hereby grants;
unto the Grantee, its successors and assigns:
FIRST: An easement and right-of-way fifteen (15) feet in
width, with right, privilege and authority unto said Grantee to

I lay, ma~nta~n, operate and repair pipes and other drainage facil-
ities for highway drainage purposes, through, or under, the follow-
ing described land situated at Mattituck, Town of Southold, Suffolk
County, New York, to wit:
BEGINNING at a point on the easterly line of "Old
Road", also known as Tuthill Lane, 57.66 feet northerly
along said easterly line from its intersection with the
northwesterly line of Wickham Avenue; from said point
of beginning running along said easterly line of
Tuthill Lane, N. 1" 54' 30" E. 40.70 feet; thence thru
land of Mattituck Park District, 3 courses: (1) N. 230
32' E. 212.16 feet; thence (2) S. 660 28' E. 15.0 feet;
thence (3) S. 230 32' W. 250.0 feet to the point of
beginning; said easement beinq 15.0 feet in width.
SECOND: The right to enter upon the above described area
made subject to this easement, from time to time and with such
men, vehicles and equipment as may be reasonable necessary to

exercise the easement rights herein granted.
THIRD: The Grantee shall not fence the easement area and
shall promptly backfill any trench made by it in the easement
area and restore the surface to its original condition and shall
guard adequately all excavations made pursuant to this grant and
shall save harmless and indemnify the Grantor from any injury to
its property, its employees or the public which may at any time
occur or arise out of negligent installation, maintenance or
removal of facilities pursuant to this grant..
FOURTH: Grantor agrees not to erect or maintain within the
easement area any building, structure or physical obsttuction, of
any kind or nature whatsoever or permit the same to be so erected
or maintained, except such as the, Grantee may specifically con-

sent to in writing.
FIFTH: The easement, right and privileg~ herein granted and
conveyed shall, at all times, be a continuing covenant running

of, the parties hereto, and their respective successors and
assigns.
