Murphy Supervisor, Tow~ of Southold Town Hall, Main Road Southold, N.Y. 11971 TOWN OF SOUTHOLD I Dear Mr. Murphy: PIN 0754.44 Sound Avenue This letter is to verify our position regarding deletion bf the subject project from the program as you discussed with Mr. Kilduff of my office on May 21, 1987. Reconstruction of the 4000' section of Sound Avenue between Bergen Avenue and Cox Neck Road was first proposed in 1983 at a then estimated cost of about $.700M. In 1984 the project was approved for funding in the program at a cost of $1.0M for construction and $50,000 for right-of-way acquisition. Although this is a large expenditure for a relatively lightly travelled section of road, we agreed to proceed and employed a consultant engineer to begin the design process. The cost has now escalated to $1.7M for construction plus an additional amount for right-of-way and design costs. We do not believe this high cost is warranted for this particular section of road in view of the many other demands on our program. I recommend we transfer the SiM originally approved for this project to drainage and resurfacing projects on NY 25 in the Town of Southold. This road carries higher traffic volumes than Sound Avenue and is in need of repair. I would appreciate receiving your comments on this proposal as soon as possible so that we may proceed with the NY 25 project. Very truly yours, MICHAEL J. The Southcid Town Board and the Highway Superintendent, do unanimously request that you reconsider your decision to delete this project. The Town cf $outhold has already spent money on this project and has worked out plani for a future sump, at this area, ,~nd a less expensive drainage plan working with the developer o! ;he property on the North side of the road. We feel this will help to hold down the cost of ~his project. We would like to ~uggest that if there are no additional State funds in this year's budget surplus, which Governor Cuomo has promised to spend on making our highways safer~ we suggest that this project be scaled do.wn. This road ia used ,as a truck detouL around the hamlets of the Town. Most importanr~ the road is also greatly used by the increased F~rry rraffic~a direct result of funding from N.Y.S. for the improvement of ferry s~rvicei. The pte~ent told eondhi~n is very poor and the design of the road is dangerous, Please, reconsider your decision. WHIT[ COMMISSIONER Dear Mr. Murphy: Mr. Cuddy has asked me to respond to your letter of June 29, 1987, concerning PIN 0754.44, Sound Avenue, Town of Southold. As we had previously mentioned, it was our intention to use the funds from the deletion of the Sound Avenue project to correct a number of drainage problems on Route 25 in Southold. Route 25 is a more heavily travelled road that we feel should have priority. The cost for the Sound Avenue project had escalated to $1.7M. We have tried to reduce the cost of this project but because of our design criteria, it is still more costly than originally anticipated. We are willing to reconsider this project, if other funds are available, so that the State and Federal participation is reduced to something like one half million dollars. We would also be willing to meet with the Town and County to consider how each of us might participate to improv~ Sound Avenue in the Town of Southold. Please let us know when you make arrangements for a meeting to discuss funding this project as part of our transportation improvement program. We appreciate your concern for high safety and for the improvements to Sound Avenue. Liaison and Utilities Engineer Attachment NEW YORK STATE DEPARTMENT OF TRANSPORTATION PIN 0754.44 - SOUND AVE AGREEMENT with Tow~ of Southold To Perform the Preliminary Engineering and Right-of-Way Incidental Work for a Federal- Aid Project on the Town Road i~entifled as Sound Avenue, Suffolk County in connection with a Federal-Aid Project not on the State Highway System, PIN 0754.44.121 (Pursuant to appropriate sections of Title 23 U.S. Code, as amended, and the New York State Highway Law and Budget Bills applicable thereto) This Agreement, effective this ~ day of~_. 19~5, by and between the People of the State of New York (hereinafter referred to as "State"), acting by and through the Commissioner of Transportation (hereinafter referre~ to as "Commissioner"), having his principal office in the Administration and Engineering Building, 1220 Washington Avenue, State Campus, in the City and County of Albany and State of New York, and the Town of Southold (hereinafter referred to as "Municipality"), acting by and through the Supervisor. WITNESS ETH : WHEREAS, the Congress of the United States has provided for 'the apportionment of Federal-Aid funds to the State for the purposes of carrying out Federal-Aid Highway Projects, pursuant to the appropriate sections of Title 23 U.S. Codes, and WHEREAS, the New York State Highway Law authorizes the Commissioner to use moneys of the Federal Government available under the Federal-Aid Highway Acts and provides for the consent to and approval by the Municipality of any project under the Federal-Aid Highway Program which is not on the State Highway System before such project is commenced, and WHEREAS, both the State and the Municipality are desirous of processing the above-subject Federal-Aid project, and WHEREAS, ths Legislative Body of the Municipality, by Resolution No. ] adopted at Meeting held on December ~7~ ~98S approved the above-identified project and the terms and provisions of this Agreement and has further authorized the Supervisor of this Municipality to execute this Agreement on behalf of the Municipality (copy of such Resolution is attached to and made a part o~ this Agreement). NOW, THEREFORE, in consideration of the mutual benefits moving to each of the parties hereto, and in pursuance of the appropriate sections of Title 23 U.S. Code, as amended, and the New York State Highway Law. as amended, and Budget Bills applicable thereto, it is agreed as follows viz: 1. General Description of Work. Such work herein contemplated consists ge~eraiiy oz prei£mi~ary engineering and/or right-of-way incidental work contained in the work program attached hereto as Schedule A, and any auditions or deletions made thereto by the New York State Department of Transportation subsequent to the execution of this Agreement for the purposes of conforming to the New York State or to Federal Highway Administration requirements. All right-of-way work must comply with the Federal Uniform Relocation A~sistance Act of 1970, as amended and rules and regulations promulgated oursuant thereto. 2. Method of Performance of Work. Such work shall be performed by contract, by Department of Transportation forces or by the forces of the Municipality in accordance with the work program and the financial schedule contained in Schedule A. 3. Razmbursement of Costs. (a) To the extent the preliminary engineering or right-of-way incidental work is performed by the Department of Transportation, the municipality will reimburse the State for 24% of the non-federal share of participating costs plus 100% of non-participating costs. Reimbursements will be made within ninety (90) days of receipt of billings from the Commissioner for such work. But ~n any event this agreement shall non obligate the municipality to an amount in excess of $11,760 for the lo,a! share of such costs unless a Supplemental Agreement is made therefor. (b) If the preliminary engineering work or right-of-way incidental work is to be perfo~ed by contract let by the Department of Transportation, upon written notice from the Con~nissioner to the municipality that such contract is to be let, if it meets with the satisfaction of the municipality, the local share of such contract shall be deposited with the Department by the municipality prior to the commencement 4. Participating Items. The State shall reimburse the Municipality for only that work and those items that are eligible for Federal participation under Title 23 of U.S. Code, as amended, and the State shall be entitled to recover from the Municipality any moneys which it pays to the Municipality under this Agreement which are subsequently determined to be ineligible for such Federal participation. Items that are participating are as follows: Actual cost of employee personal services, leave and fringe benefit additives, materials and supplies, equipment use charges or other Federal participating costs directly identifiable with the preliminary engineering project or right-of-way incidental work. 5. Loss of Federal Participation. In the event the Municipality does not deposit with the State at the time specified by the Commissismer, its share of the matching funds for the construction contract, or withdraws its approval of the project, or suspends or delays work on the project, or takes other action without the concurrence of the Commissioner, which results in the loss of Federal participation for the costs incurred pursuant to this A~reement, the Municipality shall refund to the State all ~eimbursements received from the State, and shall reimburse the State for 100% of all preliminary engineering and right-of-way incidental costs incurred by the State. 6. Municipal Liability. If the Municipality is to perform such work with its own forces, it shall be responsible for all damage to life and property due to activities of the Municipality, Its agents or employees, in connection with its services under this Agreement. The Municipality specifically agrees that its agents or employees shall possess the experience, knowledge and character necessary to qualify them individually for the particular duties they perform. Further, it is expressly understood that the Municipality shall indemnify and save harmless the State from claim, suits, actions, damages and costs of every name and description resulting from the negligent performance of the services of the Municipality under this Agreement. Negligent performance of service, within the meaning of this Article, shall include, in addition' to negligence founded upon tort, negligence based upon the b~nicipality's failure to meet professional standards and resulting in obvious or patent errors in the progression of its work. 7. Independent Contractor. The officers and employees of the Municipality, in accordance with the status of the Municipality as an independent contractor, covenant and agree that they will conduct themselves consistent with such status, that they will neither hold themselves out as nor claim to be an officer or employee of the State by reason hereof, and that they will not by reason hereof, make any claim, demand or application to or for any right or privilege applicable to an officer or employee of the State, including, but not limited to, Workmen's Compensation coverage, Unemployment Insurance benefits, Social Security or Retirement membership or credit. 8. Funds Available. It is understood by and between the parties hereto that th~s Agreement shall be deemed executory only to the extent of the moneys available to the State and no liability on account thereof shall be incurred by the State beyond moneys available for the purposes hereof. 9. Assignment or Other Disposition of Agreement. The Municipality agrees not to assign, transIer, convey, sublet or otherwise dispose of this Agreement or any part thereof, or of its right, title or interest therein, or its power to execute suah Agreement to any person, company or corporation without previous consent in writing to the Commissioner. Notary Public 5 SCHEDULE "A" DESIGN PROCEDURE The work under this agreement shall be perfomned in four parts: PART I SURVEY PART II PHASES * I, II, III PART II1 PHASES IV-VI PART IV RIGHT-OF-WAY b~PPING * Phases shall be defined as described in the New York State Department of Transportation "Environmental Action Plan." The Design and Progression of this project is to be in accord with the current "Design Procedure Manual," and the "Highway Design Manual," all as issued by the Facilities Design Division. Mapping shall be in accordance with the current "Right-of-Way Mapping and Procedural Manual." The services of the Department will be required during those stages of the project, as outlined in Schedule A scope of services. Ail details necessary to enable the Department to award a contract for the project shall be incerporated into the final plans. An estimate of cost shall be prepared for the contract. The Preliminary Engineering work on this project is to be in accordance with the policies and procedures as established by the New York State Department of Transportation and shall include all necessary details and notes necessary to enable the project to be advanced to construction. The Design is to be in accordance with the New York State Department of Transportation Standard Specifications of January 2, 1981. SCHEDULE "A" SCOPE OF SERVICES PIN 0754.44, SOUND AVENUE Such work as necessary to complete the project shall be performed in accordance with the following work program: Work to be performed by Municipality indicated by (1). Submission of the contract plans, specifications and estimate as per NYCDOT Highway Design Manual. Preparation, publications and payment of all required legal notices. All lettings of construction contracts. Conduct necessary soils investigations and pavement coring. RESOLUTION OF THE TOWN OF SOUTHOLD APPROVING A FEDERAL-AID PRIMARY, SECONDARY AND/OR URBAN SYSTEM PROJECT AND OR FEDERAL-AID HIGHWAY SAFETY PROJECT ADMINISTERED BY THE NEW YORK STATE DEPARtmENT OF TRANSPORTATION AND AUTHORIZING THE ~NICIPALITY TO CONTRIBUTE THE LOCAL SHARE IN THE COST OF PRELIMINARY ENGINEERING AND RIGHT-OF-WAY INCIDENTAL WORK FOR SUCH PROJECT AND ANTICIPATING A FURTHER RESOLUTION WHICH WOULD AUTHORIZE THE MUNICIPALITY TO PARTICIPATE IN TIlE NON-FEDERAL SHARE OF THE COST OF CONSTRUCTION OF SUCIt PROJECT AND AUTHORIZING THE SUPERVISOR OF THE TOWN TO EXECUTE AN AGREEM~IT ON BEHALF OF THE MUNICIP;~ITY WITH THE NEW YORK STATE DEP;dRTMENT OF TRf~NSPORTATION FOR TilE PERFORM3~NCE OF THE WORK OF SUCH PROJECT AND FOR THE PARTICIPATION BY THE MUNICIPALITY IN THE NON-FEDERAL SHARE OF THE COSTS OF TIlE PROJECT. WHEREAs, a Project for PIN 0754.44 Sound Avenue, Bergen Avenue to Cox Neck Road funded under the Federal-Aid Highway Program as provided for by the appropriate sections of Title 23 U.S. Code calls for state or local participation; and WHEREAS, the Town of Southold desires to advance the project which is not or portions of which are not on the State Highway System by authorizing the Municipality to participate in a share of the cost of preliminary engineering and/or right-of-way incidental work, including final design o~ the project or portions of the project not on the State Highway System. NOW, THEREFORE, the Town Board, duly convened does hereby RESOLVE, that it be understood that this statement in no way diminished the Town's rights under present procedures to review and comment on specific stages of the project; and it is further RESOLVED, that it is understood that the Town of Southold shall provide 24% of the non-Federal share of the cost of construction of 'the subject project or portions of the subject project that are not on the State Highway System, estimated to be $102,000, before such construction can be authorized; and it is further RESOLVED, that the Town Board hereby authorizes the Town of Southoid to participate in the cost of preliminary engineering, including final design of the subject project or portions of the subject project that are not on the State Highway System, and/or in the costs of right-of-way incidental work by providing the local share of the cost; and it is further RESOLVED, that this Authorization shall commit the Town of $outhold to an amount not to exceed $11,760 for the local share of the preliminary engineering final design of the project and/or for the right-of-way incidental work; and it is further RESOLVED, that/the Supervisor of the Town of Southold be and is hereby authorized to execute all necessary agreements on behalf of the Town of Southold with the New York State Department of Transportation approving of the above-subject project and providing for the Municipality's participation in the cost of the local share of the subject project, at a total cost for design, right-of-way acquisition, and construction not to exceed $2,000,000.
