THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON JANUARY 17, 2006:
RESOLVED that pursuant to the provisions of Chapter 59 (Open Space Preservation) and Chapter 6 (2%
Community Preservation Fund) ofthe Town Code, the Town Board of the Town of South old hereby sets
Tuesday, January 31, 2006, at 5:15 P.m., Southold Town Hall, 53095 Main Road, Southold, New York, as
the time and place for a public hearinl! for the purchase of open space on property currently owned by
Peconic Land Trust (f/kla Palmeri property). Said property is identified as SCTM #1000-56-5-12.1. The
address is 945 Budd's Pond Road, Southold, New York, and is located on the easterly side of Budd's Pond Road
. approximately 800 feet from the intersection of Budd's Pond Road and Bay Home Road in Southold. The
proposed acquisition is for open space and comprises approximately 0.5 acre (subject to survey).
The property, having been purchased by the Peconic Land Trust from Irwin and Saundra Palmeri as a bargain
sale, has been offered for sale to the Town of Southold, at the same bargain sale purchase price plus acquisition
costs associated with the transfer oftitle. The purchase price for this open space parcel is $5,000 (five thousand
dollars) plus acquisition costs.
The subject property contains mostly wetlands and borders on Budd's Pond and an existing canal off Budd's
Pond. The preservation and protection of this property falls under multiple purposes of the Community
Preservation Project Plan, including, but not limited to, preservation and protection of open spaces and scenic
values, protection of wetlands, and undeveloped shorelines, establishment of parks/nature preserves and
recreational areas, and protection of unique and threatened ecological areas.

. The property is not listed on the Town's 2003 Community Preservation Project Plan List of Eligible parcels;
however, it is proposed to be added to the plan after a public hearing to amend the List of Eligible parcels is
held on January 31, 2006.
As per Chapter 87 (Transfer of Development Rights) of the Code ofthe Town of Southold, Section 87-5, the
Land Preservation Coordinator has determined that it is unlikely that the parcel is buildable; therefore, no
Sanitary Flow Credit is available from this purchase.

This was posted on the Town Clerk's bulletin board and placed as a legal in the official
newspaper and there was no correspondence.
SUPERVISOR RUSSELL: Okay, we are at the public comment section of this hearing.

MELISSA SPIRO, LAND PRESERVATION COORDINATOR: Melissa Spiro, Land
Preservation Coordinator. Alright, I will try to make this quick. The hearing involves an
environmentally sensitive lot with an established subdivision. The half acre property
contains a significant amount of wetlands and borders on Budds Pond and an existing
canal off Budds Pond. The property was offered to the Town by the landowners in the
fall for a purchase price of $5,000. The landowners wished to close on the property prior
to the end of 2005. The Town wasn't sure if they would be able to close within the
required time frame, so the Peconic Land Trust helped the Town facilitate the purchase
by closing with the landowner within the required timeframe, with the intent of selling
the property to the Town in early 2006. As you know, the property was just added to the
Community Preservation Fund by the update that we just did. The Town is now in the
position to use funding from the Community Preservation Fund to purchase this property.
The Peconic Land Trust purchased the property from the Palmeri's as a bargain sale and
the Trust is selling it to the Town of Southold at the same bargain sale price of $5,000
plus acquisition costs. I thank both the Palmeri's for offering it and the Peconic Land
Trust for helping us facilitate this action. I recommend that the Town Board proceed
with the resolution to purchase this property and this will enable the Town to close with
the Peconic Land Trust in the next few weeks. Thanks.
SUPERVISOR RUSSELL: Am I allowed to ask a question of you, Melissa?
MS. SPIRO: You are.
SUPERVISOR RUSSELL: This is a small piece of property in an existing subdivision
with a homeowners association, why does the Town want to assume the responsibility of
maintenance of this property? It is already protected by statute. I think they tried to get a
building permit and they exhausted it.
MS. SPIRO: They tried to get a building permit and they stopped trying to get a building
permit and they offered it for sale to the Town. I wouldn't say it is already protected, no
property is protected unless it preserved...
SUPERVISOR RUSSELL: They have exhausted their statute, didn't they? They tried.
MS. SPIRO: No.

THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2006-187 WAS ADOPTED AT
THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON JANUARY 31, 2006:
WHEREAS, the Town Board of the Town of Southold held a public hearing on the question of the purchase of
property owned by Peconic Land Trust (f/k/a Palmeri property) on this 31st day of January, 2006, pursuant to
the provisions of Chapter 59 (Open Space Preservation) and Chapter 6 (Community Preservation Fund) ofthe
Town Code, at which time all interested parties were given the opportunity to be heard; and
WHEREAS, said property is identified as SCTM #1000-56-5-12.1 and 945 Budd's Pond Road, Southold, New
York, and is located on the easterly side of Budd's Pond Road approximately 800 feet from the intersection of
Budd's Pond Road and Bay Home Road in Southold; and
WHEREAS, the open space acquisition will comprise the entire approximately 0.5 acre (subject to survey)
property; and
WHEREAS, the subject property contains mostly wetlands and borders on Budd's Pond and an existing canal
off Budd's Pond; and
WHEREAS, the property is listed on the Town's January 2006 update to the Community Preservation Project
Plan List of Eligible Parcels which was adopted by the Town Board after a public hearing on January 31,2006;
and
WHEREAS, the preservation and protection ofthis property falls under multiple purposes of the Community
Preservation Project Plan, including, but not limited to, preservation and protection of open spaces and scenic
. values, protection of wetlands, and undeveloped shorelines, establishments ofparks/nature preserves and
recreational areas, and protection of unique and threatened ecological areas; and
WHEREAS, the purpose of this purchase is for preservation and protection of open spaces and scenic values,
protection of wetlands and undeveloped shorelines, establishment ofparks/nature preserves and recreational
areas, and protection of unique and threatened ecological areas. Uses ofthe property will be limited to those
which are in conformance with these purposes and the Town may allow public access for passive recreation and
non-motorized boat access only in conformance with the purposes of this acquisition; and
WHEREAS, the purchase of this property is in conformance with the provisions of Chapter 59 (Open Space
Preservation) and Chapter 6 (Community Preservation Fund) of the Town Code; and
WHEREAS, the property, having been purchased by the Peconic Land Trust from Irwin and Sondra Palmeri as
a bargain sale, has been offered for sale to the Town of Southold, at the same bargain sale purchase price plus
acquisition costs associated with the transfer of title. The Town's purchase price for the property is $5,000 (five
. thousand dollars) plus acquisitions costs; and
WHEREAS, as per Chapter 87 (Transfer of Development Rights) of the Code ofthe Town of South old,
Section 87-5, the Land Preservation Coordinator has determined that Sanitary Flow Credits are not available for
transfer from the parcel of property due to the likelihood that this parcel is not buildable; and
WHEREAS, the Town Board deems it in the best public interest that the Town of South old purchase this
property for open space purposes; now, be it therefore
RESOLVED that pursuant to the provisions of Chapter 59 (Open Space Preservation) and Chapter 6
(Community Preservation Fund) of the Town Code, the Town Board ofthe Town of South old hereby elects to
purchase the property owned bv Peconic Land Trust (flkla Palmeri property). Said property is identified
as SCTM #1000-56-5-12.1. The address is 945 Budd's Pond Road, Southold, New York, and the property is
located on the easterly side of Budd's Pond Road approximately 800 feet from the intersection of Budd's Pond

AS SET FORTH in Chapter 6 and Chapter 59 of the Town Code of the
Town of Southold, OPEN SPACE acquired by the Town pursuant to the
provisions of these chapters shall not thereafter be alienated, except upon the
affirmative vote of a majority of the Town Board after a public hearing and upon
the approval of the electors of the Town voting on a proposition submitted at a
special or biennial town election. No subsequent amendment of the provisions of
this subsection shall alter the limitations imposed upon the alienation of open
space acquired by the Town prior to any such amendment. This covenant shall
run with the land in perpetuity.

1. DEFINITION OFTERMS.
The following terms when used in this policy meon:
(0) "insured": the insured nomed in Schedule A, ond, subiect to ony rights or defenses

limited to, heirs, distributees, devisees, survivors, personol representotives, next of kin, or

(b) "insured claimant": on insured cloiming loss or domoge.
(c) "knowledge" or "known": octuol knowledge, not constructive knowledge or notice
which may be imputed to on insured by reason of the public records os defined in this policy
or any other records which import constructive notice of motte~ affecting the land.
(d) "land": the land described or referred to in Schedule A, and improvements affixed
thereto which by low constitute real property. The term "land" does not include any property
beyond the lines of the "eo described or referred to in Schedule A, nor any right, title,
interesl, estate or easement in abutting streets, roods, avenues, alleys, lones, ways or
waterways, but nothing herein sholl modi~ or limit the extent to which 0 right of access to
and from the land is insured by this policy.
(e) "mortgage": mortgage, deed of trust, trust deed, or other security instrument.

4. DEFENSE AND PROSECUTION OF AGlONS; DUTY OF INSURED ClAlMANTTO
COOPERATE.
(0) Upon written request by the insured and subject to the options contained in Section
6 of these Conditions and Stipulations, the Company, at its own cost and without
unreasonable delay, sholl provide for the defense of on insured in litigation in which any third

couses of oction alleging o defect, lien or encumbronce or other matter in suredogoinstbythis

required or permitted by the provisions of this policy, the Compony moy pursue any litigotion
to final determination by 0 court of competent jurisdiction and expressly reserves the right, in
its sole discretion, to appeal ham ony adverse judgment or order.
(d) In 011 coses where this policy permits or requires the Company to prosecute or
provide for the defense of any action or proceeding, the insured sholl secure to the Company
the right to so prosecute or provide defense in the action or proceeding, and 011 appeals
therein, and permit the Company to use, at its option, the nome of the insured for this
purpose. Whenever requested by the Company, the insured, at the Company's expense, sholl
give the Company 011 reasonable aid (i) in any oction or procooding, securing evidence,
obtaining witnesses, prosecuting or defending the action or proceeding, or effecting
settlement, and (Ii) in any other lawful oct which in the opinion of the Company may be
necessary or desiroble to establish the title to the estate or interest os insured. If the
Company is prejudiced by the failure of the insured to furnish the required cooperation, the
Company's obligations to the insured under the policy sholl terminate, including any liability
or obligation to defend, prosecute, or continue any litigation, with regord to the matter or
matters requiring such cooperotion.
S. PROOF OF LOSS OR DAMAGE.
In addition to and after the notices required under Section 3 of these Conditions and
Stipulations hove been provided the Company, 0 proof of loss or damage signed and sworn to
by the insured doimont sholl be furnished to the Company within 90 days after the insured
doimont sholl oscertoin the facts giving rise to the loss or damage. The proof of loss or
damage sholl describe the defect in, or lien or encumbrance on the title, or other matter
insured against by this policy which constitutes the basis of loss or damage and sholl state, to
the extent possible, the basis of colculoting the amount of the loss or damage. If the
Company is prejudiced by the failure of the insured doimont to provide the required proof of
loss or damage, the Company's obligations to the insured under the poficy sholl terminate,
induding any liability or obligation to defend, prosecute, or continue any litigation, with
regord to the matter or matters requiring such proof of loss or damage.
In addition, the insured doimont may reasonably be required to submit to exominotion
under oath by any authorized representative of the Company and sholl produce for
examination, inspection and copying, at such reasonable times and places os may be
designated by any authorized representative of the Company, 011 records, books, ledge~,
checks, correspondence and memoranda, whether beoring 0 dote before or after Dote of
Policy, which reasonably pertain to the loss or damage. Further, if requested by any
authorized representative of the Company, the insured doimont sholl gront its permission, in
writing, for any authorized representative of the Company to examine, inspect and copy 011
records, books, ledgers, checks, correspondence and memorondo in the custody or control ofo
third porty, which reasonably pertain to the loss or damage. All information designated os
confidential by the insured claimant provided to the Company pursuant to this Section sholl
not be disdosed to others unless, in the reasonable judgment of the Company, itisnecessory
in the odministrotion of the doim. Failure of the insured doimont to submit for examination
under oath, produce other reasonably requested information or gront permission to secure
reasonably necessary information from third parties os required in this porogroph sholl
terminate any liability of the Company under this policy os to that doim.
6. OPTIONS TO PAY OR OTHERWISE SETTLE ClAIMS; TERMINATION OF LIABILITY.
In cose of 0 claim under this policy, the Company sholl hove the following additional
options:
(0) To Payor Tender Payment 01 the Amount of Insurance.
To payor tender payment of the amount of insuronce under this policy logether with any
cos~, attorneys' fees and expenses incurred by the insured claimant, which were authorized
by the Company, up to the time of payment or tender of payment and which the Company is
obligated to pay.
Upon the exercise by the Company of this option, 011 liability and obligations to the
insured under this policy, other Ihon to make the payment required, sholl terminate,
including any liability or obligation to defend, prosecute, or continue any litigation, and the
policy sholl be surrendered to the Company for concellotion.
(b) To Payor Otherwise Settle With Parties Other than the Insured or With the
InsuredOoimont.
(I) to payor otherwise settle with other parties for or in the nome of on insured
claimant any claim insured against under this policy, together with any costs, onolOeys' fees
and expenses incurred by the insured claimant which were authorized by the Company up to
the time of payment and which the Company is obligated to pay; or
(ii) to payor otherwise senle with the insured claimant the loss or damage
provided for under this policy, together with any costs, onorneys' fees and expenses incurred
by the insured claimant which were authorized by the Company up to the time of payment
and which the Company is obligated to pay.

7. DETERMINATION, EXJ{NT OF LIABILITY AND COINSURANCE.

or incurred by the insured claimant who has suffered loss or domoge by reason of motre5
insured against by this policy and only to the extent herein described.
(0) The liability of the Company under this policy sholl not exceed the least of:
(i) the Amount of insuroncestoted in Schedule A; or,
(ii) the difference between the volue of the insured estate or interest os insured
and the volue of the insured estate or interest subject to the defect, lien or encumbronce
insured ogoinst by this policy.
(b) In the event the Amount of Insuronce stated in Schedule A ot the Dote of Policy is
less than 80 percent of the volue of the insured estate or interest or the full considerotion paid
for the estote or interest, whichever is less, or if subsequent to the Dote of Policy on
improvement is erected on the lond which increases the volue of the insured estote or interest
by at least 20 percent over the Amount of Insuronce stoted in Schedule A, then this Policy is
subject to the following:
(i) where no subsequent improvement hos been mode, os to ony portiolloss, the
Company sholl only pay the loss pro roto in the proportion thot the omount of insurance ot
Dote of Policy beors to the totol volue of the insured estote or interest ot Dote of Policy; or
(ii) where 0 subsequent improvement hos been mode, os to ony portiolloss, the
Compony sholl only poy the loss pro roto in the proportion thot120 percent of the Amount of
Insuronce stoted in Schedule A beors to the sum of the Amount of Insuronce stoted in
Schedule A ond the omount expended for the improvement.
The provisions of this porogroph sholl notopplyto costs, otrorneys' feesond expenses for
which the Compony is lioble under this policy, ond sholl only opply to thot portion of ony loss
which exceeds, in the oggregote, 10 percent ofthe Amount of Insuronce stoted in Schedule A.
(c) The Compony will poy only those costs, otrorneys fees ond expenses incurred in
occordonce with Section 4 of these Conditions ond Stipulotions.
8. APPORTIONMENT.
. If the lond described in Schedule A consists of two or more porcels which ore not used os
~ngle site, ond 0 loss is established offecting one or more of the porcels but not 011, the loss
sholl be computed and setrled on 0 pro roto basis os if the amount of insuronce under this
policy wos divided pro rota os to the value on Dote of Policy of each seporote porcel to the
whole, exclusive of ony improvements mode subsequent to Dote of Policy, unless 0 liobility or
volue hos otherwise been ogreed upon os to eoch porcel by the Compony and the insured ot
the time of the issuonce of this policy ond shown by on express statement or by on
endorsementotroched to this policy.
9. LIMITATION OF L1A81L1TY.
(0) If the Compony establishes the title, or removes the olleged defect, lien or
encumbronce, or cures the lock of 0 right of occess to or from the land, or cures the claim of
unmorketobility of title, 011 os insured, in 0 reosonobly diligent monner by any method,
including litigotion ond the completion of any oppeols therefrom, it sholl hove fully performed
its obligotions with respect to thot motrer ond sholl not be liable for ony loss or domoge
coused thereby.
(b) In the event of any litigotion, including litigotion by the Compony or with the
Compo ny's consent, the Com pony sholl hove no liobility for loss or domoge until there hos
been 0 final determinotion by 0 court of competent jurisdiction, and disposition of 011 oppeols
therefrom, odverse to the title os insured.
(c) The Compony sholl not be lioble for loss or domoge to ony insured for Iiobility
voluntorily ossumed by the insured in setrling any claim or suit without the prior writren
consent of the Company.
10. REDUOION OF INSURANCE; REDUOION OR TERMINATION OF LIABILITY.
All poyments under this policy, except poyments mode for costs, otrorneys' fees ond
expenses, sholl reduce the omountofthe insuronce protonto.
11. LIABILITY NONCUMUlATIVE.
Itis expressly understood thot the amount of insuronce under this poliry sholl be reduced
by ony omount the Company moy poy under ony policy insuring 0 mortgoge to which
.,ceptionistokeninSchedule8ortowhichtheinsuredhosogreed,0ssumed,ortoken
ubject, or whirh is hereofter executed by on insured and which is 0 chorge or lien on the
estate or inferest described or referred to in Schedule A, ond the omount so poid sholl be
deemed 0 pnyment under this policy to the insured owner.
12. PAYMENT OF LOSS.
(0) No poyment sholl he mode without producing this policy for endorsement of the
poyment unless the policy hos been lost or destroyed, in which cose proof of loss or
destruction sholl be furnished to the sotisfoction oftheCompony.
(b) When liability and the extent of loss or domoge has been definitely fixed in
occordonce with these Condinons ond Stipulotions, the loss or damage sholl be payable
within 30 doysthereofter.
13. SUBROGATION UPON PAYMENT OR SETTLEMENT.
(0) The Companys Right of Subrogation.
Whenever the Company sholl hove settled and poid 0 c10im under this policy, 011 right of
subrogotion sholl vest in the Company unaffected by any oct of the insured claimant.
The Com pony sholl be subrogoted to and be entitled to 011 rights ond remedies which the
insured c1oimont would hove hod against any person or property in respect to the c10im hod
this policy not been issued. If requested by the Compony, the insured c1oimont sholl tronsfer
to the Compony 011 rights and remedies ogoinst ony person or property necessory in order to
perfect this right of subrogotion. The insured c1oimont sholl permit the Compony to sue,
compromise or setrle in the nome of the insured claimant ond to use the nome of the insured
claimant in onytronsoction or litigotion involving these rights or remedies.
If 0 payment on occount of 0 claim does not fully cover the loss of the insured c1oimont,
the Compony sholl be subrogated to these rights and remedies in the proportion whirh the
Company's payment beors to the whole omountofthe loss.
If loss should result from ony oct of the insured claimant, os stated obove, thot oct sholl
not void this policy, but the Company, in that event, sholl be required to poyonlythot port of
ony losses insured ogoinst by this policy which sholl exceed the omount, if any, lost to the
Company by reason of the impoirment by the insured c1oimont of the Company's right of
subrogotion.
(b) The Companys Rights Against Non-insured Obligors.
The Componys right of subrogation ogoinst non-insured obligors sholl exist ond sholl
include, without Iimitotion, the rights of the insured to indemnities, guoronties, other policies
of insuronce or bonds, notwithstanding ony terms or conditions contoined in those
instruments which provide for subrogotion rights by reason of this policy.
14. ARBITRATION
Unless prohibited by opplicoble low, either the Company or the insured moy demand
orbitrotion pursuant to the Title Insuronce Arbitrotion Rules of the Americon Arbitrotion
Associotion. Arbitroble motrers moy include, but ore not limited to, ony controversy or c10im
between the Compony ond the insured orising out of or relating to this policy, ony service of
the Compnny in connection with its issuonce or the breoch of 0 policy provision or other
obligotion. All orbitroble motrers, when the Amount of Insuronce is $1,000,000 or less sholl
be orbitroted ot the option of either the Company or the insured. All orbitroble motrers when
the Amount of Insuronce is in excess of $1,000,000 sholl be orbitroted only when ogreed to
by both the Componyond the insured. Arbitrotion pursuontto this policy ond under the Rules
in effect on the dote the demand for orbitrotion is mode or, otthe option of the insured, the
Rules in effect ot Oote of Policy sholl be binding upon the porties. The oword moy include
otrorneys' fees only if the lows of the stote in which the lond is locoted permit 0 court to
oword otrorneys' fees to 0 prevoiling porty. Judgment upon the oword rendered by the
Arbitrotor(s) moybe entered in any court hoving jurisdiction thereof.

15. LIABILITY LIMITED TO THIS POLICY; POLICY ENTIRE CONTRAU.

is the entire policy ond controct between the insured ond the Company. In interpreting any
provision of this policy, this policy sholl be construed oso whole.
(b) Any claim of loss or domoge, whether or not bosed on negligence, ond which orises
out of the stotus of the title to the estote or interest covered hereby or by ony oction osserting
suchcloim, sholl be restricted to this policy.
(c) No omendment of or endorsement to this policy con be mode except by 0 writing
endorsed hereon or otroched hereto signed by either the President, 0 Vice President, the
Secretory, on Assistont Secretory, or validating officer or authorized signotory of the Compony.
16. SEVERABILITY.

NOTICE OF PUBLIC HEARING
NOTICE IS HEREBY GIVEN THAT pursuant to the provisions of Chapter 59 (Open
Space Preservation) and Chapter 6 (2% Community Preservation Fund) of the Town
Code, the Town Board of the Town of South old hereby sets Tuesday. January 31, 2006.
at 5:15 p.m.. Southold Town Hall, 53095 Main Road. Southold, New York, as the
time and place for a public hearinl!: for the purchase of open space on property
currently owned by Peconic Land Trust (f/kla Palmeri property). Said property is
identified as SCTM #1000-56-5-12.1. The address is 945 Budd's Pond Road, Southold,
New York, and is located on the easterly side of Budd's Pond Road approximately 800
feet from the intersection of Budd's Pond Road and Bay Home Road in Southold. The
proposed acquisition is for open space and comprises approximately 0.5 acre (subject to
survey).
The property, having been purchased by the Peconic Land Trust from Irwin and Saundra
Palmeri as a bargain sale, has been offered for sale to the Town of South old, at the same
bargain sale purchase price plus acquisition costs associated with the transfer of title. The
purchase price for this open space parcel is $5,000 (five thousand dollars) plus
acquisition costs.
The subject property contains mostly wetlands and borders on Budd's Pond and an
existing canal off Budd's Pond. The preservation and protection of this property falls
under multiple purposes ofthe Community Preservation Project Plan, including, but not
limited to, preservation and protection of open spaces and scenic values, protection of
wetlands, and undeveloped shorelines, establishment of parks/nature preserves and
recreational areas, and protection of unique and threatened ecological areas.
The property is not listed on the Town's 2003 Community Preservation Project Plan List
of Eligible parcels; however, it is proposed to be added to the plan after a public hearing
to amend the List of Eligible parcels is held on January 31,2006.

As per Chapter 87 (Transfer of Development Rights) of the Code of the Town of
Southold, Section 87-5, the Land Preservation Coordinator has determined that it is
unlikely that the parcel is buildable; therefore, no Sanitary Flow Credit is available from
this purchase.
FURTHER NOTICE is hereby given that a more detailed description of the above
mentioned parcel ofland is on file in the Land Preservation Department, Southold Town
Hall Annex, 54375 Route 25, Southold, New York, and maybe examined by any
interested person during business hours.
