Dear Ms. LaRosa:
On this date Patricia A. Bailey deposited the sum of $4~,285.00 Fleet Bank
Certificate of Deposit #80v,0334108. The funds represent Ms. Bailey's guarantee to
the Town of Southold for the installation of certain improvements, including roads,
in a subdivision known as Kay Dee Estates.
As a condition of accepting Ms. Bailey's passbook, on January 29, 1992, the
Town and Ms. Bailey entered into an agreement, a cop of which is enclosed
herewith. The terms of this agreement will affect the manner in which Ms. Bailey's
account may be administrated. Please be advised that the Town is taking the
position that the terms of the enclosed agreement apply to Ms. Bailey's account with
your bank. Please note that provision #2 states that the interest remains the
property of Ms. Bailey, and she is entitled to the receipt of said interest without
further notice of the Town Board.

THIS AGREEMENT. made in the Town of Southold. Suffolk County. New
York. on January ;L~. 1992, between the TOWN OF SOUTHOLD, hereafter referred
to as the "TOWN" a municipal corporation located at 53095 Main Road, Southold.
New York 11971. and KAY DEE ESTATES and PATRICIA A. BAILEY, hereafter
referred to as "BAILEY", residing at 2155 Skunk Lane, Cutchogue, New York
11935.
WHEREAS. BAILEY is the owner of certain real property situated in the Town
of Southold, Suffolk County. New York. more particularly described as Suffolk
County Tax Map number 1000-099.00-04.00-017.000, and
WHEREAS. for and in consideration of the granting of subdivision approval
entitled "Minor Subdivision/Kay Dee Estates" by Resolution dated June 6, 1991.
and as a condition of granting said approval, the Town of Southold Planning Board
required submission of a passbook, letter of credit, or its equivalent in the
amount of $46,285.00, with acceptance of same by the Town Board to guarantee
the constitution and/or installation of certain improvements, including roads.
within the subject subdivision, and
WHEREAS. said conditional approval has been extended by Resolution of the
Planning Board of the Town of Southold until Ma,'ch 4. 1992. and
WHEREAS, in accordance with said requirement BAILEY deposited a passbook
No, 90040784 with the Office of the Town Clerk on July 22. 1991 in the amount of
$46.285.00. and
WHEREAS. subsequent thereto, the Town Board of the Town of Southold by
Resolution adopted on July 30. 1991 RESOLVED that. "effective immediately.
passbooks shall not be accepted as a performance bond for any reason whatsoever;
the Town of Southold will only accept cash, Letters of Credit. or Performance
Bonds from a recognized bonding company", and
WHEREAS, the parties herein have had further discussion concerning the
acceptance of said passbook and have determined that because this passbook was
deposited with the Town Clerk prior to the Town Board's July 30, 1991 Resolution,
it would be ~n the best ini.,.~rest of the partie~ to a,;cept said passbook logether
with the within agreement.
NOW. THEREFORE. it is mutually agreed as follows:
1. THE TOWN BOARD accepts passbook No, 90040784 previously deposited
with the office of the Town Clerk on July 22, 1991 as a guarantee that the
required improvements will be made.
2. THE TOWN BOARD acknowledges that any interest earned in said
passbook shall remain the property of BAILEY and that BAILEY shall be entitled
to receipt of said interest without further notice of the TOWN BOARD.
3. That BAILEY acknowledges and agrees that certain improvements are to
be made by BAILEY in accordance with final subdivision approval on June 6, 1991,
4, As a guarantee that the improvements be made as set forth in said bond
estimate of March 20, 1991, the passbook shall remain at the office of the Town
Clerk of the Town of Southold and if BAILEY shall carry out all the terms of said
bond estimate, this Agreement shall become null and void, that BAILEY shall be
entitled to receive the passbook from the Town Clerk, otherwise said Agreement
shall remain in full force and effect.
5. That in the event the improvements are made and it should be
determined by the Town of Southold that said improvements are not in accordance
with the standards adopted by the Town of Southold, or if the improvements are
not made. THE TOWN BOARD, after public notice and notice to BAILEY by
certified, return receipt mail, at her address set forth in this Agreement shall
be entitled to use the principal of said passbook or a portion thereof in order to
carry out said public improvements,
6, No other party other than THE TOWN BOARD shall have any rights
hereunder as against BAILEY,
7, The aggregate liability of BAILEY shall not exceed the sum of $46.285,00
for any cause or reason whatsoever,
8. That BAILEY shall be entitled to draw interest at anytime without notice
to the Town Board. but at no time shall BAILEY withdraw principal from passbook

9, That the parties herein agree that a copy of this Agreement shall be
provided to the bank. That the parties agree further that upon notice to the
TOWN, BAILEY shall have the right, from time to time. to transfer said account to
the bank of her choice,
