Gentlemen:
We hereby establish our Irrevocable Letter of Credit #M-8883 in your favor
and authorize you to draw upon this Bank up to an aggregate amount of
Thirty-five Thousand and NO/100 ($35,000.00) U.S. Dollars. Said monies to
the extent necessary to complete the improvements hereinafter set forth
and referred to herein shall be paid upon demand by the Town Board to
complete road improvements to the subdivision known as Harbor Lights
Estates, Section Four, Town of Southold, Southold, New York.
Funds under this Letter of Credit are available against the Town's draft
on us presented at our office at 9025 Route 25, Mattituck, New York, no
later than September 12, 1989. All drafts drawn hereunder must all also
be accompanied by the Town's signed statement certifying that the amount
drawn represents sums due under or in connection with the Performance Bond
of Harold Reese and Fred Reese.
This Letter of Credit is not transferrable.
This Letter of Credit #M-8883 supersedes and replaces Letter of Credit
#M-8769 dated October 13, 1987.
This credit is subject to the Uniform Customs and Practice for Documentary
Credits (1983 Revision), International Chamber of Commerce Publication
#400, except as expressly provided herein.

Dear Mrs. Terry:
The following action was taken by the Southold Town
Planning Board on Monday, October 3, 1988.
RESOLVED that the Southold Town Planning Board reco~end to
the Town Board that the Letter of Credit for Harbor Lights,
Section 4 be extended for a one-year period to expire on
September 12, 1988. This letter of credit is to also cover
corrective work necessary since items in the orignal bond
estimate were not complied with.

The following actions were taken by the Southold Town
Planning Board on Monday, June 19, 1989.
RESOLVED that the Southold Town Planning Board accept the
Sidney B. Bowne & Son report dated June 9, 1989, which reduces
the bond estimate to $854,190.00, and extends the Irrevocable
Letter of Credit from June 20, 1989 to September 20, 1989.
RESOLVED that the Southold Town Planning Board recormmend
the reduced bond estimate for $854,190.00, and the extension on
the Irrevocable Letter of Credit to September 20, 1989, to the
Town Board for their review and approval of same.
Please note that the Planning Board is concerned with the
time of the extension. It was suggested that the extension
should have been for one year, not ninety days, as the amount of
work to be done can not be completed in this time frame.

correspondence from Union Savings Bank, dated May 31, 1989, advising us
that the Letter of Credit will no longer be in possession and expires June
20, 1989. The second enclosure is from Sidney B. Bowne & Son showing the
amount of work completed totaling $295,810.00.
There should be a renewal Letter of Credit issued for the balance of
$854.190,00.

I discussed it with Melissa and she advises there is still much work to be done
on this subdivision. The developer asked for a reduction in the bond, but the
Planning Board refused.
My concern is that the bond {Letter of Credit) in the amount of $1,150,000
will be null and voide on June 20th. What can the Town Board do to prevent this?

located at 739 E. Main Street, Riverhead, N.Y., we hereby establish
this Irrevocable Letter of Credit No. 119 in your favor for an amount
up to but not exceeding the aggregate sum of $1,150,000., effective
immediately. This Letter of Credit No. 119 expires one year from
the date hereof.
Funds under this Letter of Credit are available to you against
your sight draft(s) signed by your authorized corporate officer,
drawn on us bearing the clause "Drawn Under Credit No. 119"
accompanied by a written statement signed by the Town Engineer
and Town Attorney for the Town of Southold to read as follows:
"This drawing has been caused by the default to complete performance
by the required date, of work and related items required by the
Planning Board of the Town of Southold Resolution dated July 14,
1986, regarding the Map of Harbor View, Mattituck, N.Y.
This Letter of Credit sets forth in full the terms of our under-
taking and such undertaking shall not in any way be modified,
amended or amplified by reference to any document or instrument
referred to herein or in which this Letter of Credit relates and
any such reference shall not be deemed to incorporate herein by
reference any document or instrument.
We hereby agree with the drawers, endorsers and bona fide holders
of drafts drawn under and in compliance with the terms of credit
that such drafts will be duly honored upon presentation to the
