party of the first part, and ML MAIN ROAD, LLC, a domestic limited liability company, having its
principal place of business at 770 Park Avenue, New York, N.Y., 10021,

WITNESSETH, that the party of the first part, in consideration of Ten Dollars and other valuable
consideration paid by the party of the second part, does hereby grant and release unto the party of the
second part, the heirs or successors and assigns of the party of the second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected,
situate, lying and being in Peconic, Town of Southold, County of Suffolk and State of New York, bounded and
described as follows:
BEGINNING at a point on the northwesterly side of Main Road S.R. 25 at the southwesterly comer of land
hereinafter described at the southeasterly comer of land now or formerly of Raymond M. Realty Corp.;
RUNNING THENCE North 43° 43' 22" West along the last mentioned land 310.07 feet; THENCE North 46°
16' 38" East 312.62 feet; THENCE South 43° 43' 22" East 247.36 feet to the northwesterly side of Main Road;
THENCE South 34° 56' 08" West 319.03 feet to the point or place of BEGINNING.
BEING AND INTENDED TO BE the same premises conveyed to the grantor herein by deed dated January
24, 2001, from Reynold Blum, which deed was recorded in the Suffolk County Clerk's Office c~ February 2,
2001 in Liber D00012100 of Deeds at page 731.
SUBJECT TO a mortgage in the original and current principal amount of $1,000,000, dated January 24, 2001,
fxom Michael Lynne, as Mortgagor, to Reynold, Blum as Mortgagee, which mortgage was recorded in the
Suffolk County Clerk's Office on February 2, 2001 in Liber M00019820 of Mortgages at page 175.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and
roads abutting the above described premises to the center lines thereof; TOGETHER with the
appurtenances and all the estate and rights of the party of the first part in and to said premises; TO HAVE
AND TO HOLD the premises herein granted unto the party of the second part, the heirs or successors and
assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been encumbered in any whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of
the first part will receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of the improvement and
will apply the same first to the payment of the cost of the improvement before using any part of the total of
the same for any other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so requires.
