THIS INDENTURE, made June 6, 2001, among MICHAEL MELLOR and MARY
C. MELLOR, each having an address at 83 Ryder Way, Murray Hill, NJ 07974 (collectively
hereinafter referred to as "Grantors"), and JAY PHILLIP MANDELBAUM and LAUREN
GORDON, AS TENANTS IN COMMON, each having an address at 1088 Park Avenue, New York,
NY 10128 (collectively hereinafter referred to as "Grantees").
WITNESSETH, that Grantors, in consideration of Ten Dollars and other valuable
consideration, the receipt and sufficiency of which hereby are acknowledged, do hereby grant and
release unto Grantees and the heirs, executors, administrators, legal representatives, successors and
assigns of Grantees forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements
thereon erected, situate, lying and being in Town of Southold, the County of Suffolk
and the State of New York, being more particularly described in Exhibit A attached
hereto and made a part hereof,
BEING AND INTENDED TO BE THE SAME PREMISES, conveyed to the
grantors herein by deed dated 12/1/99 and recorded 1/21/2000, in Liber 12015, Page
165, in the Suffolk County Clerk's Office.
Said premises also being known as Vacant Land, 700 Kimberly Lane, and as Lot
020.016, Block 13.00, Section 070.00, on the Tax Map of the Town of Southold.
TOGETHER with all right, title and interest, if any, of Grantors in and to any streets
and roads abutting the above described premises to the center lines thereof,
TOGETHER with the appurtenances and all the estate and rights of Grantors in and
to said premises,
TO HAVE AND TO HOLD the premises herein granted unto Grantees and the heirs,
executors, administrators, legal representatives, successors and assigns of Grantees forever.
Grantors are the owners of said premises. Said premises is not located in an
agricultural district.
Grantors covenant that Grantors have not done or suffered anything whereby said
premises have been encumbered in any way whatever, except as set forth herein.
Grantors, in compliance with Section 13 of the Lien Law, covenant that Grantors will
receive the consideration for this conveyance and will hold the right to receive such consideration as
a trust fund to be applied first for the purpose of paying the cost of the improvement before using any
part of the total of the same for any other purpose.
IN WITNESS WHEREOF Grantors have duly executed this deed on the date first
above written.

of Southold, County of Suffolk and State of New York, being known and designated as Lot
No. 16 on a certain map entitled, "Map of Paradise by the Bay" and filed in the Suffolk
County Clerk's Office on November 4, 1967, as Map No. 6463.
