THIS AGREEMENT, made this ~ day of October, 1999, between the TOWN
OF SOUTHOLD, a municipal corporation of the state of New York, having its office
and principal place of business at ~:3095 Main Road, Southold, New York 11971,
hereinafter called the "Town" and Rice Services Corp., 4600 Ole Jule Lane,
Mattltuck, New York, 11952 hereinafter called the "Contractor".
W~IF~REAS, the Town of Southold did heretofore request and receive a proposal
from the Contractor to perform all the work required to remove and dispose of
chemical storage tanks located at the Scavenger Waste Plant, dean said vaults, cut
vault side and ends to surrounding grade level and fill vaults with clean f'fli to grade
elevation as indicated in the proposal dated September 10, 1999 in the amount of
Five Thousand Two Hundred Dollars ($5,200.00) and
WHEREAS, the Town of Southoid accepted the proposal of the Contractor on the
28~ of September, 1999.
NOW, THEREFORE, IT IS AGREED AS FOLLOWS:
1. The Contractor does hereby agree to perform all the work required to construct,
perform and complete work on the chemical storage tanks in accordance with
the contractor's proposal dated September 10, 1999, and all conditions set forth
therein, which is annexed hereto and made part of this contract.
2. The Town does hereby agree to pay the Contractor for the work, the total sum of
Five Thousand Two Hundred ($5,200.00) within sixty (60) days of the
completion of said work and the acceptance thereof by the Town.
3. The Contractor shall secure and maintain such insurance that will protect
him/her from claims under the Worker's Compensation Acts and from claims
for bodily injury, death or property damage which may arise from the
performance of his services under this Agreement, in limits of $1,000,000 and
$2,000,000 aggregate liability for bodily injury and property damage. The
Contractor shall indemnify and hold harmless the Town from and against all
suits, claims, demands or actions for any injury sustained or alleged to be
sustained by any party or parties in connection with the alleged negligent
performance or negligent performance by the Contractor, his employees or
agents or any subcontractor and in case of any such action brought against the
Town, the Contractor shall immediately take charge of and defend the same at
his own cost and expense. In addition, the Contractor will name the Town as an
additional insured on any applicable policies.
4. IN WITNESS WUE~REOF, the parties hereto have set their hands and seals the
day and year first above written.

Gentlemen: 2 550 gal. chemical tanks
Rice Services Corp. will provide labor and equipment to
perform tank removal and disposal of the two 550 gallon
chemical tanks enclosed in underground concrete vaults
with the following three options for your consideration.
Option ~1 - Remove concrete vault covers, remove and
dispose of tanks. Pump out and clean vaults and replace
vault covers. Price $3,600.00.
Option #2 - Remove and dispose of concrete vault covers.
Remove and dispose of tanks, clean vaults, cut vault
side and ends to surrounding grade level and fill vaults
with clean fill to grade elevation. Price $5,200.00
Option #3 - Remove and dispose of concrete vault covers,
remove and dispose of tanks. Clean vaults, remove and
dispose of vault sides, ends and bottoms and backfill with
clean fill to surrounding elevation. Price $6,700.00.
Liquid waste generated from dewatering and cleaning of
vaults will remain on site and discharged as directed.
Rice Services Corp. will contact the Health Dept. and DEC
for appointments and obtain utility markouts.
If any unknown utilities, wiring, irrigation lines, etc.
are passing over the top of the tank or within ten feet
proximity are damaged the cost for replacement and or
repairs chall be additional to the above cost. This
also includes cesspools and dry wells less than ten
feet from tank.

SCAVENGER WASTE - TANK VIOLATION & REMOVAL
On September 21, 1999, the Coumy Departmem of Health
Services issued a notice of formal hearing for alleged violations at the Town's scavenger
waste plant relating to out of service chemical storage tanks.
The hearing was dismissed based upon the Town's removal of the
storage tanks on October 14, 1999. Attached for your information is correspondence
from the County and documentation of the County's satisfaction of the tank removal.
This matter has now been resolved.

Storage Tanks
Dear Mr. Kasprowicz:
The Town of Southold has received a Notice of Formal Hearing (DHS #T 99-
4658) regarding tank #1 at the Scavenger Waste Plant (350 gal ferric chloride)
and tank #2 (350 gal sulfudc acid). The complaint requests the tanks be brought
into compliance with the Suffolk County Sanitary Code and that the Town obtain
a valid permit to operate said tanks.
Please be advised that the County inspections performed on these particular
tanks revealed the following determinations by your agency:

It seems quite clear from the County's inspections that these tanks have
been out of service for at least 1 ½ years with the County's knowledge and
acquiescence of the "T.O.S." and locked status. (See composite
attachment "A")
The second claim involves the failure to obtain valid permits for said
storage tanks. When notified, the Town of Southold remitted payment to
the County for applicable registration fees in December 1998. However,
Suffolk County returned the payment and indicated that since the tanks
were out of service, no registration was necessary. (See attachment "B")
We are cognizant of the fact that new regulations were effectuated in
December 1998 which may have caused some confusion in the inspection
and implementation of the closed storage tanks at the facility at issue.
However, the Town has complied with all requests and has, in fact, been
in compliance with the relevant provisions of the sanitary code.
Moreover, the Town has made affirmative actions with regard to the
removal of said tanks. A company has been retained to remove the tanks
in question. (See attachment "C")
The need for a formal headng on these matters appears to be
unnecessary. The Town would like to resolve any outstanding issues prior
to the scheduled formal hearing on October 18t~ to avoid any unnecessary
use of resources of those involved.

FIFTH: On information and belief, based on a file search of Department records,
Respondent (s) on January 1, 1990, and each day thereafter violated Section 760-1210 of Article 12
of the Suffolk County Sanitary Code by maintaining the existence of Tank #1 (350 gallon ferric
chloride) and Tank/t2 (350 gallon sulfuric acid), at the above referenced site which fails to

representative of the Department must be present. In the event that a facility is removed without a
Department representative being present, Respondent(s) will be required, at Respondent(s)'s
expense, to immediately remove all fill or covers placed into the space formerly occupied by the
facility, so that an inspection of the soil can be performed by a representative of the Department.
3. Modification and/or installation of any storage facility for toxic or hazardous material requires
approval by the Department and receipt of a valid Permit to Construct prior to commencing
notification and/or installation. Failure to obtain such approval shall be considered a violation of
this order.
4. Failure to register storage facilities for toxic or hazardous material is a violation of Article
12 of the Suffolk County Sanitary Code, and. shall be considered a violation of this order.
5. To pay a penalty of five hundred dollars ($500) for each violation for each day of violation.
Complainant requests the granting of such other and further relief as may be deemed just and
proper.

Rice Services Corp. will provide labor and equipment tm
perform tank removal and disposal of the two 550 gallon
chemical tanks enclosed in underground concrete vaults
with the following three options for your consideration.
Option ~1 - Remove concrete vault covers, remove and
dispose of tanks. Pump out and clean vaults and replace
vault covers. Price $3,600.00.
Option ~2 - Remove and dispose of concrete vault covers.
Remove and dispose of tanks, clean vaults, cut vault
side and ends to surrounding grade level and fill vaults
with clean fill to grade elevation. Price $5,200.00
Option #3 - Remove and dispose of concrete vault covers,
remove and dispose of tanks. Clean vaults, remove and
dispose of vault sides, ends and bottoms and backfill with
clean fill to surrounding elevation. Price $6,700.00.
Liquid waste generated from dewatering and'.cleaning of
vaults will remain on site and discharged ais directed.
Rice Services Corp. will contact the Health Dept. and DEC
for appointments and obtain utility markouts.
If any unknown utilities, wiring, irrigation lines, etc.
are passing over the top of the tank or within ten feet
proximity are damaged the cost for replacement and or
repairs chall be additional to the above cost. This
also includes cesspools and dry wells less than ten
feet from tank.

Scope of Work:
Removal of Ferricholide Chemical tank fron~ concrete vault. Remove and dispose of tank
and vault. Back fill with clean sandy fill.
Removal of Hydrocholoric acid tank from concrete vault. Remove and dispose of umk
and vault. Back fill with clean sandy fill.
Contractor will be responsible for notifying Suffolk County Health Department and
setting date for inspection.
Contractor must supply Town with approvals from Suffolk county Health Department.

the amount of 100% of the Contract Price will be required of the
