THIS INDENTURE, made the 12th day of March, 2001 BETWEEN James F. Grathwohl,

party of the first part, and James F. Grathwohl, Trustee under the James F. Grathwohl Trust
dated March 12, 2001, whose post office address is 11690 Stockbridge Lane, Reston, Virginia
20194, party of the second part.
WITNESSETH, that the party of the first part, in consideration of NO
CONSIDERATION, and other valuable consideration paid by the party of the second part does
hereby grant and release unto the party of the second part, the successors-in-trust and assigns
of the party of the second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements
thereon erected, situate, lying and being described as follows:

Being the same property conveyed to James F. Grathwohl by Deed from Elaine
C. Axien of record in Book 5956, Page 348,. said County Clerk's Office.
Subject To: Covenants, conditions, reservations, limitations, easements and agreements of
record, if any, and to all applicable zoning ordinances and/or governmental restrictions, if any.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to
any streets and roads abutting the above described premises to the center lines thereof;
TOGETHER with the appurtenances and all the estate and rights of the party of the first part in
and to said premises; TO HAVE AND TO HOLD the premises herein granted unto the party of
the second part, the successors-in-trust and assigns of the party of the second part forever.
AND the party of the first part, in compliance with Section 13 of the Lien Law,
covenants that the party of the first part will receive the consideration for this conveyance and
will hold the right to receive such consideration as a trust fund to be applied first for the
purpose of paying the cost of the improvement and will apply the same first to the payment of
the cost of the improvement before using any part of the total of the same for any other
purpose.

EXHIBIT "A"
ALL that certain lot, parcel or tract of land lying, being and situate at Bayview, in the Town of
Southold, County of Suffolk and State of New York, and being more particularly bounded and
described as follows:
BEGINNING at a stake set at the southerly terminus of the southeasterly line of a certain 50
foot road, hereinafter described, said stake being 515.0 feet southwesterly along said
southeasterly line from it's intersection with the southwesterly line of Bayview Road; and
running along lands formerly of Julius Zebroski, S. 32° 57' 30" E. - 160.0 feet to a point which
is 10 feet, more or less, southeasterly from the northwesterly edge of a dredged canal; thence
on a line which is 10 feet, more or less, southeasterly from said northwesterly edge of said
dredged canal, S. 40° 00' W. - 120.0 feet; thence on a line which is 10 feet, more or less,
southwesterly from the northeasterly edge of said dredged canal, and the northeasterly edge of
a proposed dredged canal, N. 27° 11' 20" W. - 164.60 feet; thence through said proposed
dredged canal and along lands formerly of Julius Zebroski, N. 25° 16' 10" E. - 100.0 feet to a
stake set on the southwesterly line of said 50 foot road; thence along said southwesterly line of
said 50 foot road, S. 64° 43' 50" E. - 25.0 feet to the point of beginning.
TOGETHER with a right of way over said 50 foot road; the southeasterly line of which is
described as follows: Beginning at an iron pipe set on said southwesterly line of Bayview Road,
said pipe being S. 59° 01' 00' E. - 229.50 feet along said southwesterly line from a concrete
monument set at a deflection point in said line; from said point of beginning running S. 25° 16'
10" W. - 515.0 feet to a stake; said stake being the point of beginning of the hereinabove
described premises.
The northwesterly line of said 50 foot road is parallel with and 50 feet northwesterly from the
above described southeasterly line, measured at right angles thereto.
