ton; 650-1,000 tons - $42.00 per ton; Over 1,000 tons - $41.00 per ton.
I am enclosing the necessary information for the performance bond.
As you know, I have the Certificate of Liability Insurance, but it expires
on August 10, 1995. I again ask that you have Cook Agency send me an
updated certificate when the policy is renewed, making sure to name the
Town of Southold as an Additional Insured.
As soon as I am in receipt of the performance bond I will send you
the contract for execution, and return your $500.00 bid check. If you
have any questions, please do not hesitate to contact me.

LEGAL NOTICE
NOTICE TO BIDDERS
NOTICE IS HEREBY GIVEN that sealed bids are sought and requested from
qualified asphalt contractors to furnish and place Asphalt Concrete within the Town
of Southold as may be required for a period of one (1) year.
The sealed bids will be received by the Town Clerk of the own of Southold,
at the $outhold Town Clerk's Office, Town Hall, Main Road, Southold, New York,
until 11:00 A.M., on the 20th day of July,
be publicly opened and read aloud.

Office of the Town Clerk between the hours of 8:00 A.M. and 4:00 P.M., Monday
through Friday, upon payment of a $25.00 non-refundable fee.
All bids must be submitted on the Bid Form provided. Any and all exceptions
to the specifications shall be listed on a separate sheet bearing the designation:
"Exceptions to the Specifications", and attached to the Bid Form.
Each bid must be accompanied by the deposit of a certified check in the amount
of five hundred dollars ($500.00), made payable to the order of the Town of
Southold, conditioned that. if the bid is accepted, the successful bidder will enter
into a contract for the work within ten (10) days from the date of the acceptance
of the bid. All deposits except that of the successful bidder will be returned.
Upon the acceptance of his bid, if the successful bidder fails to enter into a
contract pursuant to the requirements of the Town, then the check deposited with
the bid and the moneys standing to the credit of same, shall be forfeited to the
Town of Southold as liquidated damages, If the successful bidder enters into a
contract pursuant to the requirements of the Town, then the check shall be returned
to said bidder.
The Town Board of the Town of Southold reserves the right to reject any and
all bids and to waive any and all informality in any bid should it be deemed in the
best interest of the Town of $outhold.
All bids must be signed and enclosed in sealed envelopes plainly marked "Bid
on Asphalt Concrete Contract" and addressed to Judith T, Terry, Town Clerk, Town
of $outhold, Town Hall, Main Road, Southold, New York 71971.

INFORMATION AND INSTRUCTIONS TO BIDDERS
1. Pursuant to Town Board Resolution, the Town of Southold invites bids from
qualified asphalt contractors to furnish and place asphalt concrete within the
Town of Southold as may be required for a period of one (1) year.
2. In submitting this bid, the bid sheets (Proposal Form) are to be filled in but
not detached from this package. The complete bid package shall be enclosed
in a sealed envelope properly endorsed. All blank spaces for bid prices must
be filled in, in ink, as required. Bids that contain any omission, erasure,
alteration or items not called for in the itemized bid form or that containing
irregularities of any kid may be rejected by the Town.
3. Qualification of Bidders
a. Bids received later than the date and time specified will not be considered.
b. Specification of materials used must meet or exceed New York State
Department of Transportation specifications. Plant must have adequate
capacity and sufficient storage for the items to be furnished.
c. The successful bidder is required to comply in all respects to the Labor
Law in accordance with Section 220, Subdivision 3 and Section 220-D. A
list of minimum Labor Rates is attached and made a part of this Proposal.
d. The items specified shall be delivered in amounts, and at a time and place
as directed by the Superintendent of Highways of the Town of Southold.
No materials shall be delivered on Saturdays, Sundays or Holidays except
in an emergency.
e. The bidder will be required to show, to the satisfaction of the
Superintendent of Highways, that he is a responsible contractor
experienced in the kind of work to be performed; that he is financially
able to execute the contract; that he has adequate equipment and fixed
storage facilities to satisfactorily and efficiently perform the work as
directed within the specified time limits. The bidder must state exact
location of plant.
4, Rejection of Bids
a. The Town Board reserves the right to reject any bid if the evidence
submitted in the, qualification statement or an investigation of such bidder
fails to satisfy the Town Board that such bidder is properly qualified to
carry out the obligations of the contract and to complete the work
contemplated therein. Conditional bids will not be accepted.
b. The Town Board reserves the reject any and all bids, in whole or in part,
to waive any informality in any or all bids, and to accept the bid or part
thereof which it deems most favorable to the Town after all bids have been
examined and/or checked. No bid shall be withdrawn for a period of
forty-five (45) days after being publicly opened and read,
5. Bid Analysis Bidders may bid on any or all items. The Superintendent of
Highways reserves the right to make awards by items, or as a whole, or not
at all, whichever the Superintendent deems to be in the best interest of the
Town.

6. Measurement and Payment - Payment shall be made to the contractor at the unit
pr'ice(s) submitted in the Proposal. The asphalt concrete will be measured by
the number of tons of compacted material in place. The unit price per ton shall
include the cost of furnishing all materials, equipment, labor and incidentals
necessary to complete the work.
7. Commencement of ¥/ork - Shall be within five (5) days after receipt of written
order. Any reason for delay in work shall be submitted to the Town in writing
explaining the delay. If the reason is not acceptable, then work must continue
without any further delay.
8. Testincj The Town shall have the absolute right to make tests before and
after delivery and installation to determine conformity to Specifications, quality
and standard of excellence. The Contractor agrees to bear the cost and pay
for all tests which are deemed to be necessary in the opinion of the T. own: The
Contractor shall .repair or replace at no additional cost to the Town, any
materials found to not meet the Specifications and quality intended. The work
shall be executed in the best and most workmanlike manner.
9. The prices quoted in this bid, and subsequently awarded, are to be used in
establishing prices for actual materials furnished and placed to the Town of
Southold from the date of award up to and including one (1) year thereafter.
The Contract period may be extended for up to one (1) additional year upon
mutual written agreement of the Town and the Contractor.
10.
Bid Bond
T'he. bid must be accompanied by a certified check or an acceptable bid bond
in the amount of flue hundred dollars ($500.00), made payable to the Town of
Southold as assurance that the bid is made in good faith. The certified check
or bid bond will be returned after the execution of the Contract between the
Owner and the successful bidder; the certified check or bid bond of the
successful bidder mill be retained until the filing and approval of the
Performance Bond. The successful bidder, upon his failure or refusal to
execute and deliver the Contract and bonds required within ten (10) days after
the date of notice of acceptance of his bids, shall forfeit to the Town of
$outhold as liquidated damages for such failure or refusal, the security he
deposited with his bid.
11. Performance Bond
Each successful Iow bidder shall be required to execute a Performance Bond
of ten thousand dollars (10,000.00) to be executed by a surety company
acceptable to the Owner; or a certified check. The Performance Bond shall
be written as to remain in full force for the extent of the Contract.

12. Contractor's Insurance
The Contractor shall not commence any work until he has obtained, and had
approved by the Owner, all of the insurance required under this contract as
enumerated herein:
Compensation Insurance
Public Liability and Property Damage Insurance
Contractor's Protective Liability and Property Damage Insurance
Owner's Protective Public Liability and Property Damage Insurance
The Contractor shall not permit any subcontractor to commence any operation-on the
site until satisfactory proof of carriage of the above required insurance has been
posted with and approved by the Owner.
(a) Compensation Insurance: The Contractor shall take out and maintain during the
life of this Contract, Workmen's Compensation Insurance for all his employees
employed at the site of the project, and in case of any of the work being sublet,
the contractor shall require all subcontractors similarly to provide Workmen's
Compensation Insurance for all of the latter's employees unless such employees are
covered by the protection afforded by the Contractor.
(b) Public Liability and Property Damage Insurance: The Contractor shall take
out and ma. intain during the life of this Contract such Public Liability and Property
Damage Insurance as shall protect him and any subcontractor performing work
covered by this Contract from claims for damages for personal injury including
accidental death ~s well as from claims for property damage which may arise from
operations under this Contract, whether such operations be by himself or by any
subcontractor, or by.anyone directly or indirectly employed by either of them, and
the amounts of such insurance shall be as follows:
Public Uability Insurance in an amount of not less than One Million Dollars
($1,000,000.00) for bodily injuries, including wrongful death to any one person and
subject to the same limit for each person in an amount not less than One Million
Dollars ($1,000,000.00) qn account of one accident.
'Property Damage Insurance in an amount not less than One Million Dollars
($1,000,000.00.) for damages on account of any one accident and in an amount of not
less than One Million Dollars(SI,000,000.00) for damages on account of ail accidents.
(c) Liability and Property Damage Insurance: The above policies for Public
Liability and Property Damage insurance must be so written to include Contractor's
Protective Liability and Property Damage Insurance to protect the Contractor against
claims arising from the operations of a subcontractor. The policies shall also name
the Town of Southold as an additional insured.

(d) Owner's Protective Public Uability and Property Damage Insurance: The
Contractor shall furnish to the Owner, with respect to the operations he or any of
his subcontractors perform a regular Protective Public Liability Insurance policy for,
and in behalf of the Owner, providing for a limit of not less than One Million Dollars
($1,000,000.00} for all. damages arising out of bodily injuries to, or death of, 'one
person and subject to that limit for each person, a total limit of One Million Dollars
($1,000,000.00) for all damages arising out of bodily injuries to, or death of, two
or more persons in any one accident; and regular Protective Property Damage
Insurance providing for a limit of not less than One Million Dollars ($1,000,000.00)
for damages, arising out of injury to, or destruction of, property in any one accident
and subject to that limit per accident, a total (or aggregate limit of Two Million
Dollars ($2,000,000.00) for all damages arising out of.injury to, or destruction of,
property during the policy period. This insurance must fully cover the legal
liability of the Owner. The coverage provided under his policy must not be affected
if the Owner performs work in connection with the project either for or in
cooperation with the Contractor or as an aid thereto whether the same be a part of
the Contract or separate therefrom, by means of its own employees or agents or if
the Owner directs or'supervises the work to be performed by the Contractor.
12. Proof of Carriage of Insurance
The Contractor shall furnish the Owner with certificates of each insurer insuring
the Contractor or .any subcontractor under this Contract except with respect to
subdivision "d" of Paragraph 11. In respect to this paragraph, the Contractor shall
furnish the Owner with the original insurance policy.
~oth certificates, as furnished, and the insurance policy, as required, shall bear
the policy numbers, the expiration date of the policy and the limit of liability
thereunder. Both the certificates and the policy shall be endorsed to provide th&
Owner with any notice of cancellation at least fifteen (15) days prior to the actual
date of such cancellation o'r non-renewal.

SPECIFICATIONS
ASPHALT CONCRETE TYPE IA (Mixing Method - Hot Mix
All the requirements of Item 51F in the Suffolk County Public Works
specifications shall apply except:
DESCRIPTION: Bituminous Concrete either binder or surface course as
ordered shall be delivered and machine spread upon the surface of the
roads, driveways, parking fields and intersection streets with the town
right-of-way and other areas requiring pavement under the jurisdiction of
the Commission of Public Works where and as required.
MEASUREMENT AND PAVEMENT: The unit measurement for Asphalt
Concrete shall be the ton in the Contract Proposal. The price bid shall
be full compensation for furnishing, hauling, applying, compacting, and
rolling and shall include all materials, labor, equipment and incidentals
necessary to complete the work satisfactorily.

NOTICE TO BIDDERS
NOTICE IS HEREBY GIVEN that sealed bids are sought and requested from
qualified asphalt contractors to furnish and place Asphalt Concrete within the Town
of Southold as may be required for a period of one (1) year.
The sealed bids will be received by the Town Clerk of the own of Southold,
at the Southold Town Clerk's Office, Town Hall, Main Road, Southold, New York,
until 11:00 A.M., on the 20th day of July,

of five hundred dollars (SS00.00), made payable to the order of the Town of
Southold, conditioned that. if the bid is accepted, the successful bidder will enter
into a contract for the work within ten (10) days from the date of the acceptance
of the bid. All deposits except that of the successful bidder will be returned.
Upon the acceptance of his bid, if the successful bidder fails to enter into a
contract pursuant to the requirements of the Town, then the check deposited with
the bid and the moneys standing to the credit of same, shall be forfeited to the
Town of Southold as liquidated damages. If the successful bidder enters into a
contract pursuant to the requirements of the Town, then the check shah be returned
to said bidder.

Pursuant to Town Board Resolution, the Town of Southold invites bids from
qualified asphalt contractors to furnish and place asphalt concrete within the
Town of Southotd as may be required for a period of one (I) year.
In submitting this bid, the bid sheets (Proposal Form) are to be filled in but
not detached from this package. The complete bid package shall be enclosed
in a sealed envelope properly endorsed. All blank spaces for bid prices must
be filled in, in ink, as required. Bids that contain any omission, erasure,
alteration or items not called for in the itemized bid form or that containing
irregularities of any kid may be rejected by the Town.
Qualification of Bidders
a. Bids received later than the date and time specified will not be considered.
b. Specification of materials used must meet or exceed New York State
Department of Transportation specifications. Plant must have adequate
capacity and sufficient storage for the items to be furnished.
c. The successful bidder is required to comply in all respects to the Labor
Law in accordance with Section 220, Subdivision 3 and Section 220-D. A
list of minimum Labor Rates is attached and made a part of this Proposal.
d. The items specified shall be delivered in amounts, and at a time and place
as directed by the Superintendent of Highways of the Town of Southold.
No materials shall be delivered on Saturdays, Sundays or Holidays except
in an emergency.
e. The bidder will be required to show, to the satisfaction of the
Superintendent of Highways, that he is a responsible contractor
experienced in the kind of work to be performed; that he is financially
contract; that he has adequate equipment and fixed
satisfactorily and efficiently perform the work as
specified time limits. The bidder must state exact
able to execute the

Rejection of Bids
a. The Town Board reserves the right to reject any bid if the evidence
submitted in the, qualification statement or an investigation of such bidder
fails to satisfy the Town Board that such bidder is properly qualified to
carry out the obligations of the contract and to complete the work
contemplated therein. Conditional bids will not be accepted.
b. The Town Board reserves the reject any and all bids, in whole or in part,
to waive any informality in any or all bids, and to accept the bid or part
thereof which it deems most favorable to the Town after all bids have been
examined and/or checked. No bid shall be withdrawn for a period of
forty-five (45) days after being publicly opened and read.
Bid Analysis - Bidders may bid on any or all items. The Superintendent of
Highways reserves the right to make awards by items, or as a whole, or not
at all, whichever the Superintendent deems to be in the best interest of the
Town.

6. Measurement and Payment - Payment shall be made to the contractor at the unit
pPice(s) submitted in the Proposal. The asphalt concrete will be measured by
the number of tons of compacted material in 'place. The unit price per ton shall
include the cost of furnishing all materials, equipment, labor and incidentals
necessary to complete the work.
7. Commencement of Work - Shall be within five (5) days after receipt of written
order. Any reason for delay in work shall be submitted to the Town in writing
explaining the delay. If the reason is not acceptable, then work must continue
without any further delay.
8. Testincj - The Town shall have the absolute right to make tests before and
after delivery and installation to determine conformity to Specifications, quality
and standard of excellence. The Contractor agrees to bear the cost and pay
for all tests which are deemed to be necessary in the opinion of the T. own: The
Contractor shall .repair or replace at no additional cost to the Town, any
materials found to not meet the Specifications and quality intended. The work
shall be executed in the best and most workmanlike manner.
9. The prices quoted in this bid, and subsequently awarded, are to be used in
establishing prices for actual materials furnished and placed to the Town of
Southold from the date of award up to and including one (1) year thereafter.
The Contract period may be extended for up to one (1) additional year upon
mutual written agreement of the Town and the Contractor.
10.
Bid Bond
The. bid must be accompanied by ~ certified check or'~ an acceptable bid bond
in the amount of five hundred dollars ($500.00}, made payable to the Town of
Southold as assurance that the bid ~ade~n gO6d faith. The certified check
or bid bond will be returned after the &X~cution of the Contract between the
Owner and the successful bidder; the certified check or bid bond of the
successful bidder will be retained until the filing and approval of the
Performance Bond. The successful bidder, upon his failure or refusal to
execute and deliver the Contract and bonds required within ten (10) days after
the date of notice of acceptance of his bids, shall forfeit to the Town of
Southold as liquidated damages for such failure or refusal, the security he
deposited with his bid.
Performance Bond
Each successful low bidder shall be required to execute a Performance Bond
of ten thousand dollars (10,000.00) to be executed by a surety company
acceptable to the Owner; or a certified check. The Performance Bond shall
be written as to remain in full force for the extent of the Contract.

1 2. Contractor's Insurance
The Contractor shall not commence any work until he has obtained, and had
approved by the Owner, all of the insurance required under this contract as
enumerated herein:
Compensation Insurance
Public Liability and Property Damage Insurance
Contractor's Protective Liability and Property Damage Insurance
Owner's Protective Public Liability and Property Damage Insurance
The Contractor shall not permit any subcontractor to commence any operation ~n the
site until satisfactory proof of carriage of the above required insurance has been
posted with and approved by the Owner.
(a) Compensation Insurance: The Contractor shall take out and maintain during the
life of this Contract,~ Workmen's Compensation Insurance for ail his employees
employed at the site of the project, and in case of any of the work being sublet,
the contractor shall require all subcontractors similarly to provide Workmen's
Compensation Insurance for all of the latter's employees unless such employees are
covered by the protection afforded by the Contractor.
(b) Public Liability and Property Damage Insurance: The Contractor shall take
out and maintain during the life of this Contract such Public Liability and Property
Damage Insurance as shall protect him and any subcontractor performing work
covered by this Contract from claims for damages for personal injury including
accidental death ~s well as from claims for property damage which may arise from
operations under this Contract, whether such operations be by himself or by any
subcontractor, or by.anyone directly or indirectly employed by either of them, and
the amounts of such insurance shall be as follows:
Public Liability Insurance in an amount of not less than One Million Dollars
($1,000,000.00) for bodily injuries, including wrongful death to any one person and
subject to the same limit for each person in an amount not less than One Million
Dollars ($1,000,000.00) o.n account of one accident.
'Property Damage Insurance in an amount not less than One Million Dollars
($1,000,000.00.} for damages on account of any one accident and in an amount of not
less than One Million Dollars ($~1,000,000.00) for damages on account of all accidents.
(c) Liability and Property Damage Insurance: The above policies for Public
Liability and Property Damage Insurance must be so written to include Contractor's
Protective Liability and Property Damage Insurance to protect the Contractor against
claims arising from the operations of a subcontractor. The policies shall also name
the Town of Southold as an additional insured.

(d) Owner's Protective Public Liability and Property Damage Insurance: The
Contractor shall furnish to the Owner, with respect to the operations he or any of
his subcontractors perform a regular Protective Public Liability Insurance policy for,
and in behalf of the Owner, providing for a limit of not less than One Million Dollars
($1,000,000.00) for all damages arising out of bodily injuries to, or death of, one
person and subject to 'that limit for each person, a total limit of One Million Dollars
($1,000,000.00) for all damages arising out of bodily injuries to, or death of, two
or more persons in any one accident; and regular Protective Property Damage
Insurance providing for a limit of not less than One Million Dollars ($1,000,000.00)
for damages, arising out of injury to, or destruction of, property in any one accident
and subject to that limit per accident, a total (or aggregate limit of Two Million
Dollars ($2,000,000.00) for all damages arising out of'injury to, or destruction of,
property during the policy period. This insurance must fully cover, the legal
liability of the Owner. The coverage provided under his policy must not be affected
if the Owner performs work in connection with the project either for or in
cooperation with the Contractor or as an aid thereto whether the same be a part of
the Contract or separate therefrom, by means of its own employees or agents or if
the Owner ,directs or'supervises the work to be performed by the Contractor.
12. Proof of Carriage of Insurance
The Contractor shall furnish the Owner with certificates of each insurer insuring
the Contractor or .any subcontractor under this Contract except with respect to
subdivision "d" of Paragraph 11. In respect to this paragraph, the Contractor shall
furnish the Owner with the original insurance policy.

the policy numbers, the expiration date of the policy and the limit of liabilit.y
thereunder. Both the certificates and the policy shall be endorsed to provide the

All the requirements of Item 51F in the Suffolk County Public Works
specifications shall apply except:
DESCRIPTION: Bituminous Concrete either binder or surface course as
ordered shall be delivered and machine spread upon the surface of the
roads, driveways, parking fields and intersection streets with the town
right-of-way and other areas requiring pavement under the jurisdiction of
the Commission of Public Works where and as required.
MEASUREMENT AND PAVEMENT: The unit measurement for Asphalt
Concrete shall be the ton in the Contract Proposal. The price bid shall
be full compensation for furnishing, hauling, applying, compacting, and
rolling and shall include all materials, labor, equipment and incidentals

LEGAL NOTICE
NOTICE TO BIDDERS
NOTICE IS HEREBY GIVEN that sealed bids are sought and requested from
qualified asphalt contractors to furnish and place Asphalt Concrete within the Town
of Southold as may be required for a period of one (1) year.
The sealed bids will be received by the Town Clerk of the own of Southold,
at the $outhold Town Clerk's Office, Town Hall,
until 11:00 A.M., on the 20th day of July, 1995,
be publicly opened and read aloud.

Town of Southold as liquidated damages. If the successful bidder enters into a
contract pursuant to the requirements of the Town, then the check shall be returned
to said bidder.

INFORMATION AND INSTRUCTIONS TO BIDDERS
Pursuant to Town Board Resolution, the Town of Southold invites bids from
qualified asphalt contractors to furnish and place asphalt concrete within the
Town of Southold as may be required for a period of one (I) year.
In submitting this bid, the bid sheets (Proposal Form) are to be filled in but
not detached from this package. The complete bid package shall be enclosed
in a sealed envelope properly endorsed. All blank spaces for bid prices must
be filled in, in ink, as required. Bids that contain any omission, erasure,
alteration or items not called for in the itemized bid form or that containing
irregularities of any kid may be rejected by the Town.
Qualification of Bidders
a. Bids received later than the date and time specified will not be considered.
b. Specification of materials used must meet or exceed New York State
Department of Transportation specifications. Plant must have adequate
capacity and sufficient storage for the items to be furnished.
c. The successful bidder is required to comply in all respects to the Labor
Law in accordance with Section 220, Subdivision 3 and Section 220-D. A
list of minimum Labor Rates is attached and made a part of this Proposal.
d. The items specified shall be delivered in amounts, and at a time and place
as directed by the Superintendent of Highways of the Town of Southold.
No materials shall be delivered on Saturdays, Sundays or Holidays except
in an emergency.
e. The bidder will be required to show, to the satisfaction of the
Superintendent of Highways, that he is a responsible contractor
experienced in the kind of work to be performed; that he is financially
contract; that he has adequate equipment and fixed
satisfactorily and efficiently perform the work as
specified time limits. The bidder must state exact
able to execute the
storage facilities to

Rejection of Bids
a. The Town Board reserves the right to reject any bid if the evidence
submitted in the. qualification statement or an investigation of such bidder
fails to satisfy the Town Board that such bidder is properly qualified to
carry out the obligations of the contract and to complete the work
contemplated therein. Conditional bids will not be accepted.
b. The Town Board reserves the reject any and all bids, in whole or in part,
to waive any informality in any or all bids, and to accept the bid or part
thereof which it deems most favorable to the Town after all bids have been
examined and/or checked. No bid shall be withdrawn for a period of
forty-five (45) days after being publicly opened and read.
Bid Analysis Bidders may bid on any or all items. The Superintendent of
Highways reserves the right to make awards by items, or as a whole, or not
at all, whichever the Superintendent deems to be in the best interest of the
Town.

Measurement and Payment - Payment shall be made to the contractor at the unit
p~'ice(s) submitted in the Proposal. The asphalt concrete will be measured by
the number of tons of compacted material in 'place. The unit price per ton shall
include the cost of furnishing all materials, equipment, labor and incidentals
necessary to complete the work.
Commencement of Work - Shall be within five (5) days after receipt of written
order. Any reason for delay in work shall be submitted to the Town in writing
explaining the delay. If the reason is not acceptable, then work must continue
without any further delay.
Testincj - The Town shall have the absolute right to make tests before and
after delivery and installation to determine conformity to Specifications, quality
and standard of excellence. The Contractor agrees to bear the cost and pay
for all tests which are deemed to be necessary in the opinion of the Town: The
Contractor shall .repair or replace at no additional cost to the Town, any
materials found to not meet the Specifications and quality intended. The work
shall be executed in the best and most workmanlike manner.
The prices quoted in this bid, and subsequently awarded, are to be used in
establishing prices for actual materials furnished and placed to the Town of
Southold from the date of award up to and including one (1) year thereafter.
The Contract period may be extended for up to one (1) additional year upon
mutual written agreement of the Town and the Contractor.
Bid Bond
The, bid must be accompanied by a certified check or an acceptable bid bond
in the amount of five hundred dollars ($500.00), made payable to the Town of
Southold as assurance that the bid is made in good faith. The certified check
or bid bond will be returned after the execution of the Contract between the
Owner and the successful bidder; the certified check or bid bond of the
successful bidder will be retained until the filing and approval of the
Performance Bond. The successful bidder, upon his failure or refusal to
execute and deliver the Contract and bonds required within ten (10) days after
the date of notice of acceptance of his bids, shall forfeit to the Town of
Southold as liquidated damages for such failure or refusal, the security he
deposited with his bid.
1 1. Performance Bond
Each successful low bidder shall be required to execute a Performance Bond
of ten thousand dollars (10,000.00) to be executed by a surety company
acceptable to the Owner; or a certified check. The Performance Bond shall
be written as to remain in full force for the extent of the Contract.

12. Contractor's Insurance
The Contractor shall not commence any work until he has obtained, and had
approved by the Owner, all of the insurance required under this contract as
enumerated herein:
Compensation Insurance
Public Liability and Property Damage Insurance
Contractor's Protective Liability and Property Damage Insurance
Owner's Protective Public Liability and Property Damage Insurance
The Contractor shall not permit any subcontractor to commence any operation-on the
site until satisfactory proof of carriage of the above required insurance has been
posted with and approved by the Owner.
'(a) Compensation Insurance: The Contractor shall take out and maintain during the
life of this Contract, Workmen's Compensation Insurance for all his employees
employed at the site of the project, and in case of any of the work being sublet,
the contractor shall require all subcontractors similarly to provide Workmen's
Compensation Insurance for all of the latter's employees unless such employees are
covered by the protection afforded by the Contractor.
(b) Public Uability and Property Damage Insurance: The Contractor shall take
out and ma. intain during the life of this Contract such Public Liability and Property
Damage Insurance as shall protect him and any subcontractor performing work
covered by this Contract from claims for damages for personal injury including
accidental death ~s well as from claims for property damage which may arise from
operations under this Contract, whether such operations be by himself or by any
subcontractor, or by.anyone directly or indirectly employed by either of them, and
the amounts of such insurance shall be as follows:
Public Uability Insurance in an amount of not less than One Million Dollars
($1,000,000.00) for bodily injuries, including wrongful death to any one person and
subject to the same limit for each person in an amount not less than One Million
Dollars ($1,000,000.00) o.n account of one accident.
'Property Damage Insurance in an amount not less than One Million Dollars
($1,000,000.00.} for damages on account of any one accident and in an amount of not
less than One Million Dollars(SI,000,000.00) for damages on account of all accidents.
(c) Liability and Property Damage Insurance: The above policies for Public
Liability and Property Damage insurance must be so written to include Contractor's
Protective Liability and Property Damage Insurance to protect the Contractor against
claims arising from the operations of a subcontractor. The policies shall also name
the Town of Southold as an additional insured.

(d) Owner's Protective Public Liability and Property Damage Insurance: The
Contractor shall furnish to the Owner, with respect to the operations he or any of
his subcontractors perform a regular Protective Public Liability Insurance policy for,
and in behalf of the Owner, providing for a limit of not less than One Million Dollars
($1,000,000.00} for all damages arising out of bodily injuries to, or death of, one
person and subject to 'that limit for each person, a total limit of One Million Dollars
($1,000,000.00) for all damages arising out of bodily injuries to, or death of, two
or more persons in any one accident; and regular Protective Property Damage
Insurance providing for a limit of nOt less than One Million Dollars ($1,000,000.00)
for damages, arising out of injury to, or destruction of, property in any one accident
and subject to that limit per accident, a total (or aggregate limit of Two Million
Dollars ($2,000,000.00) for all damages arising out of.injury to, or destruction of,
property during the policy period. This insurance must fully cover the legal
liability of the Owner. The coverage provided under his policy must not be affected
if the Owner performs work in connection with the project either for or in
cooperation with the Contractor or as an aid thereto whether the same be a part of
the Contract or sepa?ate therefrom, by means of its own employees or agents or if
the Owner directs or supervises the work to be performed by the Contractor.
12. Proof of Carriage of Insurance
The Contractor shall furnish the Owner with certificates of each insurer insuring
the Contractor or .any subcontractor under this Contract except, with respect to
subdivision "d" of Paragraph 11. In respect to this paragraph, the Contractor shall
furnish the Owner with the original insurance policy.
~oth certificates, as furnished, and the insurance policy, as required, shall bear
the policy numbers, the expiration date of the policy and the limit of liability
thereunder. Both the certificates and the policy shall be endorsed to provide th&
Owner with any notice of cancellation at least fifteen (15) days prior to the actual
date of such cancellation o~' non-renewal.

SPECIFICATIONS
ASPHALT CONCRETE TYPE IA (Mixing Method - Hot Mix
All the requirements of Item 51F in the Suffolk County Public Works
specifications shall apply except:
DESCRIPTION: Bituminous Concrete either binder or surface course as
ordered shall be delivered and machine spread upon the surface of the
roads, driveways, parking fields and intersection streets with the town
right-of-way and other areas requiring pavement under the jurisdiction of
the Commission of Public Works where and as required.
MEASUREMENT AND PAVEMENT: The unit measurement for Asphalt
Concrete shall be the ton in the Contract Proposal. The price bid shall
be full compensation for furnishing, hauling, applying, compacting, and
rolling and shall include all materials, labor, equipment and incidentals
necessary to complete the work satisfactorily.

LEGAL NOTICE
NOTICE TO BIDDERS
NOTICE IS 'HEREBY GIVEN that sealed bids are sought and requested from
qualified asphalt contractors to furnish and place Asphalt Concrete within the Town
of Southold as may be required for a period of one (1) year.
The sealed bids will be received by the Town Clerk of the own of Southold,
at the Southold Town Clerk's Office, Town Hall, Main Road, Southold, New York,
until 11:00 A.M., on the 20th day of July, 1995, at which time and place they will
be publicly opened and read aloud.
Instructors for Bidders, specifications, and Bid Forms may be obtained at the
Office of the Town Clerk between the hours of 8:00 A.M. and 4:00 P.M., Monday
through Friday, upon payment of a $25.00 non-refundable fee,
All bids must be submitted on the Bid Form provided. Any and all exceptions
to the specifications shall be listed on a separate sheet bearing the designation:
"Exceptions to the Specifications", and attached to the Bid Form.
Each bid must be accompanied by the deposit of a certified check in the amount
of five hundred dollars ($500.00), made payable to the order of the Town of
Southold, conditioned that. if the bid is accepted, the successful bidder will enter
into a contract for the work within ten (10) days from the date of the acceptance
of the bid. All deposits except that of the successful bidder will be returned.
Upon the acceptance of his bid, if the successful bidder fails to enter into a
contract pursuant to the requirements of the Town, then the check deposited with
the bid and the moneys standing to the credit of same, shall be forfeited to the
Town of Southold as liquidated damages. If the successful bidder enters into a
contract pursuant to the requirements of the Town, then the check shall be returned
to said bidder.

INFORMATION AND INSTRUCTIONS TO BIDDERS
1. Pursuant to Town Board Resolution, the Town of Southold invites bids from
qualified asphalt, contractors to furnish and place asphalt concrete within the
Town of Southold as may be required for a period of one (1) year.
2. In submitting this bid, the bid sheets (Proposal Form) are to be filled in but
not detached from this package. The complete bid package shall be enclosed
in a sealed envelope properly endorsed. All blank spaces for bid prices must
be filled in, in' irik, as required. Bids that contain any omission, erasure,
alteration or items not called for in the itemized bid form or that containing
irregularities of any kid may be rejected by the Town.
3. Qualification of Bidders
a. Bids received later than the date and time specified will not be considered.
b. Specification of materials used must meet or exceed New York State
Department of Transportation specifications. Plant must have adequate
capacity and sufficient storage for the items to be furnished.
c. The successful bidder is required to comply in all respects to the Labor
Law in accordance with. Section 220, Subdivision 3 and Section 220-D. A
list of minimum Labor Rates is attached and made a part of this Proposal.
d. 'The items specified shall be delivered in amounts, and at a time and place
as directed by the Superintendent of Highways of the Town of Southold.
No materials shall be delivered on Saturdays, Sundays or Holida~/s except
in an emergency.
e. The bidder will be required to show, to the satisfaction of the
Superintendent of Highways, that he is a responsible contractor
experienced in the kind of work to be performed; that he is financially
able to execute the contract; that he has adequate equipment and fixed
storage facilities to satisfactorily and efficiently perform the work as
directed within the specified time limits. The bidder must state exact
location of plant.
4. Rejection of Bids
a. The"'Town Board reserves the right to reject any bid if the evidence
submitted in the. qualification statement or an investigation of such bidder
fails to satisfy the Town Board that such bidder is properly qualified to
carry out the obligations of the contract and to complete the work
contemplated therein. Conditional bids will not be accepted.
b. The Town Board reserves the reject any and all bids, in whole or in part,
to waive any informality in any or all bids, and to accept the bid or part
thereof which it deems most favorable to the Town after all bids have been
examined and/or checked, No bid shall be withdrawn for a period of
forty-five (45) days after being publicly opened and read.
5. Bid Analysis Bidders may bid on any or all items. The Superintendent of
Highways reserves the right to make a.wards by items, or as a whole, or not
at all, whichever the Superintendent deems to be in the best interest of the
Town.

Measurement and Payment - Payment shall be made to the contractor at the unit
price(s) submitted in the Proposal. The asphalt concrete will be measured by
the number of tons of compacted material in place. The unit price per ton shall
include the cost of furnishing all materials, equipment, labor and incidentals
necessary to complete the work.
Commencement of Work -' Shall be within five (5) days after receipt of written
order. Any reason for delay in work shall be submitted to the Town in writing
explaining the delay. If the reason is not acceptable, then work must continue
without any further delay. . ,
Testing - The Town shall have the absolute right to make tests before and
after delivery and installation to determine conformity to Specifications, quality
and standard of excellence. The Contractor agrees to bear the cost and pay
for all tests which are deemed to be necessary in the opinion of .the T:QwnL The
Contractor shall .repair or replace at no additional cost to the Town, any
materials found to not meet the Specifications and quality intended. The work
shall be executed in the best and. most workmanlike manner.
The prices quoted in t~is bid, and subsequently awarded, are to be used in
establishing prices for actual materials furnished and placed to the Town of
Southold from the date of award up to and including one (1) year thereafter.
The Contract period may be extended for up to one (1) additional year upon
mutual written agreement of the Town and the Contractor.
Bid Bond
T~e. bid' must be accompanied by a certified check or an acceptable bid bond
in the amount of five hundred dollars ($500.00), made payable to the Town of
Southold as assurance that the bid is made in good faith. The certified check
or bid bond will be returned after the execution of the Contract between the
Owner and the successful bidder; the certified check or bid bond of the
successful bidder will be retained until the filing and approval of the
Performance Bond. The successful bidder, upon his failure or refusal to
execute and deliver the Contract and bonds required within ten (10) days after
the date of notice of acceptance of his bids, shall forfeit to the Town of
Southold as liquidated damages for such failure or refusal, the security he
deposited with his bid.
11. Performance Bond
Each successful Iow bidder shall be required to execute a Performance Bond
of ten thousand dollars' (10,000.00) to be executed by a surety company
acceptable to the Owner; or a certified check. The Performance Bond shall
be written as to remain in full force for the extent of the Contract.

12. Contractor's Insurance
The Contractor shall not commence any work until he has obtained, and had
approved by the Owner, all of the insurance required under' this contract as
enumerated herein:
Compensation Insurance
Public Liability and Property Damage Insurance
Contractor's Protective Liability and Property Damage Insurance
Owner's Protective Public Liability and Property Damage Insurance
The Contractor shall not permit any subcontractor to commence any operation ~on the
site until satisfactory proof of carriage of the above required insurance has been
POSted with and. approved by the Owner.
'(a) Compensation Insurance: The Contractor shall take out and maintain during the
life of this Contract,' Workmen's Compensation Insurance for all his employees
employed at the site of the project, and in case of any of the work being sublet,
the contractor shall require all subcontractors similarly to provide Workmen's
Compensation Insurance for all of the latter's employees unless such emplOyees are
covered by 'the protection afforded by the Contractor.
(b) Public Liability and Property Damage Insurance: The Contractor shall take
out and 'ma. intain during the life of this Contract such Public Liability and Property
Damage Insurance as shall protect him and any subcontractor performing work
covered by this Contract from claims for damages for personal injury including
accidehtal death ~s well as from 'claims for property damage which may arise from
operations under this Contract, whether such operations be by himself or by any
subcontractor, or by.anyone directly or indirectly employed by either of them, and
the amounts of such insurance shall be as follows:
Public Liability Insurance in an amount of not less than One Million Dollars
($1,000,000.00) for bodily injuries, including wrongful death to any one person and
subject to the same limit for each person in an amount not less than One Million
Dollars ($1,000,000.00) o.n account of one accident.
'Property Damage Insurance in an amount no~ less than One Million Ddllars
($1,000,000.00.) for damages on account of any one accident and in an amount of not
less than One Million Dollars ($~1,000,000.00) for damages on account of all accidents.
(c) Liability and Property Damage Insurance: The above policies for Public
Liability and Property Damage Insurance must be so written to include Contractor's
Protective Liability and Property Damage Insurance to protect the Contractor against
claims arising from the operations of a subcontractor. The policies shall also name
the Town of $outhold as an additional insured.

(d) Owner's Protective Public Uability and Property Damage Insurance: 'The
Contractor shall furnish to the Owner, with respect to the operations he or any of
his subcontractors perform a regular Protective Public Liability InsUrance policy for,
and in behalf of the Owner, providing for a limit of not. less than One Million Dollars
($1,000,000.00) for all. damages arising out of bodily injuries to, or death of, 'one
person and subject to that limit for each person, a total limit of One Million Dollars
($1,000,000.00) for all damages arising out of bodily injuries to, or death of, two
or more persons in any one accident; and regular Protective Property Damage
Insurance providing for a limit of not less than One .Million Dollars ($1,000,p00.00)
for damages, arising out of injury to, or destruction of, property in any one accident
and subject to that limit per accident, a total (or aggregate limit of Two Million
Dollars ($2,000,000.00) for all damages arising out of'injury to, or destruction of,
property during the policy period. This insurance must fully' cover the legal
liability of the Owner. The coverage provided under his policy must not be affected
if the Owner performs work in connection with the project either for or in
cooperation with the Contractor or as an aid thereto whether the same be a part of
the Contract or separate therefrom, by means of its own employees or agents or if
the Owner directs or'supervi'ses the work to be performed by the Contractor.
12. Proof of Carriage of Insurance
The Contractor shall furnish the Owner with certificates of each insurer insuring
the Contractor or .any subcontractor under this Contract except, with respect to
subdivision "d" of Paragraph 11. In respect to this paragraph, the Contractor shall
furnish the Owner with the original insurance policy.
~oth certificates, as furnished, and the insurance policy, as required, shall bear
the policy numbers, the expiration date of the policy and the limit of liability
thereunder. Both the certificates and the policy shall be endorsed to provide th&
Owner with any notice of ~:ancellation at least fifteen (15) days prior to the actual
date of such cancellation o~' non-renewal.

SPECIFICATIONS
ASPHALT CONCRETE TYPE IA (Mixing Method - Hot Mix
All the requirements of Item 51F in the Suffolk County Public Works
specifications shall apply except:
DESCRIPTION: Bituminous Concrete either binder or surface course as
ordered shall be delivered and machine spread upon the surface of the
roads, driveways, parking fields and intersection streets with the town
right-of-way and other areas requiring pavement under the jurisdiction of
the Commission of Public Works where and as required.
MEASUREMENT AND PAVEMENT: The unit measurement for Asphalt
Concrete shall be the ton in the Contract Proposal. The price bid shall
be full compensation for furnishing, hauling, applying, compacting, and
rolling and shall include all materials, labor, equipment and incidentals
necessary to complete the work satisfactorily.

INFORMATION AND INSTRUCTIONS TO BIDDERS
Pursuant to Town Board Resolution, the Town of Southold invites bids from
qualified asphalt contractors to furnish and place asphalt concrete within the
Town of Southold as may be required for a period of one (1) year.
In submitting this bid, the bid sheets (Proposal Form) are to be filled in but
not detached from this package. The complete bid package shall be enclosed
in a sealed envelope properly endorsed. All blank spaces for bid prices must
be filled in, in ink, as required. Bids that contain any omission, erasure,
alteration or items not called for in the itemized bid form or that containing
irregularities of any kid may be rejected by the Town,
Qualification of Bidders
a. Bids received later than the date and time specified will not be considered.
b. Specification of materials used must meet or exceed New York State
Department of Transportation specifications. Plant must have adequate
capacity and sufficient storage for the items to be furnished,
c. The successful bidder is required to comply in ail respects to the Labor
Law in accordance with Section 220, Subdivision 3 and Section 220-D. A
list of minimum Labor Rates is attached and made a part of this Proposal.
d. The items specified shall be delivered in amounts, and at a time and place
as directed by the Superintendent of Highways of the Town of Southold.
No materials shall be delivered on Saturdays, Sundays or Holidays except
in an emergency.
e. The bidder will be required to show, to the satisfaction of the
Superintendent of Highways, that he is a responsible contractor
experienced in the kind of work to be performed; that he is financially
contract; that he has adequate equipment and fixed
satisfactorily and efficiently perform the work as
specified time limits. The bidder must state exact
able to execute the
storage facilities to

Rejection of Bids
a. The Town Board reserves the right to reject any bid if the evidence
submitted in the. qualification statement or an investigation of such bidder
fails to satisfy the Town Board that such bidder is properly qualified to
carry out the obligations of the contract and to complete the work
contemplated therein. Conditional bids will not be accepted.
b. The Town Board reserves the reject any and all bids, in whole or in part,
to waive any informality in any or all bids, and to accept the bid or part
thereof which it deems most favorable to the Town after all bids have been
examined and/or checked. No bid shall be withdrawn for a period of
forty-five (45) days after being publicly opened and read.
Bid Analysis - Bidders may bid on any or all items. The Superintendent of
Highways reserves the right to make awards by items, or as a whole, or not
at all, whichever the Superintendent deems to be in the best interest of the
Town.

6. Measurement and Payment - Payment shall be made to the contractor at the unit
pkice(s) submitted in the Proposal. The asphalt concrete will be measured by
the number of tons of compacted material in 'place. The unit price per ton shall
include the cost of furnishing all materials, equipment, labor and incidentals
necessary to complete the work.
7. Commencement of Work -' Shall be within five (5) days after receipt of written
order. Any reason for delay in work shall be submitted to the Town in writing
explaining the delay. If the reason is not acceptable, then work must continue
without any further delay.
8. Testing The Town shall have the absolute right to make tests before and
after delivery and installation to determine conformity to Specifications, quality
and standard of excellence. The Contractor agrees to bear the cost and pay
for all tests which are deemed to be necessary in the opinion of the T:own: The
Contractor shall .repair or replace at no additional cost to the Town, any
materials found to not meet the Specifications and quality intended. The work
shall be executed in the best and. most workmanlike manner.
9. The prices quoted in this bid, and subsequently awarded, are to be used in
establishing prices for actual materials furnished and placed to the Town of
Southold from the date of award up to and including one (1) year thereafter.
The Contract period may be extended for up to one (1) additional year upon
mutual written agreement of the Town and the Contractor.
10.
Bid Bond
The bid must be accompanied by a certified check or an acceptable bid bond
in l~he amount of five hundred dollars ($500.00), made payable to the Town of
Southold as assurance that the bid is made in good faith. The certified check
or bid bond will be returned after the execution of the Contract between the
Owner and the successful bidder; the certified check or bid bond of the
successful bidder w, ill be retained until the filing and approval of the
Performance Bond. The successful bidder, upon his failure or refusal to
execute and deliver the Contract and bonds required within ten (10) days after
the date of notice of acceptance of his bids, shall forfeit to the Town of
Southold as liquidated damages for such failure or refusal, the security he
deposited with his bid.
Performance Bond
Each successful Iow bidder shall be required to execute a Performance Bond
of ten thousand dollars (10,000.00) to be executed by a surety company
acceptable to the Owner; or a certified check. The Performance Bond shall
be written as to remain in full force for the extent of the Contract.

12. Contractor"s Insurance
The Contractor shall not commence any work until he has obtained, and had
approved by the Owner, all of the insurance required under this contract as
enumerated herein:
Compensation Insurance
Public Liability and Property Damage Insurance
Contractor's Protective Liability and Property Damage Insurance
Owner's Protective Public Liability and Property Damage Insurance
The Contractor shall not permit any subcontractor to commence any operation ~n the
site until satisfactory proof of carriage of the above required insurance has been
posted with and approved by the Owner.
'(a) Compensation Insurance: The Contractor shall take out and maintain during the
life of this Contract,' Workmen's Compensation Insurance for all his employees
employed at the site of the project, and in case of any of the work being sublet,
the contractor shall require all subcontractors similarly to provide Workmen's
Compensation Insurance for all of the latter's employees unless such employees are
covered by the protection afforded by the Contractor.
(b) Public Liability and Property Damage Insurance: The Contractor shall take
out and ma. intain during the life of this Contract such Public Liability and Property
Damage Insurance as shall protect him and any subcontractor performing work
covered by this Contract from cfaims for damages for personal injury including
accidental death ~s well as from claims for property damage which may arise from
operations under this Contract, whether such operations be by himself or by any
subcontractor, or by.anyone directly or indirectly employed by either of them, and
the amounts of such insurance shall be as follows:
Public Liability Insurance in an amount of not less than One Million Dollars
($1,000,000.00) for bodily injuries, including wrongful death to any one person and
subject to the same limit for each person in an amount not less than One Million
Dollars ($1,000,000.00) o.n account of one accident.
'Property Damage Insurance in an amount not less than One Million Dollars
($1,000,000.00.) for damages on account of any one accident and in an amount of not
less than One Million Dollars ($1,000,000.00) for damages on account of all accidents.
(c) Liability and Property Damage Insurance: The above policies for Public
Liability and Property Damage Insurance must be so written to include Contractor's
Protective Liability and Property Damage Insurance to protect the Contractor against
claims arising from the operations of a subcontractor. The policies shall also name
the Town of $outhold as an additional insured.

(d) Owner's Protective Public Liability and Property Damage Insurance: The
Contractor shall furnish to the Owner, with respect to the operations he or any of
his subcontractors perform a regular Protective Public Liability Insurance policy for,
and in behalf of the Owner, providing for a limit of not less than One Million Dollars
($1,000,000.00) for all damages arising out of bodily injuries to, or death of, one
person and subject to 'that limit for each person, a total limit of One Million Dollars
($1,000,000.00} for all damages arising out of bodily injuries to, or death of, two
or more persons in any one accident; and regular Protective Property Damage
Insurance providing for a limit of not less than One Million Dollars ($1,000,000.00)
for damages, arising out of injury to, or destruction of, property in any one accident
and subject to that limit per accident, a total (or aggregate limit of Two Million
Dollars ($2,000,000.00) for all damages arising out of'injury to, or destruction of,
property during the policy period. This insurance must fully cover the legal
liability of the Owner. The coverage provided under his policy must not be affected
if the Owner performs work in connection with the project either for or in
cooperation with the Contractor or as an aid thereto whether the same be a part of
the Contract or separate therefrom, by means of its own employees or agents or if
the Owner directs or'supervises the work to be performed by the Contractor.
12. Proof of Carriage of Insurance
The Contractor shall furnish the Owner with certificates of each insurer insuring
the Contractor or .any subcontractor under this Contract except, with respect to
subdivision "d" of Paragraph 11. In respect to this paragraph, the Contractor shall
furnish the Owner with the original insurance policy.
~oth certificates, as furnished, and the insurance policy, as required, shall bear
the policy numbers, the expiration date of the policy and the limit of liability
thereunder. Both the certificates and the policy shall be endorsed to provide th&
Owner with any notice of cancellation at least fifteen (15) days prior to the actual
date of such cancellation o'r non-renewal.

ASPHALT CONCRETE TYPE IA (Mixing Method - Hot Mix
All the requirements of Item 51F in the Suffolk County Public Works
specifications shall apply except:
DESCRIPTION: Bituminous Concrete either binder or surface course as
ordered shall be delivered and machine spread upon the surface of the
roads, driveways, parking fields and intersection streets with the town
right-of-way and other areas requiring pavement under the jurisdiction of
the Commission of Public Works where and as required.
MEASUREMENT AND PAVEMENT: The unit measurement for Asphalt
Concrete shall be the ton in the Contract Proposal. The price bid shall
be full compensation for furnishing, hauling, applying, compacting, and
rolling and shall include all materials, labor, equipment and incidentals
necessary to complete the work satisfactorily.

5. Bid Analysis - Bidders m~%y bid on any or all items. ~%e Superintendent of
Highways reserves the right to make awards by items, or as a whole, or not at all,
whichever the Superintendent deems to be in %he best interest of the Tc~a~.
6. ~asure_ment and pavment- Payment shall be made to the Contractor at the unit
price(s) sukmitted in the Proposal. The asphalt concrete will be measured by the
number of tons of ccmpacted m~terial in place. The unit price bid per ton shall
include the cost of furnishing all materials, e~aipment, labor and incidentals
necessary to ccmplete the work.
7. Cu~,~nc~n. ent of Work - shall be within five (5) days after receipt of written
order. Any reason for delay in work shall be sukmitted to the T~n in writing
explaining the delay. If the reason is not acceptable, then work must continue
without any further delay.
8. Testing - The Tc~n shall have the absolute right to. make tests before and
after delivery and installation to determine confo~aity to Specifications,cf~ality
and standard of excellence. The Contractor agrees to bear the cost and pay for

9. The prices quoted in this bid, and subsequently awarded, are to be used in
establishing prices for actual materials fun]ished and placed to the Town. of
Southold frcm the date of award up to and including one (1) year thereafter. The
Contract pericd may be extended for up to (1) additional year upon mutual written
agre~.ent of the Town and the Contractor.
10. Bid ~ond
The bid must be accompanied by a certified check or an acceptable bid bend in
the amount of five hundred dollars ($500.00), made payable to the T~ of Southold
as assurance that the bid is made in good faith. ~e certified check or bid bond

12, Contractor's Insurance
The Contractor shall not commence any work until he has obtained, and had
approved by the Owner, all of the insurance required under this contract as
enumerated herein:
Compensation Insurance
Public Liability and Property Damage Insurance
Contractor's Protective Liability and Property Damage Insurance
Owner's Protective Public Liability and Property Damage Insurance
The Contractor shall not permit any subcontractor to commence any operation ~on the
site until satisfactory proof of carriage of the above required insurance has been
posted with and approved by the Owner.
'(a) Compensation Insurance: The Contractor shall take out and maintain during the
life of this Contract, Workmen's Compensation Insurance for all his employees
employed at the site of the project, and in case of any of the work being sublet,
the contractor~ shall require all subcontractors similarly to provide Workmen's
Compensation Insurance for all of the latter~s employees unless such employees are
covered by the protection afforded by the Contractor.
(b) Public Liability and Property Damaqe Insurance: The Contractor shall take
out and maintain during the life of this Contract such Public Liability and Property
Damage Insurance as shall protect him and any subcontractor performing work
covered by this Contract from claims for damages for personal injury including
accidental death ~s well as from claims for property damage which may arise from
operations under this Contract, whether such operations be by himself or by any
subcontractor, or by .anyone directly or indirectly employed by either of them, and
the amounts of such insurance shall be as follows:
Public Liability Insurance in an amount of not less than One Million Dollars
($1,000,000.00) for bodily injuries, including wrongful death to any one person and
subject to the same limit for each person in an amount not less than One Million
Dollars ($1,000,000.00) o.n account of one accident.
'Property Damage Insurance in an amount no~ less than One Million Dollars
($1,000,000.00) for damages on account of any one accident and in an amount of .not
less than One Million Dollars(S1,000,000.00) for damages on account of all accidents.
(c) Liability and Property Damage Insurance: The above policies for Public
Liability and Property Damage Insurance must be so written to include Contractor's
Protective Liability and Property Damage Insurance to protect the Contractor against
claims arising from the operations of a subcontractor. The policies shall also name
the Town of $outhold as an additional insured.

(d) Owner's Protective Public Liability and Property Damage Insurance: The
Contractor shall furnish to the Owner, with respect to the operations he or any of
his subcontractors perform a regular Protective Public Liability Insurance policy for,
and in behalf of the Owner, providing for a limit of not less than One Million Dollars
($1,000,000.00} for all. damages arising out of bodily injuries to, or death of, one
person and subject to that limit for each person, a total limit of One Million Dollars
($1,000,000.00) for all damages arising out of bodily injuries to, or death of, two
or more persons in any one accident; and regular Protective Property Damage
Insurance providing for a limit of not less than One Million Dollars ($1,000,000.00)
for damages arising out of injury to, or destruction of, property in any one accident
and subject to that limit per accident, a total (or aggregate limit of Two Million
Dollars ($2,000,000.00) for all damages arising out of'injury to, or destruction of,
property during the policy period. This insurance must fully cover the legal
liability of the Owner. The coverage provided under his policy must not be affected
if the Owner performs work in connection with the project either for or in
cooperation with the Contractor or as an aid thereto whether the same be a part of
the Contract or sepa?ate therefrom, by means of its own employees or agents or if
the Owner directs or supervises the work to be performed by the Contractor.
12. Proof of Carriage of Insurance
The Contractor shall furnish the Owner with certificates of each insurer insuring
the Contractor or .any subcontractor under this Contract except with respect to
subdivision "d" of Paragraph 11. In respect to this paragraph, the Contractor shall
furnish the Owner with the original insurance policy.
Both certificates, as furnished, and the insurance policy, as required, shall bear
the policy .numbers, the expiration date of the policy and the limit of liability
thereunder. Both the certificates and the policy shall be endorsed tO provide th&
Owner with any notice of cancellation at least fifteen (15) days prior to the actual
date of such cancellation or non-renewal.

5. Bid Analysis - Bidders may bid on ~uny or all items. The Superintendent of
Highways reset;es the right to make awards by itecns, or as a whole, or not at all,

AGREEMENT made this 11th .day of August 1994, between
DELALIO COAL F, STONE, INC., d/b/a SOUTH FORKASPHALT CORP.
with its principal office and place of business at Springs Fireplace Road, East Hampton,
New York 11937 , hereinafter called the Contractor, and
the TOWN OF SOUTHOLD, a municipal corporation if the State of New York, with
offices at 53095 Main Road, Southold, Suffolk County, New York, hereinafter called
the Town.
WITNESSETH, that the Contractor has agreed to provide all necessary labor,
materials, equipment.and incidentals required to furnish and place asphalt concrete
for the Town of Southold in accordance with the requirements of the specifications
for bid, at the following unit prices:
0 - 350 tons - $46.75 per ton
The above specified contract shall be for a period of one (1) year from the
1st day of Auqust 1994, through the 1st day of August 1995.
