THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2005-622 OF 2005 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON OCTOBER 11,
2005:
RESOLVED that the Town Board of the Tovm of Southold hereby authorizes and directs Sul~ervisor Joshua
Y. Horton to enter into an Intermunicilml Cooveration A~reement with the Town of Shelter Island
providing for the limited shared use of Southold's wood grinder and Shelter Island's asphalt grinder, subject to
the approval of the Town Attorney.

INTERMUNICIPAL COOPERATION AGREEMENT
This Agreement is made by and between the Town of Shelter Island, hereinafter
called "Shelter Island", and the Town of Southold, hereinafter called "Southold", both
being municipal corporations in Suffolk County, New York.
The parties agree as follows:
1. This agreement is made pursuant to General Municipal Law, Article 5-G,
pursuant to resolutions adopted by each Town which is a party (South(~ld, Resolution #622
of 2005, adopted October 11, 2005; Shelter Island, Resolution # 5&~ ~ , adopted
~c~ '"l ,2005).
2. It is in the interest of the taxpayers of Shelter Island and Southold to share
resoumes in the undertaking of public works and other municipal improvement projects
and services. Therefore, Shelter Island and Southold believe it to be in the best interest of
the taxpayers of the respective municipalities to authorize intermunicipal cooperation and
assistance with and between each other for the conduct of public works and other
municipal improvement projects and services, when appropriate.
3. Each party hereto has certain specialty equipment and/or skilled personnel
(including equipment operators) which may be available from time-to-time and it is
possible to make such equipment available for use by the other party when it is in the
public interest, specifically:
That Shelter Island will use the Trommel Screening Plant and
Horizontal Wood Waste Grinder owned by Southold; and
That Southold will use the Norkott Maxi-Grind waste grinder owned by
Shelter Island (a/k/a "Asphalt and Glass Grinder").
4. The need to share this equipment is generally for a short duration and it is
expected that assistance, in whatever form, will be reciprocal and roughly equal over a
period of time, so that the exchange and sharing of equipment and personnel will result
in more cost effective work performance at no extra cost to either party. Each lending
Town will pay the salaries of any personnel who may be sent to the other Town to
operate the loaned equipment.
5. Each party has authorized their respective highway or public works
superintendents and/or other appropriate department heads to act using their discretion
pursuant to this Agreement and general oversight by appropriate municipal officials will
be accomplished through regular, periodic and annual reports by the appropriate
department heads to their Town Board.
6. It is determined that while liability risks are inherent when undertaking
public works and other construction or maintenance projects, no substantial additional
risk is occasioned by crossing a municipal boundary line when assisting other
municipalities pursuant to this agreement. However, Shelter Island and Southold agree
that (a) the equipment borrower will only use the equipment for the purpose for which it
is intended to be used; (b) that personnel familiar with the equipment being loaned will
be made available by the loaning Town to operate or assist with operating the loaned
equipment; (c) that whenever possible, the loaning Town will perform the actual transfer
of loaned equipment through the use of the loaning Town's transfer equipment (i.e.,
vehicles, trailers, dollies, etc.) as well as drivers and other personnel from the loaning
Town, as necessary; and (d) that any time loaned equipment is in the possession of the
borrowing Town, whether on public roadways or Town property, the borrowing Town
shall provide all necessary insurance coverages for damages and/or injuries resulting
from the borrowing Town's possession and/or use of such equipment. In the event that
the borrowed equipment is not used in the above specified manner, and/or in the event
the equipment is returned with damage beyond ordinary wear and tear of use, the
borrowing Town will be responsible for the costs of repair of such damage.
7. This Agreement shall be in force for the period commencing September
15, 2005 and ending September 14, 2005, and shall be renewable on an annual basis
upon duly adopted resolutions by each Town.
