there be a drywell installed in the rear of the shed to handle
the roof run-off.

RESOLUTIONS OF THE DIRECTORS OF THE COMPANY
AND THE APPOINTMENT OF EXECUTIVE OFFICERS~
WHEREAS, the Company, Bay Avenue Investors LLC (the "Company"), was duly
formed on or about January 19, 2011 under the laws of the State of Delaware; and,
WHEREAS, the Members of the Company duly held and conducted an Organizational
Meeting of the Company on the 19th day of January, 2011 (the "Initial Member Meeting"); and,
WHEREAS, the Members of the Company appointed Edward J. Viola, Anthony
Lomangino and Stanley Lomangino as the Directors of the Company pursuant to the Company's
Operating Agreement, and such appointment was consented and agreed to by Edward J. Viola,
Anthony Lomangino and Stanley Lomangino at the Initial Member Meeting; and,
WHEREAS, on the 19th day of January, 2011, the Directors duly called and held a
meeting of the Board of Directors (the "Initial Board Meeting") to consider, among other things,
the appointment of Executive Officers of the Company, the acquisition and ownership of wholly
owned subsidiary companies ("Subsidiaries"), the appointment of authorized persons of the
Subsidiaries, the Company's entering into loan agreements with certain Members of the
Company, and such other matters as the Directors deemed necessary and appropriate for the
operations and affairs of the Company; and,
WHEREAS, at the Initial Board Meeting, the Directors duly appointed Executive
Officers of the Company, approved and ratified the Company's ownership of the Subsidiaries,
duly appointed Managers of the Subsidiaries, approved and ratified the Company's capital
contributions to the Subsidiaries, authorized the Managers of the Subsidiaries to enter into such

agreements and instruments as may be necessary for the efficient operations and affairs of the
Subsidiaries, and approved and ratified a "Guaranteed Payment to Principal" with respect to
Edward J. Viola.
NOW, THEREFORE, IT IS HEREBY UNANIMOUSLY RESOLVED BY THE
DIRECTORS OF THE COMPANY AS FOLLLOWS:
1. The following persons shall be appointed Executive officers of the Company and shall
act in such capacity in accordance with the directives, and consent of the Directors:
Chairman: Charles Gusmano
President: Charles Lomangino
Treasurer: Stanley Lomangino
Secretary: Edward J. Viola.
2. The foregoing Executive Officers shall serve without compensation, but shall be entitled
to be reimbursed for reasonable costs and expenses incun'ed by them in the performance
of their duties as officers of the Company.
3. Only the Directors, the Chairman and the President shall be authorized to bind the
Company to contractual obligations, provided the stated term of such contractual
agreements and obligations does not exceed one calendar year, unless a longer term may
otherwise be resolved, agreed and consented to by the Directors of the Company.
4. No Executive Officer of the Company shall be anthorized to open or maintain anY
financial or banking accounts on behalf of the Company unless approved and consented
to in advance by the Board of Directors.
5. The Company shall be authorized to acquire and hold all issued and outstanding
Membership interests in the following Companies: BAY AVENUE HOLDINGS LLC, a
New York Limited Liability Company and BROADWATERS COVE MARINA LLC, a
New York Limited Liability Company (collectively and singularly, the "Subsidiaries"),
provided that the Company is the sole Member of each of the Subsidiaries.
6. Charles Gusmano shall be exclusively authorized and appointed to act and vote as and on
behalf of the Member of each of the Subsidiaries, and to execute, acknowledge, deliver
and file any and all instruments and documents related to the corporate existence of each
of the Subsidiaries.
7. Charles Gusmano is hereby authorized to appoint the following persons as respective
Managers of the Subsidiaries:
Bay Avenue Holdings LLC - Stanley Lomangino, Manager
Broadwaters Cove Marina LLC - Charles Lomangino, Manager
8. The Company is authorized to make Capital Contributions to each of the Subsidiaries in
the following amounts:
Bay Avenue Holdings LLC - $ .; and,
Broadwaters Cove Marina LLC - $
9. The Managers of the Subsidiaries are authorized and directed to enter into, on behalf of
the Subsidiaries, such mutual agreements and instruments as are reasonably required to
enable Broadwaters Cove Marina LLC to occupy and possess such portion or portions of
the real property and improvements owned by Bay Avenue Holdings LLC that are
reasonably required for Broadwaters Cove Marina LLC to operate a full-serviea marina
pursuant to license or use & occupancy agreements; and, further authorized to enter into
use & occupancy agreements with Edward J. Viola with respect to the residential
dwelling(s) owned by Bay Avenue Holdings LLC.
10. The Company is authorized to enter into those certain loan agreements with Members of
the Company dated January 19, 2011, and hereby ratifies its obligations under the
Member Notes in the aggregate principal amount of ONE MILLION THREE
HUNDRED FORTYFIVE THOUSAND DOLLARS ($1,345,000.00), as Borrower,
copies of which have been or are to be affixed to the Company's minute book (the
"Member Notes").
11. The Company shall only distribute profits to Members once annually, if authorized by the
Board of Directors in accordance with the Company's Operating Agreement, provided
however that no distributions shall be made until after each annual anniversary of the
Member Notes, and further provided that at such time or times, the Company is not in
default of any payment obligations under the Member Notes.
12. The Company hereby authorizes and agrees that a "Guaranteed Payment to Partner" shall
be made to Edward J. Viola upon the following terms:
The sum of $800.00 a week shall be a Guaranteed Payment to Partner
delivered and payable to Edward J. Viola commencing on ,
2011, and thereafter on each consecutive Friday until such time as may be
terminated or revoked by the Board of Directors (the "Viola Payment");
The Company's obligation to make the Viola Payment shall be at all times
subject to the discretion of the Board of Directors, which may be withdrawn in
the sole and exclusive discretion of the Board of Directors;
The Company's obligation to make the Viola Payment shall only be made
provided the Company has the funds available to make such payment, and the
Company shall not be authorized to declare, nor shall Edward J. Viola have
the right to demand, additional capital contributions from Members or
additional loans from third parties, in order to meet the Viola Payment; and,
Nothing shall prevent the Company from making the Viola Payments through
one or both of the Subsidiaries, in which event the Company shall be deemed
to have made any and all Viola Payments otherwise made by the Subsidiaries.
All of the foregoing constitutes the UNANIMOUS actions of the Board of Directors of
the Company at the Initial Board Meeting duly held and presided over by the Chairman of the
Company pursuant to the Operating Agreement. There having been no further business or
matters considered or acted upon at the Initial Board Meeting, said Meeting was concluded and
closed, and the Secretary is directed to affix this Resolution to the Corporate Minute Books of
the Company.

RESOLUTIONS OF THE MANAGER OF THE COMPANY
AND THE APPOINTMENT OF OFFICERS
WHEREAS, the Company, Broadwaters Cove Marina LLC (the "Company"), was duly
formed on or about November 16, 2010, under the laws of the State of New York; and,
WHEREAS, the sole Member of the Company, Bay Avenue Investors LLC, a Delaware
limited liability company, duly held and conducted an Organizational Meeting of the Company
on the 19th day of January, 2011 (the "Initial Member Meeting"); and,
WHEREAS, the Member of the Company appointed Stanley Lomangino as the
"Manager" of the Company pursuant to the Company's Operating Agreement, and such
appointment was consented and agreed to by Charles Lomangino at the Initial Member Meeting;
and,
WHEREAS, on the 19th day of January, 2011, the Manager duly called and held a
meeting of the Manager (the "Initial Manager Meeting") to consider, among other things, the
appointment of Officers of the Company and the delegation of the Manager's authority by,
through and nnder the Officers of thc Company, the authorization of banking and financial
matters on behalf of the Company, and such other matters as the Manager deemed necessary and
appropriate for the operations and affairs of the Company.
NOW, THEREFORE, IT IS HEREBY RESOLVED BY THE MANAGER OF THE
COMPANY AS FOLLLOWS:
1. The following persons shall be appointed Officers of the Company, and shall act in such
capacity in accordance with the directives, and consent of the Manager:
President/Chief Operating Officer: Edward J. Viola
Vice President: Anthony Lomangino
Treasurer: Stanley Lomangino
Secretary: Edward J. Viola.
2. The foregoing Officers shall serve: (i) at the sole and exclusive discretion of the Manager
unless and until terminated by the Manager; and, (ii) without compensation, but shall be
entitled to be reimbursed for reasonable costs and expenses incurred by them in the
performance of their duties as officers of the Company.
3. Only the Manager, the President/COO and the Vice President shall be authorized to bind
the Company to contractual obligations, provided the stated term of such contractual
agreements and obligations does not exceed one calendar year, unless a longer term may
otherwise be resolved, agreed and consented to by the Manager of the Company.
4. The President/COO and Vice President are hereby authorized and directed to open and
maintain one or more bank accounts in the name of the Company at a national banking
institution located in, and licensed under the banking laws and regulations of, the State of
New York, and that each of the Officers of the Company shall be signatories to such
accounts, singularly or collectively.
5. The Company is hereby authorized to enter into a license agreement with Bay Avenue
Holdings LLC for the purpose of granting the Company the right and authority under
license to occupy, possess and operate its business as a full-service marina from all or a
portion of the premises owned by Bay Avenue Holdings LLC and located at 8000 Skunk
Lane, Cutchogue, NY, a copy of which is attached hereto and made a part of these
Resolutions.
6. The PresidenffCOO of the Company shall operate, manage and oversee the day-t°day
business affairs of the Company in its operation of a full-service boating marina, and
shall devote such time, expertise and involvement as is reasonably required to ensure the
continued, un-interrupted, safe and efficient operation of such business. No employment
agreements or agreements for services by contractors or consultants shall be entered into
without the prior written consent of the Manager. The PresidanffCOO shall not be entitled
to monetary remuneration for such services notwithstanding the due performance of his
obligations as President/COO.
7. To the extent any Officer is deemed an employee of the Company, such designation shall
be deemed an "employee at will," and shall be subject to termination as and upon such
terms or no terms as the Manager of the Company shall determine in his sole and
exclusive discretion, with or without cause.
All of the foregoing constitutes the Resolution and action of the Manager of the Company at
the Initial Manager Meeting and, there having been no further business or matters considered or
acted upon at the Initial Manager Meeting, said Meeting was concluded and closed, and the
Secretary is directed to affix this Resolution to the Corporate Minute Books of the Company.

As discussed, elevation drawings for the tool storage building have been
placed in the ARC box at the planning office.
These drawings were received by the Board on August 8, 1996, and
inadvertenly not included with the elevations for the new storage building
for. your review. The too] shed is a concrete building that will be
elevated to avoid flooding at high tide, and increased in size by 108
square feet or 9' by 12'. The addition will continue the block
construction.
The Board would like to resolve these remaining issues as this application
has been pending for over three years.

This letter concerns the activity on the south east corner of
your property.
At our field inspection at the request of the Planning Board,
Jim King & I noticed a sandy area and a cleared marsh area.
On August 20, 1997 the entire Board inspected the site. The
Board requires that you re-vegetate this area with spartina
patens and spartina alternaflora on 18" centers, and there
is to be no disturbance of the soil.

At the request of Bob Kassner, the Town Trustees inspected Broadwater
Cove Marinas with these items in mind.
Drainage: The referenced drain which was discussed at the meeting at
Town Hall appears to handle runoff from Skunk Lane.
Docking facilities on south side of property the:on-site and in house
inspections revealed that Mr. Zito owns the underwater land in the canal and basin.
The docks along the south side of the property appear to have been
in use for some time. As this is private property the board feels that it is
proper to moor boats along the catwalk.
Sand / Ramp:
On site inspections revealed a small distribute area in the S.E. corner
of inplace property. A follow up inspection by our board will be conducted
in August. The last action taken by the Board was to grant approval for the
reconstruction of a deteriorated boat ramp and the raising and enlargement
of a storage shed.
The Board believes that these activities are normal and need for an existing
marina and have granted ~imilar approvals to other marinas in the recent past.
We received the enviormental impacts of these projects, but since each action
was existing, felt that the added impact would be negligable.

The following action was taken by the Board of Town Trustees
during its regmlav meeting held on September 28, 1995 regarding
the above matter:
WHEREAS, En-Consultants on behalf of Broadwaters Cove Marina
applied to the Southold Town Trustees for a permit under the
provisions of the Wetland Ordinance of the Town of Southold,
application dated September 6, 1995, and,
WHERFakS, said application was referred to the Southold Town
Conservation Advisory Council for their findings and
recommendations, and
WHEREAS, a Public Hearing was held by the Town Trustees with
respect to said application on September 28, 1995, at which time
ail interested persons were given an opportunity to be heard,
an d,
WHEREAS, the Board members have personally viewed and are
familiar with the premises in question and the surrounding area,
and,
WHEREAS, the Board has considered all the testimony and
documentation submitted concerning this application, and,
WHEREAS, the structure complies with the standard set forth in
Chapter 37-18 of the Southo]d Town Code,
WHEREAS, the Board has determined that the project as proposed
will not affect the health, safety and general welfare of the
people of the town,
NOW THEREFORE BE IT,
RESOLVED, that the Board of Trustees approves the application of
En-Consultants on behalf of BROADWATERS COVE MARINA to
ramove an existing 14' X 14' wood-surfaced ramp by removing
bulkhead on west side of ramp. Ramp will be extended seaward to
prevent trailers from going off end of ramp at low tide. New
West side will consist of 24' upland bulkhead which will connect
to existing b~,Tkhead; and 25' free-standing wall with 3; wide
walk on top. Excavated upland (10 c.y.) will be used to back
fill new bulkhead. Modify existing 12' X 20' concrete block tool
shed by increasing its height by 5' and extendign 5' to the
south. Lower 4' of existing shed will be filled in and new floor
poured. A 4' X 4' platform and 4' X 6' staircase will be added
on west side to allow access from that side. A doorway will be
addes on east side for access from parking area. Located 8000
Skunk Lane, Cutchogue.
Permit to construct project will expire two years from the date
it is signed if not started. Fees must be paid, if applicable,
and permit issued within six months of the date of this
notification.
Two inspections are required and the Trustees are to be notified
upon completion of said project.
FEES: None.

As per your request, I have reviewed the site plan and the proposed drainage for
the above referenced project.
The blue stone gravel parking area as shown on the plan is approximately 24,500
square feet. The Town code requires drainage calculations for leaching basins to provide
for a two (2") inch rain. Using a run-off coefficient of 0.6 for blue stone pavement would
require 2,450 cubic feet of containment. Ten (10') foot diameter leaching basins provide
68.4 cubic feet for each vertical foot of basin. Thirty six (36') vertical feet will be required.
Six eight foot diameter basins (each 5' deep) have been proposed. Utilizing the
same locations, six ten (10') foot diameter leaching pools should be installed to provide a
minimum of 36 vertical feet.

Dear Mr. Petrucci:
As you know, your business on the south side of Bay Avenue, Cutchogue,
New York, is classified as a non-conforming marina or boat basin.
According to our present zoning ordinance, a non-conforming use is any
use, whether of a building or tract of land, or both, existing on the
effective date of the zoning ordinance, which does not conform to the
use regulations of the district in which it is located. The definition
of a marina is any premises containing one (1) or more piers, wharves,
docks, moorings, bulkheads, buildings, slips, basins or lands under
water, designed, used or intended to be used prLmarily for the docking,
or mooring of boats, for or without compensation.
Using your letter of May 17, 1978, and the above definitions as a guide,
it seems to us that your non-conforming marina includes the following:
The seasonal operation of a marina or boat basin with docks or slips for
not more than thirty-five (35) non-comxaercial boats not more than 24 feet
in length. Special services for owners such as fresh water, electricity,
oil and gasoline are also permitted. We think that this service barge
is an integral part of your marina operation and may be stored on your
property when not in use.
You are not permitted to store boats, build boats or conduct the retail
sale of boats on your premises.
Hopefully, this clearly defines all permitted uses for your property. If
there are any other questions, please bring them to our attention.

This memorandum is in reply to your November 3, 1983 request con-
cerning the premises of Norman C. Boos and located at the south
side of Bay Avenue, Cutchogue.
We have reviewed the documents submitted with your request and have
researched the history of this property, finding as follows:
(A) The marina has been in existence as a nonconforming use since
the adoption of zoning in 1957 and is located in an "A-Residential
and Agricultural Zone."
(B) Pursuant to a ZBA letter of clarification to Angelo P~trucci,
who was the former owner of the premises, dated June 1, 1978:
(1) Operation of this marina was restricted to not more than
35 noncommercial boats, not more than 24 feet in length;
(2) No storage of boats and no sales of boats would be allowed.
(C) In Appeal No. 2914, a conditional variance was granted allowing

the construction of a one-family private dwelling, provided:
(1) the entire premises remain as one parcel [117,871 sq. ft.
of which 47,36~ sq. ft. are under water];
(2) there be a minimum of 43 parking spaces for the marina
use to be submitted to and approved by the Planning Board;
(3) construction of the new one-family dwelling as per the
filed site plan and in compliance with all other applicable laws
and regulations.
(D) Wetlands Permit #45 allowed certain dredging and bulkheading
west of the existing marina;
(E) The recently-filed Wetlands Permit Application #172 requests
the placement of additional catwalk(s) with fingers to accommodate
18 additional boats.
It is our opinion that expansion of this nonconforming marina to
accommodate more than 35 noncommercial boats would require addi-
tional approvals.
Due to the fact that this is a "nonconforming" marina in a resi-
dential area, any proposed changes to this property should be
referred to the Building Department for their certification.

use which will affect the characteristics of the site in terms of parking, access,
drainage and lighting; and
BE IT FURTHER RESOLVED, that these changes trigger the need for a site
plan review to consider the parking, traffic and other impacts which will be
caused by the upland storage of boats.
A site plan application is enclosed for your possible use. We appreciate your
taking the time to come to our meeting to explain your operation. We will

Thursday, September 21, 1995 the following recommendation was made:

wood-surfaced launching ramp and replace it with a 16~6'' x 53'
concrete-surfaced ramp by removing bulkhead on west side of ramp. Ramp will
be extended seaward to prevent trailers from going off end of ramp at Iow
tide. New west side will consist of 2uJ upland bulkhead which will connect to
existing bulkhead; and 25' free=standing wall with 3' wide walk atop.
Excavated upland (10 c.y.) will be used to backfill new bulkhead. Also to
modify an existing 12' x 20' concrete block tool shed by increasing its height
by 5' and extending 5' to the south. Lower 02 of existing shed will be filled
in and new floor poured. A ¥ x ~' platform and u? x 6' staircase will be
added on west side to allow access from that side. A doorway will be added on
east side for access from parking area. (Purpose of project is to avoid flood
damage to contents of shed and improve accessibility.) There is no sanitary
system for this building nor si on proposed.. It is used solely for storage of
tools and equipment.

The Council recommends approval of the ramp with the stipulation that runoff is
controlled. The Council suggests the applicant regrade so the water is
directed to the parking lot or install a catch-basin trough to direct the water
away from the ramp.
The CAC recommends approval of the shed with the condition that is be
prohibited to use for storage of gas, oils, chemical, etc. The CAC also feels
the applicant needs to address, to the Trustees, the issue of the gas pump.

Dear Mr. Haje:
The Department of State received your Federal Consistency Assessment Form and
supporting information on August 21, 1995 and has determined that the submitted
documentation is adequate to commence our review of your proposed project. We will
contact you if additional information may be necessary for consistency review purposes.
You and the Corps of Engineers will be notified of our decision when we have completed
our review of this project for its consistency with the New York State Coastal Management
Program. The Corps of Engineers cannot issue a permit for this project unless the

PROJECT DESCRIPTION
Remove an existing 14~ X 14~ wood-surfaced launching ramp
and replace it with a 16~-6" x 53 ~ concrete-surfaced
ramp by removing bulkhead on west side of ramp. Ramp
will be extended seaward to prevent trailers from going
off end of ramp at low tide. New west side will consist
of 24~ upland bulkhead which will connect to existing
bulkhead~ and 25~ free-standing wall with 3~wide walk
atop. Excavated upland ( 10 cubic yards ) will be used
to back fill new bulkhead. DEC and SO Trustees only
Modify on existing 12~ x 20~ concrete block tool shed by
increasing its height by 5~and extending $~to the south.
Lower 4~ of existing shed will be filled in and new floor
poured. A 4~ X 4~ platform & 4~ x 6~ staircase will be
added on west side to allow access from that side. A
doorway will be added on east side for access from
parking area. Purpose of project is to avoid flood
damage to contents of shed and improve accessibility.
There is no sanitation system in this building nor is one
proposed. It is used solely for storage of tools and
equipment. DEC only - Letter of No Juristiction

~ROJECT DESCRIPTION
Remove an existing 14' x 14' wood-surfaced launching
and replace it with a 16~-6" x 53 t concrete-surfaced
ramp by removing bulkhead on west side of ramp. Ramp
will be extended seaward to prevent trailers from going
off end of ramp at low tide. New west side will consist
of 24~ upland bulkhead which will connect to existing
bulkhead~ and 25' free-standing wall with 3~wide walk
atop. Excavated upland ( 10 cubic yards ) will be used
to back fill new bulkhead. DEC and SO Trustees only
Modify on existing 12t x 20t concrete block tool shed by
increasing its height by Stand extending 5~to the south.
Lower 4t of existing shed will be filled in and new floor
poured. A 4t x 4t platform & 4t x 6t staircase will be
added on west side to allow access from that side. A
doorway will be added on east side for access from
parking area. Purpose of project is to avoid flo,~d
damage to contents of shed and improve acoessibilit~.
There is no sanitation system in this building nor is one
proposed. It is used solely for storage of tools a~d
equipment. DEC only - Letter of No Juristlotlon
requested as work lies landward of pre t77 bulkhead.
