THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 232 OF 2005
WAS ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD
ON APRIL 26, 2005:
RESOLVED, that Resolution No. 214 of 2005 is hereby amended to correct the term of the
Agreement from two years to three years as follows:
RESOLVED, that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Joshua Y. Horton to enter into an Agreement with Corazzini Asphalt to transfer
title to the surplus Kohman Conveyor to Corazzini in exchange for unlimited use of Corazzini's
Reed Power Screen by the Highway Superintendent for a period of three years, subject to the
approval of the Town Attorney.

EQUIPMENT EXCHANGE AGREEMENT
THIS AGREEMENT, made this /' ~'/'-day of '~c,L/1 ~..~, 2005,
between the TOWN OF SOUTHOLD, Suffolk County, New York, hereinafter
designated as the "Town", and CORAZZINI ASPHALT INC., Suffolk County, New
York, hereinafter designated as "Corazzini".
WITNESSETH:
WHEREAS, the Town enters into this Agreement with Corazzini for the
purpose of an exchange of the following equipment pursuant to the terms stated
herein:
1. The Town conveys ownership of one (1) 1962 Kolman Conveyor,
Model 45, Serial No. 62-31-18, deemed surplus equipment with a
fair market value of $1,500;
2. In consideration for the Town's conveyance of this Conveyor, the
Town will have full and immediate use upon request of one (1)
Reed R-90 Power Screen owned by Corazzini, which Power
Screen is necessary to the function of the Highway Department;
3. If the Town is unable to take possession of the Power Screen,
through no fault of the Town, upon an oral request to Corazzini
within 24 hours of such request, Corazzini is deemed in default and
the Town may, in its discretion, rescind this Agreement;
4. If this Agreement is rescinded by the Town, the Town shall notify
Corazzini in writing within ten business days; and

notice that this Agreement has been rescinded.
WHEREAS, the term of this exchange shall expire upon the Town's use of
the Power Screen on twenty separate dates or on May 31, 2008, whichever is
later.
IN WITNESS WHEREOF, the parties have duly executed and delivered
this Agreement the day and year first above written.
