V .,' ly ou~; Vic/President LS :hap p:\LAS~ean 1203.doc TOWN COPY AGREEMENT 30 da THIS AGREEMENT, made this - y of-l~eember 2001, between the TOWN OF SOUTHOLD, a municipal corporation of the state of New York, having its office and principal place of business at 53095 Main Road, Southold, New York 119'/1, hereinafter ealled the "Town" and H2M Group/Holzmaeher, MeLendon & Murrell, P.C., 5'/5 Broadhollow Road, Melville, New York, 11-/4-/, hereinafter ealled the "Contractor". WHEREAS, the Town of Southold did heretofore request and receive a proposal from the Contractor to perform professional services in relation to the replacement of the Brushes Creek Bridge, Peconic Bay Boulevard, Laurel, New York, located within the Town of Southold, not to exceed a maximum amount of ($50, 000) and WHEREAS, the Town of Southold accepted the proposal of the Contractor on the December 12, 2000. NOW, THEREFORE, IT IS AGREED AS FOLLOWS: 1. The Contractor does hereby agree to perform the work required for the field survey, design, bid package and construction phase services for the replacement of the Brushes Creek Bridge located on Peconic Bay Boulevard, Laurel, New York, in accordance with the plans, specifications, contractor's proposal and all conditions set forth in the document dated August 20, 2001 representing the scope of services and schedule of fees for professional services. 2. The Town does hereby agree to pay the Contractor for the work as set forth in the "Schedule of Fees" dated August 20, 2001 and incorporated herein not to exceed the total sum of Fifty Thousand dollars ($50, 000). Prior to the commencement of services entitled "Bid Phase" and "Construction Phase" the Contractor must obtain Town Board approval. Contractor agrees that the maximum amount allowable under this contract shall not be guaranteed as the commencement of services related to "Bid Phase" and "Construction Phase" are contingent upon the Town securing appropriate funding. Payment shall be made within thirty (30) days of the completion of said work phases and the acceptance thereof by the Town. 3. The Contractor shall secure and maintain such insurance that will protect it from claims under the Worker's Compensation Acts and from claims for bodily injury, death or property damage which may arise from the performance of its services under this Agreement, in limits of $I,000,000 and $2,000,000 aggregate liability for bodily injury and property damage. The Contractor shall indemnify and hold harmless the town from and against all suits, claims, demands or actions for any injury sustained or alleged to be sustained by any party or parties in connection with the alleged negligent performance or negligent performance by the Contractor, its employees or agents or any subcontractor and in case of any such action brought against the Town, the Contractor shall immediately take charge of and defend the same at its own cost and expense. In addition, the Contractor will name the Town as an additional insured on any applicable policies. 4. Field Survey Although the anticipated limits of construction shall extend only 25'4- on either side of the strnctu~ it would be prudent to extend our field survey in anticipation of additional funding either this year or next. The survey limits are therefore recommended to be 300' on either side of the structure. At the structure our survey would extend notthexly and southexly to obtain all critical elevations and topography which would satirdy the concerns of reviewing permitfiag agencies. Wetland areas shall be flagged in accordance to the requirements of the NYSDEC. Elevation data shal/be cstabhshed in USGS datun-a 1. Preliminary Design Phase - develop plan to a 40% completion. Meet with Town of Southold professional staff to review thc Advanced Detail Plans. Upon approval of the Town, thee plans ~hall be utilized for submittal to the Permitting Agencies inclusive of: · U.$. Coast Guard · U,S. Army Corps of Engineers · IvYS Dept. of Environmental Conservation · Town of Southaldpermits as required 5. Preparation of Final Plans, Specifications and Construction Cost Estimate - development of Contract Plans for competitive bidding. C. Bid Phase H2M shall assist the Town of Southold with the advertisement of the Project. This will include a description of the project and an idontific~t/on of how contracwrs should address questions relative to bidding of the project. 2. H2M shall be available to answer all questions of perspective contractors. 3. H2M shall issue addendum(s) providing clarifications to the contract plans and specifications accordingly. 4. H2M shall review all bids received, provide the Town of Southold with a bid tabulation sheet, and rccomrnond the contractor with the lowest bid deemed qualified to perform the work. 5. H2M shall provide correspondence to the Town relative to their contractor recommeudation. Any concerns of H2M shall be duly noted. Construction Pha~¢ H2M shall conduct a pm-construction meeting with the selected contractor. This meeting shall outline the requirements of the contractor relative to future liaison, provisions of all parmits, job site safety, ma'mtenanc¢ and proteclion of traffic and hours of construction. The contractor will be required to submit a schedule for coustrucfion within 48 hours of the meeting. I-I2M shall provide pan time consmiction observation with concenUarion on critical construction operations, such as, p'fle instn!la~ion, construction of abutemo, nts, wingwalls, and bridge deck, and roadway approach pavement. 3. H2M shall review and approve change orders (this work shall be performed by the Design Phase Senior Engineer). 4. H2M shall review and approve contractor payment requests. H2M shall perfo~n a final inspection of the project.
