Adoption of Meeting Minutes:

MOTION made by Ray Blum, seconded by Ray Huntington, to accept minutes of
the October 26, 2004 meeting.
Motion carried 5/0.
The Members entered into EXECUTIVE SESSION.

Melissa Spiro to make a second offer to Pipia for the purchase of a development
rights easement on the former Bidwell Winery property.

MOTION made by Ray Blum, seconded by Eric Keil, to direct Melissa Spiro to
make an offer to the Grigonis Family for the purchase of a development rights
easement on the subject property and also to discuss how this offer would
compare to potential offer for development rights on the family's other land
known as SCTM #1000-55-1-5.1.

Ray Huntington did a field inspection of the lot, which appears to be buildable,
and spoke to the president of the association seeking additional information. The
LPC members may be interested in a bargain sale if the homeowners'
association members should decide to sell the property.

Next Regular Meeting:
The next regular meeting will be held on Tuesday, November 23, 2004, in
Conference Room, at 7:00 p.m. Bill Edwards will not be attending said meeting.
