THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2025-736 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
SEPTEMBER 25, 2025:
RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Albert J. Krupski, Jr., to execute a Professional Services Agreement with Cornell
Cooperative Extension of Suffolk County for consulting services to be performed over a 5-month
period, at an hourly rate of$80.00, with a maximum compensation not to exceed $35,000, in
support of the Local Waterfront Revitalization Program (LWRP), subject to Town Attorney
review. Budget Line B.8020.4.500.100 - Professional Services.

Professional Services Agreement
Technical Support for the Local Waterfront Revitalization Program
AGREEMENT made this T day of Septernimr, 2025 between the Town of Southold, a municipal
corporation with a principal place of business located at 53095 Main Road, Southold, New York (hereinafter
"Town"), and Cornell Cooperative Extension of Suffolk County (hereinafter"CCE—Suffolk"), a governmental
community education agency with an office at 435 Griffing Avenue, Riverhead, New-York.
That in consideration of the covenants and agreements herein contained, to be performed by the
parties hereto, and of the payments hereinafter agreed to be made, it is mutually agreed as follows:
WITNESSETH :
1. CONSULTING PERIOD:
October 1, 2025— February 28, 2026
Hourly Rate $80.00
Maximum Compensation $35,000.00
2. CONSULTING SERVICES:
I. CCE-SUFFOLK shall designate Christopher H. Pickerell as Consultant, who shall provide the
necessary support and be directed by the Local Waterfront Revitalization Program (LWRP)
Coordinator for the Town of Southold, and shall provide draft consistency reviews for town
departments, agencies and boards on all pending development proposals within the designated
coastal area with the articulated general policies set out at Chapter 268 of the Town Code. Said
Consultant shall fully review all development proposals and provide expert opinion and
recommendations to the LWRP Coordinator for town agencies, department and boards
pertaining to their consistency with the policies and purposes contained in the Town of
Southold LWRP to ensure that all such purposes, recommendations and requirements are
incorporated into such proposals.
II. In performing said reviews, the Consultant shall consider whether a development proposal
under review is consistent with the LWRP policy standards and conditions set forth in § 268-1 of
the Code.The consultant shall advise the LWRP Coordinator whether sufficient information has
been submitted by the applicant deemed necessary to its consistency recommendation.The
consultants draft recommendation to the LWRP Coordinator shall indicate whether the
proposed action is consistent with or inconsistent with one or more of the LWRP policy
standards and objectives and shall elaborate in writing the basis for its opinion. The consultant
shall, along with a consistency recommendation, make any suggestions to the LWRP
Coordinator concerning modification of the proposed action, including the imposition of
conditions, to make it consistent with LWRP policy standards and objectives or to greater
advance them.

III. The Consultant shall consider the following LWRP Policies when determining the consistency of
any development proposal:
(1) General policies.
(a) Policy 1:foster a pattern of development in the Town of Southold that enhances
community character, preserves open space, makes efficient use of infrastructure, makes
beneficial use of a coastal location, and minimizes adverse effects of development.
(b) Policy 2: preserve historic resources of the Town of Southold.
(c) Policy 3: enhance visual quality and protect scenic resources throughout the Town of
Southold.
(d) Policy 4: minimize the loss of life, structures, and natural resources from flooding and
erosion.
(e) Policy 5: protect and improve water quality and supply in the Town of Southold.
(f) Policy 6: protect and restore the quality and function of the Town of Southold
ecosystem.
(g) Policy 7: protect and improve air quality in the Town of Southold.
(h) Policy 8: minimize environmental degradation in the Town of Southold from solid waste
and hazardous substances and wastes.
(2) Public coast policies.
(a) Policy 9: provide for public access to, and recreational use of, coastal waters, public
lands, and public resources of the Town of Southold.
(3) Working coast policies.
(a) Policy 10: protect the Town of Southold's water-dependent uses and promote siting of
new water-dependent uses in suitable locations.
(b) Policy 11: promote sustainable use of living marine resources in the Town of Southold.
(c) Policy 12: protect agricultural lands in the Town of Southold.
(d) Policy 13: promote appropriate use and development of energy and mineral resources.
IV. The Consultant shall fully review all relevant documentation and render its written
recommendation to the LWRP Coordinator within 20 days following referral of the Coastal
Assessment Form from the agency, or prior to the scheduled public hearing considering the
proposal, whichever occurs earlier. Reviews will be provided via email to the LWRP Coordinator
and Southold Town Planning Department for review,formatting, and distribution to the
relevant agency
V. If requested by the town, the Consultant shall provide the necessary training and assistance to
the town employee who will assume the role of LWRP Coordinator at the end of the term of
this Consulting Agreement.

3. During the pendency of this Agreement, the Town will provide Consultant during business hours with
access to all town facilities associated with the work to be conducted, including all town agencies,
departments and boards. However, Consultant shall not have access to a computer, computer
software or work station.
4. The Consultant shall be compensated the rate of$80.00 per hour. Requests for payment for services
provided under this Agreement shall as be directed by the Town, at a minimum frequency of monthly,
no later than fourteen (14) days from the close of each calendar month. All such requests shall include
dates and hours worked and any other information or material requested by the Town.
5. This Agreement shall be deemed personal and non-assignable by either party. In the performance of
all services under this Agreement, Consultant shall operate as an Independent Contractor and not an
employee of the Town. Consultant shall have no power or authority to act for, represent or bind the
Town in any manner and shall not be entitled to any benefits provided to Town employees, including
but not limited to, vacation pay, sick leave, retirement benefits, life insurance, holiday pay or any other
benefit afforded employees of the Town. In this regard, the Town will not withhold any federal or
state income taxes or FICA from the Consultant's compensation.
6. The Consultant shall comply with all Federal, State, County and Town statutes, laws, ordinances, codes,
rules and/or regulations which pertain to Consultant's work under this Agreement.
7. Any waiver by the Town of any term, condition, covenant and/or provision of this Agreement shall not
be deemed as a waiver at anytime thereafter of the same or any other term, condition, covenant
and/or provision of this Agreement. The failure of the Town to assert any right or privilege shall not be
deemed a waiver or relinquishment thereof.
8. This Agreement shall be construed pursuant to the laws of the State of New York.
9. The foregoing Agreement embodies the entire Agreement between the parties with respect to the
subject matter described herein. It shall not be changed or modified, except in writing, and executed.
by both parties.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be signed by their ,
respective authorized representatives as of the day and year first set forth above.
