Krupski, Jr. to execute an Agreement between the Town of Southold and National EAP, Inc. in connection with an Employee Assistance Program in the amount of$4.37 per month per employee for the period November 1, 2025 through October 31, 2026, subject to the approval of the Town Attorney. 2025-683 Category: Contracts-Lease & Agreements Department: Town Attorney Ironwood Industries, Inc. Contract Extension RESOLVED that the Town Board of the Town of Southold hereby authorizes Supervisor Albert J. Krupski, Jr. to exercise the one-year option extending the contractual agreement between the Town of Southold and Ironwood Industries, Inc. for the installation of 50-75 trees, in different varieties for a period of one additional year, subject to the approval of the Town Attorney. Budget line A.8560.4.400.200. 2025-684 Category: Contracts-Lease & Agreements Department: Town Attorney Change Order - Hardesty & Hanover(H&H) WHEREAS, the Town of Southold previously retained Hardesty & Hanover(H&H)under a professional services agreement to provide planning/engineering and environmental technical assistance to the Town and Planning Board in connection with a commercial storage building plan proposed by the owner of premises known as 5780 West Mill Road, Mattituck; and WHEREAS, the applicant of said development plan has submitted revised materials that require continued professional assistance to support the Planning Board's review, including SEQRA guidance, document review, and preparation of related deliverables; and WHEREAS, H&H has proposed continuing professional technical assistance on an hourly basis pursuant to its current rate schedule, and the Town Planning Director has determined that additional authorization is needed to cover the anticipated effort; and WHEREAS, the Town Board finds it in the best interests of the Town to authorize additional funding for H&H's continued services for this matter; NOW, THEREFORE, BE IT RESOLVED, that the Town Board hereby approves a Change Order to the existing professional services agreement with Hardesty & Hanover for continued technical assistance to the Town and Planning Board related to the revised storage building development plan and associated SEQRA review; and BE IT FURTHER RESOLVED, that this Change Order constitutes an additional authorization in the amount of up to One Hundred Thousand Dollars ($100,000) on an hourly, task-based basis pursuant to H&H's approved 2025 rate schedule, which represents an increase to the prior authorized amount and not a new total contract value; and BE IT FURTHER RESOLVED, that the Town Board hereby authorizes the execution of the required Change Order and any related documents, upon approval as to form by the Town Attorney; and BE IT FURTHER RESOLVED, that the Town Comptroller is authorized and directed to encumber and disburse funds for these services from Account No B.8020.4.500.300 Planning, SEQRA Consultants. 2025-685 Category: None Department: Government Liaison One-Day Training—Community Development RESOLVED that the Town Board of the Town of Southold hereby grants permission to Gwynn Schroeder and Andrea Menjivar, to attend a Training Program on successful practice of economic and community development presented by Suffolk County at 423 Griffing Avenue, Riverhead, NY. on September 16, 2025. 2025-686 Category: Contracts-Lease & Agreements Department: Town Attorney Proposal of Hoffman Equipment RESOLVED that the Town Board of the Town of Southold hereby accepts the proposal of Hoffman Equipment dated 7/18/2025, in connection with the fuel injection repair of the Volvo L102H wheel loader engine in the amount of$21,235.16, as a sole supplier, authorized area Volvo deal er/servicer, and hereby authorizes the Deputy Supervisor or Solid Waste Coordinator to execute all documentation therefore, subject to Town Attorney review. Section 3. The following additional matters are hereby determined and stated: (a) The period of probable usefulness of the object or purpose for which said bonds are authorized to be issued, within the limitations of Section 11.00 a. 28 of the Law, is fifteen (15) years. (b) The proceeds of the bonds herein authorized and any bond anticipation notes issued in anticipation of said bonds may be applied to reimburse the Town for expenditures made after the effective date of this resolution. The foregoing statement of intent with respect to reimbursement is made in conformity with Treasury Regulation Section 1.150-2 of the United States Treasury Department. (c) The proposed maturity of the bonds authorized by this resolution will exceed five (5)years. Section 4. Each of the bonds authorized by this resolution and any bond anticipation notes issued in anticipation of said bonds shall contain the recital of validity prescribed by Section 52.00 of the Law and said bonds and any notes issued in anticipation said bonds shall be general obligations of the Town,payable as to both principal and interest by a general tax upon all the taxable real property within the Town. Subject to the provisions of this resolution and of the Law and pursuant to the provisions of Section 21.00 of the Law relative to the authorization of the issuance of bonds with substantially level or declining annual debt service, Section 30.00 relative to the authorization of the issuance of bond anticipation notes and Section 50.00 and Sections 56.00 to 60.00 and 168.00 of the Law, the powers and duties of the Town Board relative to authorizing bond anticipation notes and prescribing the terms, form and contents and as to the sale and issuance of the bonds herein authorized, and the renewals of said bond anticipation notes, and relative to executing contracts for credit enhancements and providing for substantially level or declining annual debt service, are hereby delegated to the Supervisor, the chief fiscal officer of the Town.
