RESOLVED ~ the To~vn Board of the Town of Southold hereby accepts the Letter of
Credit No. 040263, in the amotmt of $I43~,50.00 issued by the Suffolk County National
Bank, as a performance bond for roads and improvements in the subdivision known as Major
Subdivision of Zoumas Contracting Co., located at N/S Bayview Road, Southold, N.Y., subject
to the approval of the Town Attorney.

Dear Sir or Madam:
By order and for account of our client, Zoumas Contracting Corp., we hereby issue in your favor our Irrevocable
Letter of Credit No. 040623 up to an aggregate amount of $143,250.00 (One Hundred Forty Three Thousand
Two Hundred Fifty 00/100 United States Dollars), effective June 23, 2004 and expiring at our 4 West Second
Street, Riverhead, New York 11901 office on June 23, 2005.
Funds under this Letter of Credit are available by your sight draft(s) drawn on us, indicating our Letter of Credit
No. 040623, and accompanied by:
"Beneficiary's signed statement certifying that there has been a default in completing the requisites and
installations required under a site plan approval adopted 5/12/04 for the project referenced above."
Draft(s) drawn to state: "Drawn under The Suffolk County National Bank Letter of Credit No. 040623 dated
June 23, 2004."
We hereby engage with you to honor your draft(s) as specified above when accompanied by documents in
conformity with the terms and conditions of this Letter of Credit when presented to: The Suffolk County National
Bank, 4 West Second Street, Riverhead, New York 11901. Address all correspondence regarding this Letter of
Credit to The Suffolk County National Bank mentioning specifically our Letter of Credit No. 040623.
It is a condition of this Letter of Credit that it shall be deemed automatically extended without amendment for
one additional year from the present expiration date, unless forty-five days (45) days prior to any such date, we
shall notify you in writing by certified mail at the above listed address that we elect not to consider the Letter of
Credit renewed for any such additional period. In such an event the Letter of Credit may be drawn on in the full
amount.
Except as far as otherwise expressly stated herein, this Letter of Credit is subject to the Uniform Customs and
Practice for Documentary Credits (1993 Revision) International Chamber of Commerce Publications No. 500.

Dear Ms. Neville:
The Southold Town Planning Board, at a meeting held on Monday, September 13,
2004, adopted the following resolutions:
The final public hearing was closed.
WHEREAS, this proposal is to subdivide a 48.43 acre parcel into 7 lots where Lot 1
equals 91,787 sq. ft., Lot 2 equals 86,235 sq. ft., Lot 3 equals 82,606 sq. ft., Lot 4
equals 82,635 sq. ft., Lot 5 equals 83,771 sq. ft., Lot 6 equals 31,500 sq. ft. (known as
Gay Reese Lot) and Lot 7 is equal to 37.70 acres which are proposed to be sold to the
Town of Southold for open space purposes;, and
WHEREAS, the Town of Southold is in contract to acquire the fee title of Lot 7 equal to
37.70 acres for open space purposes; and
WHEREAS, the Gay Reese Lot (6) is a clustered lot equal to 21,500 sq. ft. Therefore,
the clustered open space needed to satisfy the yield requirement (80,000 sq. ft.) is 1.34
acres. The clustered open space is a part of Lot 7; and
WHEREAS, on June 14, 2004, the Southold Town Planning Board granted conditional
preliminary approval on the plat, dated & last revised on March 8, 2004; and
WHEREAS, two sets of Covenants and Restrictions were filed on July 6, 2004, Liber
D00012329, Page 39 and April 19, 2004, Liber D00012314, Page 392 with the Clerk of
Suffolk County; and

WHEREAS, the Suffolk County Depar[ment of Health granted approval of the action on
April 30, 2004; therefore, be it
RESOLVED, that the Southold Town Planning Board accepts the Suffolk County
National Bank Irrevocable Letter of Credit, No. 040623 in the amount of
$I43,250.00, and recommend the same to the Town Board; and be it further
RESOLVED, that the Southold Town Planning Board grant final approval on the final
road & drainage plan, dated' as last revised June 15, 2004, and the final plat, dated as
revised March 22, 2004, at~d authorize the Chairperson to endorse the final plat subject
to the fulfillment of the following condition:
1. The acceptance of the Letter of Credit, No. 040623, by the Town Board.
Upon the fulfillment of the above condition, the Chairperson will endorse the final plat.
The mylar plats, which were also endorsed by the Chairperson, must be picked up at
this office and filed in the Office of the County Clerk. Any plat not so filed or recorded
within sixty (60) days of the date of final approval (the date of endorsement by the
Chairperson) shall become null and void.
