MELROSE, residing at 39 Robinson Road, Greenport, New York, hereinafter
called the "Owner" ,
WHEREAS, the "Owner" has title to certain land situate, lying

and being at Arshamomaque, Town of Southold, County of Suffolk and
State of New York, said land hereinafter being more particularly
described in Schedule "A" annexed hereto; and
WHEREAS , it is the intention of the "Owner" to subdivide the
said premises into three (3) separate lots and the Suffolk County
Planning Commission and the Southold Town Planning Board having condi-

52. 00 NOW, THEREFORE, the "Owner" hereby declares that the subject

OT conveyed subject to the following covenants and restrictions:
5-8 . 000 1 . No lot shall be subdivided or its lot lines changed
in any manner at any future date unless authorized by
the Town of Southold Planning Board;
2 . Due to the minimum lot area requirement of the zoning
classification of this property being considerably
less than the area of Lots 1 , 2, and 3, each lot
shall be made subject to a restriction that will
prohibit future subdivision;
3 . All driveways on Main Road shall make an angle of at
least 700 and preferably 90° with the state road;

C 4 . Each lot having frontage on Main -Road shall have a
turnaround provision, such as a T-shaped shunt, so
that a vehicle leaving a lot will not have to back
out into the traffic stream on the road;

5 . A short radius curve shall be provided at the corner
of the intersection of Main Road and Albertson Lane
to facilitate turns at the corner and to enhance the
streetscape;
6 . No driveway or entrance road on Main Road and
Albertson Lane shall be located within fifty (50)
feet of the ends of the short radius curve connecting
the right-of-way, of Main Road with the right-of-way
of Albertson Lane;
7. All storm water runoff resulting from the development
1 and improvement of this subdivision or any of its
_ lots shall be retained on the site by adequate drain-
age structures so that it will not flow out onto the
right-of-way of Main Road;
s 8 . In order to minimize the number of access points on
Main Road and to insure that there will not be any
conflicts between the points of access that are
created, consideration shall be given to creating a
plan indicating the placement of access for Lots 2
and 3 and the parking areas on these lots. Consi-
deration shall also be given to establishing, through
the creating of easements , common use of access
points and parking by these lots; that is, allowing 'a
vehicle to pass from a parking area on one lot to
another parking area on a lot without the vehicle
having to reenter the road; and
9 . Conditions 1-8 , inclusive, shall be filed as coven-
ants and restrictions in the office of the County
Clerk on or prior to the granting of approval to this
subdivision.
These covenants and restrictions can be modified only
at the request of the then owner of the premises with
the approval of a majority plus one of the Town Board
of the Town of Southold after a public hearing.
Adjoining property owners shall be entitled to notice
of such public hearing but their consent to such
modification shall not be required.
10 . Local Law #32-1980- The "Owner" represents and
warrants that he has not offered or given any
gratuity to any official, employee, or agent of
Suffolk County, New York State, or of any political
party, with the purpose or intent of securing favor-
able treatment with respect to the performance of an
agreement, and that such person has read and is
familiar with the provisions of Local law #32-1D80 .

Dear Mr. Orlowski:
The Suffolk County Planning Commission at its regular meeting on June 5,
1985, reviewed the proposed subdivision plat entitled, "Minor Subdivision -
William Wickham Property", referred to it pursuant to Section 1333 of the
Suffolk County Charter. After due study and deliberation it resolved to approve
said map subject to the following nine conditions deemed necessary to help pre
f serve the traffic safety and carrying capacity of Main Road, a state road:
1. No lot shall be subdivided or its lot lines chanced in any manner at
any future date unless authorized by the Town of Southold Planning
Board.
2. Due to the minimum lot area requirement of the zoning classification
of this property being considerably less than the area of Lots 1, 2
and 3, each lot shall be made subject to a restriction that will pro-
hibit future subdivision.
3 . All driveways on Main Road shall make an angle of at least 700 and
preferably 900 with the state road.
4. Each lot having frontage on Main Road shall have a turnaround pro-
vision, such as a T-shaped shunt, so that a vehicle leaving a lot.,
will not have to back out into the traffic stream on the road. :.
5 . A short radius curve shall be provided at the corner of the inKer- -
section of Main Road and Albertson Lane to facilitate turns

7. All stormwater runoff resulting from the development and imo_ rovement
_ of this subdivision or any of its lots shall be retained on the site
8 by adequate drainage structures so that it will not flow out onto
11 the right-of-way of Main Road.
I 8. In order to minimize the number of access points on Main Road and to
insure that there will not be any conflicts between the points of
access that are created, consideration shall be given to creating a
plan indicating the placement of access for Lots 2 and 3 and the park-
ing areas on these lots. Consideration shall also be given to estab-
lishing, through the creation of easements, common use of access
j paints and parking by these lots; that. is, allowing a vehicle to pass
from a parking area on one lot to another parking area on a lot with-

oat the vehicle having to reenter the road.
9. Conditions 1-8, inclusive, shall be filed as covenants and restric-
tions in the office of the Countv Clerk on or prior to the granting
�{ of approval to this subdivision.
1 These covenants and restrictions can be modified only at the request
1 of the then owner of the premises with the approval of a majority
plus one of the Town Board of the Town of Southold after a public
J hearing. Adjoining property owners shall be entitled to notice of
such public hearing but their consent to such modification shall not
be required.
The Commission also offers the following comments on the map for your use
and consideration:
1. It is suggested that before approval is granted to this subdivision
that the subdivider(s) be required to submit this proposal to the
Suffolk County Department of Health Services for review to insure
that the proposed subdivision will meet the requirements and stan-
dards of that agency.
2. Considerable care must be taken in the manner of storage and dis-
posal of not only commercial and industrial wastes , but also the
disposal of stormwater runoff from impervious areas on the site
which can carry deleterious substances that can have an adverse im-
pact on the aquifer.
3. Adequate provision shall be made for properly designed and Droperly
located handicapped parking spaces . In locating a handicapped park-
ing space consideration is to be given to the nature of the occupancv
of the building and the probability of a handicapped person utilizing
a specific unit within the building.
4. Stormwater may be ponding on the southerly side of Albertson Lane
about 200 feet in from Main Road. This condition should be investi-
gated and if found to be a problem drainage structures should be
provided.

Mr. Orlowski: Next we have Bob Melrose-Board to discuss this
minor subdivision.
Mr. Melrose: A week ago last Friday I picked up, from the
Suffolk County Board of Health, a permit on a minor subdivision
which has been before your Board. This process of getting this

` took a year and a half. Back in July of 1967, the Planning
office here advised me that I had to get a specific Board of
Health approval for this minor subdivision which had been
previously approved by this Board. I guess you call it sketch
approval and a Negative Declaration, that was dated August
15,1965. I had been operating since I started this process which
I guess started way back in 83. A book I was given called Zoning
Chapter 100. I guess, do to my ignorance, I assumed that was the
set of rules and regulations I had to operate by. In the last
couple of days I learned about Chapter A106-1057. Its in that
area which minor subdivision cases exist. I was totally unaware
of that. I'd also explain why it took so long to get the-Board
of Health permit. The application was filed in July, in August
or the beginning of September they came back to me and told me I
j had to get Greenport Water hook up contracts for those three
j lots. It took me from that time to December 3rd, 1987 to get
{ this through Greenport and 'I will assure you that I followed
this
up on a weekly basis with them. If I had not done that there
would still be no approval. Two months after that the Board of
Health came through with their approval. I have spent a lot of
time and a lot of effort on this thing. I regret that I was not
better informed as to what your laws were. Actually at the time
that the Planning Board people here told me to go get the Board
of Health approval I guess my minor subdivision had already been
terminated. Nobody ever told me that. So that is my story. I am
asking for relief from this termination process so we can
proceed and I can conclude this matter. Thank you.
Mr. Orlowski: I can sympathize with you. I don't think with our
policy and the way it is written that we are in any other
position but to proceed with a new sketch approval and go from
there. It would be the quickest and the easiest. I know that
% these other agencies can slow you down but we can not take
responsibility for those other agencies. It is the only way I
can see it being handled, unless the Board has any other ideas.
Mr. Ward: No, I think we could move for sketch.
Mr. Orlowski: And proceed. I can remember this application way
back. It was a site plan on the commercial property and a
subdivision all at once and worked on the site plan and finished
that up right away and you proceeded with the subdivision. We
can sympathize with you. What we can do tonight is start the
procedure and grant sketch again, immediately and make an
application and do the SEQRA and go from there. You have your

shouldn't be that much longer. As policy, that is the best we
can do. Sticking to policy and being fair. There is a prevision
in the Town Code, but talking.with the Town Attorney I think
that means probably death of the whole Board or something like
that. Could be. But that is the way I see this proceeding.

l Ms. Scopaz: If I can clarify that for you, the Board recently
extended the preliminary approval for six months. At the time of
the extension it requested that instead of having the two lots
on 25 that all four lots have access off the right-of-way. Mr.
McClaughlin, on behalf of' his client has requested that the
Board reconsider that to allow his client to have two access
points out to leave the second lot, the lot that is adjacent to
Top Sail Realty, to have access to 25.
Mr. Mclaughlin: Kevin Mclaughlin for the applicant. Basically my
understanding of the Board's request is based on the number of
access points out on the Main Road. My suggestion after speaking
with my client is that perhaps we could have a common drive
between the two parcels out fronting along the Main Road. That
way there would only be two access points on to the Main Road,
which would be the same amount that we would have if we stacked
the four lots with only one on the Main Road. There is an
existing drive into the existing structure there. They where
going to have a 25 foot right-of-way. This would provide for the
same number of access but ,would allow us to continue to have two
lots with frontage on the 'Main Road.

The staff has examined the proposed subdivision map entitled,"Minor

March 1, 1988. Comparing this map with the one that was previously referred to
the. Commission m May 24, 1985 the staff did not find any substantial difference
between the two maps.
It is the policy of the Commission not to review any map that it has .
previously considered and for which a report was made unless:
1. There has been a material change in any of the design elements;
2. There has been a change in any law affecting the subdivision of land;
or
3. There has been a change in county, state, or federal developmental
policies.

On Friday February 26, 1988 1 picked up the Suftolk Country Board of Health services
approval for a minor subdivision - Wickham - Melrose and delivered it to the Planning
Board on the same date. I was advised that the application was terminated and that
we would have to refile and start over.
On August 15, 1985 the application Tor a minor subdivision had progressed to a
point where we were told that we met all the requirement of the code of the [own
of Southold subdivision of land regulations.
On Nov. 6, 1985 we obtained a Board of Health permit for Lot #1 which was under
development. In July 1986 we learned that this permit was not applicable to
the minor subdivision and that a new Board of Health permit was required.
Un July z1, 198b we filed for a permit for the minor subdivision with the Suffolk
County Board of Health Services. On Sept. 7 , 1986 the Board of Health Services
advised us we must request the Village of Greenport to contract for a water hook-up.
A request was initiated immediately and followed by me on a weekly basis.
On Dec. 3, 1987 more than a year later the contract was finally signed at a cost
of $/,710.U0. the major cause of this delay was due to a IaCK of cooperation by
the Village of Greenport.. The Greenport contract was taken to Suffolk County Bd.
of Health Services and this resulted in the approval we received on Feb. 26 and
submitted to Southold as stated above.

It is our understanding that at one time the Planning Board advised applicants when
their applications were running out of time so they could take appropriate action.
In our case we were never advised that .the application was in jeopardy of being
terminated nor did we know that Chapter A 106 existed.
flhe minor subdivision under consideration is very simple and does not require any
roads or grading and has not changed since we originally contracted to buy the property.
The only reason the need for a subdivision exists is because the Zoning Board of
Appeals limited our use of the property to 65,OOu sq. ft. (1.5 acres) and we were
left ;ith Z acres. of land for which we had to find another use.
The need to go back to square one at this time would impose an undo hardship on this
applicant because based on our past experience even if the application is acceptable
Without change, a minimum of 6 months would be required to go through the prescribed
steps. We would therefore like to appeal under Article V variances and Waivers to
permit our application for a minor subdivision to proceed to completion . if you verify
that conditions at the site have not chanced adversely nor have any new laws been
generated which would affect the Negative Declaration dated August 12, 1985.
Attached as Exhibet A is a list of steps we have gone through since this project was
initiated.
From a review of Exhabit A attached and the time involved you will get some feeling
of our frustration with the system. The idea of going back and starting the minor
subdivision process all over seems to us to be unproductive.
We respectfully request that relief be extended under the provision of Article V to
allow this application to proceed to completion.

work provided the VILLAGE is given no less than 21 days notice,
and subject to the availability of the hydrants from the suppliers
to the VILLAGE.
SIXTH. Until such time as rental for such
hydrants is assured and paid for by the East-West Fire Protection
District, OWNER will pay annually to the VILLAGE such rental for
such hydrants as is from time to time being paid by such District
to the VILLAGE for other hydrants in the District.
SEVENTH. The standards for the installation of the
piping and the hydrants .shall be in accordance with the following
specifications : (1) polyvinyl chloride pipe (AWWA Spec. C-900 )
Class 150 or equal with push-on joints/couplings and underground
metallic warning tape or (2) cement-lined ductile iron pipe (AWWA
spec. C151-76 ) class 150 , or equal. Any pipe and all joints and

parts of the system must be able to stand pressure of not less
than 150 pounds per square inch.
EIGHTH. The VILLAGE will supply without charge to
OWNER sufficient water to make essential tests and to leave. the

system on final approval completely sanitary, said supply to be

NINTH. The WORK shall be inspected by the VILLAGE

designee full power of inspection hereunder . OWNER will grant
complete freedom of access to all parts of the premises and the
WORK for inspection. The VILLAGE will have an authorized inspec-
tor at the site at all proper times so as not to delay the work.
No work not passed by the inspector will be accepted by the
VILLAGE. No backfilling shall be done until the pipe and the work
in the trench has been approved and tested by the inspector.
TENTH. OWNER will , and by this agreement does .
upon approval of the completed work, which the VILLAGE will indi-
cate to the OWNER in Writing , dedicate the mains to the VILLAGE,
and does hereby grant and convey to the VILLAGE an easement and
right of way for the purpose of laying, relaying , repairing,
operating and maintaining water mains , both supply and distribu-
tion, and appurtenances, including domestic services and fire
hydrants in the full length and width of the now or hereafter
existing public or private streets in the premises as shown on the
ttached map. The rights of way and easements shall also extend

five feet on either side of the mains to be laid pursuant to this
agreement, whether or not such distance shall be within the road-
way. The mains and appurtenances and the rights of way and ease-
ments shall be deeded to the VILLAGE its successors or assigns .
and shall forever remain the property of the VILLAGE, its suc-
cessors or assigns . The rights of way shall be over the lands
herein described and marked Exhibit "D" .
ELEVENTH. The easements herein granted are not
exclusive, and other easements in said streets may be granted by
OWNER to other persons or corporations maintaining public services
throughout the development, provided that no other mains are set
within two feet internally of the water main and no poles are set
into the ground within two feet either side of a line on the sur-
face directly above the mains . If a gas, sewer or other main or
service necessarily crosses the water mains , OWNER will advise the
ILLAGE in writing of the exact location of the intersection
forthwith upon installation and shall supply maps to the VILLAGE
showing the exact locations . Said intersections shall not be per-
mitted without prior written consent of the VILLAGE.
TWELFTH. If OWNER contracts with a third party for
the WORK, as the parties contemplate will be the case, the VILLAGE
ill examine the proposed contract, plans , and specifications , and
promptly furnish OWNER and the third party contractor with a writ-
en statement of what part, if any, of the WORK proposed in such
ontract should be revised to insure approval by the VILLAGE. The

ILLAGE will not require any abnormal conditions , unless the
situation at the site shall require them.
THIRTEENTH. Upon completion, inspection and approval
the VILLAGE will supply water to the development and the owners of
the lands therein at the rates and pursuant to the rules and regu-
lations of the VILLAGE in force from time to time.
FOURTEENTH. The parties understand that final approval
f the subdivision map has not been given by all necessary public
j uthorities . The VILLAGE enters into this agreement to assist

WNER in securing such approval , and by way of contractually
assuring to OWNER public water supply, if such subdivision appro-
val is secured.
FIFTEENTH. A one inch (1" ) service line shall be
iinstalled to each lot , with a curb stop near the property line.

This installation is under the direction and supervision of the
Greenport Water Department,
SIXTEENTH. The VILLAGE requires a cash payment of two
thousand five hundred and seventy dollars ($2570 . 00 ) per lot to be
recorded as a consumer hook-up deposit and placed in a key money
reserve account to help gain new production supply, so as to
assure OWNER of future adequate supply. It is contemplated by this
contract that the OWNER anticipates construction of 3 commercial
nits . Upon execution of this agreement, the OWNER shall deposit
ith the VILLAGE the sum of twenty-five hundred dollars seventy
ollars ($2 ,570 . 00 ) times three (3 ) lots for the total of SEVEN

THOUSAND SEVEN HUNDRED TEN ($7 - 710 . 00 ) DOLLARS in bank or cer-
tified check. This per lot amount may be amended from time to
time, depending on findings by the VILLAGE'S consulting engineers,
Holzmacher, McLendon and Murrell, PX. or their successors and
upon approval by the Village Board of Trustees . In the event that
the per lot cost is increased or decreased between the execution
of this agreement and the application for water, the OWNER shall
pay the VILLAGE, upon application for water, the difference bet-
ween the per lot amount specified herein and the per lot amount
required by the VILLAGE at the time of the application of water
times the number of lots covered by said application . Said
payment shall be in bank or certified check and shall be paid to
the VILLAGE prior to any hook-up for water. In the event that the
OWNER does not complete the project as contemplated by this
agreement or does not make application for the full number of lots
allotted or specified herein, the VILLAGE shall keep all funds so
deposited by the VILLAGE as the sole exclusive property of the
VILLAGE and the OWNERS shall have no claim thereon .
SEVENTEENTH. The WORK contemplated by this agreement
shall be completed within 24 months of final approval of plans by
the Town of Southold, or within additional periods of 24 months
each, however , it is hereby mutually agreed and understood that
all specifications in reference to materials used for the

construction of said system, the WORK to be completed, and/or
water to be supplied shall be changed to conform with the then
current standards as set by the VILLAGE of Greenport Utility
Department, its successor, or its authorized agent at each such
interval.
EIGHTEENTH. The OWNER agrees that upon completion of
the work in accordance with any contract made pursuant hereto,
title to the mains , hydrants , valves , and fittings so installed
and laid shall be deemed dedicated to the VILLAGE, and the OWNER
shall in confirmation of such passage of title, execute an instru-
ment transferring and assigning to the VILLAGE the title, free and
clear of all encumbrances or liens to the mains , hydrants , valves
and fittings so laid and installed and if required by the VILLAGE
shall procure from all persons having an interest in the land in
which said mains lie a proper easement in favor of the VILLAGE for
the perpetual maintenance, repair or replacement of said mains and
fittings including the right to extend the mains and to connect
them with other mains to be laid by or under the supervision of
the VILLAGE. The instruments so executed shall be in recordable
form.
NINETEENTH. The VILLAGE agrees that when the installa-
tion, laying of the mains , valves , hydrants and fittings has been
completed, pursuant to the terms of this agreement, and proper
easements have been given, all as hereinbefore provided, the
VILLAGE will accept the assignment and conveyance of the mains ,

valves , hydrants and fittings and maintain them thereafter and
supply water to consumers along the mains subject to conditions ,
rules and regulations of the VILLAGE,
TWENTIETH. Should the OWNER desire to lay the mains
in sections, separate construction contracts may be let for such
sections providing the extent of such separate sections shall be
in the opinion of the VILLAGE sufficient to warrant a separate
consideration.
TWENTY-FIRST: This agreement contains the complete
agreement between the parties for the acquisition by the VILLAGE
of the mains , valves , fittings , and hydrants hereinbefore
described and the OWNER agrees that it will not make any claims
against the VILLAGE on account of the installation of the mains ,
valves , fittings or hydrants and acceptance of the terms of this
agreement, notwithstanding the provisions of any general or spe-
cial law to the contrary which may or may not be enacted.
TWENTY-SECOND. This agreement shall inure to the benefit
and shall bind the respective heirs , legal representatives , suc-
cessors or assigns of the .parties hereto.
TWENTY-THIRD. This agreement shall not be assignable by
the OWNER without the consent in writing of the VILLAGE, which
consent shall not be unreasonably withheld.
