Hotel Moratorium Waiver
WHEREAS the Town Board of the Town of Southold has been presented an application for
the property located at , (SCTM#122.-6-22.1 & 2 8) for a waiver from the Local Law 13 of
2024, entitled "A Local Law to Impose an Interim or Temporary Suspension on Review,
Approval and/or Issuance of all permits for or Relating to New Development of Resorts,
Hotels or Motels"' in the Town of Southold. and
WHEREAS, a public hearing was held on May 13'h , 2025, all public conlinentaly was heard
and the public hearing was then closed; and
NOW THEREFORE, be it
RESOLVED that the Town Board of the Town of Southold hereby grants the application of 9025
Main Road LLC, regarding property located at 9025 Route 25,Mattituck,NY, (SCTM#122.-6-
22.1 & 28) for a waiver from the Local Law 13 of 2024, entitled "A Local Law to Impose an

RELIEF REQUESTED: Petitioners request an exemption frown the "Hotel Moratorium"
for the purpose of the adaptive re-use and re-development of an existing improved
commercial site 'including the reconstruction of an existing office building into a hotel.
DETERMINATION: Exemption granted with conditions: 1. That any proposal be
subject to all code requirements in existence at the time of the final site plan determination; 2.
The development plan shall be subject to a maximum of 81 rooms; 3. That petitioners' adhere
to their pledge that no request for Suffolk IDA property and/or school tax abatements will be
requested or accepted in conjunction with the development; and 4. Consideration of on-site
resident management and/or employees is deferred to plamung review.
PROCEDURAL HISTORY
FIRST: Petitioners are the owners of the subji ect 11.8 3 acre commercial parcel located
on the Main Road in Mattituck. The site consists of two tax parcels: Lot 22.1 measures 7.467
acres and is developed with the existing building and parking facilities. Lot 28 measures
4.361 acres and is proposed to remain undeveloped. The parcel is zoned General Business (B)
and has been utilized as a commercial center since the 1970's. The parcel is developed with a
single tenant use 77,000 square foot commercial office building and includes extensive areas
of off-street parking.
SECOND: The existing building was utilized as a bank facility and calling center and
those uses were ultimately terminated in 2012. Since that time, the building has remained
unused and vacant. Following a public auction of the parcel in 2013 where there were no
bidders, the Petitioners purchased the property in 2014. Despite ongoing attempts to market
the property to commercial tenants, the building has remained vacant since petitioners'
purchase some twelve (12)years ago.
THIRD: In 2019, petitioners submitted a hotel redevelopment plan to the Planning
Department. That prior proposal envisioned a larger, 132,821 square foot, 121 rooin hotel
development, with facilities that included a restaurant, spa,water park, resort pool, and
catering facility. That application had been under review when it was captured by the
enactment of the hotel moratorium. Significantly, the Board notes that petitioners have
indicated a willingness to accept limitations on the size and breath of a future hotel proposal
on the site as a condition to an exemption from the hotel moratorium and, further, have
offered to forego any request for, or acceptance of,, property and/or school tax abatements
from the Suffolk County IDA in exchange for the requested exemption. The Board accepts
these assurances as conditions to the Board's decision on this application.
FOURTH: The Board is cognizant that the intent the Hotel Moratorium was to suspend
review of hotel uses to allow the Town time to consider amendments to the Code and
Comprehensive Plan pertaining to such uses. In so doing, the Board notes that the Zoning
Update, while not yet finalized or enacted,proposes to continue to allow hotel use at the
subject parcel by special exception approval, in a similar manner to the existing General
Business (B) zoning. The Board is also cognizant that the adaptive re-use of the existing,
vacant structure for hotel use will alleviate the frequency and demand for short term rental
uses in the Town, which has had a deleterious effect on the Town's housing stock and the
availability of affordable housing. Investigation has revealed in excess of 1,000 unpermitted
short-term rentals involving residentially zoned properties, which has negatively affected
quality of life issues for the Town's residents. Favorable consideration of this adaptive re-
use request will serve to alleviate the demand for illegal short-term rentals in our residential
neighborhoods, locating such uses in established commercial zoning. As the Town moves
forward with increased enforcement of short-term rental laws, the demand for hotel rooms
will increase. The unique nature of this previously developed parcel will address this need
while the extended moratorium allows for the study of such uses long term.
MORATORIUM EXEMPTION REVIEW
FIFTH: Section"6" of the Hotel Moratorium, entitled "Variance From This
Moratorium"",provides the mechanism for variance relief from the moratorium to any person
or entity suffering "umiecessary hardship" by reason of the enactment and continuance of the
moratorium. When considering such an application, the Board is guided by Section 267-
b(2)(b) of the Town Law. In this regard, the Board must weigh the following factors:
(a) The applicant cannot realize a reasonable return,provided that the lack of return is
substantial as demonstrated by competent financial evidence;
(b) The alleged hardship relating to the property in question is unique, and does not apply to a
substantial portion of the district or neighborhood;
(c) The requested use variance, if granted, will not alter the essential character of the
neighborhood; and
(d) the alleged hardship has not been self-created.
(a),The,app1icant_cannot realize a reasonable return provided that the lack of return is,
substantial as demonstrated by competent financial evidence.
SIXTH: The ability to realize a `reasonable return' requires an analysis of permitted
uses available to the petitioners by the existing zoning classification of a parcel. On this issue,
the petitioners put forth a market-based opportunity assessment performed by their expert,
JLL Value and Risk Advisory Group, dated.November 19, 2024, which analyzes the
permitted uses available for the site in question. The analysis notes an existing covenant
governing the parcel prohibiting retail uses. The assessment concludes that hotel use is the
only option that will allow the petitioners to realize a `reasonable return' for the parcel.
SEVENTH: Petitioners argue further that despite aggressive marketing and lease
discounting, they have been unable to lease the existing office building to any office tenants.
That the demand for such use is limited, considering the size and geographical location of the
parcel. In this regard, petitioners assert that they have not been able to achieve a `reasonable
return' and further contend that they have received no return on the property since in purchase
in`014.
EIGHTH: On this issue, the Board is satisfied with the proof presented and notes that the
building in question has remained vacant since 2014 and on multiple occasions since that date
the T'own's Assessor has been caused to reduce the property assessment due to the decreased.
value of the vacant and unused parcel, all of which supports petitioners claim that the existing
use of the parcel cannot achieve a reasonable return.

substantial portion of the district or neighborhood.
NINTH: Consideration of whether a hardship relating to a parcel is unique relates to a
characteristic or condition that disproportionately affects this parcel and does not apply to a
substantial portion of the district or neighborhood.
TENTH: petitioner argue that the parcel is geographically isolated on the North Fork
and is outside the Hamlet Center and surrounding HALO zone. Further,that the building in
question is the largest of its kind in the General Business (B)zoning, and is located in an area.
where there are a limited number of entities employing large workforces or requiring office
space of the size offered. As there are no similarly situated or similarly sized office buildings
anywhere else in the Town, it is petitioners' contention that the parcel is disproportionately
affected.
ELEVENTH: The Board funds that the petitioners have established that any alleged hardship
affecting this parcel is unique, sufficient to satisfy its burden under this analysis.
c The requested use variance if granted,will not alter the essential character of the
neighborhood.
TWELFTH: On this issue,petitioners offer the analysis of Cleary Consulting Group,
whose report, dated January 31, 2025, was made part of the record. The analysis concludes
that the proposed adaptive re-use of the parcel to a hotel will have no effect on the existing
character of the neighborhood. The report and hearing testimony establish that the parcel is
located on State Route 25 in Mattituck and is surrounded by commercial uses, including a
McDonald's restaurant. Further, that the land uses in the vicinity of the parcel are dominated
by commercial uses,with some industrial and transportation related. Significantly, the
pending Zoning Update does not propose to disturb the surrounding coininercial uses or the
use of the parcel in question. As such,petitioners' representatives conclude that the proposal
would conform to the essential character of the area and would not interfere with the existing
uses. In this regard,petitioners provide a traffic analysis prepared by R& M Engineering,
dated January 15, 2025, which concludes that the proposed hotel use would be less intensive
from a traffic perspective than as-of-fight uses for the parcel.
THIRTEENTH: In the absence of any proof to the contrary, the Board accepts the opinions
of the petitioners' experts and finds that the essential character of this neighborhood will not
be negatively affected by a grant of the requested exemption.
(d)Whether the hardship in question is, self-created.
FOURTEENTH: The record reveals that the parcel has remained vacant since petitioners'
purchase in 2014 and that, as a result of the existing development of the parcel and the size
and configuration of the building, the continued use as office space is not feasible. In an
effort to achieve a return on the parcel, a hotel development plan had been filed long before
the moratorium was imposed on the parcel. Under these unique circumstances, the Board
concludes that the hardship is imposed and not self-created.
CONCLUSION
In accordance with the requirement that this Board hear and consider variance relief frown the
moratorium, pursuant to Town Law § 267-b(2)(b), to adequately address an established
unnecessary hardship, and the Decision in the matter herein, the Board hereby concludes as
follows:
The Board concludes that the petitioners have satisfied their burden under Town Law § 267-
b(2)(b) and have established entitlement to a variance and exemption from the hotel
moratorium;
The decision of the Board is not to be construed as an approval of such use. This
determination is limited to allowing the petitioners permission to file a proposed site plan for
review and consideration by the Planning Department and involved land use boards of the
Town, with the following limitations as conditions to any approvals:
1. That any proposal be subject to all code requirements in existence at the time of the final
site plan determination;
2. That a inaxiinuin of 8 1 rooms be permitted;
3. That petitioners adhere to their pledge that no request for Suffolk IDA property and/or
school tax abatements will be requested or accepted in conjunction with the development;
4. Consideration of on-site resident management and/or employees is deferred to planning
review.
Therefore,upon unction duly made and seconded, the members of the Board present and
having voted to grant the application, the application for a variance and exemption is hereby
granted with conditions.

Times Review to hold Special Event 2025-23 at the Borghese Vineyard, County Road 48,
Cutchogue, New York as applied for in Application BV- 1 a for Special Event Celebrating
local Farms, Food, Restaurant and Wineries on the North Fork on Thursday,August 28th,

Rescind Resolution 2025-495 SWMD Bond
RESOLVED that the Town Board of the Town of Southold hereby rescinds resolution 2025-
495 adopted at the June 24, 2025 regular Town Board meeting in its entirety which read as
follows:
WHEREAS,, the Town Board of the Town of Southold (herein called the "Towil"), in the
County of Suffolk,New York, on behalf of the Southold Solid Waste Management District, in
the Town(herein called the "District"),has determined that it is in the best interests of the
District to increase and improve the facilities of the District, by the acquisition of a payloader
at an estimated inaxinium cost not to exceed $330,000,pursuant to Section 202-b of the Town
Law; and
WHEREAS,, the Town Board, as lead agency, has given due consideration to the impact that
the project may have upon the environment and, on the basis of such consideration, the Town
Board, acting as Lead Agency, pursuant to the New York State Environmental Quality
Review Act (hereinafter sometimes called -SEQRA") has found and determined that the
project is a Type II Action and no further environmental review is required; Now, therefore,
be it
ORDERED, that a meeting of the Town Board of the Town be held at the Town Hall, 53095
Main Road, Southold,New York, on Tully 8, 2025 at 7:00PM (Prevailing Time) to consider
said increase and improvement of facilities of the District and to hear all persons interested in
the subject thereof concerning the same and for such other action on the part of the Town
Board with relation thereto as may be required by law; and be it,
FURTHER ORDERED, that the Town Clerk publish at least once in the "The Suffolk
Times,"hereby designated as the official newspaper of the Town for such publication, and
post on the sign board of the Town maintained pursuant to subdivision 6 of Section 30 of the

WHEREAS,, the Town Board of the Town of Southold (herein called the
-Town"), in the County of Suffolk, New York, on behalf of the Southold Solid Waste
Management District, in the Town (herein called the "District"), has deterillined that it is in
the best 'interests of the District to increase and improve the facilities of the District, by the
acquisition of a payloader at an estlinated maximum cost not to exceed $330,000, pursuant to
Section 202-b of the Town Law; and
WHEREAS,, the Town Board, as lead agency, has given due consideration to
the impact that the project may have upon the enviromnent and, on the basis of such
consideration, the Town Board, acting as Lead Agency, pursuant to the New York State
Environmental Quality Review Act (hereinafter sometimes called "SEQRA") has found and
determined that the project is a Type 11 Action and no further environmental review is
required;
Now, therefore, be it
ORDERED, that a meeting of the Town Board of the Town be held at the
Town Hall, 53095 Main Road, Southold, New York, on the August 19, 2025 at 7:00 P.M.
(Prevailing Time)to consider said 'increase and improvement of facilities of the District and to
hear all persons interested in the subject thereof concerning the same and for such other action
on the part of the Town Board with relation thereto as may be required by law; and be it,
FURTHER ORDERED, that the Town Clerk publish at least once in the "The
Suffolk Trues, " hereby designated as the official newspaper of the Town for such publication,
and post on the sign board of the Town maintained pursuant to subdivision 6 of Section 30 of

Amend resolution #2024-859
WHEREAS, the Town of Southold has established a Transfer of Development Rights (TDR)
Program whereby Sanitary Flow Credits can be transferred into a TDR Bank from open space
lands purchased by the Town of Southold, and
WHEREAS, an application for transfer of Sanitary Flow Credits was filed by KEK-TS
Headquarters LLC seeking transfer of 0.8 credits to the property known as SCTM# 1000-
102.-5-19 located at 28495 Main Road, Cutchogue, NY 11935 in the Mattituck-Cutchogue
School District, and
WHEREAS, the TDR Bank currently has credits on deposit from lands purchased by the
Town of Southold that are located within the Mattituck-Cutchogue School District, and
WHEREAS,, the sending parcel for these credits is 1000-10 l.-1-8.2, a parcel preserved in
perpetuity as open space by the Town of Southold in 2024, sending 16.4 credits to the Town
TDR Bank, all of which remain unused, and
WHEREAS, the applicant seeks to utilize 0.8 credits on land in the Hamlet Business District
(HB) zoning district, a designated receiving district, to convert an existing accessory garage to
one accessory apartment at the aforementioned property, and
WHEREAS, the Town Board classified this action as Type 11 under SEQRA on September 24,
2024, .and
WHEREAS, this action is exempt from LWRP review,
WHEREAS, the Town Board held a public hearing on September 24, 2024, at which time all
persons were given the opportunity to be heard and that hearing has been closed, and
NOW therefor be it
RESOLVED that the Town Board has evaluated the effects of the proposal transfer and finds
that the district contains adequate resources, environmental quality and public facilities,
including adequate transportation,water supply,waste disposal and fire protection, and
further finds that there will be no significant environmental damaging consequences and that
such development is compatible with the comprehensive planning efforts of the Town, and
the Town Board incorporates the report of the Planning Board dated April 5, 2024; and it is
further
RESOLVED that the Town Board of the Town of Southold hereby transfers 0.8 sanitary flow
credits from the Town TDR Bank to by KEK-TS Headquarters LLC for its development at
28495 Main Road, Cutchogue, NY, SCTM#1000-102.-5-19, and it is further
RESOLVED that upon issuance of the Sanitary Flow Credit Certificate, the Planning
Department shall enter the deduction of the 0.8 sanitary flow credits from the sending parcel's
balance in the Sanitary Flow Credit Log, and be it further
RESOLVED that the applicant shall receive a Sanitary Flow Credit Certificate for the 0.8
credits,which shall not be signed by the Town Supervisor and released by the Town Clerk to
the applicant until the covenants and restrictions required by Town Code Section 117-11 have
been filed and such filing has been approved by the Town Attorney; and be it further
RESOLVED that the Town Clerk shall forward this resolution to the Tax Assessors Office,
the Land Preservation Department, the Governinent Liaison and the Planning Departinent for
inclusion into the Town database and GIS system.

Uncollectable Debit -Department of Solid Waste
WHEREAS,, the Department of Solid Waste has identified the following credit card
transactions totaling $,177.80 to be uncollectable due to transposed numbers and/or declined
charges ($7.50; $121.50; $39.00; $9.80); and
WHEREAS, attempts have been made to identify the debtors and circumstances have been
thoroughly reviewed; and
WHEREAS, it has been determined that further attempts to collect the debt would be futile as
the cost of identifying the debtors and prosecuting the claims would exceed the amounts
