THIS AGREEMENT, made this r7t�_ day of August,2000,between the TOWN OF SOUTHOLD, a municipal corporation of the state of New York, having its office and principal place of business at 53095 Main Road, Southold,New York 11971, hereinafter called the"Town" and Johnson Electrical Construction Corp.,263 Caleb's Way,Hauppauge,New York 11788-4799,hereinafter called the "Contractor". It is hereby understood and agreed by and between the parties hereto that the funds for performance of the work provided for herein are provided in total by the Town of Southold and that accordingly,the Contractor does hereby agree to comply with all of the requirements as described herein. The Contractor shall secure and maintain such insurance that will protect him/her from claims under the Worker's Compensation Acts and from claims for bodily injury, death or property damage which may arise from the performance of his/her services under this Agreement, in limits of$1,000,000 and$2,000,000 aggregate liability for bodily injury and property damage. The Contractor shall indemnify and hold harmless the town from and against all suits, claims, demands or actions for any injury sustained or alleged to be sustained by any party or parties in connection with the alleged negligent performance or negligent performance by the Contractor, his employees or agents or any subcontractor and in case of any such action brought against the Town, the Contractor shall immediately tape charge of and defend the same at his own cost and expense. in addition, the Contractor will name the Town as an additional insured on any applicable policies. 2 11/16/00 THU 10:21 FAX 516 582 6325 0 006 4. It is felt by many in the community that the pld light helped control traffic at that location. Many have noticed that vehicles do not fully stop at the intersection anymore, which will eventually lead to an accident. The light visually reinforced the stop sign, especially for cars driving east on New Suffolk Avenue, where a slight hill prevents drivers from seeing the sign before being very close to it. It also helps control the late night bar crowd traffic. Additionally, the light created an identifiable feature at the central cross-roads of the community, and helped in giving directions to homes and businesses in the hamlet. Therefore the Civic Association would appreciate a new blinking light at that intersection. If possible, we would prefer one that is not significantly larger or more visually obtrusive than the old one (your call).
