THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2025-50 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
JANUARY 7,2025:
RESOLVED, that the Town Board of the Town of Southold hereby authorizes and directs the
Town Supervisor, Albert J Krupski, Jr. to execute an MOA with the County of Suffolk, Office of
the County Executive, Division of Budget, last revised on December 6, 2024, for the purpose of
participating in a one-time revenue sharing agreement, derived from the additional 1% County
sales and use tax revenues from the 2023 Calendar year, in the sum of$134,000.00,upon a
concomitant showing of Southold Town public safety expenditures in the same amount; subject
to the approval of the Town Attorney.

MEMORANDUM OF AGREEMENT
This is a Memorandum of Agreement("Agreement") by and between the COUNTY OF SUFFOLK
(the "County"), a municipal corporation of the. State of New York, acting through its duly constituted
OFFICE OF THE COUNTY EXECUTIVE,DIVISION OF BUDGET(the"Department") located at
100 Veterans Memorial Highway, Hauppauge, New York 11788; and TOWN OF SOUTHOLD (the
"TOWN"),having its principal office at 53095 Main Road, P.O. Box 1179, Southold,New York 11971.
Each party referred to generally herein, shall be individually referred as a "Party" and collectively, as the
"Parties."
WHEREAS,pursuant to Section C4-6(J) of the Suffolk County Charter, the County of Suffolk
provides 1/8th of the total revenues from the.additional l:%a sales and compensating..use tax in the.form of
revenue sharing payments (the "Annual Revel tie Sharing:Payinenf).to the nineteen (1,9)municipalities
named therein that incur such expenses,for public safety purposes iii an.amount determined each year for
each municipality,and the Town of Southold is one of the municipalities so named;and
WHEREAS, in addition to the Annual Revenue Sharing Payment, within the Suffolk County
2024 Adopted Budget,the Suffolk County Legislature approved a one-time only additional funding in the
total amount of One Million Dollars($1,000,000),to be divided and allocated to each municipality in the
same manner, and directly proportionate to, the amount each municipality received for the Annual
Revenue Sharing Payment for the 2024 fiscal year and the purpose of this Agreement is to effectuate the
payment of this additional amount to the Town of Southold (the "2024 Additional Revenue Sharing
Payment"); and
WHEREAS, similar to the process established via Suffolk County Resolution No. 359-2013 to
verify each municipalities' expenditure toward public safety revenues for the prior fiscal year as a
condition of receiving the Annual Revenue Sharing Payment, the payment to the Town of Southold of
the 2024 Additional Revenue Sharing Payment shall be upon proof presented to the Department by the
Town of Southold verifying that the amount that Town of Southold has expended towards public safety
expenditures for the prior fiscal year has exceed the amount allocated to the Town of Southold in the
County's prior year's Operating Budget;and
NOW,THEREFORE, in consideration of the above,the parties agree as follows:
1. lormt and.Conditions
a. The parties agree that the recitals in the Whereas clauses herein are agreed to and constitute material
terms and conditions of this Agreement.
b. As included and identified within the Suffolk County 2024 Operating Budget,the County shall pay
the Town of Southold the amount of$134,400.00, representing the one-time additional funding (the "2024
Additional Revenue Sharing Payment")for public safety expenditures incurred and expended by the Town of
Southold, in addition to the payment to the Town of Southold of the Revenue Sharing Payment, subject to
the conditions set forth in subparagraph c.below.
e. Upon proof presented in a form acceptable to the Department, of an accounting, or multiple
accountings, that the Town of Southold has expended costs toward public safety for Fiscal Year 2023 that
exceeds the combined sum of the Annual Revenue Sharing Payment and the 2024 Additional Payment, the
Department shall pay the 2024 Additional Revenue Sharing Payment the Town of Southold.
2. Limited Effect and.Dur ntiuft.of this Amement,Waiver.
The Town of Southold understands and agrees that the terms of this Agreement and the
payment the of the 2024 Additional Revenue Sharing Payment is limited to the amount allocated
within the Suffolk County 2024 Operating Budget and under no circumstances shall the County
be responsible or pay any additional amounts other than as set forth in Section C4-6(J) of the
Suffolk County Charter for any year prior or subsequent to the fiscal year covered under this
Agreement,and the Town of Southold hereby releases and waives forever the County from any
such claim or demand.
