~RGANIZATIONAL MEETING
January 3 1978
The organizational meeting of the Southold Town Board was held on
Tuesday, JanUary 3, 1978 at the'Southold Town Hall. Main Road,
Southold, New York. Supervzsor Martocchia opened the meeting at
3:00 P.M. with the following present:

RESOLVED that the minutes of the December 20, 1977~Southold Town
Board meeting be and hereby are approved as submitted.

Supervisor Martocchia introduced the two new members of the Southold
Town BOard effective 'January 1, t978, Councilman William'R. Pell,III,
and Councilman Henry W. Drum, and welcomed them aboard.

WHEREAS it is required by Section 27, Subdivision 1 of the Town
~aw that the Town Board fix, from time to time, the salaries of
all officers and employees of the Town, whether elected or
appointed, and determine when the same shall be payable, now,
therefare, be it
RESOLVED that Robert W. Tasker he-and he hereby is appointed Town
Attorney fob the Town of Southold at a aalary of $18,000.00, and
he shall h01d such appointed office at the pleasure of the Town
Board unless ~therwise provided for by law, and be it further
RESOLVED that this salary be effective as of January 1, 1978, and
the same shall be paid in regular semi-monthly payments, and be

RESOLVED that the Town Clerk be isstructed to file such certificates

)n Inc., Southold Town Unit relative to salary increases
[f~ctive January t~,1978~ There is presently-a two year
~ffect .which called for a. 30¢ per hour >increase on
19~8 and an increase based on the cost of living index
.imum of 4% ~d a maximum of 6%. The in~ex reading as of
September 1977 was 4.9%, therefore the Board applied 5% to everyone.
The Association feels they should receive a certain equal amount
per hour for each employee. However, the entire Town Board has
agreed to stand with the contract in effect, setting the %5 increase
in salary as of January 1, 1978.
5. Receipt of a letter from the Southold Town Board of
Assessors recommending Melville A. Kelsey, Jr. as Chairmanof the
Board of Assessors, as elected by their Board

W/TEREAS Section 22B of the Town'~Law allows the Town Board of any
town having more than one assessor to establish ahe office of
Chairman of the.Town assessors, who in addition to his regular
duties shall perform such services in connection with assessment
and taxation of property for State, County, and Town purposes as
~he Board shall direct, now, therefore, be it
RESOLVED that Melville A. Kelsey, Jr. be and hereby is designated
to hold the office of Chairman of the Board of Assessors until the
first day ~f January~next succeeding such designation, at the
pleasure of the Town Board, unless othersise providedfor by law
all in accordance with Section ~ B of the Town Law, and be

RESOLVED that the compensation~for such appointment be fixed at
$1,000.00 per year payable in regular semi-monthly payments.

6. Receipt of a letter from Joseph J. Hines, Assistant
Executive Director of the 1978 Suffolk County Cerebral Palsy
Telethon asking that the Town Board adopt an appropriate resolution
proclaiming January as Cerebral Palsy Month in the Town of Southold.
This will be done.
7. Receipt of a letter from Barney Rogers~ Chairman., 1978
Suffolk County Cerebral Palsy Telethon inviting Supervisor Martocchia
to a Pre-Telethon Rally ar~ Show to be held a~ the Suffolk Forum
in Commack on January 5, 1978 at 8:15 P.M., The telethon is scheduled
for February 4 and 5 1978.
8. Receipt of notice of application from the Department of
Environmental Conservation by Philip L. Babcock who has applied
for a tidal wetland subiivision, "Country Club Estates" on the
south side of Main Road, west of Moore Lane, Cutchogue.
9. Letter from ~illiam Schriever relative to his~change of
zone application in Orient which was denied. Th~ matter will be
studied and ~iscussed at the January 10th meeting.
10. Letter from the Greenport Fire Department asking that
the Board consider installing a tie line or telephone leased line
from the police station in ~econic to Fire Stateon ~ 1 on Third
St eet Greenport to ac~%ate the s~ren and ~lectrons in the event
a call is received on 911 or.a police officer needs the rescue squad
quickly in an emergency. They are presently receiving and dispatching
fire alarms through the Department of Fire Safety in Yaphank~---The
booad would have no objection to the suggestion if the Greenport
Fire Department wishes to assume the cost for the installation.
11. Receipt of a letter from the Minnesota Construction Corp.,
the general contractor for the Town Hall addition stating th,ey' inte~
to move the existing east wing structure to its new location during
the week ~f January 3rd.---The various offices have vacated the old
building and moved to the meeting hall, and the telephone conncections
have also been removed from the old building and temporarily installed
in the meeting hall.
12. Receipt of notice from the Department of the Army Corps
of Engf~neers upon application of George Lauinger for permission to
~nstall two timber groins approximately 50 ft. in length in Great
Peconic Bay, Laurel, New York~ The Board members have no objection
to the project. Objections by January 22, 1978 to the Corps of
Engineers.
~3. Notification from the N.¥.So Department of ~nvironmenta~
Conservation on application of Baldwin L ~umm for permission to
co~-rucb ~70 lin. ft. of timSer bulkhead and dredge approximatet~
100 cue yards along the shores of Fordham Canal and Gull Pond.

14. Another application to the Corps of Engineers by Bernard
Kaplan,~ Dawn Drive, Centereach requesting permission to maintenance
d-redge a 140 ft. by 50 ft. boat basin area adjacent to Gull Pond
Greenport. The Board feels- the Town Trustees should look into the
matter.. The Board will also look at it. Objections by January
22, 1958.
15~: Letter from the N.Y.S. Department of Environmental
Conservation, Stony Brook relative to fish trapping in Peconic
Bay Fish trap operations and their locations became an issue
in 1977, particularly in the vicinity of Nassau Point. The D.E.C.
enclosed material summarizing the facts regarding fish traps
federal and state regulations and a discussion of the issues.
16. Notification from the Town Clerk relative to a fall by Mrs.
Samuel Ma.rk~el in front of the Southold Public School on Oaklawn
Avenue, Southold, at which time she was bruised. The Town ~ttorney,
insurance company and Highway Department have been notified'° The
sidewalk has been repaired by the Highway Department.
17. Item 21 is a report from the Department of Transportation
on snow removal for Route 25. Town Attorney Tasker spend two hours
last week with the D.O.T. on the telephone trying to arrive a~ some
sort Of agreement acceptable to the Town~ The Board will hdld the
item open until Mr. Tasker arrives and can explain it fully.
18.. Town Attorney Tasker is also drawing up leases for Justice
Chambers for Justice Rich, and a parking lot behind Riverhead Auto
Parts, both in Southold.

(Supervisor Martocchia explained that the next ,~ansfer refers to
an account which contained funds from the State of New York known
as Anti-Recession Funds. This account contains only $490,28 and

Department, Cutchogue, New York be and hereby are named Fire Wardens
for Robins Island for the year 1978: Chief Vincent R. Wieczorek,
First AssiStant James Fogarty, and second Assistant Fred W. Kaelin, Jr.
Supervisor Albert M. Martocchia appointed Councilman Homart Deputy
Supervisor for the year 1978.

Town Attorney Tasker stated that he had two tlelphone converstaions
with-~he New York State Department of Transportation, within a two
huur period relative to the snow and ice removal contract. The D.O.~.
seems to believe on the question of the length of 5erm of the con~ract
that possibly they could go with a one year contract. All of the things h(
explains as to what the D.O.T. can possibly do is uubject to the
approval of what they told Mr. Tasker by their legal department.
The D~O.T. will require, if we go into contract with them, that the
Superintendent of Highways of the Town be directly responsible for
all the work. There will not be independent contracts to subcontractors,
they will in effect be working for the Town of Southold, and all they
will be doing is leasing their equipment and providing an operator.
On ~e question of providing salt and sand they ~equire the Town to
~rc~se T~e~n~i~o~w~em&~taThe~v~r~d~n~a~p~Dv~ir~sponsible
for it. They will alwsys maintain oerriding supervision. They will
not permit withour their approval, in each instance, the removal of
any snow in the business areas and parking areas. All they will do
· s pay for the actual plowing of the traveled pavement. -The Board
will further discuss this matter with Town Attorney Tasker following
this meeting.
Supervisor Martocchia stated that sometime ago the Town Board authorized
the Highway Superintendent to go to bid for a new motor for a large
piece of equipment. Mr. Dean did not go ~o bid, but in the meantime
the Deputy Superintndent and some of the highway employees were able
to obtain the necessary parts for the machine which cost approximately
$300.00 plus labor. After about two days more of work the machine
will be op~rational.

RESOLVED that Supervisor Albert M. Ma~rtocchia be authorized to
exeCute, on behalf of the Town of Southold, a snow and ice removal
contract with ~e State of New York in aCcordance with the terms
and conditions fo the contract prepared by the town attorney and
submitted to the Board on January 6, 1978 and the work to be performed
thereunder to commence according to the terms ~f said contract which
~s as follows:
This agreement made this 6th day of January , 1978, by and
between the people of the state of New York (hereinafter referred
to as "State"), acting by and through ~tbe Commissioner of Trans-
portatiOn of the state of New York (~ereinafter referred to as
"Commissioner"), and the Town of Southold (hereinafter ~e~eDred to
as "Town"), as follows:
Whereas, Pursuant to Section 12 of the Highway Law, the
maintenance of State highways includes the control of snow and ice
thereon as the Commissioner may deem necesaary to provide reasonable
passage and movement of vehicles over such highways; and
Whereas, the work of such control of snow and ice may be done by any
municipaloty, which for the purposes of said Section 12 shall include
only a county, city, town or village, ~ursu~h to an agreement entered
into between the oovernement board or body of any such minicipaloty
and the Commissioner; and
WHEREas, the Town is willing to perform the function so delegated
to it for the oork of such control of snow and ice upon such terms,
rules and regulations as m~ ne within the legal authority of the
Town and which are deemed ~ the Commissioner to be for the est
interest of the public:

Now, Therefore, in considerat~o~ of the mutaal conveants and
be efits between the parties hrerto.
Witnesseth: ~
1. The term of this Agreement shall be for one year commencing
July 1, 1977. At the expiration of the term specified herein, such tier
may be<extended as herein provided, the Town shall notify the Commission
either (a) that it requests, with the approval of the Commissioner, that
the term of Agreement be extended for one year, or (b) that it intends
not to extend the Agreement, in ehich case the Agreement shall expire
at the end of the ~one-year term. If the Town fails to notify the
commissioner as herein_arovided, it shall be deemed that the Town
intends not to extend the term of this Agreement.
2. In the event that the Commisszoner shall deem that the work
of control of snow and ice by the Town zs inadequate or unsatisfactory
according to the terms of this Agreement and not being performed in
the nest intersst of the public, he may, by official order to be filed
in his office and the Department of State, cancel.the Agreement, and
any payments herein, provided by the State shall cease. Any such
official order~sahll becaoe effectioe at the expiration of five. (5)
days after tye. Commissloner shall:have mailed a crrtified copy
thereof to the clerk or other official who performs related duties
in such Town.' The Commissioner shall therupon~perform the owrk in such ma~
manner as, in his judgement, shall be for the best_interest of the public.
3. The~Town may enter into contracts with other persons or
corporations for the rental of vehicaes and equipment for the control
of'snow and ice, with or withour operators, to assist in the performance
off.this Agreement provided that wuch contracts are approved by the
CommiSsioner. ~
4. The~Town as an adjunct of the State in performing the
function herein delegated to it by the State, shall clear such State
highways from snow and ice within theboundaries of such Town as des-
ignated by the Commissioner to the extent that the Commissioner may
deem necessary to provid3 reasonable passage and movement of vehicles
over such highways all in accordance with terms, rules and regulations
as may be deemed by the Commissioner to be for the best inrerest of
the public, such terms, rules and regulations (a) having been submitted
to and examined by the governing body of said Town, prior to or
simultaneously with the execution and~delivery of this A~eement, (b)
this having been made a part thereof, and (c) being subject to change
or modigication from time to time by the Commissioner as he deems it
necessary for the best interest of the public, it being understood
by the parties hereto~that notive of any such change or modification
shall be aailed by the Commissioner to the Town and shall, subject
to the'~fol'Iowing provisions hereof, be deemed to be thereupon
accepted by the Town and made a~ part hereff. In the event the Town
does not concur with the modifications, the Town may submit a letter
Of dispute to the Commissioner. within 10_days after receipt of the
notice, setting forth, the reason for the non-concnrrence. The
CommisSioner shall then, within. 10, days, arrange for-a meeting
between representatives of the~C~mmissloner rna the Town to be
held as soon as prattical to .reso~lve the matter.. In- the event the
matter cannot be resolved, eitherparty may terminate.~his agreement
upon t0 days oonlce ~n wiriting to the other.
5. The Commissmoner shall obtain necessary~permission from~the
landowners affected, and shall provide, instal'l, remove and store all
necessary snow fenCe to be installed, at suiZabte locations%on
such highways.
6. The Town shall (a) designate and. hereby~does designate the
Superintendent of Highways of the-/Town as the respresentative of the
Town who shall be zn responsible charge and shall have~supervisirion
fo the performance of' the oork under this Aqreement., -(b) provide the
necessary machinery, to~ls, and equipment to perform the terms of this
Agreement (C) provide the necessary personnel and supplies to
operate such machinery, too'is, and equipeent. ~he Commissioner shall
furnish for use under this Agreement such materials, chemicals
and 'abrasives as he may ddem desirbble and in' the nest interstss
of the State, and he shall notify the Town on or before August 1
of each year as to the kind and amount of such items as are to be
furnished ~for the following winter season, notwithstanding the
provisions of the preceding sentence, the Town, at its option,
may ~tect to furnish such materials, chemicals and abrasives as
may be required for the performance of this Agreement.
7/ The Commissioner shall furnish the Town with a suitable
map of such town which shall delineate the State Highways within
the boundaries of the Town and shall show distinctively the Satee
Highways or parts thereof that are affected by this Agreement for
each year of the term of this agreement, or for any extended term
thereof, the map shall be modified to show the changes, if any,
to the State Highways affected by this Agreement Any such -~
modifications to such map shall be agreed upon in wrii~ng by the
Commissioner and the Town.
8. Whenever directed by thecommissioner, the Town shall
include in the work delegated to be performed under this agreement
any bridges or highways that cross into an adjacent municipality
or municipalities.
9, The TOwn shall install and observe a system of accounting
and a form of accounts as may be prepared and prescribed by the
Commissioner to the end that there shall be established and maintained
a uniform method of bookkeeping, filing and rendering accounts for the
purpose of this particular Agreement. Payment for this administrative
work and for items or printing, postage, telephone and other commun-
ications, etc., shall be made by the State asnan equal amount
to the actual costs incurred for this purpose, subject to subsequent
audit.
10. Incconsideration of the performance of th~ Town, the State
agrees to pay the Town each year during'the term of this Agreement
and any extensions thereof, a sum not to exceed the estimayed
expenditure of $62,000. This estimaye will be upadted annaully
at the time this agreement is extended as provided in paragra-ph
No. 1 In the event that a Town feels that a justifiable estimate
for any year exceeds the estimated amount indicated above, in this
paragraph, the Town may submit to the Commissioner for consideration
a supplementary estimate which fully documents and justifies the ~ ~
increase, which shall be reviewed by the Commissioner. The
Commissioner may approve, modify or disapprove the increase and
shall notify the Town in wiritng of his decision. Any approved
or modificated increase shall become iffective upon notification
by the Commissioner to the Town and shall thereby be submitted
in place of the above estimate and made a part of this Agreement
without further action. The Commissioner, however, reserves the
right to reduce the amount of the estimated expenditure set forth herein
if the monies available to the Department for control of snow and
ice are not sufficient to meet the anticipated expenditures oor
this program. If and as a Town increases or decreases the mileage
on which oork is performed, ~e amount of the estimated expenditure
set forth herein may be adjusted by the Commissioner. In the event
of such an occurrence', the Commissioner shall notify the Town, on or
before November first fo the uear of the term of this Agreement.for
which such changed estimated expendiutre is to apply, of the changes
estimtted expendiutre. Upon receipt of such notice, the Town shall,
in cooperation with the State, review and reorganize its operations
to the fullest extent pract'ical to prevent overcommittemnt of all
allocatef funds. The Commissioner may in his discretaion erstore in
part or on whole the amount of the estimated expendiure taking into
consideration the eeather conditions expreienced in the Town and,-the ......
amount of amonies availabel for control of snow and ice. The Town shall
not overcommit allocated funds without prior written approval of the
Commissioner.
11. The Town shall transmit on or after the 10th day of December,
January and February of ezch year during y e term of this Agreement
a properly executed voucher as furnished by the Commissioner~ each
in the amount of 25 % of the"estimatee expendiutee" as stated in~
paragraph No. 10. At the conclusion of each snow and ice control
season, but no later than July 1st, the Town shall transmit to the
commsiioner a final statement f~ accounting of expenditures
actually made for the purpose of this Agreeme~ for the purpose
of this Agreement for the entire season, in the form furnished
by %he Commissioner. Such statement shall be Siqned and verified
by th-e/Town's Superintendent of Highways and certified by the
chief fiscal officer, tne the State shall, upon approval of the
Co~missioner, pay to the Town the total amount shown on such
statement~ Less the interim payments as provided for herein.
The monies shall be paid out of the State Treasury on the audit and
~rarrant of the Comptroller on the certificate of the Commissioner
pursuant to the p~ovisions of the law relating to such expe~diutre.
[2. Except as provided hereafte~ the State shall be responnsle
for any loss with respect to any tort claim arising from or occasioned
by the manner of performance of the functions uneer this Agreement
or under any contract authorized thereby, provided, however, that nny
such Town shall, within ten(10) days, notify the Commissioner of any
action, p~oceeding, caalm or demand arising hereunder. The Commissioner
shall defent any action brought against the Town or the Town may elect
to defend sich an act on. In the event that the Town defends the
action the State shall reimburse the Town for all necessary expenses
ihclUding litigation expenses incurred by theTown. In no event
shall the Satee be obligated to defend or indemnify the Town or any
insurer therof in any action, proceeding claim or demand arising
cut of the actual operation of an insured vehicle or vehicle subject
to self-insruvvce while engaged in the operation of snow and ice
control functions under this agreement, unless such llaim excccds the
limits of insurance coverage applicable to any such insured or
self-insured vehicle, it being the intention of this Agreement that
under no circumstances will the Town become obligated or liable in
amount whatsoever for any loss with repsect to any claim arising
ut of or ocassioned by the Town's performance of this Agreement,
against any such claim, the Sta~e does hereby agree to indemnify and
hold the Town harmless. In all actions, proceedings, claims of
demands arising our of work performed under this Agreement, the
State shall assist and cooperate with the Town in the defense of
such action and to provide expert witnesses, legal advise and
necessary information.
13. The Town specifically agrees that this Agreement shall be
deemed executory only to the extent of the monies available, and
no liab$1ity ahall be incurred by the State beyond the monies

14. ThiR Agreement shall bind the successosrs, assigns and

15. Notwithstanding any other provision hereof, this Agreement,
and the terms and conditions hereof, shall not become effective

received by each of the parties hereto

WHEREAS Section 123 of the Town Law provides that town officials
and employees who receive and disburse mon~es of the Town shall
account to the Town Board for all monies received and disbursed
by them by the 20th day of January, and
WHEREAS the Town Board deems it necessary to engage a ~ublic
accountant to prepare the aforesaid annual account for all town
officers and employees,
NOW, THEREFORE, BE IT RESOLVED that the Town Board of the Town
of S~uthold engage the services of Elaine Fo Kaldor, Certified
Public Accountant, to make the annual audit of the books and
records of officers and employees of the Town of Southold for
the fiscal year 1977 a con.tract feeof $1,800.00.
