THIS INDENTURE made the day of 2025 between FOUR
FORTY FIVE REALTY LLC, a Newyork limited liability ompany, having a place of
business at 750 Main Street, Islip, NY 11751, Party of the First Part, and JOHN F.
LARSEN, residing at 103 Sterling Street, Unit B, Greenport, NY 11944, Party of the
Second Part;
WITNESSETH:
That the Party of the First Part, in consideration of Ten Dollars ($10.00), lawful
money of the United States,and other good and valuable consideration, paid by the Party
of the Second Part,does hereby grant and release unto the Party of the Second Part,the
heirs or successors and assigns of the Party of the Second Part forever,
All that certain piece or parcel of real property, with the improvements therein
contained, situate and being a condominium unit(s) located in the Village of Greenport,
Town of Southold, County of Suffolk, and State of New York, known and designated as
Home No. 1 (the "Home") in the condominium known as The Boat House Lofts at
Greenport Condominium (the "Condominium"), said Home more particularly defined,
designated, referred to, and described in that certain Declaration of Condominium made
by 123 Sterling Avenue, LLC, under Article 9-B of the New York Real Property Law dated
December 1,2021 and recorded in the Office of the Clerk of Suffolk County on December
20, 2021 in Liber D00013134 at Page 838 as amended by that certain First Amendment
to the Declaration dated October 16, 2023 and recorded in the Office of the Clerk of
Suffolk County on October 19, 2023 in Liber D00013222 at Page 967 and as may be
further amended from time to time (collectively, the "Declaration") covering the property
therein described, and also designated and shown on the Unit Designation Map of the
Condominium prepared and certified by David A. DiGiovanni, New York State Registered
Architect No. 18169("Architect"), and filed in the Office of the Clerk of Suffolk County on
December 20, 2021 as Map No. 499 as amended by Amended Unit Designation Map of
the Condominium prepared and certified by Architect and filed in the Office of the Clerk

Party of the First Part by deed from 123 Sterling Avenue, LLC dated December 27, 2021,
conveyed on December 29, 2021, and recorded in the Office of the Clerk of the County
of Suffolk on March 4, 2022 in Liber D00013145 at Page 727.
TOGETHER with the appurtenances and all the estate and rights of the Party of
the First Part in and to the Home.
TOGETHER with the benefits, rights, privileges, easements and subject to the
burdens, covenants, restrictions, by-laws, rules, regulations and easements all as set
forth in the documents with respect to the Condominium filed and recorded as aforesaid.

SUBJECT TO: The provisions of the Declaration, By-Laws, site plan and floor
plans of the Condominium as the same may be amended from time to time by instruments
recorded or filed in the Office of the Clerk of Suffolk County, which provisions, together
with any amendments thereto shall bind any person having at any time any interest or
estate in the Home, as though such provisions were recited at length herein.
SUBJECT TO: Rights of Way and Easements recorded in the Office of the Clerk
of the County of Suffolk in Liber 1991 Page 261, Liber 223 Page 328, and Liber 9497
Page 351.
SUBJECT TO: Declaration of Covenants and Restrictions recorded in the Office
of the Clerk of the County of Suffolk in Liber 13126 Page 978.
Basin SUBJECT TO: Riparian rights of others fronting on Stirling Creek and Rackett's
SUBJECT TO: The rights of the public to navigate the water of Stirling Creek and
Rackett's Basin.
SUBJECT TO: Riparian Rights of others to Sterling Basin, Sterling Creek and
Rackets Basin.
SUBJECT TO: Rights of the United States of America, State of New York, and/or
Village of Greenport to improve navigation and erect and/or relocate bulkhead lines on
Sterling Basin, Sterling Creek and Rackets Basin.
SUBJECT TO: A free and unobstructed right of way of others with boats or
otherwise to and from Sterling Creek to Ludlam Place.
The Home is subject to the restriction and requirement that
the two tax lots comprising the Home, specifically tax lots
1001-003.02-02.00-001.000 and 1001-003.02-01.00-001.000
shall be deemed one property and shall not be separated,
severed, or divided. This requirement for the two tax lots to
be transferred together shall run with the land in perpetuity.
Any attempt to transfer one such tax lot without the other shall
be deemed void and of no effect. All future deeds for the Home
should recite this restriction.
TO HAVE AND TO HOLD the premises herein granted unto the Party of the
Second Party, the heirs or successors and assigns of the Party of the Second Part
forever.
AND the Party of the First Part covenants that the Party of the First Part has not
done or suffered anything whereby the Home has been encumbered in any way whatever,
except as aforesaid.
AND the Party of the First Part, in compliance with Section 13 of the Lien Law,
covenants that the Party of the First Part will receive the consideration for this conveyance
and will hold the right to receive such consideration as a trust fund to be applied first for
the purpose of paying the cost of the improvement and will apply the same first to the
payment of the cost of the improvement before using any part of the total of the same for
any other purposes.
The use for which the Home is intended is that of a one family residence with
accessory (but non-habitable) boating club/studio space, subject to the applicable

governmental regulations and zoning requirements, the restrictions contained in the
Declaration of Condominium and any Covenants and Restrictions of record and the
Offering Plan for the sale of homes in the Condominium Plan Number CD210090
accepted by the Office of the New York State Attorney General on January 6, 2022.
This conveyance is made in the regular course of business actually conducted by
the Party of the First Part.
The word "Party" shall be construed as if it read "Parties"whenever the sense of
this indenture so requires.
