THIS INDENTURE, dated as of the 23rd day of December, 2024,
BETWEEN SV GREENPORT LLC, a foreign limited liability company formed
under the laws of the State of Delaware and duly authorized to transact business in the
State of New York with offices located at 372 Court Street, Floor 2, Brooklyn, New York
11231, Party of the First Part,
AND THE COUNTY OF SUFFOLK By its Department of Public Works, a
municipal corporation of the State of New York, having offices located at 335 Yaphank
Avenue, Yaphank, Suffolk County, New York, Party of the Second Part.
WITNESSETH:
The said Party of the First Part, in consideration of Four Hundred Thousand
$400,000.00) and 00/100 ($400,000.00) Dollars and other good and valuable
consideration paid by the Party of the Second Part, does hereby grant and release unto the
Party of the Second Part, the heirs or successors and assigns of the Party of the Second
Part forever:
ALL that certain plot, piece, or parcel of land, with the buildings and
improvements thereon erected as more fully described in the legal description and map
marked as "SCHEDULE A" which is annexed hereto and made a part of and is hereby
fully incorporated by reference into this WARRANTY DEED.
SUBJECT TO any state of facts an accurate survey might show.
SUBJECT TO all applicable zoning ordinances.
SUBJECT TO covenants and restrictions of record affecting the premises.
TOGETHER, with all right, title, and interest, if any, of the Party of the First
Part in and to any streets and roads abutting the above-described premises to the center
lines thereof;
TOGETHER with the appurtenances, and all the estate which and rights of the
Party of the First Part in and to said premises;
TO HAVE AND TO HOLD the premises herein granted unto the Party of the
Second Part, the heirs or successors and assigns of the Party of the Second Part forever.
AND the Party of the First Part covenants as follows: that the Party of the First
Part is seized of the said premises in fee simple, and has good right to convey the same;
that the Party of the Second Part shall quietly enjoy the said premises;that the said
premises are free from incumbrances, except as aforesaid; that the Party of the First Part

will execute or procure any further necessary assurance of title to said premises; and that
said Party of the First Part will forever warrant the title to said premises.
AND the Party of the First Part, in compliance with Section 13 of the Lien Law,
covenants that the Party of the First Part will receive the consideration for this
conveyance and will hold the right to receive such consideration as a trust fund to be
applied first for the purpose of paying the cost of improvement and will apply the same
first to the payment of the cost of improvement before using any part of the total of the
same for any other purpose.
The word "party" shall be construed as if read "parties" whenever the sense of this
indenture so requires.
Said premises being a part of the premises having a Suffolk County Tax Map
Identification Number of 1000-044.00-04.00-005.001.
Said premises having a street address of 59670 CR 48, Town of Southold, Suffolk
County, New York.
This conveyance having been unanimously approved by the Members and
Managers of SV Greenport LLC.
BEING AND INTENDED TO BE a part of the same premises as that conveyed
to the Party of the First Part by deed dated 01/11/2016, and recorded in the Office of the
Suffolk County Clerk on 03/28/2016 in Deed Liber D00012858, Cp. 206.
IN WITNESS WHEREOF, the party of the first part has duly executed this deed
on the day and year first above written.

SCHEDULE A
All that piece or parcel of land situate at Southold, in the Town of Southold, County of
Suffolk, State of New York, to be Dedicated for the Reconstruction of Middle Road,
County Road 48 as shown on Map No 1, bounded and described as follows:
Beginning at a point on the southerly boundary of the existing Middle Road, County
Road 48, at the intersection of the said boundary with the division line between the
lands of Elizabeth Commander, Eugene Sledzieski & Dolores Vanecek, reputed owners .
to the west, and the lands of SV Greenport, LLC, reputed owners to the east, said point
being 31�- feet distant southerly, measured radially from station R197+46± of the
hereinafter described survey center line for the proposed reconstruction of Middle Road,
County Road 48;
Running thence easterly along said southerly boundary line of the existing Middle Road,
County Road 48, N 590 25'00" E, 1075±feet to a point, said point being 31±feet distant
southerly, measured radially from station R208+20± of said center line to the division
line between the lands of SV Greenport, LLC, reputed owners to-the west and the lands
of the County of Suffolk, reputed owners to the east;
Running thence westerly along the proposed southerly boundary, through the lands of
.SV Greenport, LLC, reputed owner, the following five (5) courses and distances;
1. S 570 25' 59" W, 224± feet to a point 31.50 feet distant, measured radially
from station R205+95.34 of said centerline;
2. 303.03 feet along,the arc of a circular curve to the right that has a radius of _
8,681.50 feet and a chord that bears S 580'25' 01" W, 303.01 feet to a point
31.50 feet distant, measured at right angles from station R202+93.40 of said
centerline;
3. S 5911 25' 00" W, 22.67 feet to a point 31.50 feet distant, measured radially
from station R202+70.72 of said centerline;
4. 303.03 feet along the arc of a circular curve to the right that has a radius of
8,681.50 feet and a chord that bears S 601 25' 01" W, 303.01 feet to a point
31.50 feet distant, measured at right angles from station R199+68.78 of said
centerline;
Containing within said bounds 8,866± square feet or 0.204±acres more or less.
Two existing driveway access points to remain
The above-mentioned survey centerline is a portion of the survey centerline for the
proposed reconstruction of Middle Road, County Road No 48, as shown on a map on
file in the office of the Commissioner of Public Works.
