AGREEMENT
AGREEMENT, made this day of D Ovbef, 2024, between Paul D. Seeth and Randall
A. Seeth, Trustees of the Jane Seeth Irrevocable Trust B dated January 1, 2012 and Paul D. Seeth
and Randall A. Seeth,Trustees of the Douglas S. Seeth Revocable Living Trust dated May 14,
2012(collectively hereinafter referred to as the "Property Owner"), with an address c/o 1937 S.E.
33rd Terrace, Cape Coral,Florida 33904; and Joseph J. Grillo, Sr. a/k/a Joseph Grillo, Jr. and
Susan Grillo, as Trustees of the Joseph J. Grillo, Sr. Living Trust, (hereinafter referred to as the
"Neighbor"), with an address at 3 Versailles Court, Brookville, New York;
W ITNESSETH:
WHEREAS, the Property Owner is the owner of certain premises known as 175
Mesrobian Drive, Laurel,New York(SCTM# 1000-145.00-04.00-013.000)as described in
Schedule A attached hereto(the "Subject Property")and as shown on the survey dated
September 4, 1992, attached hereto as Exhibit 1 (the "Survey of the Subject Property");and
WHEREAS, the Neighbor is the owner of premises of property known as 365 Mesrobian
Drive, Laurel,New York(SCTM# # 1000-145.00-04.00-012.00 1)as described in Schedule B
attached hereto(the "Neighbor's Property"); and
WHEREAS, the Neighbor has installed Belgium block curbing and asphalt paving on the
Subject Property that has created a 45 square foot encroachment area(the "45 Square Foot
Encroachment")and has constructed a brick pillar with light pole on the Subject Property that is
part of the entrance gate to the Neighbor's Property(the "Encroaching Pillar")as shown on the
Survey of Kenneth M. Woychuk Land Surveying, PLLC, last revised May 23,2024, attached
hereto as Exhibit 2 (the "Survey of the Grillo Property");and has also installed an irrigation

control box and irrigation pipes on and in the Subject Property and has also planted trees, shrubs
and other plantings on the Subject Property(the "Plantings") (all of which are collectively
referred to as the "Encroachments");
NOW THEREFORE,in consideration of mutual covenants and agreements,the parties hereby
mutually agree and declare as follows:
1. The Neighbor hereby affirmatively confirms and acknowledges that the northerly
boundary of the Neighbor's Property is the record line of title as shown on the Survey of the
Subject Property (Exhibit 1);
2. The Neighbor affirmatively confirms and acknowledges that the placement of the
Encroachments on the Subject Property has not and shall never ripen into nor become any right
to use or ownership of any portion of the Subject Property except to the limited extent expressly
provided herein;
3. The Property Owner agrees that the Encroaching Pillar, the 45 Square Foot
Encroachment, and the irrigation pipes and irrigation control box located on the Subject Property
may remain where currently located so long as the Neighbor maintains them in good condition
The Neighbor hereby agrees to indemnify,defend and hold harmless the Property Owner from
any and all claims, losses,costs and damages, including but not limited to judgments, attorney's
fees,court costs and the cost of appellate proceedings arising in whole or in part from the
Encroaching Pillar, 45 Square Foot Encroachment and the irrigation pipes and irrigation control
box being located on the Subject Property.
4. In the event the Neighbor fails to maintain the Encroaching Pillar, the 45 Square
Foot Encroachment,or the irrigation pipes and irrigation control box in good condition as
required under paragraph 3 above, and fails to cure the default within thirty(30)days from

receipt of the Property Owner's notice to cure the default, then the Property Owner shall have the
right to remove the Encroaching Pillar,the 45 Square Foot Encroachment,or irrigation pipes and
irrigation control box and the Neighbor shall have no further rights with respect to them. The
Neighbor shall reimburse the Property Owner for the costs of removal within thirty (30)days of
the Neighbor's receipt of written demand for payment from the Property Owner.
5. The Neighbor further agrees that the Belgium blocks that have been placed at
grade by the Neighbor in the driveway on or close to the actual northerly title property line shall
remain in place so long as this Agreement remains in effect.
6. The Neighbor acknowledges that the Property Owner has sole legal title to the
Plantings and hereby waives and releases any and all claims he may have to the Planting.
7. The Neighbor expressly agrees that it is prohibited from installing, planting,or
erecting anything whatsoever on the Subject Property.
8. The Neighbor agrees to pay the Property Owner's attorney fees incurred in
preparing this Agreement as well as the costs to have this Agreement recorded in the Office of
the Clerk of Suffolk County. Payment shall be made simultaneously with the execution of this
Agreement.
9. Any notice or other communication("Notice") shall be in writing and sent by
either of the parties hereto or by their respective attorneys who are hereby authorized to do so on
their behalf, by email and by delivery in person or by overnight courier, with receipt
acknowledged. Notice shall be deemed given when emailed.

10. In the event of a breach of the terms and conditions of this Agreement resulting in
either party,and/or subsequent owners, seeking judicial intervention, it is agreed that the
prevailing party in any such action, in addition to any other recovery, shall be entitled to
recovery that parry's reasonable attorney's fees.
11, This Agreement shall be governed by and construed in accordance with the laws
of the State of New York.
12. The invalidity of any clause of this Agreement shall not invalidate or render the
remaining Agreement void.
13. This Agreement may be executed in any number of counterparts, each of which,
when executed and delivered, shall be deemed an original, but all such counterparts shall

constitute one and the same instrument and shall be recorded in the office of the Clerk of
Suffolk.
14. It is mutually covenanted and agreed by the parties that this Agreement shall run
with the land and inure to the benefit of and be binding upon the parties, their heirs and
distributees, beneficiaries, legal representatives, successors,assigns and all subsequent owners of
either Premises, including, without limitation, the indemnification provisions of Paragraph 3.
