Box 605, Fishers Island, NY 06390, (hereinafter referred to as "Grantee"). /��i �O�r I`G/ XL0—� WHEREAS, Grantor owns certain lands situate on Fishers Island, NY 06390, Suffolk County Tax Map number 1000-010.00-05.00-012.021, known and designated as Lot 44-5, Lot 44-9, Lot 44-10, Lot 44-11 and Lot 44-12 on page 2 of 2 of a certain map filed in the Suffolk County Clerk's Office on September 25, 1991 as Map No. Miscellaneous A-421 (hereinafter referred to as "Grantor's Property"); and WHEREAS, Grantee owns certain lands situate on Fishers Island, NY 06390, Suffolk County Tax Map numbers 1000-010.00-05.00-012.005 and 012.006, more fully described on Schedule A annexed hereto and made a part hereof(hereinafter referred to as "Grantee's Property"); and WHEREAS, Grantor, for good and valuable consideration, is desirous of conveying an Easement to Grantees over a portion of Grantor's Property so that Grantees can access Grantor's Property from East End Road to Grantee's Property. WITNESSETH 1. Grantor does hereby grant, transfer, bargain, sell and convey unto Grantee, in perpetuity, an Easement over, under, and upon Grantor's Property, of the nature, character, and to the extent hereinafter set forth, such Easement being located along the southerly boundary line of Grantor's Property and as is more fully described on Schedule B attached hereto and made a part hereof(hereinafter referred to as the "Easement Area"). 2. The nature, character and extent of the Easement hereby granted is as follows: a. Grantee shall have the nonexclusive right for pedestrian and vehicular traffic to traverse said Easement Area from East End Road to Grantee's Property. b. Grantee's rights shall include the right to repair and maintain the existing drive from the East End Road to Grantee's Property. c. The location of the Easement Area described in Schedule B shall not be changed without the consent of both parties. l d. Any and all costs associated with the use of said Easement, including the repair and maintenance of the existing drive, shal I be borne by Grantee. e. Each party agree to indemnify, save and hold the other party harmless against any and all claims for property damage and/or personal injury arising out of the use and enjoyment of said Easement by the indemnifying party, its heirs, successors and assigns, invitees and trespassers to the extent not covered by insurance. 3. This Agreement and the Easement granted hereby shall inure to the benefit of, and bind, the parties, their heirs, successors, legal representatives and/or assigns, and shall run with the land in perpetuity.
